C’976620Form6-AC-02A(R1/88)_________________________DepartmentorAgencyNumberNAAContractRoutingNumberWAIVERCONTRACTThiscontract,madethisIstdayofMarch,1997,byandbetweentheStateofColoradofortheuseandbenefitoftheDepartmentofLocalAffairs,CommunityPartnershipOffice,CommunityServicesBlockGrantProgram,1313ShermanStreet,Room500,Denver,CO80203,hereinafterreferredtoasCPOortheState,andBoardofCounWCommissioners.EagleCountyhereinafterreferredtoastheContractor,WHEREAS,authorityexistsinthelawandfundshavebeenbudgeted,appropriated,andotherwisemadeavailable,andasufficientunencumberedbalancethereofremainsavailableforpaymentinfundNumber100,ContractEncumbranceNumberasdetailedingrantawardletter;andWHEREAS,requiredapproval,clearance,andcoordinationhasbeenaccomplishedfromandwithappropriateagencies;andWHEREAS,theStateannuallyreceivesaCommunityServicesBlockGrant(“CSBG”)fromtheU.S.DepartmentofHealthandHumanServices(“HHS”),OfficeofCommunityServices,undertheCommunityServicesBlockGrantAmendmentsof1994,42U.S.C.sections9901-9912(the“Act”),toprovidethroughcountygovernmentsarangeofservicesandactivitiesdirectedatachievingameasurableandpotentiallysignificantimpactonthecausesofpovertyandprovidingassistancetolow-incomefamiliesandindividuals,includingtheelderlypoor,asprescribedintheAct;andWHEREAS,theGovernorhasdesignatedtheDepartmentofLocalAffairsastheadministeringagencyofthefunds;andWHEREAS,theStateannuallydistributesCSBGfundsreceivedfromFillStocountygovernmentsonaformulabasisinaccordancewithanadoptedStateCSBGPlan;andWHEREAS,theContractorhasbeendeterminedtobeaneligibleentity,asdefinedbytheStateCSBGPlan,tocontractwiththestateandtoundertaketheservicesdesired;andWHEREAS,theContractoriscapableanddesirestoperformtheservices.NOWTHEREFORE,itisherebyagreedthat:I.LegislativeAuthorityThiscontractisauthorizedbyandsubjecttoP.L.103-252,HumanServicesAmendmentsof1994,thefY1996CSBGAppropriationLegislation,U.S.C.Sections9901-9912,andTitle45Part96,DepartmentofHealthandHumanServicesBlockGrantRegulations.II.LegalAuthorityPage1of10pages CC)TheContractorwarrantsthatitpossessesthelegalauthoritytoenterintothiscontract.Thepersonorpersonssigningthiscontractonbehalfofthecontractoralsowarrantthattheyhavefullauthorizationtoexecutethiscontract.ifi.StateResponsibleAdministratorQuestionsrelatedtothisprojectorperformanceunderthiscontractshouldbedirectedtothefollowingStaterepresentative:WilliamRobinson,CSBGDirector,CommunityPartnershipOffice,1313ShermanStreet,Suite500,Denver,Colorado$0203,(303)86&4916,f:(303)8664992,orsuchotherStaterepresentativeashasbeenidentifiedinwritingbytheState.IV.ScopeofServicesTheContractor,oritsauthorizeddesignee,shallannuallysubmittotheState,uponnotificationofitsCSBGfundallocationbytheState,aProjectPlanfortheexpenditureofthosefundsasrequiredinthethencurrentStateCSBGPlan.UponwrittenacceptanceoftheProjectPlanbytheState,thoughanawardletterintheformatattachedasexhibitA,theContractorshalldo,performandcarryoutinasatisfactoryandpropermanner,asdeterminedbytheStateandinconformancetotheStateCSBGPlanandFederalLawsregardingtheAct,allworkelementswithintheapprovedProjectPlan.GrantprojectplansandGrantAwardLetterswillbecomeapartofthiscontractuntilsuchtimeasthegrantisclosedout.Exceptforthetermsandconditionsandspecialprovisionsofthecontract,theawardlettershallsupersedeinthecaseofconflictbetweenthetwo.V.CommunityServicesBlockGrantRequirementsandGeneralProvisionsTheContractoragreestoperforminaccordancewith,andtocomplywith,theCommunityServicesBlockGrantProgramRequirementsandGeneralProvisionsissuedbytheU.S.DepartmentofHealthandHumanServices,OfficeofCommunityServices,andallrevisions,refinements,andmodificationsasmaybemadethereof,whichareapartofthiscontractandincorporatedhereinbythisreference.AcopyoftheseprovisionsareprovidedtotheContractorandareavailableoffilewiththeState.VI.ResponsibleContractAdministratorTheperformanceoftheservicesrequiredhereinshallbeunderthedirectsupervisionofSarahSchipper,anemployeeoragentoftheContractor,whoisherebydesignatedastheadministrator-in-chargeofthisProject.ifatanytimetheadministrator-in-chargeisnotassignedtothisProject,amutuallyacceptablereplacementadministrator-in-chargeshallbedesignated,andtheStateshallreceivenotificationofsuchreplacementassignmentandtheplantopermanentlyfilltheadministratorposition.VII.ScopeofServices\BudgetModificationProceduresTheStatemay,fromtimetotime,requestchangesinthescopeofservicesoftheContractortobeperformedhereunderassetforthintheCommunityServicesBlockGrantAwardLetter.SuchchangesinthescopeofservicesoftheContractorshallbeinwritingviatheissuanceofaCommunityServicesBlockGrantAwardLetter,acceptingthecontractor’sproposedmodificationsmadeinwriting,andshallbeincorporatedwithoutwrittenamendmenttothiscontract.AnyrevisionstothescopeofservicesinitiatedbytheContractormustbeapprovedbytheStateResponsibleAdministrator.AnyawardlettershallnotbeeffectiveuntilapprovedbytheStateControllerorsuchassistantashemaydesignate.Itisunderstoodthattheawardlettermaybeusedinthecaseofmodificationsonlyforincreasedordecreasedfunding,correspondingadjustmentstoserviceandactivitylevelsandanybudgetlineitems.Page2of10pages C)C;Vifi.PeriodofPerformanceThiscontractshallcommenceatthetimeofitsexecutionandshallcontinuesolongastheU.S.DepartmentofHealthandHumanServices(HHS)continuestoawardanannualCommunityServiceBlockGranttotheStateandtheHI{SapprovedStateCSBGPlancontinuestoallocatethoseCSBGfundstotheContractor.Grantawardlettersforeachspecificgrantwillidentifytheperformanceperiodforthatgrant.DC.ContractAmountTheStatewillannuallydetermineandnotifytheContractoroftheamountofitsCSBGallocationatthetimeHHSnotifiestheStateoftheapprovaloftheannualStateCSBGPlanandtheamountoftheState’sCommunityServicesBlockGrant.WrittenacceptancethroughanawardletterbytheState,oftheContractor’sProjectPlanwillauthorizetheContractortoexpendfundsandinitiatepaymentrequestsontheirallocationinaccordancewiththeStateCSBGreimbursementprocedures.X.MethodofPaymentThemethodofpaymentunderthiscontractwillbecostreimbursementwithallcontractcostschargedtotheprojectbudgetcategoriesspecifiedintheawardletter.Nocostswillbechargeabletoaprojectbudgetcategoryexcepttotheextentthatsuchbenefitsarereceivedbysuchcategory.XE.ReimbursementProceduresIfcostsincurredareallowableandwarranted,theCPOwillreimbursetheContractoronaneedbasis.Toreceivepayment,theContractorshallsubmitcertifiedinvoicesinsuchformanddetailasrequiredbytheCPO.XII.AdvancePaymentsMoniesobligatedunderanAwardLettermaybemadeavailableonanadvancepaymentbasis.Utilizingthisprocedure,cashmaybeadvancedtotheContractortocoverestimateddisbursementneedsfortheinitialperiod.Suchadvancesshallbesubjecttothefollowingprovisions:a.Cashadvancesshouldbelimitedtoimmediatecashneeds,andshouldnotexceedthirty(30)days,withtheexceptionthatacashadvanceoftwomonthsmayberequestedduringthefirstmonthoftheprogramyear.b.Therequestforadvanceshallbeaccompaniedbyadetailedstatementofcostsdisbursedtodateandadetailedestimateofcoststobedisbursedduringtheperiodcoveredbytheadvance.c.AdvancepaymentsarelimitedtothetotalamountspecifiedintheAwardLetterandcouldbelimitedoreliminatedatanytimebyCPOshouldtheContractor’slackofperformanceunderthiscontractpresentaprogrammaticorfinancialrisktotheState(CPO).Advancepaymentsarelimitedbytheinstructionsonthe“RequestforAdvanceorReimbursement”(CSBG102)form.XIII.TaxesAllparticipantsreceivingwagesorwageequivalentpayments(livingallowances),musthaveappropriateFederal,State,andLocalincometaxwithheldonthoseearnings.FederalInsuranceContributions(HCA)paymentsmustalsobewithheld.Page3of10pages aXIV.PersonnelTheContractorshallperformitsdutieshereunderasaContractorandnotasanemployee.NeithertheContractornoranyagentoremployeeoftheContractorshallbeorshallbedeemedtobeanagentoremployeeoftheState.TheContractorshallpaywhendueallrequiredemploymenttaxesandincometaxwithholding,shallprovideandkeepinforceworker’scompensation(andshowproofofsuchinsurance),andunemploymentcompensationinsuranceintheamountsrequiredbylaw,andshallbesolelyresponsiblefortheactsoftheContractor,itsemployeesandagents.TheContractorisresponsibleforprovidingWorkmen’sCompensationCoverageandUnemploymentCompensationCoverageforallofitsemployeestotheextentrequiredbylaw,andprovidingsuchcoverageforthemselves.InnocaseistheStateresponsibleforprovidingWorkmen’sCompensationCoverageforanyemployeesorsubcontractorsofthecontractorpursuanttothisagreement,andtheContractoragreestoindemnifytheStateforanycostsforwhichtheStatemaybefoundliableinthisregard.XV.EqualEmploymentOpportunities/AffirmativeActionTheContractorshallinsureEqualEmploymentOpportunities(EEO)toallindividualsandshalltakeAffirmativeAction(AA)toallindividualstoensureadequateutilizationofmembersofprotectedclassesofworkerswhohavebeenvictimsofpastdiscrimination.EEOshallmeanthatnoindividualshallbeexcludedfromparticipationin,deniedthebenefitsof,subjectedtodiscriminationunder,ordeniedemploymentinadministrationof,orinanyprogramfundedunderthissectionbecauseofrace,color,nationalorigin,age,sex,handicap,politicalaffiliation,orbelief.ContractorsshallbegovernedbytheprohibitionsagainstdiscriminationonthebasisofageundertheAgeDiscriminationActof1975,onthebasisofhandicapunderSection504oftheRehabilitationAct,onthebasisofsexunderTitleDCoftheEducationAmendmentsof1972,oronthebasisofracecolor,ornationaloriginunderTitleVIoftheCivilRightsActof1976.ProgramsandactivitiesfundedunderthisActareconsideredtobeprogramsreceivingFederalfinancialassistanceandaresubjecttoallprovisionsofEEO.XVI.AmericanDisabilitiesActPro’iisionTheContractorassurestheStatethatatalltimesduringtheperformanceofthiscontractthatnoqualifiedindividualwithadisabilityshall,byreasonofsuchadisability,beexcludedfromparticipationinordeniedbenefitstotheservices,programs,oractivitiesperformedbytheContractor,orbesubjectedtoanydiscriminationbytheContractoruponwhichassurancetheStaterelies.XVII.GeneralContractProvisionsa.FederalFunding.Paymentpursuanttothiscontract,ifinFederalfunds,whetherinwholeorinpart,issubjecttoandcontingentuponthecontinuingavailabilityoftheFederalfundsforthepurposeshereof.Intheeventthatsaidfunds,oranypartthereofbecomesunavailableasdeterminedbytheState,theStatemayimmediatelyterminatethiscontract.b.Compensation.Unlessotherwiseprovided,theStateshallestablishbillingproceduresandreimbursetheContractorforactual,reasonableandnecessaryexpensesincurredinprovidingservicespursuanttothiscontract,basedonthesubmissionofquarterlyitemizedexpenditurestatements.Paymentspursuanttothiscontractshallbemadeasearned,inwholeorinpart,fromavailablefederalfundsPage4of10pages CCencumberedforthepurchaseofthedescribedservices.TheliabilityoftheState,atanytime,forsuchpaymentsshallbelimitedtotheamountofsuchencumberedfundsremaining.Intheeventthiscontractisterminated,finalpaymenttotheContractormaybewithheldatthediscretionoftheStateuntiltheStatetendersfinalacceptanceoftheContractor’sperformanceorcompletionofafinalauditbytheState.IncorrectpaymentstotheContractorduetoomission,error,fraud,ofdefalcationshallberecoveredfromtheContractoreitherbytheContractorreimbursingtheStateorbydeductionfromsubsequentpaymentsunderthiscontractorothercontractsbetweentheStateandtheContractor,orbytheStateasadebtduetotheState.c.ConfidentialityofRecords.IntheeventtheContractorshallobtainaccesstoanyrecordsorfilesoftheStateinconnectionwith,orduringtheperformanceof,thiscontract,theContractorshallkeepsuchrecordsandinformationconfidentialandshallcomplywithalllawsandregulationsconcerningtheconfidentialityofsuchrecordstothesameextentassuchlawsandregulationsapplytotheState.TheContractoragreestonotifyandadviseinwriting,allemployees,agents,consultants,licensees,orsub-contractorsofthesaidrequirementsofconfidentialityandofpossiblepenaltiesandfinesimposedforviolationthereof,andsecurefromeachanacknowledgementofsuchadvisementandagreementtobeboundbythetermsofthisagreementasanemployee,agent,consultant,licensee,orsub-contractoroftheContractor,asthecasemaybe.AnybreachofconfidentialitybytheContractororthirdpartyagentsoftheContractorshallconstitutegoodcausefortheStatetocancelthiscontract,withoutliability;anyandallinformationdeliveredtotheContractorshallbereturnedtotheState.AnyStatewaiverofanallegedbreachofconfidentialitybytheContractororthirdpartyagentoftheContractorisnottoimplyawaiverofanysubsequentbreach.d.OwnershipofMaterialsandInformation.TheContractoragreesthatallmaterials,information,data,computersoftware,documentation,studiesandevaluationsproducedinperformanceofthiscontractisthesolepropertyoftheState.e.Reporting.Unlessotherwisespecified,theContractorwillsubmitquarterlyfiscalreportsandsemi-annualprogrammaticandnarrativereportsintheformatdesignatedbytheCommunityServicesBlockGrantProgram.Asthisformmayundergorevisions,theContractorwillbenotified45dayspriortothedatereportsaretobesubmittedandwillbeprovidedwiththereportingformatandanyadditionaldocumentationnecessary.ThepreparationofreportsinatimelymannershallbetheresponsibilityoftheContractorandfailuretocomplymayresultindelayofpaymentoffundsorterminationofthecontract.RequiredreportsshallbesubmittedtotheCS3GStateofficewithinthemonthfollowingtheendofeachcalendarquarterandupontheexpirationandterminationofthecontract,oratsuchtimeasotherwisespecified.f.Records.InaccordancewithC.F.R.76.734,whichimplements20U.S.C.1232f(a),granteesandsubgranteesmustretainrecordsforfiveyearsaftercompletionoftheactivityforwhichtheyusegrantorsubgrantfunds.TheContractorshallmaintainacompletefileofallrecords,documents,communicationsandothermaterialswhichpertaintotheoperationofprogramsorthedeliveryofservicesunderthiscontract.Suchmaterialsshallbesufficienttoproperlyreflectalldirectandindirectcostsoflabor,materials,equipment,supplies,andservices,andothercostsofwhatevernatureforwhichacontractpaymentwasmade.TheserecordsshallbemaintainedaccordingtogenerallyacceptedaccountingprinciplesandshallbeeasilyseparablefromotherContractorrecords.Page5of10pages 0Allsuchrecords,documents,communications,andothermaterialsshallbethepropertyoftheStateandshallbemaintainedbytheContractor,inacentrallocationandcustodia,onbehalfoftheState,foraperiodoffive(5)yearsfromthedateoffmalpaymentunderthiscontract,orforsuchfurtherperiodsasmaybenecessarytoresolveanymatterspending(includingauditsperformedbythefederalgovernment).-g.PerformanceMonitoring.TheContractorshallpermittheState,oranyotherdulyauthorizedagentorgovernmentalagency,tomonitorallactivitiesconductedbytheContractorpursuanttothetermsofthiscontract.Suchmonitoringmayconsistofinternalevaluationprocedures,examinationofprogramdata,specialanalysis,on-sitechecking,formalauditexaminations,oranyotherreasonableprocedures.Allsuchmonitoringshallbeperformedinamannerthatshallnotundulyinterferewithcontractwork.TheContractorauthorizestheStatetoperformauditsorinspectionsofitsrecordsatanyreasonabletimeduringthetermofthiscontractandforaperiodofthree(3)yearsfollowingtheterminationofthiscontract.h.Non-performanceRemedies.Inadditiontootherspecifiedremedialactions,theStatemayexercisethefollowingremedialactionsshoulditfindthattheContractorsubstantiallyfailedtosatisfyorperformthedutiesandobligationsinthiscontract.Substantialfailuretosatisfythedutiesandobligationsshallbedefinedtomeaninsufficient,incorrect,improperactivitiesorinactionbytheContractor.Theseremedialactionsareasfollows:1)WithholdpaymenttotheContractoruntilthenecessaryservicesorcorrectionsinperformancearesatisfactorilycompleted;2)RequesttheremovalfromworkonthecontractofemployeesoftheContractorwhomtheStatejustifiesasbeingincompetent,careless,insubordinate,unsuitable,orotherwiseunacceptable,orwhosecontinuedemploymentonthecontractitdeemstobecontrarytothepublicinterestornotinthebestinterestoftheState;3)DenypaymentforthoseservicesorobligationswhichhavenotbeenperformedandwhichduetocircumstancescausedbytheContractorcannotbeperformedorifperformedwouldbeofnovaluetotheState.DenialoftheamountofpaymentmustbereasonablyrelatedtotheamountofworkorperformancelosttotheState;or,4)Terminatethecontractforcause..i.Non-assignability.Unlessotherwiseprovided,thedutiesandobligationsoftheContractorcannotbeassigned,delegated,norsub-contractedexceptwiththeexpresswrittenconsentoftheState.Sub-contractspermittedbytheStateshallbesubjecttotherequirementsofthiscontractandtheContractorisresponsiblefortheperformanceofanysub-contract.Inaddition,exceptasotherwiseprovided,thiscontractshallinuretothebenefitofandbebindingupon,thepartiesheretoandtheirrespectivesuccessorsandassigns.CopiesofanyandallcontractsenteredintobytheContractorinordertoaccomplishthisprojectshallbesubmittedtotheDepartmentofLocalAffairs,CommunityPartnershipOfficeuponexecution,andanyandallcontractsenteredintobytheContractororanyofitssub-contractorsshallcomplywithallapplicablefederalandstatelawsandshallbegovernedbythelawsoftheStateofColorado,notwithstandingprovisionsthereintothecontrary.j.Litigation.UnlessotherwiseprovidedtheContractorshallnotifytheState,withinfive(5)daysafterbeingservedwithasummons,complaint,orotherpleadinginacasewhichinvolvesservicesprovidedunderthiscontractandwhichhasbeenfiledinanyFederalorStatecourtoradministrativeagency,andshalldelivercopiesofsuchdocumenttotheState.k.ContinuedPerformancefDisputes.AnydisputesarisingunderthisqontractshallberesolvedinaccordancewiththeCommunityServicesBlockGrantActandregulationsandproceduresestablishedbyCPO.Performanceunderthisagreementshallcontinuependingresolutionofanysuchdispute.Page6of10pages •0C1.TerminationforCause.TheStateshallhavetherighttoterminatethiscontractforcausebygivingthecontractoratleastten(10)daysnoticebycertifiedorregisteredmail,returnreceiptrequestedofthereasonsfortermination,ifthedefaultisnotcuredwithinthetimespecified,thiscontractshallterminateuponwrittennoticebytheState.m.TerminationForConvenience.Anyprovisionofthiscontracttothecontrarynotwithstanding,intheeventterminationofthiscontractbecomesnecessary,intheState’ssolediscretion,tocomplywithanycourtorderconcerningStatepersonalservicescontractsgenerally,orthiscontractspecifically,thiscontractmaybeterminatedbytheStateimmediatelyuponthegivingofnoticetotheContractorwithoutfurtherobligationoftheState.TheStatemayterminatethiscontractatanytimetheStatedeterminesthatthepurposesofthedistributionofmoniesunderthecontractwouldnolongerbeservedbycompletionoftheProject.TheStateshalleffectsuchterminationbygiving30dayswrittennoticeofterminationtotheContractorandspecifyingtheeffectivedateofsuchtermination.Inthatevent,allfinishedorunfinisheddocumentsandothermaterialsasdescribedinparagraph“d’,OwnershipofMaterialsandInformationshall,attheoptionoftheState,becomeitsproperty.n.Severability.Totheextentthatthiscontractmaybeexecutedandperformanceoftheobligationsofthepartiesmaybeaccomplishedwithintheintentofthecontract,thetermsofthiscontractareseverable,andshouldanytermorprovisionhereofbedeclaredinvalidorbecomeinoperativeforanyreason,suchinvalidityorfailureshallnotaffectthevalidityofanyothertermorprovisionhereof.Thewaiverofanybreachofatermhereofshallnotbeconstruedasawaiverofanyotherterm,orthesametermuponsubsequentbreach.o.LobbyingActivities.TheContractorassuresthatitshallcomplywithPublicLaw101-121,Section319,29CFRPart93,restrictionsonlobbying.p.Drug-FreeWorkplace.TheContractorshallensurecompliancewiththeDrug-FreeWorkplaceRequirementsforFederalGrantRecipientsunderSections5153-5158oftheAnti-DrugAbuseActof198$(41U.S.C.702-707).q.PoliticalActivity.NofundspaidtotheContractorhereundershallbeusedforanypartisanornon-partisanpoliticalactivityortofurthertheelectionordefeatofanycandidateforpublicoffice;norshalltheybeusedtoprovideservices,orfortheemploymentorassignmentofpersonnelinamannersupportingorresultingintheidentificationofprogramsconductedpursuanttothiscontractwith(1)anypartisanornon-partisanpoliticalactivityoranyotherpoliticalactivityassociatedwithacandidate,orcontendingfactionorgroup,inanelectionforpublicorpartyoffice;(2)anyactivitytoprovidevotersorprospectivevoterswithtransportationtothepollsorsimilarassistanceinconnectionwithanysuchelection;(3)anyvoterregistrationactivity.TheContractorshallotherwisecomplywiththerequirementof5USC1501-1508,whichareincorporatedhereinbythisreferenceasiffullyrewritten.r.TheEnvironmentalTobaccoSmokeCertification.TheContractorassuresthatitshallcomplywiththeEnvironmentalTobaccoSmokeCertification,alsoknownasthePro-ChildrenActof1994.s.FinancialandUniformAdministrativeRequirements.ByacceptingthisContract,theContractoragreestocomplywiththeCommunityServicesBlockGrantandapplicableFederalStatutes(particularlySections675(c)(1)through675(c)(14)),regulationsandguidelines.TheContractoragreestooperatethefundedPrograminaccordancewiththeapprovedGrantapplicationandbudget,supportingdocuments,andotherrepresentationsmadeinsupportoftheapprovedGrantapplication.TheapplicablePage7of10pages 00Federalcostprinciples,statutoryandadministrativeprovisionsareprovidedtotheContractorbytheState.t.AuditRequirements.Auditrequirementsfornonprofitorganizationsorinstitutionsofhighereducationarecoveredin0MBCircularA-133,and0MBCircularA-128coversrequirementsforgovernmentagencies.ThecircularscontaintheauditrequirementsforFederalgrantees.ThepurposeofthecircularsistosetuniformauditstandardsandtominimizetheneedformultipleauditswhenyouhavemorethanoneFederalgrant.Thecostoftheauditisan“administrativecost”.u.Noncompliancewith0MBStandards.Contractorswhodonotcomplywithcontracttermsor0MBrequirements,mayhavecostschargedtothecontractquestionedordisallowedfollowinganaudit.(Ifthefinancialmanagementsystemisseriouslyinadequate,theCPOcanstopmakingadvancegrantpayments,suspendfunding,terminatethecontract,recoverfunds,ortakeotherlegalsteps.)Mostcommonauditfmdingsresultinginquestionedordisallowedcostsinclude:*inadequateaccountingpractices;*poorinternalcontrols;*inadequatedocumentationandrecordkeeping;*inaccuratefinancialstatusreports;and*failuretoreturninterestonFederalgrantfunds.v.RequiredFinancialDocumentation.Allcostschargedtothecontractmustbedocumented.Forexample,theContractormustmaintainsignedtimeandattendancerecordsforeachandeveryindividualemployeeandpayrolldocumentsapprovedbyanofficialoftheorganization.Individualtimedistributionrecordsmustbemaintainedforallocatinganemployee’ssalarybetweenthiscontractandotherfundingsources.Sourcedocumentationmustbemaintainedforothercostssuchasreceipts,travelvouchers,invoices,bills,oraffidavits.Volunteercostsmustbedocumented.Allin-kindandothermatchingcontributions,includinggrantawarddocumentsandreceiptsfromotherfundingsourcesmustbedocumented.XVIII.DiscretionaryAuditTheState,throughtheExecutiveDirectoroftheDepartment,theStateAuditor,oranyoftheirdulyauthorizedrepresentatives,includinganindependentCertifiedPublicAccountantoftheStates’schoosing,orthefederalgovernmentoranyofitsproperlydelegatedorauthorizedrepresentativesshallhavetherighttoinspect,examine,andaudittheContractor’s(andanysubcontractor’s)records,books,accountsandotherrelevantdocuments.Suchdiscretionaryauditmayberequestedatanytimeandforanyreasonfromtheeffectivedateofthiscontractuntilfive(5)yearsafterthedatefinalpaymentforthisProjectisreceivedbytheContractor,providedthattheauditisperformedduringnormalbusinesshours.XIX.ActionstoAchievePlanTheStateshallhavetheoptiontorecaptureand/orreallocateunexpendedfundsnecessarytoachieveplannedlevelsofactivitywithinitstotaljurisdiction.XX.EntireUnderstandingThiscontractisintendedasthecompleteintegrationofallunderstandingsbetweentheparties.Nopriororcontemporaneousaddition,deletion,orotheramendmentheretoshallhaveanyforceoreffectwhatsoever,unlessembodiedhereininwriting.Nosubsequentnovation,renewal,addition,deletion,orotheramendmentheretoshallhaveanyforceoreffectunlessembodiedinawrittencontractexecutedandapprovedpursuanttotheStateFiscalRules.TheCommunityServicesBlockGrantAwardLetterisconsideredtobeanattachmenttoandpartofthiscontract.Page8of10pages
