GENERALTERMSThetbllowingtermsa1.allsaleandmaintenancetransactions:I.PRODUCTS.“Products”referstoallequipment(“Equipment”),software,andsuppliesorderedunderthisAgreement.YourepresentthattheProductswitlnotbeusedprimarilyforpersonal,householdorfantilypurposes.2.PA’zTvIENT.Paymentisduewhenyoureceiveourinvoice.Yourpaymentincludesallapplicabletaxes(unlessyouprovideproofofyourtax-exemptstatus)including,butnotlimitedto,salesanduse,rental,excise,grossreceiptsandoccupationalorprivilegetaxes.3.BASICSERVICES.XeroxwillprovidethefollowingBasicServicesunderanexpresswarrantyormaintenanceagreement:A.REPAIRSANDPARTS.XeroxwillmakeadjustmentsandrepairsnecessarytokeepEquipmentingoodworkingorder.Partsrequiredforrepairmaybenew,reprocessed,orrecovered.Allreplacedparts/materialswillbecomeXerox’propertyatitsoption.B.HOURSANDEXCLUSIONS.Unlessotherwisestated,BasicServiceswillbeprovidedduringXerox’standardworkinghours(excludingXerox-recognizedholidays)inareaswithintheUnitedStales,itsterritories,andpossessionsopenforrepairservicefortheEquipmentatissue.BasicServicesshallcoverrepairsandadjustmentsrequiredasaresultofnormalwearandtearordefectsinmaterialsorwodcmansltip(andshaltspecificallyexcluderepairsoradjustmentsXeroxdeterminestorelatetotheuseofnon-Xeroxalterations,service,supplies,orconsumables).C.INSTALLATIONSITEANDMETERREADINGS.TheequipmentinstallationsitemustatalltimesconformtoXerox’publishedrequirements.ifapplicable,youwillprovideaccurateandtimelymeterreadingsinthemaimerprescribedbyXerox.Ifyoudonotprovidetimelyreadings,Xeroxmayestimatethemandbillyouaccordingly.D.OPTIONSANDACCESSORIES.ifyouoperateoptionsoraccessories(includingnetworkserversrequiredforEquipmentfunctionality)inassociationwiththeEquipment,youagreetocontractwithXeroxforequivalent.coterminousserviceonthem(ifavailable).E.REMEDY.ifXeroxisunabletomaintaintheEquipmentasdescribedabove,Xeroxwill,asyourexclusiveremedy,replacetheEquipmentwithanidenticalproductor,atXerox’option,anotherproductofequalorgreatercapabilities.Thisreplacementproductshallbesubjecttothesesameteimsandconditions.F.CARTRIDGEPRODUCTS.IfXeroxisprovidingBasicServicesforacartridgeproduct(andunlessyouhaveenteredintoaStandardMaintenanceAgreementasdescribedbelow),youagreetouseonlyunmodifiedcartridgespurchaseddirectlyfromXeroxoritsauthorizedresellersintheUnitedStates.0.MICRMAINTENANCEPROCEDURES.ifXeroxisprovidingBasicServicesforMICREquipment,youagreetoperformmaintenanceproceduresasspecifiedintheXeroxMICRCustomerMaintenanceGuideandtoprovide(1)aXerox-approvedMagneticSignalLevelTesterand(2)aPositionandDimensionGaugefortheuseofyouroperatorandXerox’servicepersonnel.H.PC/WORKSTATIONREQUIREMENTS.InordertoreceiveeitherBasicServicesorSoftwareSupportforequipmentrequiringconnectiontoaPCorworkstation,youmustutilizeaPCorworkstationthateither(1)hasbeenprovidedbyXeroxor(2)meetsXerox’publishedspecifications.4.INTELLECTUALPROPERTYINDEMNITY.Xeroxwilldefendandindemiiil’yyouifanyProductinfringessomeoneelse’sU.S.intellectualpropertyrightsprovidedyoupromptlynotifyXeroxoftheallegedinfringementandpermitXeroxtodirectthedefense.Xeroxshallnotberesponsibleforanynon-Xeroxlitigationexpensesorsettlementsunlessitpreapprovestheminwriting,Toavoidinfringement,XeroxmaymodifyorsubstituteanequivalentoftheinvolvedProduct,refundthepricepaidfortheProduct(lessthereasonablerentalvaluefortheperioditwasavailabletoyou),orobtainanynecessarylicenses.Xeroxisnotliableforanyinfringement-relatedliabilitiesoutsidethescopeofthisparagraphincluding,butnotlimitedto.anyinfringementbaseduponaProductbeingmodifiedtoyourspecificationsorbeingusedorsoldincombinationwithproductsnotprovidedbyXerox.5.LIMITATIONOFLIABILITYANDASSIGNMENT.Neitherpartyshallbeliabletotheotherforanydirectdamagesinexcessofonemilliondollarsnorforanyspecial,indirect,incidental,consequentialorpunitivedamagesarisingoutoforrelatingtothesaleormaintenanceoftheProducts(oranyotheraspectofthisAgreement),whethertheclaimallegestortiousconduct(includingnegligence)oranyotherlegaltheory.Inaddition,XEROXDISCLAIMSTHEIMPLIEDWARRANTYOFFITNESSFORAPARTICULARPURPOSE.Youmaynotassignanyrightsc.gationsunderthisAgreementwithoutXerox’priorwrittenconsent.6.ENTIREAGREEMENTANDENFORCEMENT.ThisAgreement(includinganyAddenda)constitutestheentireagreementastoitssubjectmasterandsupersedesallpriorandcontemporaneousoralandwrittenagreements.AllchangestothisAgreementmustbemadeinawritingsignedbybothpartiesand.accordingly,anyternisonyourorderingdocumentsshallbeofnoforceoreffectInanyactiontoenforcethisAgreement,theprevailingpartyshallbeentitledtorecoveritscostsandexpenses,includingreasonableattorneys’fees.7.ASSIGNMENTBYXEROXIntheeventXeroxassignsanyofitsobligationsunderthisAgreement,itshallremainprimarilyresponsiblefortheirperformance;anyclaimordefenseyouhaverelatingtotheseobligationsmustbeassertedonlyagainstXeroxandnotitsassignee.SALETERMSThefollowingadditionaltermsapplyonlytosaletransactions:S.TITLE/RISKOFLOSS.ForEquipmentpurchasedoutright,titlewillpasstoyouuponpaymentinfullandriskoflosswillpasstoyouuponinstallation(exceptforproductsdesignatedasCustomerInstallableforwhichriskoftosswillpassuponshipmentfromaXerox-ownedfacility).ForEquipmentpurchasedonaninstallmentbasis,titleandriskoflosswillpasstoyouuponinstallation(exceptforproductsdesignatedasCustomerInatallableforwhichtitleandriskoflosswillpassuponshipmentfromaXerox-ownedfacility).9.WARRANTY.Mywalrantytowhichyouareentitledshallcommenceuponinstallation(exceptforproductsdesignatedasCustomerInstallableforwhichthewarrantwillcommenceuponshipmentfromaXerox-ownedfacility).WarrantycoverageforyourcartridgeproductsisconditioneduponyourusingonlyunmodifiedcartridgespurchaseddirectlyfromXeroxoritsauthorizedresellersintheUnitedStales.Youarenotentitledtoanywarrantyforequipmentpurchasedbyyousubsequenttoitsinstallationunderarentalorleaseagreement10.CARTRIDGES.Inordertoenhanceequipmentreliability,Xeroxhasdesignedthecartridgeusedinsomeequipmentmodelstoceaseflaictioningafterapredcteiminednumberofimpressions(forfluxtherdetails,pleaseseethepackagingwithwhichyourcartridgesaredelivered).Inaddition,certaincartridgesaresoldasEnvironmentalPartnershipcartridges;youagreethesecartridgesshallremainXeroxpropertyandthatyouwillreturnthemtoXeroxforremanufacturingonceyouhaverunthemtotheircease-flmctionpoint.11.EQUIPMENTSTATUS.UnlessyouareacquiringPreviouslyInstalledEquipment,Equipmentwillbeeither(a)“NewlyManufactured,”whichhasbeenfactoryproducedandcontainsnew,reprocessed,and/orrecoveredparts;(b)“Remanufactured,”whichhasbeenfactoryproducedfollowingdisassemblytoaXeroxpredeternunedstandardandcontainsnew,reprocessed,and/orrecoveredparts;or(c)“FactoryProducedNewModel,”whichisamodelnomorethan3yearsoldthathasbeenfactoryproducedandnewlyserializedwithadditionalfeaturesand/orfunctionsfollowingdisassemblytoaXeroxpredeterminedstandardandcontainsnew,reprocessed,and/orrecoveredparts.12.DELIVERYANDREMOVALCHARGES.Xeroxwillberesponsibleforallstandardcostsassociatedwithon-sitedeliveryorremoval(whileyouwillberesponsibleforanynon-typicaldeliveryorremovatexpenses).13.CREDITHISTORY.Aspartofthistransaction,Xeroxmayinvestigateyourcredithistory.Unlessyouhavealreadypaidinfull,andevenifProductshavebeendelivered,Xeroxmay,within60daysfollowingitsacceptanceofthisAgreement,revoketheAgreementifyourcreditapprovalisdenied.14.PREPAYMENTANDBREACHOfINSTALLMENTSALES.YoumayprepayyourremainingprincipalbalanceonEquipmentpurchasedonaninstallmentbasisatanytine,therebyeliminatingyourobligationtopayfuturefinancecharges.ifyoubreachthisAgreementwithregardtosuchEquipment,Xeroxmay,inadditiontoanyofitsotherremedies,requireinunediatepaymentoftheentireunpaidprincipalbalance.15.INSURANCEANDSECURITYINTERESTONINSTALLMENT-PURCHASEDEQUIPMENT.Youagreetomaintainfire,theftandextendedcoverageinsuranceonEquipmentpurchasedonaninstallmentbasis(whichshallnameXeroxasanadditionalinsured).UntilyoumakeyourfmalinstallmentpaymentforthisEquipment,Xeroxshallhaveapurchasemoneysecurityinterestinit.YouherebyauthorizeXeroxoritsagentstoexecutealldocumentsonyourbehalfnecessarytoperfectthisinterest.2 MAINTENANCETERMS:Thefollowirlitionaltermsapplyonlytomaintenancetransactions:16.PRICINGCHANGESFORMULTI-YEARAGREEMENTS.XeroxmayannuallyadjusttheMonthlyBaseandPrintChargesestablishedunderyourmulti-yearmaintenanceagreement,eachsuchincreasenottoexceed10%.(Forstateandlocalgovermnentcustomers,thisadjustmentshalltakeplaceatthecommencementofeachofyourannualcontractcycles.)17.COMMENCEMENTANDTERMINATION.Maintenanceagreementswillcoimnenceattheendofanywarrantyperiod(unlesssuppliesareincluded,inwhichcasetheywillcommenceuponinstallation)andexpireonthelastdayofthe12th,24th,36th,48thor60thfullcalendarmonththereafter,asapplicable,ifyouterminateyourmaintenanceagreementpriortotheconclusionofitsscheduledterm,youagreetopayXerox(1)allaccruedMonthlyBaseandPrintChargesand(2)allMinimumMonthlyMaintenancePaymentsforaperiodofsixmonthsonone-yearagreementsandtwelvemonthsonmulti-yearagreements.(Note,however,thattheseterminationchargesmaybewaivedbyXeroxifyouareupgradingthecoveredEquipmenttoanalternativeXeroxproduct)TheMinimumMonthlyMaintenancePaymentshallconsistofthetotalof(1)anyMonthlyBaseChargeand(2)anyMonthlyMinimumNumberofPrintsmultipliedbytheapplicableMeter1PrintCharge(s).18.RENEWALEachmaintenanceagreementwillbeautomaticallyrenewedforsuccessivetermsofthesamenumberofmonthsastheinitialtermunlessanflcnnoticeofcancellationisreceivedfromyou(orprovidedtoyoubyXerox)priortoexpirationofthethen-currentterm.19.BILLING.MinimumMonthlyMaintenancePaymentsarebilledinadvance,withadditionalPrintChargesbilledinarrears.Forfull-colorequipment,colorprintsarecountedonMeter1.SOFl’VARETERMS:ThefollowingadditionaltermsapplyonlytotransactionscoveringApplicationSoftwareandXerox-brandPrintingSventDocuTech,Color,High-VolumeandDigitalCopier-Duplicator,andiiocumeritCentreProducts:20.SOFTWARELICENSE.Thefollowingtermsapplytocopyrightedsoftwareandaccompanyingdocumentation,includingbutnotlimitedtooperatingsystemsoftware,includedwithorwithintheEquipment(“BaseSoftware”)aswellassoftwarespecificallysetoutas“ApplicationSoftware”onthefaceofthisAgreement.ThislicensedoesnotapplytoanyDiagnosticSoftwarenortoanysoftwareandaccompanyingdocumentationmadesubjecttoaseparateLicenseagreementAXeroxgrantsyouanon-exclusive,non-transferablelicensetousetheBaseSoftwareonlyonorwiththeEquipmentwithwhich(orwitnitwhich)itwasdeliveredandtomakeoneback-upcopy.ForApplicationSoftware,Xeroxgrantsyouanon-exclusive,non-transferablelicensetousethissoftwareonanyequipmentyoudesirealongwiththerighttomakeoneback-upcopyforaslongasyouarecurrentinthepaymentofanyindicatedsoftwarelicensefees(includingtheAnnualRenewalFees,ifany).YouhavenootherrightstotheBaseorApplicationSoftwareand,inparticular,maynot(1)distribute,modify,createderivativesofdecompile,orreverseengineertheBaseorApplicationSoftware,or(2)allowotherstoengageinsame.TitletotheBaseandApplicationSoftware,anyback-tipcopyofit,andallcopyvightsandotherintellectualpropertyrightsinit,shallatalltimesresidesolelywithXeroxand/oritslicensors.B.XeroxmayterminateyourlicenseforanyBaseSoftware(1)immediatelyifyounolongeruseorpossesstheEquipmentorarealessoroftheEquipmentandyourfirstlesseenolongerusesorpossessesitor(2)uponthedateofterminationofanyagreementunderwhichyouhaverentedorleasedtheEquipment.C.IfyoutransferpossessionoftheEquipment,XeroxwillofferthetransfereealicensetousetheBaseSoftwareonorwithit,subjecttoXerox’then-applicabletermsandlicensefees,ifany,andprovidedthetransferwasnotinviolationofXerox’rights.D.XeroxwarrantsthattheBaseandApplicationSoftwarewillperforminmaterialconformitywithitspublishedspecificationsfora90-dayperiodfromthedateitisdeliveredor,forsoftwareinstalledbyXeroxthedateofsoftwareinstallation.NeitherXeroxnoritslicensorswarrantthattheBaseorApplicationSoftwarewillbefreefromerrorsorthatitsoperationwillbeuninterrupted.21.SOFTWARESUPPORT.DuringtheperiodthatXeroxprovidesBasicServicesfortheEquipment.XeroxwillalsoprovidesoftwaresupportfortheBaseSoftwareundertheEbllowingtenns.ForApplicationSoftware,Xeroxwillprovidethissamelevelof,rtprovidedyouarecurrentinthepaymentofallInitialLicenseandAnnualRenewalFees(or,forprogramsnotrequiringAnnualRenewalFees,thepaymentoftheInitiallicenseFeeandtheaimual“SupportOnly”Fees):AXeroxwillassurethatBaseandApplicationSoftwareperformsinmaterialconformitywithitspublishedspecificationsandwillmaintainatoll-freehotlineduringstandardbusinesshoursforrespondingtoquestionsregardingBaseandApplicationSoftware.3.XeroxmaymakeavailablenewreleasesoftheBaseorApplicationSoftwareincorporatingcodingerrorfixesexclusively(“MaintenanceReleases”).MaintenanceReleasesareprovidedatnochargeandmustbeimplementedwithinsix(6)monthsafterbeingmadeavailabletoyou.EachnewMaintenanceReleaseacceptedbyyoushallbeconsideredBaseorApplicationSoftwaregovernedbytheSoftwareLicenseteems.C.Xeroxwillusereasonableefforts,eitherdirectlyand/orwithitsvendors,toresolvecodingerrorsorprovideworkaroundsorpatches,providedyoureportproblemsinthemaimerspecifiedbyXerox.Xeroxdoesi:o:guaranteethatitoritsvendorswillbeabletofixcodingerrorsorprovideworkaroundsorpatches.D.XeroxshallnotbeobligatedtoremedycodingerrorswhenyouhavemademodificationstotheBaseorApplicationSoftware.E.XeroxmayannuallyadjusttheAnnualRenewalandSupport-OnlyFees,eachsuchincreasenottoexceed10%.(Forstateandlocal-governmentcustomers,thisadjustmentshalltakeplaceatthecozmnencementofeachofyourannualcontracteyelet.)22.DIAGNOSTICSOFTWARE.SoftwareusedtomaintaintheFauipmentand/ordiagnoseitsfailuresorsubstandardperformance(collectivi,‘)ianosucSoftware”)isembeddedin,resideson,ormaybeloadedontotheEqu-mcnt.TheDiagnosticSoftwareandmethodofentryoraccesstoitconstitutevaluabletradesecretsofXerox.TitletotheDiagnosticSoftwareshallatalltimesremainsolelywithXeroxand/orXeroxlicensors.Youagreethat(1)youracquisitionoftheEquipmentdoesnotgrantyoualicenseorrighttousetheagnosticSoftwareinanymannerand(2)thatunlessseparatelylicensedbyXeroxtodoso,youwillrotuse,reproduce,distribute,ordisclosetheDiagnosticSoftwareforallowthirdpartiestodoso)foranypurpose.Youagreeatalltimes(includingsubsequenttotheexpirationofthisAgreement)toallowXeroxtoaccess,monitor,orotherwisetakestepstopreventunauthorizeduseorreproductionoftheDiagnosticSoftware.GOVERNMENTALTERMS:Thefollowingadditionalrsplvonlytostateandlocalgovernmentcustomers:23.GOVERNMENTCUSTOMERTERMSAFUNDING.YoustatethatitisyourintenttomakeallpaymentsrcciuiredunderthisAgreementIntheeventthat(1)throughnoactioninitiatedyourlegislativebodydoesnotappropriatefluidsforthecontinuationofthisAgreementforanyfiscalyearafterthefirstfiscalyearandhasnofundstodosofromothersourcesand(2)youhavemadeareasorabi.utunsuccessflflefforttofindaviableassigneewithinyourgeneralonwhocancontinuethisAgreement,thisAgreementmaybetenmnatci.lbeffectthistermination,youshall.30dayspriortothebeginningofthefiscalyearforwhichyourlegislativebodydoesnotappropriatefunds,sendXeroxwrn’2nnoticestatingthatyourlegislativebodyfailedtoappropriatefluidsandmatyouhavemadetherequiredefforttofindanassignee.YournoticemustbeaccompaniedbypaymentofallsumsthenowedXeroxunderthisAgreementandmustcertifythatthecanceledEquipmentisnotbeingreplacedbyequipmentperformingsimilarfunctionsduringtheensuI:fiscaLyear.Inaddition,youagreeatyourexpensetoreturntheEquipmentingoodconditiontoalocationdesignatedbyXeroxandthat,whenreturned,theEqulprnen!“illbefreeofallliensandencumbrances.YouwillthenbereleasedfromtourobligationstomakeanyfurtherpaymentstoXerox(withXeroxretainingallsumspaidtodate).B.TAXTREATMENT.ThisAgreementhasbeenacceptedonthebasisofXeroxclaiminganyinterestpaidbyyouasexemptfromfederalincometaxunderSection103(c)oftheInternalRevenueCodeof1986.ShouldXeroxlosethebenefitofthisexemptionasaresultofyourfailuretocomplywithorbecoveredbySection103(c)oritsregulations,then,subjecttotheavailabilityoffundsandupondemandbyXerox,youshallpayXeroxanamountequaltoitslossinthisregard.C.ASSIGNMENT.NotwithstandinganyprovisionsinthisAgreementtothecontrary,Xeroxmaynotsell,assignortransferthisAgreement,andanyattemptedsale,assignmentortransfershallbevoidandwithouteffectD.PAYMENTANDBILLING.Yourpaymentisduewithin30daysofourinvoicedate.AilmaintenancechargesunderthisAgreementwillbebilledinarrears.3 ADDITIONALTERMS:ThefollowingaddItermsapplyonlytotheextentthatyouhaveagreedtooneormoreoftheoptionsdescribedbelow:24.PREPAIDrNVOICE.Ifthisoptionhasbeenselected,youwillnotberequiredtopayyourMonthlyInstallmentSalePaymentduringtheinitialnumberofmonthsindicated,25.SUPPLIESINCLUDEDINBASE/PRINTCHARGES.Ifthisoptionhasbeenselected,XeroxwillprovideyouwithBlackToner,BlackDeveloper,CopyCartridges,andfuser(“ConsumableSupplies’throughoutthetermofyourMaintenanceAgreement.Forfull-colorEquipment,ConsumableSuppliesshallalsoincludeColorlonerandDeveloper.YouagreethattheConsumableSuppliesareXeroxpropeituntilusedbyyou,thatyouwillusethemonlywiththeEquipment,thatyouwillreturnallcartridgestoXeroxforremanufacturingoncetheyhavebeenrantotheircease-functionpoint,andthatyouwillreturnanyunusedConstimableSuppliestoXeroxattheendofthisMaintenanceAgreementShouldyouruseofConsumableSuppliesexceedthetypicalusepattern(asdeterminedbyXerox)fortheseitemsbymorethan15%,youagreethatXeroxshallhavetherighttochargeyouforanysuchexcessusage.26.REPLACEMENT/MODIFICATIONOFPRIORXEROXAGREEMENT.Ifthisoptionhasbeenselected,thisAgreementwillreplaceormodilS’aprioragreementbetweenyouandXeroxcoveringthespecifiedequipmentIfitisareplacementagreementtheprioragreementshallbenullandvoid.Ifitisamodification,theprioragreementshIlremainineffectexceptthatanynewtermspresentedinthismodificationagreement(e.g.,price,duration,configuration)shalltckeprecedenceoverthepriortermsforthebalanceoftheAgreementIfthisagreementprovidesanadditionorupgradetothespecifiedequipment,allincludedpartsandassembliesshallincludedwithinanymaintenanceagreementcoveringthespecifiedequipmentAllpartsorassembliesremovedaspadofanupgradeshallbecomethepropertyofXeros.27.XEROXASFINANCIALINTERMEDIARY.ifthisoptionhasbeenselected,youarepurchasingonaninstallmentbasisspecificallyidentifiednon-XeroxproductsthatwereselectedbyyouandthatarenotsoldbyXeroxinthenormalcourseofitsbusiness(i.e.,goodsforwhichXeroxisactingasaFinancialIntennediary).Withregardtotheseproducts,youagreethatXeroxissellingthemtoyou“AsIs”andwithoutwarrantyorliability(eitherdirectorindirect)ofanykind.Assuch,andwithregardtotheseproducts,YOUHEREBYWAIVETHEIMPLIEDWARRANTYOFMERCHANTABILITY.Xeroxassignstoyou,totheextentassignable,anywarrantyrightsithastotheseproducts(whichrightsshallreverttoXeroxifyoubreachthisagreement).Youagree(a)thattheseproductsaxenotcoveredbyXerox’obligationtoprovideBasicServices:(b)tomaintainaserviceagreementfortheseproductswithaserviceprovideracceptabletoXeroxthroughoutthisAgreement’stemz(c)topayallpersonalpropertytaxesrelatedtotheseproducts,and(d)toassigntoXeroxanyrightsyouhavetotheseproductsuntiltitleshallpassfromXeroxtoyou(which,subjecttoanysoftwarelicensessurroundingtheacquisitionoftheseproducts,shalloccurwhenyouobtaintitletoallXeroxEquipmentcoveredbythisagreement).28.FINANCEDSOFTWARETOTALIfthisoptionhasbeenselected,theinitiallicensefeesforanyApplicationSoftwaretitlessetforthinthisAgreementshallbeincludedintheamountfinancedonaninstallmentbasisandshaltbepaidforthroughyourMonthlyInstallmentSalePayments.ifyoubreachthissoftwarelicenseoranyofyourobligationsregardingtheEquipment,thefullamountoftheinitiallicensefeesshallbecomeinanediatelydueandpayable.29.FINANCEDSUPPLIESTOTALIfthisoptionhasbeenselected,thecoatofanysuppliesyouhavepurchasedunderthisAgreementshallbeincludedintheamountfinancedonaninstallmentbasisandshallbepaidforthroughyourMonthlyInstallmentSalePayments.IfyoubreachanyofyourobligationsregardingtheEquipment,thefullamountofthesupplycostsshallbecomeimmediatelydueandpayable.30.REFINANCEOFPRIORAGREEMENT.Ifthisoptionhasbeenselected,thebalanceofyourprioragreementwithXeroxorathird-party(asidentifiedintheInstallmentSalesInformationsectionofthisAgreement)shallbeincludedintheamountfinancedonaniustalhnentbasisandshallbepaidforthroughyourMonthlyInstallmentSalePayments.Ifyourprioragreementiswithathird-party,youherebyacknowledgethatyouhavetherighttoterminatetheagreementandagreetoprovideastatementfromthethird-partyidentifyingtheequipmentatissueandtheamounttobepaidoff(aswellasastatementfromyouidentifyingthepayeeandmailingaddressforyourpayoffcheck).ifyourprioragreementwaswithXerox,theuseofthisrefinanceoptionshallrenderyourprioragreementnullandvoid,ifyoubreachthisAgreementthefullamountofyourprioragreementbalanceshallbeimmediatelydueandpayable.31.ADJUSTME12RIOD.ifthisoptionhasbeenselected,theamountnupayXeroxtomaintaintheEquipmentwillbeadjustedinaccordancewiththeinfonnationcontainedintheMjusflnentPeriodportionofthisAgreement,asaresult,yourinitialmonthlymaintenancepaymentsshallbedifferentfromthosepayableduringthebalanceofthisAgreement32.K-16BILLINGSUSPENSION.Ifthisoptionhasbeenselected,yourMinimumMonthlyMaintenancePaymentandPrintChargeswillbesuspendedeachyearduringthemonthsindicated.Duringthesemonths,youagreefa)nottousetheEquipment(b)thatXeroxshallnotberesponsibleformaintainingitand(c)thatifyourequestXeroxtoprovidemaintenanceserviceduringthisperiodyouwillberesponsibleforpayinganysuspendedmonthlybills.33.TRADE-rNEQUIPMENT.Ifthisoptionhasbeenselected,youareprovidingequipmenttoXeroxaspartofthisAgreement(“Trade-InEquipment”)andthefollowingshallapply:A.TITLETRANSFER.YouwarrantthatyouhavetherighttotransfertitletotheTrade-InEquipmentandthatithasbeeninstalledandperformingitsintendedfunctionforthepreviousyearattheaddresswherethereplacementequipmentistobeinstalled.TitleandriskoflosstotheTrade-InEquipmentshallpasstoXeroxwhenXeroxremovesitfromyourpremises.B.CONDITION.YouwarrantthattheTrade-InEquipmentisingoodworkingorder,hasnotbeenmodifiedfromitsoriginalconfiguration(otherthanbyXerox),andhasaULlabelattached.YouagreetomaintaintheTrade-InEquipmentatitspresentsiteandinsubstantiallyitspresentconditionuntilremovedbyXerox.C.ACCRUEDCHARGES.YouagreetopayallacemedchargesfortheTrade-InEquipmentuptoandincludingpaymentoftheFinalPrincipalPaymentNumberandtopayallmaintenance,administrativeandfinancechargesforthisequipmentthroughthedatetitlepassestoXerox.34.RUNLENGTHPLAN.ifthisoptionhasbeenselected,thefirsttenprintsofeachoriginal(perrim)arerecordedandbilledonbothmeterswithallsubsequentprintsreeordedandbiltedonMeter1only.(Notethatifa5090coveredbythisplanhasitsdocumenthandlerleftopen,allaffectedcopieswillberecordedandbilledonbothmeters.)35.FIXEDPRICEPLAN.Ifthisoptionhasbeenselected,XeroxwillforegoitsrighttoincreasetheamountyoupayXeroxtomaintaintheEquipmentthroughouttheinitialtermofthisagreement36.PER-FOOTPRICING.Ifthisoptionhasbeenselected,allPrintChargeswillbebilledonaper-footbasis,witheachlinearfootbeingequaltooneprint37.ANNUALCHARGEPLAN.ifthisoptionhasbeenselected,theBaseChargeforyourmaintenanceplanwillbebilledannuallyinadvance.38.EXTENDEDSERVICEHOURS.Ifthisoptionhasbeenselected,XeroxwillprovideBasicServicesduringthehoursindicated,withthefirstnumberestablishingthenumberofeight-hourshillscoveredandthesecondestablishingthedaysoftheweek(e.g.,2x6wouldprovideservicefrom8:00kM.to11:59P.M..MondaythroughSaturday).Thecostofthisenhancedservicecoveragewillbebilledseparatelyand,assuch,isnotincludedinyourMinimumMonthlyMaintenancePaymentorPrintCharges.39.COMPETITIVEREPLACEMENTPROGRAM.Ifthisoptionhasbeenselected,Xeroxwiltprovideyouwiththediscountindicatedinexchangeforyouragreementtoreturnapieceofnon-Xeroxequipmentyouarecurrentlyleasing(the“ConditivcEquipment”)toifsLessor.Indoingso,youacknowledgethattheEquipmentyouareacquiringunderthisAgreementisreplacingtheCompetitiveEquipmentandthatyouragreementwithitsLessorallotsyoutoreturntheCompetitiveEquipmentatthistime.40.STANDARDMAINTENANCEAGREEMENT.Ifthisoptionhasbeenselected,XeroxwillprovideBasicServicesfortheEquipmentsubjecttoyourpaymentoftheindicatedannualcharge(whichinaltcasesisnonrdflindable)alongwithastandardizedper-callchargeestablishedbyXerox(whichissubjecttoadjustmentbyXeroxatitsdiscretion).41.ATrACHEDADDENDA.ifthisoptionhasbeenselected,youacknowledgethatoneormorespecifiedaddenda(asindicated)havebeenprovidedtoyou.Theseaddenda,whichprovideadditionaltermsrelevanttothetransactionscoveredhereunder,areherebyfullyintegratedintothisAgreement42.NEGOTIATEDCONTRACT.ifthisoptionhasbeenselected,thisAgreementissubjecttothetermscontainedintheidentifiedNegotiatedContract.IfthetermsprintedonthisdocumentconflictwiththosecontainedintheNegotiatedContract,thetermsoftheNegotiatedContractshallprevail.4
