DistrictC’97$350AGREEMENTTHISAGREEMENT,enteredintothisdayof_____________,1997,byandamongtheCityandCountyofDenver,theBoardofCountyCommissionersofAdamsCounty,theBoardofCountyCommissionersofBoulderCounty,theBoardofCountyCommissionersofGilpinCounty,theBoardofCountyCommissionersofJeffersonCounty,theBoardofCountyCommissionersofEagleCounty,theBoardofCountyCommissionersofGrandCounty,theBoardofCountyCommissionersofMoffatCounty,andtheBoardofCountyCommissionersofRouttCounty,allofwhicharebodiescorporateandpoliticwithintheStateofColoradoandarecollectivelyreferredtohereinasthe“Parties”;WITNESSETH:WHEREAS,thePartiesareallmembersofandaregeographicallyincluded,whollyorpartially,intheMoffatTunnelImprovementDistrict(“theDistrict”)asprovidedin§32-2-102(2),C.R.S.;andWHEREAS,realpropertycontainedwiththejurisdictionalboundariesofeachofthePartieshadbeenhistoricallysubjecttothelevyoftaxassessmentsbythegoverningbodyoftheDistrict,theMoffatTunnelCommission(“theCommission”),forthepurposeofpayingthecostsofconstructingtheMoffatTunnel;andWHEREAS,SenateBill96-233,enactedonMay23,1996,modifiedtheMoffatTunnelAct,§32-8-101etseq.,C.R.S.,soastoauthorizethesaleofDistrictproperty,§32-8-108.5(1),C.R.S.,andtodirectthedistributionofthesalesproceedstothePartiesinthemannerprescribedin§32-8-108.5(2),C.R.S.;andWHEREAS,§32-8-108.5(2),C.RS.,requiresthatthesalesproceeds,minuscertaincostsincurredbytheCommissionandnottoexceedfourpercentofthepurchasepriceofthepropertysold,“shallbeimmediatelytransferredtothecountiesandthecityandcountyofDenverincluded,inwholeorinpart,inthedistrictasspecifiedinsection32-8-102insuchproportionasthetotalamountoftaxesassess-meatsreceivedbythedistrictfromeachcountyorthecityandcountyofDenveranditstaxpayerssincethedistrict’screationistothetotalofalltaxesandassessmentsreceivedbythedistrictfromthosesourcessincethedistrict’screation”;andWHEREAS,inSeptemberof1996,aparcelofDistrictpropertylcnownastheEvansTractwassoldtotheWinterParkRecreationalAssociationandtheDenverandRioGrandeWesternRailroadCompanyforapproximately2.046milliondollars;andWHEREAS,theCommissionandtheDistrictbroughtalegalactioninAdamsCountyDistrict(96CV1777)againsttheParties,alleging,amongotherthings,thatajudicialdeterminationneededtobemadeastothepercentageofthesalesproceedseachofPartieswasentitledtounder§32-8-108.5(2),C.RS.;andPage1of13 00WHEREAS,theCommissionandthePartiessubsequentlyagreedtodismissthislegalaction,withtheunderstandingthatthePartieswouldmakeaconcertedefforttoreachanagreementamongstthemselvesastowhattheappropriatepercentagesshouldbeforthepurposesofdistributionofthesalesproceedsbytheCommission;andWHEREAS,thelegalactionwasdismissedonFebruary24,1997,andtheproceedsfromthesaleoftheEvansTractincludingaccumulatedinterest(amountingto$2,073,780.58intotal)wassubsequentlydepositedinaseparateinterest-bearingaccountinthenameoftheMoffatTunnelCommission;andWHEREAS,asearchofthehistoricaltaxrecordsoftheCommissionandthePartieshasshownthattheserecords,somedatingmorethanseventyyearsintothepast,areincompleteorarenotreadilyavailable;andWHEREAS,thebestevidenceavailableastothetaxassessmentsleviedineachoftheParties’boundaries,andtheresultingpercentagesattributabletoeachoftheParties,isfoundinaOctober17,1986,memorandumpreparedbytheformerlegalcounselfortheCommission,CharlesW.Ennis;andWHEREAS,theParties,desiringaresolutionofthisissuewithoutextendedresearchorlitigation,aresatisfiedthatthefiguresderivedbytheCommission’sformerlegalcounselarereasonablyaccurate;NOW,THEREFORE,inconsiderationofthemutualcovenants,obligations,andconditionsexpressedherein,itisagreedbyandamongthePartieshereto,asfollows:1.ThetaxassessmentscollectedfromeachofthePartiesfortheMoffatTunnelandthepercentageeachofthePartiesisentitledtoreceivefromthedistributionofsalesproceedsunder§32-8-108.5(2),C.RS.,isasfollows:Adams$373,6061.56%Boulder33,3660.14%Denver21,750,52390.69%Gilpin49,2500.20%Jefferson553,4722.31%Eagle21,8860.09%Grand275,8141.15%Moffat390,7471.63%Routt524,1792.23%Total$23,982,843100%Page2ofl3
