SUBDIVISION and OFF-SITE IMPROVEMENTS AGREEMENT
FOR CORDILLERA VALLEY CLUB, FILING 3
THIS Amendment made and entered into this. day of 1997 by and
between Cordillera Valley Club Investors Limited Partnership, a Colorado limi d partnership (herein-
after "Subdivider") and the Board of County Commissioners of the County of Eagle, State of Colorado
(hereinafter "County").
WHEREAS, pursuant to C.R.S. 30-28-137, the Board of County Commissioners of the
r County of Eagle, State of Colorado entered into a Subdivision Improvements Agreement dated

October 12, 1995 ("Agreement") recorded in Book 678 at Page 460 in the records of the Eagle
County Clerk and Recorder, as a condition of final plat approval for Wildhorse Subdivision
Filing 3, now known as the Cordillera Valley Club, Filing 3; and
WHEREAS, the Subdivision Improvements Agreement required that all subdivision
improvements shall be completed prior to July 1, 1997; and
WHEREAS, certain public improvements associated with Cordillera Valley Club, Filing
3 have not been completed; and
WHEREAS, Subdivider requests an extension of the completion date to August 31, 1998,
and acknowledges the necessity of providing collateral therefore; and
WHEREAS, based thereon the County agrees to said extension.
NOW, THEREFORE, the Subdivision Improvements Agreement is hereby amended to
extend the date for completion of the public improvements to August 31, 1998.
THAT, all covenants and conditions of the Subdivision Improvements Agreement which
are not hereby expressly amended shall remain in full force and effect.
THAT, the parties agree that this Amendment does not in any way abrogate the rights of
the County in enforcing the Subdivider's performance of his outstanding obligations under the
Agreement as amended.
