MEMORANDUM OF AGREEMENT
For Weed Control
WITHQ COUNTY
SECTION I: PARTIES TO AGRE NT
This Memorandum of Agreement (MOA) is made and entered T'pby and between the Colorado
Division of Wildlife, hereinafter referred to as CDOW, and a Ic County, whose

pursuant to Procurement Rule No. 24-110-101 through 24-110-301.
SECTION II: PURPOSE
The purpose of this agreement is to allow the Colorado Division of Wildlife to procure weed
control services on lands managed by the CDOW in fal le County. The weed control
services shall be provided by &ate County.
SECTION III: BASIC AGREEMENT --RESPONSIBILITIES OF THF-
PARTIES;
HEPARTIES:
A. The CDOW shall:
(1) Make payments in the amount of I �u [ to �a /� County.
(2) Inspect the completed project to insure all work was performed as per the project
application and this agreement.
(3) Provide:
B. The County shall:
(1) Obtain all necessary federal, state, and local permits and authorizations prior to
start of work.
(2) Complete weed control on the following Division of Wildlife lands under the
specifications as follows: Noxious weeds will be treated in the areas specified by
C.D.O.W. using products and rates agreed upon by Eagle County and C.D_O.W.
All product label restructions will be strictly enforced. Eagle County makes no
guarantee as to the degree of success of these herbicide treatments.
SECTION IV: PERIQD OF PERFQRMANCE
The period of performance for this MOA is from the date of execution through 4
SECTION V: NIETHOD OF PAYMENT
Upon completion of weed control work as specified in Section III, the County may request
payment by submitting an invoice in the requested amount. The CDOW will process the invoice
for payment by State warrant.
SECTION VI: MODIFICATION
This MOA may be modified as necessary by mutual consent of both parties as set forth in a signed
and dated written amendment. The County assumes all risks, liabilities, and consequences of
performing additional work outside the specified scope of this MOA without a prior approved
amendment.

SECTION VII: TERMINATION
Either party may terminate the MOA by providing 30 days written notice, provided that funds on
deposit will be available for expenses incident to closing out the work beyond the period of
written notice.
SECTION VIII: INDEMNIFICATION
To the extent authorized by law, the County shall indemnify, save and hold harmless the CDOW,
its employees and agents, against any and all claims, damages, ('including, but not limited to, state
owned natural resources) liability and court awards including costs, expenses, and attorney fees
incurred as a result of any act or omission by the County, or its employees, agents,
subcontractors, or assignees pursuant to the terms of this MOA.
SECTION IX: FUNDING AVAILABILITY
Financial obligations of the State of Colorado payable after the current fiscal year are contingent
upon funds for that purpose being appropriated, budgeted and otherwise made available.
SECTION X: COMPLIANCE WITH THE LAW
A. The laws of the State of Colorado and rules and regulations issued pursuant thereto shall
be applied in the interpretation, execution, and enforcement of this contract.
B. At all times during the performance of this MOA, the County shall strictly adhere to all
applicable federal and state laws, rules, and regulations that have been or may hereafter be
established.
C. The signatories aver that they are familiar with CRS 18-8301, et seq., (Bribery and
Corrupt Influences) and CRS 18-8-401, et seq., (Abuse of Public Office), and that no
violation of such provisions have occurred.
D.. The County agrees to comply with all federal statutes relating to nondiscrimination
including, but not limited, to Title VI of the Civil Rights Act of 1964, Title IX of the
Rehabilitation Act of 1973, and the Age Discrimination Act of 1975
E. The County will not discriminate against any employee or applicant for employment
because of race, creed, color, national origin, sex, marital status, religion, ancestry, mental
or physical handicap, or age.
F. The signatories aver that to their knowledge, no state employee has any personal or
beneficial interest whatsoever in the service or property described herein:

The parties hereto execute the agreement and it becomes affective as of the last dated signature
below:

AGREEMENT BETWEEN -Fa-ill COUNTY and COLORADO DIVISION OF
WILDLIFE FOR CONTROL OF UNDESIRABLE WEEDS.
The Colorado Division of Wildlife, hereinafter referred to as CDOW, hereby agrees with

designated as undesirable by state law or by designation of Fadi - County.

These species will be controlled by an integrated management approach including but not limited
to chemical management, mechanical management, biological management, cultural control,
prescribed burning, and habitat improvement.
The CDOW estimated annual budget for weed control on SWA's in this County is as follows:

CDOW intends by this agreement to set forth its obligation to control the listed plants. It shall
not be construed as obligating CDOW to pay the County any funds. It contemplates that CDOW
shall undertake such control on its own or, by separate agreement, secure the services of the
County or a third party to undertake such plant control.
The County shall notify the Area Wildlife Manager @ Phone 4 9115 `7ZZO no later than 3
