EAGLE COUNTY, COLORADO
AND
WHOLE HEALTH, LLC
THIS THIRD AMENDMENT ("Third Amendment") is effective as of the 30'11 day of
September, 2017 by and between Whole Health, LLC a Colorado limited liability company
(hereinafter "Consultant" or "Contractor") and Eagle County, Colorado, a body corporate and
politic (hereinafter "County").
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 26"' day of April, 2016,
for certain Services (the "Original Agreement"); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
Services with compensation in an amount not to exceed $25,000.00; and
WHEREAS, by a First Amendment dated the 3rd day of January, 2017, the term of the Original
Agreement was extended to March 31, 2017 with no change in the scope of work or
compensation; and
WHEREAS, by a Second Amendment dated the 30t11 day of March, 2017, the term of the
Original Agreement was extended to September 30, 2017 for additional compensation in an
amount not to exceed $10,000.00; and
WHEREAS, the term of the Original Agreement expires on the 30th day of September, 2017, and
the parties desire to extend the term for an additional nine (9) months for additional
compensation as set forth below.

NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to extend the term to the 30th day of June,
2018.
2. The compensation for the additional Services during this nine (9) month contract
extension shall not exceed $35,904.00 or a total maximum compensation under the
Original Agreement and its amendments of $70,904.00.
3. Services provided during this nine (9) month contract extension shall be compensated
in accordance with the rates established in Exhibit 1 attached hereto and incorporated
herein by reference.

4. Capitalized terms in this Third Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Third
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this Third Amendment shall govern and control
the rights and obligations of the parties.
5. Except as expressly altered, modified and changed in this Third Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.
6. This Third Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the
Original Agreement the day and year first above written.
