INTERGOVERNMENTAL AGREEMENT
BETWEEN
THE COUNTY OF EAGLE, STATE OF COLORADO
AND
THE TOWN OF VAIL, STATE OF COLORADO
FOR
PURPOSES OF CONDUCTING AN ELECTION

This Inter overnmental Agreement, made and entered into this
day of 1997, by and between the County of Eagle,
State of Colorado, a body corporate and politic, by and through its
Board of County Commissioners, hereinafter referred to as the
"County" and the Town of Vail, State of Colorado, a municipal
corporation, by and through its Town Council, hereinafter referred
to as the "Town."
WHEREAS, the'Town of Vail ("Town") Clerk ("Town Clerk") is
conducting the Town's election on November 18, 1997; and
WHEREAS, the election will be conducted utilizing a single
polling place which will be located within the Town of Vail; and
WHEREAS, the Eagle County ("County") Clerk & Recorder ("County
Clerk") is conducting elections for other governments and districts
within the County in November 1997 and has the capacity to conduct
certain election -related tasks for the Town Clerk; and
WHEREAS, the Town and the County are authorized to enter into
this Intergovernmental Agreement pursuant to Section 18, Article
XIV of the Colorado Constitution, C.R.S. X29-1-201, et seq., and
C.R.S. X30-15-101.
NOW, THEREFORE, for and in consideration of the mutual
covenants, conditions, and promises contained herein, the parties
hereto agree as follows:
1. County Clerk will provide all labor, materials and
equipment necessary to perform the following tasks for the Town's
November 18, 1997 election:
a. ballot programming to conform to the County's voting
system;
b. transferring ballot information to a printer of
County's selection for its printing and delivery directly
to Town, with the printer billing the Town directly;
C. explaining (on election day or before) to Town's
election judges the use of the County's voting system;
d. attending the polling place during the time the
polls are open (subject to brief absences) for the
purpose of overseeing the use of the County's voting
system;
e. tabulating the ballots and delivering the tabulation
in writing to the Town Clerk or election judges upon
completion of the tabulation; and
f. on election day, or as soon thereafter as possible,
canvass the election results with the Town of Vail
authorities.
2. Town will pay County for the foregoing services, within
thirty (30) days of invoicing by the County, reimbursement of
County's expenditures for supplies and travel expenses.
3. Town acknowledges that County's voting system will be
utilizing computerized, optical -scanning ballot reading equipment,
together with disposable supplies. County may require, or Town may
desire, that the voting system vendor provide advice, assistance,
and/or supervision, by telephone or in person, in respect of this
election, and that the vendor will charge for such services. Town
will pay all such costs to County within thirty (30) days of
invoicing by the County.

4. Except as specifically provided herein, Town shall be
solely responsible for all tasks necessary for the conduct of its
election, and County will have no responsibility for any of such
tasks.
5. Town will indemnify, defend and hold harmless the County,
and its officers, employees and agents, from any and all losses,
costs, demands or actions, arising out of or related to any
actions, errors or omissions of the Town in completing its
responsibilities relating to the election.
6. In performing the work identified in paragraph 1 hereof,
the County is acting as an independent contractor and its officials
and employees shall not be deemed employees or agents of the Town.
IN WITNESS WHEREOF, the parties hereto have set their hands
and seals the date first above written.
