BETWEEN EAGLE COUNTY, COLORADO
AND
VOLAIRE AVIATION, INC
THIS AGREEMENT ("Agreement") is effective as of 10/10/2017 , by and between Volaire
Aviation, Inc., a corporation formed under the laws of the State of Indiana, with its principal place of
business at 8500 E 116" Street, Suite 728, Fishers, IN, 46038 (hereinafter "Consultant" or "Contractor")
and Eagle County, Colorado, a body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, the County desires to obtain the services of a consultant to provide air service development
consulting services for the Eagle County Regional Airport (EGE) located at 219 Eldon Wilson Road in
Gypsum, Colorado; and
WHEREAS, the County issued a Request for Proposals dated August 14, 2017, attached hereto as Exhibit
A and incorporated herein by this reference (the "RFP"), in order to solicit proposals from consultants
willing and able to provide such services; and
WHEREAS, in response to the RFP, Consultant submitted a proposal dated September 1, 2017, attached
hereto as Exhibit B and incorporated herein by this reference; and
WHEREAS, after review of the proposals submitted in response to the RFP, the County desires to engage
the Consultant to provide the services outlined in the attached Exhibit "B" which includes but is not
limited to, Airline Headquarters Meetings and Presentations, Air Service Development Conference
Meetings, Phone Calls and Ad -Hoc Analysis, Community Visits, Data Reporting, and a Passenger
Leakage Study (the "Services") for the Eagle County Regional Airport; and
WHEREAS, Consultant is authorized to do business in the State of Colorado and has the time, skill,
expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and
WHEREAS, this Agreement shall govern the relationship between Consultant and County in connection
with the Services.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and the following promises Consultant and
County agree as follows:
1. Services. Consultant agrees to diligently provide all services, labor, personnel and materials
necessary to perform and complete the Services described in Exhibit B . The Services shall be performed
in accordance with the provisions and conditions of this Agreement.

a. Consultant agrees to furnish the Services in a timely and expeditious manner consistent
with the applicable professional standards of care. By signing below Consultant represents that it has the
expertise and personnel necessary to properly and timely perform the Services.
b. In the event of any conflict or inconsistency between the terms and conditions set forth in
Exhibit B and the terms and conditions set forth in this Agreement, the terms and conditions set forth in
this Agreement shall prevail.
Consultant agrees that it will not enter into any consulting or other arrangements with
third parties that will conflict in any manner with the Services.
2. County's Representative. The Airport Department's designee shall be Consultant's contact with
respect to this Agreement and performance of the Services.
3. Term of the Agreement. This Agreement shall commence upon the date first written above, and
subject to the provisions of paragraph 12 hereof, shall continue in full force and effect through the I' day
of October, 2018.
4. Extension or Modification. This Agreement may not be amended or supplemented, nor may any
obligations hereunder be waived, except by agreement signed by both parties. No additional services or
work performed by Consultant shall be the basis for additional compensation unless and until Consultant
has obtained written authorization and acknowledgement by County for such additional services in
accordance with County's internal policies. Accordingly, no course of conduct or dealings between the
parties, nor verbal change orders, express or implied acceptance of alterations or additions to the Services,
and no claim that County has been unjustly enriched by any additional services, whether or not there is in
fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder.
In the event that written authorization and acknowledgment by County for such additional services is not
timely executed and issued in strict accordance with this Agreement, Consultant's rights with respect to
such additional services shall be deemed waived and such failure shall result in non-payment for such
additional services or work performed.
5. Compensation. County shall compensate Consultant for the performance of the Services in a sum
computed and payable as set forth in Exhibit A. The performance of the Services under this Agreement
shall not exceed $72,000. Consultant shall not be entitled to bill at overtime and/or double time rates for
work done outside of normal business hours unless specifically authorized in writing by County.
a. Payment will be made for Services satisfactorily performed within thirty (30) days of
receipt of a proper and accurate invoice from Consultant. All invoices shall include detail regarding the
hours spent, tasks performed, who performed each task and such other detail as County may request.
b. Any out-of-pocket expenses to be incurred by Consultant and reimbursed by County shall
be identified on Exhibit B. Out-of-pocket expenses will be reimbursed without any additional mark-up
thereon and are included in the not to exceed contract amount set forth above. nut -of -pocket expenses
shall not include any payment of salaries, bonuses or other compensation to personnel of Consultant.

Consultant shall not be reimbursed for expenses that are not set forth on Exhibit B unless specifically
approved in writing by County. Travel expenses shall be pre -approved and billed at actual cost plus an
administrative fee of 10% immediately following travel. Travel expenses are included in the not -to -
exceed contract amount set forth above and shall be reimbursed within thirty (30) days of receipt of an
invoice from Consultant.
C. If, at any time during the term or after termination or expiration of this Agreement,
County reasonably determines that any payment made by County to Consultant was improper because the
Services for which payment was made were not performed as set forth in this Agreement, then upon
written notice of such determination and request for reimbursement from County, Consultant shall
forthwith return such payment(s) to County. Upon termination or expiration of this Agreement,
unexpended funds advanced by County, if any, shall forthwith be returned to County.
d. County will not withhold any taxes from monies paid to the Consultant hereunder and
Consultant agrees to be solely responsible for the accurate reporting and payment of any taxes related to
payments made pursuant to the terms of this Agreement.
e. Notwithstanding anything to the contrary contained in this Agreement, County shall have
no obligations under this Agreement after, nor shall any payments be made to Consultant in respect of any
period after December 31 of any year, without an appropriation therefor by County in accordance with a
budget adopted by the Board of County Commissioners in compliance with Article 25, title 30 of the
Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29-1-101 et. seq.) and the
TABOR Amendment (Colorado Constitution, Article X, Sec. 20).
6. Sub -consultants. Consultant acknowledges that County has entered into this Agreement in
reliance upon the particular reputation and expertise of Consultant. Consultant shall not enter into any
sub -consultant agreements for the performance of any of the Services or additional services without
County's prior written consent, which may be withheld in County's sole discretion. County shall have
the right in its reasonable discretion to approve all personnel assigned to the subject Project during the
performance of this Agreement and no personnel to whom County has an objection, in its reasonable
discretion, shall be assigned to the Project. Consultant shall require each sub -consultant, as approved by
County and to the extent of the Services to be performed by the sub -consultant, to be bound to Consultant
by the terms of this Agreement, and to assume toward Consultant all the obligations and responsibilities
which Consultant, by this Agreement, assumes toward County. County shall have the right (but not the
obligation) to enforce the provisions of this Agreement against any sub -consultant hired by Consultant
and Consultant shall cooperate in such process. The Consultant shall be responsible for the acts and
omissions of its agents, employees and sub -consultants or sub -contractors.
7. Insurance. Consultant agrees to provide and maintain at Consultant's sole cost and expense, the
following insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
i. Workers' Compensation insurance as required by law.

ii. Auto coverage with limits of liability not less than $1,000,000 each accident
combined bodily injury and property damage liability insurance, including coverage for owned, hired, and
non -owned vehicles.
iii. Commercial General Liability coverage to include premises and operations,
personal/advertising injury, productslcompleted operations, broad form property damage with limits of
liability not less than $1,000,000 per occurrence and $2,000,000 aggregate limits.
iv. Professional liability insurance with prior acts coverage for all Services required
hereunder, in a form and with an insurer or insurers satisfactory to County, with limits of liability of not
less than $1,000,000 per claim and $2,000,000 in the aggregate. In the event the professional liability
insurance is on a claims -made basis, Consultant warrants that any retroactive date under the policy shall
precede the effective date of this Agreement. Continuous coverage will be maintained during any
applicable statute of limitations for the Services and Project.
b. Other Requirements.
i. The automobile and commercial general liability coverage shall be endorsed to
include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials,
employees, agents and volunteers as additional insureds.
ii. Consultant's certificates of insurance shall include sub -consultants as additional
insureds under its policies or Consultant shall furnish to County separate certificates and endorsements for
each sub -consultant. All coverage(s) for sub -consultants shall be subject to the same minimum
requirements identified above. Consultant and sub -consultants, if any, shall maintain the foregoing
coverage in effect until the Services are completed. In addition, all such policies shall be kept in force by
Consultant and its sub -consultants until the applicable statute of limitations for the Project and the
Services has expired.
iii. Insurance shall be placed with insurers duly licensed or authorized to do business
in the State of Colorado and with an "A.M. Best" rating of not less than A -VII.
iv. Consultant's insurance coverage shall be primary and non-contributory with
respect to all other available sources. Consultant's policy shall contain a waiver of subrogation against
Eagle County.
V. All policies must contain an endorsement affording an unqualified thirty (30)
days notice of cancellation to County in the event of cancellation of coverage.
vi. All insurers must be licensed or approved to do business within the State of
Colorado and all policies must be written on a per occurrence basis unless otherwise provided herein.

vii. Consultant's certificate of insurance evidencing all required coverage(s) is
attached hereto as Exhibit C. Upon request, Consultant shall provide a copy of the actual insurance
policy and/or required endorsements required under this Agreement within five (5) business days of a
written request from County, and hereby authorizes Consultant's broker, without further notice or
authorization by Consultant, to immediately comply with any written request of County for a complete
copy of the policy.
viii. Consultant shall advise County in the event the general aggregate or other
aggregate limits are reduced below the required per occurrence limit. Consultant, at its own expense, will
reinstate the aggregate limits to comply with the minimum limits and shall furnish County a new
certificate of insurance showing such coverage.
ix. If Consultant fails to secure and maintain the insurance required by this
Agreement and provide satisfactory evidence thereof to County, County shall be entitled to immediately
terminate this Agreement.
X. The insurance provisions of this Agreement shall survive expiration or
termination hereof.
xi. The parties hereto understand and agree that the County is relying on, and does
not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights,
immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time
amended, or otherwise available to County, its affiliated entities, successors or assigns, its elected
officials, employees, agents and volunteers.
xii. Consultant is not entitled to workers' compensation benefits except as
provided by the Consultant, nor to unemployment insurance benefits unless unemployment compensation
coverage is provided by Consultant or some other entity. The Consultant is obligated to pay all federal
and state income tax on any moneys paid pursuant to this Agreement.
S. Indemnification. The Consultant shall indemnify and hold harmless County, and any of its
officers, agents and employees against any losses, claims, damages or liabilities for which County may
become subject to insofar as any such losses, claims, damages or liabilities arise out of, directly or
indirectly, this Agreement, or are based upon any performance or nonperformance by Consultant or any
of its sub -consultants hereunder; and Consultant shall reimburse County for reasonable attorney fees and
costs, legal and other expenses incurred by County in connection with investigating or defending any such
loss, claim, damage, liability or action. This indemnification shall not apply to claims by third parties
against the County to the extent that County is liable to such third party for such claims without regard to
the involvement of the Consultant. This paragraph shall survive expiration or termination hereof.
9. Ownership of Documents. All documents prepared by Consultant in connection with the Services
shall become property of County. Consultant shall execute written assignments to County of all rights
(including common law, statutory, and other rights, including copyrights) to the same as County shall
from time to time request. For purposes of this paragraph, the term "documents" shall mean and include

all reports, plans, studies, tape or other electronic recordings, drawings, sketches, estimates, data sheets,
maps and work sheets produced, or prepared by or for Consultant (including any employee or
subconsultant in connection with the performance of the Services and additional services under this
Agreement).
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i)
personally delivered, or (ii) when mailed in the United States mail, first class postage prepaid, or (iii)
when delivered by FedEx or other comparable courier service, charges prepaid, to the parties at their
respective addresses listed below, or (iv) when sent via facsimile so long as the sending party can provide
facsimile machine or other confirmation showing the date, time and receiving facsimile number for the
transmission, or (v) when transmitted via e-mail with confirmation of receipt. Either party may change its
address for purposes of this paragraph by giving five (5) days prior written notice of such change to the
other party.

it. Coordination. Consultant acknowledges that the development and processing of the Services for
the Project may require close coordination between various consultants and contractors. Consultant shall

coordinate the Services required hereunder with the other consultants and contractors that are identified
by County to Consultant from time to time, and Consultant shall immediately notify such other
consultants or contractors, in writing, of any changes or revisions to Consultant's work product that might
affect the work of others providing services for the Project and concurrently provide County with a copy
of such notification. Consultant shall not knowingly cause other consultants or contractors extra work
without obtaining prior written approval from County. If such prior approval is not obtained, Consultant
shall be subject to any offset for the costs of such extra work.
12. Termination. County may terminate this Agreement, in whole or in part, at any time and for any
reason, with or without cause, and without penalty therefor with seven (7) calendar days' prior written
notice to the Consultant. Upon termination of this Agreement, Consultant shall immediately provide
County with all documents as defined in paragraph 9 hereof, in such format as County shall direct and
shall return all County owned materials and documents. County shall pay Consultant for Services
satisfactorily performed to the date of termination.
13. Venue, Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to
this Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado,
which shall be the sole and exclusive forum for such litigation. This Agreement shall be construed and
interpreted under and shall be governed by the laws of the State of Colorado.
14. Execution by Counte arts' Electronic Signatures. This Agreement may be executed in two or
more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the
same instrument. The parties approve the use of electronic signatures for execution of this Agreement.
Only the following two forms of electronic signatures shall be permitted to bind the parties to this
Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the
image of the signature of an authorized signer inserted onto PDF format documents. All documents must
be properly notarized, if applicable. All use of electronic signatures shall be governed by the Uniform
Electronic Transactions Act, C.R.S. 24-71.3-101 to 121.
15. Other Contract Requirements.
a. Consultant shall be responsible for the completeness and accuracy of the Services,
including all supporting data or other documents prepared or compiled in performance of the Services,
and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the County
has accepted or approved the Services shall not relieve Consultant of any of its responsibilities.
Consultant shall perform the Services in a skillful, professional and competent manner and in accordance
with the standard of care, skill and diligence applicable to Consultants performing similar services.
Consultant represents and warrants that it has the expertise and personnel necessary to properly perform
the Services and covenants that its professional personnel are duly licensed to perform the Services within
Colorado. This paragraph shall survive termination of this Agreement.
b. Consultant agrees to work in an expeditious manner, within the sound exercise of its
judgment and professional standards, in the performance of this Agreement. Time is of the essence with
respect to this Agreement.

C. This Agreement constitutes an agreement for performance of the Services by Consultant
as an independent contractor and not as an employee of County. Nothing contained in this Agreement
shall be deemed to create a relationship of employer-employee, master -servant, partnership, joint venture
or any other relationship between County and Consultant except that of independent contractor.
Consultant shall have no authority to bind County.
d. Consultant represents and warrants that at all times in the performance of the Services,
Consultant shall comply with any and all applicable laws, codes, rules and regulations.
e. This Agreement contains the entire agreement between the parties with respect to the
subject matter hereof and supersedes all other agreements or understanding between the parties with
respect thereto.
f. Consultant shall not assign any portion of this Agreement without the prior written
consent of the County. Any attempt to assign this Agreement without such consent shall be void.
g. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto
and their respective permitted assigns and successors in interest. Enforcement of this Agreement and all
rights and obligations hereunder are reserved solely for the parties, and not to any third party.
h. No failure or delay by either party in the exercise of any right hereunder shall constitute a
waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding
breach.
L The invalidity, illegality or unenforceability of any provision of this Agreement shall not
affect the validity or enforceability of any other provision hereof.
j. Consultant shall maintain for a minimum of three years, adequate financial and other
records for reporting to County. Consultant shall be subject to financial audit by federal, state or county
auditors or their designees. Consultant authorizes such audits and inspections of records during normal
business hours, upon 48 hours' notice to Consultant. Consultant shall fully cooperate during such audit or
inspections.
k. The signatories to this Agreement aver to their knowledge, no employee of the County
has any personal or beneficial interest whatsoever in the Services or Property described in this
Agreement. The Consultant has no beneficial interest, direct or indirect, that would conflict in any manner
or degree with the performance of the Services and Consultant shall not employ any person having such
known interests.
1. The Consultant, if a natural person eighteen (1$) years of age or older, hereby swears and
affirms under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United
States pursuant to federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-103 prior to
the effective date of this Agreement.

lb. Prohibitions on Government Contracts.
As used in this Section lb, the term undocumented individual will refer to those individuals from foreign
countries not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Consultant has
any employees or subcontractors, Consultant shall comply with C.R.S. 5-17.5-101, et. seq., and this
Agreement. By execution of this Agreement, Consultant certifies that it does not knowingly employ or
contract with an undocumented individual who will perform under this Agreement and that Consultant
will participate in the E -verify Program or other Department of Labor and Employment program
("Department Program") in order to confirm the eligibility of all employees who are newly hired for
employment to perform Services under this Agreement.
a. Consultant shall not:
i. Knowingly employ or contract with an undocumented individual to perform
Services under this Agreement; or
ii. Enter into a subcontract that fails to certify to Consultant that the subcontractor
shall not knowingly employ or contract with an undocumented individual to perform work under the
public contract for services.
b. Consultant has confirmed the employment eligibility of all employees who are newly
hired for employment to perform Services under this Agreement through participation in the E -Verify
Program or Department Program, as administered by the United States Department of Homeland
Security. Information on applying for the E -verify program can be found at-
httos://www.uscis-gov/e-verify
C. Consultant shall not use either the E -verify program or other Department Program
procedures to undertake pre-employment screening of job applicants while the public contract for services
is being performed.
d. If Consultant obtains actual knowledge that a subcontractor performing work under the
public contract for services knowingly employs or contracts with an undocumented individual, Consultant
shall be required to:
i. Notify the subcontractor and County within three (3) days that Consultant has
actual knowledge that the subcontractor is employing or contracting with an undocumented individual;
and
ii. Terminate the subcontract with the subcontractor if within three days of receiving
the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop
employing or contracting with the undocumented individual; except that Consultant shall not terminate
the contract with the subcontractor if during such three (3) days the subcontractor provides information to
establish that the subcontractor has not knowingly employed or contracted with an undocumented
individual.

e. Consultant shall comply with any reasonable request by the Department of Labor and
Employment made in the course of an investigation that the department is undertaking pursuant to its
authority established in C.R.S. 5-17.5-102(5).
f. If Consultant violates these prohibitions, County may terminate the Agreement for breach
of contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement,
Consultant shall be liable for actual and consequential damages to County as required by law.
g. County will notify the Colorado Secretary of State if Consultant violates this provision
of this Agreement and County terminates the Agreement for such breach.

Nagle County is requesting proposals from all interested parties to provide air service
development consulting services for the Eagle County Regional .Airport (EM) located in
Gypsum, Colorado. 'Ibis RIP is non-exclusive and Eagle County reserves the right to
contract for services from one or more vendors.
Sealed pniposals must he received by 1'.S. Mail addressed to Kip 'Turner, P.O. Box
850, Eagle, Colorado 81631 or delivered An ground shipping methods (DHL, UPS,
FedEx, etc.) or hand delivered to the Eagle County Regional Airport, Attention: Kip
Turner at 219 Eldon Wilson Road, Gypsum, Colorado 81637. Proposals may also
be submitted via email to: Iun.Turnerfriyeaglecomrtv.us. Proposals must be
received by 4:00 p.m. MDT on September 1, 2017.
Proposals sent via U.S. Mail or other delivery methods shall be in a sealed envelope
marked "RESPONSE TO PROPOSAL FOR AIR SERVICE DEVELOPMENT". If
a proposal is sent via email, the subject line must contain the notation "RESPONSE
TO PROPOSAL FOR AIR SERVICE DEVELOPMENT".
Any proposal received after the aforementioned deadline will be returned to the proposer
unopened (or rejected in the case of an emailed proposal) and shall not be considered
unless good cause is shown as determined by Eagle County in its sole discretion.
The proposal document may be obtained at the Eagle County Regional Airport
administrative offices, 219 Eldon Wilson Road, Gypsum, Colorado, 81637 during the
hours of 8:40 a.m. to 5:00 p.m. Monday through Friday. The complete document is also

1. Eagle County, Colorado will be receiving proposals via U.S. Mail at the office of
Kip Turner, C.M., Director of Aviation, Eagle County Regional Airport, P.O. Box
850, Eagle, Colorado, 81631 or delivered via ground shipping methods (DHL,
UPS, FedEx, etc.) or hand delivered to the Eagle County Regional Airport,
Attention: Kip Turner at 219 Eldon Wilson Road, Gypsum, Colorado, 81637 or

2. Any question, interpretation or clarification regarding this Request for Proposals
(RFP) is required 7 calendar days prior to the due date. Responses, if any, will be

additional questions will be accepted after the date and time referenced above
unless good cause is shown as determined by Eagle County in its sole discretion.
Oral interpretations shall be of no force and effect.
3. Five (5) copies of your proposal are required_ If brochures or other supportive
documents are requested, then it is required that five (5) sets be submitted with
your proposal.
4. Eagle County reserves the right, in its sole discretion, to reject any and all
proposals submitted in response to this RFP, to waive or not waive informalities
or irregularities in proposals received or RFP procedures. Eagle County also
reserves the right to re -advertise, or to otherwise provide the services as
determined by Eagle County to be in its best interest, and to accept any portion of
the proposal deemed to be in the best interests of Eagle County to do so, or further
negotiate cost, tams or conditions of any proposal determined by Eagle County to
he in its best interests.
5. Eagle County may, at its sole discretion, modify or amend any and all provisions
herein. If it becomes necessary to revise any part of the RFP, addenda will he
provided through posting at www.eaglecounty.us. Eagle County reserves the right
to extend the RFP submittal date or to postpone the award of an agreement.
6. All proposals will be reviewed by a selection committee and any other review as
determined to he necessary_ Respondents may be asked to supplement their initial
proposals with additional written material. Eagle County may short-list
respondents based upon an evaluation of the written submittals. Eagle County
may arrange for in-person interviews with the short-listed respondents for a
detailed presentation.
7. The selected proposal will be the one considered the most advantageous regarding
price, quality of service, qualifications and capabilities of respondent to provide

the specified service, respondent's familiarity with Eagle County and any other
factors the County may consider as determined by Eagle County in its sole
discretion. Eagle County may award a contract even if not the lowest priced
proposal based upon a review of the identified factors. Notwithstanding the
foregoing, Eagle County does not guarantee that a contract (or contracts) will be
awarded.
8. Respondent is encouraged to clearly identify any proprietary or confidential data
or information submitted with the proposal. Regardless of whether or not so
marked, Eagle County will endeavor to keep that information confidential,
separate and apart from the proposal. Notwithstanding the foregoing, respondent
acknowledges that Eagle County may be required to release the information in
accordance with the Colorado Open Records Act or order of the court.
9. Eagle County will not pay for any information requested herein, nor is it liable for
any costs incurred by the respondent in connection with its response to this RFP.
10. No work shall commence nor shall any invoices be paid until the successful
respondent has entered into a fully executed agreement with Eagle County and
provides the requested proof of insurance.
11. As of August 7, 2006, state and local government agencies are prohibited from
purchasing services from any contractor that knowingly employs illegal
immigrants to help carry out publicly funded work. Pursuant to the provisions of
Colorado Revised 8latutes, 8-17.5-141, contractor,., must certify that they are
using the E -Verify Program or I)epartment Program to verify the employment
eligibility of new employees. If a contractor awarded contract violates the
provisions of Colorado Revised 5tatulcs 8-17.5- l 01(2), the state or local
government agency may terminate the contract and the contractor will be liable
for damages to such agency_
12. No telephone or oral proposals will be accepted.
13. Proposals must he clearly identified on the front of the envelope by proposal title.
Responsibility for timely submittal of proposals lies solely with the respondent.
Proposals received after the elosing tiinc specified will not he considered unless
good cause is shown as determined by Eagle County in its sole discretion.
14. Rcspondent(s) who submit a proposal are responsible for becoming fully
informed regarding all circumstances, information, laws and any other matters
that might, in any way, affect the respondent's role and responsibilities. Any
failure to become fully knowledgeable shall be at the respondent's sole risk.
Eagle County assumes no responsibility for any interpretations made by
respondents on the basis of information provided in this RFP or through any other
source.

15. All respondents must include a f ulIy executed Proposal Form with their proposal.
16. Eagle County reserves the right to award an agreement to the respondent that
demonstrates the best ability to fulfill the requirements of the project based upon
our evaluation of the selection criteria.
17. This RFP is not intended to completely define the contractual relationship to be
entered into with the successful respondent(s).
18. Upon identification by Eagle County of the successful respondent, Eagle County
will give the successful respondent the first right to negotiate an agreement
acceptable to Eagle County. In the event that an agreement satisfactory to Eagle
County cannot be reached, Eagle County may enter into negotiations with one or
more of the remaining respondents. Eagle County may choose to discard all
proposals and re -issue another RFP. Any agreement reached is considered a non-
exclusive agreement. The Eagle County Airport reserves the right to enter into
multiple agreements with other respondenLs iFso desired.
19. The successful respondent will perform all of the work or services indicated in the
proposal in compliance with the negotiated agreement.
20. The successful respondent(s) shall comply with the following insurance language
which shall he included in the agreement to be awarded unless otherwise agrood
to in writing by Eagle County:
"Consultant agrees to provide and maintain, at Cons uhant's sole cost and
expense. the following insurance coverage with Iimits of liability not less than
those staled below:
a) 'Types of Insurance.
i) Workers' Compensation insurance as required bylaw
ii) Auto coverage with limits of liability not less than $1,000,(X)0 each
accident combined bodily injury and property damage liability insurance,
including coverage for owned. hired, and non -owned vehicles.
iii) Commercial General Liability coverage to include premises and
operations, personal/advertising injury, products/completed operations,
broad form property damage with limits of liability not less than
$1,000,000 per occurrence and $2,000,000 aggregate limits.
iv) Professional Liability Insurance with prior acts coverage for all Services
required hereunder, in a form and with an insurer or insurers satisfactory
to County, with limits of liability of not less than $1,000,000 per claim and
$2,000,000 in the aggregate. In the event the professional liability

insurance is on a claims -made basis, Consultant warrants that any
retroactive date under the policy shall precede the effective date of this
/Agreement. Continuous coverage will be maintained during any
applicable statute of limitations for the Services and Project."
17ne successful respondents) shall comply with the following other insurance
requirements which shall be included in the agreement to be awarded:
h) "(hher Requirements.
i) The automobile and commercial general liability coverage shall be
endorsed to include Eagle County, its associated or affiliated entities,
its successors or assigns, elected officials, employees, agents and
volunteers as additional insureds.
ii) Consultant's certificates of insurance shall include all sub -consultants
as additional insureds under its policies or Consultant shall furnish to
County separate certificates and endorsements for each sub -consultant.
All coverage(s) for sub -consultants shall be subject to the same
minimum requirements identified above. Consultant and sub -
consultants, if any, shall maintain the foregoing coverage in effect
until the Services are completed. In addition, all such policies shall be
kept in force by Consultant and its sub -consultants until the applicable
statute of limitations for the Project and the Services has expired.
iii) Insurance shall be placed with insurers duly licensed or authorized to
do business in the State of Colorado and with an "A.M. Best" rating of
not less than A -VII.
iv) Consultant's insurance coverage shall be primary and non-contributory
with respect to all other available sources. Consultant's policy shall
contain a waiver or subrogation against 1Sagle County.
v) All policies must contain an endorsement affording an unqualified
thirty (30) days notice of cancellation to County in the event of
cancellation of coverage.
Vi) All insurers must be licensed or approved to do business within the
State of Colorado and all policies must be written on a per occurrence
basis unless otherwise provided herein.
vii) Consultant's certificate of insurance evidencing all required
coverage(s) is attached hcmto. Upon request, Consultant shall provide
a copy of the actual insurance policy and/or required endorsements
required under this Agreement within five (5) business days of a
written request frim County, and hereby authorizes Consultant's
broker, without Further notice or authorization by Consultant, to

immediately comply with any written request of County for a complete
copy of the policy.
viii) Consultant shall advise County in the event the general aggregate or
other aggregate limits are reduced below the required per occurrence
limit. Consultant, at its own expense, will reinstate the aggregate
limits to comply with the minimum limits and shall furnish to County
a new certificate of insurance showing such coverage.
ix) If Consultant fails to secure and maintain the insurance required by
this Agreement and provide satisfactory evidence thereof to County,
County shall be entitled to immediately terminate this Agreement.
X) The insurance provisions of this Agreement shall survive expiration or
termination hereof.
xi) The parties hereto understand and agree that County is relying on, and
does not waive or intend to waive by any provision of this Agreement,
the monetary limitations or rights, immunities and protections
provided by the Colorado Governmental Immunity Act, as from fine
to time amended, or otherwise available to County, its affiliated
entities, successors or assigns, its elected officials, employees, agents
and volunteers.
xii) Consultant is not entitled to workers' compensation benefits except as
provided by Consultant, nor to unemployment insurance benefits
unless unemployment compensation coverage is provided by
Consultant or some other entity. The Consultant is obligated to pay all
federal and state income tax on any moneys paid pursuant to this
Agreement."
21. Further, the successful respondent(s) shall comply with the following
indemnification language which shall be included in the agreement to be awarded -
"Indemnification. The Consultant shall indemnify and hold harmless County, and any of
its officers, agents and employees against any losses, claims, damages or liabilities for
which County may become subject to, insofar as any such losses, claims, damages or
liabilities arise out of, directly or indirectly, this Agreement, or are based upon any
perfornmance or nonperformance by Consultant or any of its sub -consultants hereunder;
mid Consultant shall reimburse County for reasonable attorney fees and costs, legal and
other expenses incurred by County in connection with investigating or defending any
such loss, claim, damage, liability or action. 'Ibis indemnification shall not apply to
claims by third parties against the County to the extent that County is liable to such third
party for such claims without regard to the involvement of the Consultant. This paragraph
shall survive expiration or termination hereof"

Eagle County is soliciting proposals for the provision of professional services to perform
Airport Air Service Development consulting services. Only firms providing
comprehensive proposals will be considered. The selected f nn(s) is expected to have
adequate staffing to perform the services.
The respondent(s) selected to perform these tasks will work under contract for Eagle
County. The successful respondent(s) will work with the Eagle County Director of
Aviation and Eagle County staff.
SCOPE OF SERVICES
'Me speeihc scope of services will be developed with the successful respondenl(s);
however, the range of anticipated services includes, but is not limited to the following
Airline Ileadquarters Meetings and Presentations (up to eight per contract year)
Prepare all materials for airline headquarters meetings, including specific business cases
and presentations for targeted service_ Presentations will include specific demographic
analysis of the Airport catchment arca, economic analysis of the market region, overview
of historical and current airline market conditions, and a specific business case and
analysis of proposed new service or expanded service.
Attend all airline headquarters meetings with Airport and present the full business case
for current, new, and expanded service.
Provide all requested follow-up information requested by the airline following the
meeting.
Air Service Development Conference Meetings (up to seven rneetinlrs per conference,
unlimited conference attendance per contract year)
Work with Airport to identify target airlines for meetingss and to identify which
conferences Airport should attend and work with conference organizers to schedule
meetings.
Prepare all materials for airline conference meetings, including a specific business case
for targeted service. Presentations will include specific demographic analysis of the
Airport catchment area, economic analysis of the market region, overview of current
airline market conditions, and a specific business case and analysis of proposed new
service or expanded service.

Provide Airport with data reports, including:
■ Weekly schedule change reports detailing week -by -week changes for each airline
serving Eagle -Vail.
■ Monthly airline schedule reports with flight detail of arrivals and departures at
Airport.
• Monthly frequency and capacity summaries by airline and market for airports in
the region around Eagle -Vail. Airport will advise Consultant of airports to be
included in the summaries.
• Quarterly DOT traffic and fare data based on DOT DB]A survey data. Traffic
and revenue data detail and trends will be summarized at total airport and city pair
levels.
■ Unlimited ad hoe air service data and analysis at the Airport's request.
Passenger Leakage Study (one per contract year)
Once per year, using year-end first quarter data, develop a passenger leakage study for
submission to Eagle County detailing Airport use for catchment area passengers. The
study will include zip code level detail including passengers, average fares, revenue, top
markets, and marketing carrier.

has agreements in place to provide consulting services to 69 mostly small and medium size airports.

work while at Sixel.
Dur approach to air service development consulting is methodical and driven by the data airlines use to

Volaire Aviation Consulting is based near Indianapolis, Indiana and was formed in December 2016.
Vvhile ourfirm is new, the eight members of ourteam have worked together beginning in 2008 at Sixel
Consulting Group. Our proposed engagement manager is also a managing partner at Vol aire and has
provided air service development consulting services forty% other airports in Colorado — Durango and
Grand Junction.
Client List
Volaire Consultants have extensive experience working with a wide range of airports acro ss the United
States. Our experience and relationships with airports and communities have enabled us to grow our
client list quickly. Although the company was formed in December 2016, VoIaire has already performed
consulting services tar 69 airports. This work includes air service development consulting, marketing,

Michael will have sole responsibility for analyzing the data and creating the content included in each

delegate analysis of air service data or business case preparation to junior members of the firm, outside
vendors or subcontractors. At Volaire, the engagement manager assigned to each client performs the

The entire Volaire team is composed of eight members, each with extensive experience in air service

Michael has been working with clients on air service strategy and development as a consultant for the
last eight years. He brings more than a dozen years of airline
planning experience to Vdaire Aviation and offers clients his insight
into hovel airlines make new route decisions and how airlines predict
the financial performance of each route. Michael's current list of
clients includes the airports in Augusta, GA; Bakersfield, Burlington,
VT; Chattanooga, TN; Dayton, OH; Grand Junction, CO; Kalamazoo,
Ml; Key West, FL; Ncrthwest Arkansas, AR; Punta Gorda, FL and
Sioux Falls, SD.
Michael spent nine years at .American Airlines, where he worked in
American Eagle Planning and Marketing. His responsibilities included
route and schedule planning, network, fleet and competitive analysis, Vr`l_
codeshare relationships, negotiating minimum revenue guarantees
with airports, and ad hoc corporate development projects. Michael
has been a key negotiator between American Eagle and many airports seeking to partner with the
airline for new or expanded service. He understands air service development from "the other side of
the table." In his last three years with the airline, American Eagle launched 118 new routes.
In addition to his career at American, rviichael also spent time at both KPMG and Andersen Consulting.
He managed projects in transportation and travel services industries, working for clients who included
United Parcel Service (UPS), Airborne Express, Trans World Airlines (TWA), Burlington Northern Santa
Fe (.BNSF), and Norfolk Southern. Michael has an MBA. in Corporate Finance. He is based in Dallas,
Texas.
Jack Penning — Managing Partner
Jack has spent the last 16 years as a consultant working with airport
clients throughout North .America on air service development projects,
strategic business planning, and marketing initiatives.
As one of four partners in Vdaire Aviation, Jacks wide-ranging
responsibilities include developing case studies for new air service.
delivering presentations to airlines for additional service at client
airports, forecasting the impact of new service in client communities,
helping airports develop strategic business goals. working to streamline
airport governance, and building community coalitions in support of new
service. His work on client projects led to the initiation of more than 50
new airline routes. Jack has also written grant proposals worth more
than S15 million in funding for client airports.
Jack is known in the Pacific Northwest for his previous work as the
Aviation Reporter for KGW-TV, the NBC affiliate in Portland, Oregon, and Northwest Cable News
(NWCN). the 24-hour nevus channel covering five Northwest states. Jack is an Emmy, and an Edward

Michael Mooney — Managing Partner
Mike is well knoiwn in the industry. with 35 years of airline and air
service development experience. He started in the industry straight out
of college as a ramp and ticket agent for various commuter airlines,
eventually gaining his dispatcher license and loam ing the fine art of air
crew scheduling and planning.
Mike was one of the original employees of Midwest Express Airlines.
hired in 1984. At Midwest, he rose from Chief dispatcher to Vice
President of Planning, Pricing and Revenue Management. He spent
20 years with the airline, from 1984 to 2003. Mike then moved to air
service development consulting, spending the last 12 years working
with dozens of clients all over North America.
He is one of the nation's most respected experts in small airport air service development and strategic
planning. Mike has been named to the US Department of Transportation's Working Group on
Improving Air Service to Small Communities. Mike has a Bachelor of Science degree in Aviation
Transportation from the University of Dubuque. He is based in Denver
Jeff Hayes — Managing Partner
Jeff brings more than 20 years of aviation experience to Volaire. His experience includes airline and
airport marketing management, business development, media
placement and buying, air traffic forecasting, and stakeholder relations.
Jeff also spent six years working for the Federal Aviation Administration
as well as the Department of Homeland Security.
As the Business Development Manager for BAA -Indianapolis . tw:
International Airport [IND], he was responsible for conducting market
analysis and securing local stakeholder support that resulted in
additional air service and cargo growth. Jeff has also worked in contract

He started his career in the airline industry in 1995. where he worked for

travel agency management and operations. In 1999, Kris began his airport career with the Toledo
Lucas County Port Authority as an air service development analyst, where he worked for nine nears.
Kris successfully developed one of the first air service development programs and then increased his
knowledge to gain the position of Director of Business Development, Marketing and Community Affairs.
During his tenure at Toledo, Kris was responsible for attracting six new airlines. Kris was also involved
with promoting the development of Toledo's air cargo assets. Today, Toledo Express holds the title as
one of the world's top 50 air cargo airports.
Kris is actively involved with various airline, airport, and marketing organizations where he has been a
featured speaker at industry conferences and events such as AAA E's (National Air Service Conference,

Project Approach
The Vola ire Aviation's approach for working with EagleNail will he to huildon existing airline capacity to
ensure airline capacity increases and average fares fall so existing passengers continue to choose
Eagle County Regional Airport and new passengers are captured from other airports in the region,
primarily Denver International Airport. Airlines generallyview EagleMail as afavorable market because
it generates relatively high fares and has an affluent base of customers.
Traffic at EagleNail is seasonal, and airlines schedule cap acityto accommodate the seasonal nature of
the ski market. Exhibit 2 illustrates capacity, in terms of seats per day each way, and traffic, in terms of
passengers per day each way, peak in first quarter. First quarter 2017 capacity declined 2.7% and
traffic declined A.5% versus first quarter 2016, but published capacity in first quarter 201 8 will increase
19.0% to 1 ,961 seats per day each way. Given the additional capacity in first quarter 2018, traffic will
also increase. and fares should fall.
While the Airport should strive to secure more airline capacity in the peak season, a primary objective
of the Airport's air service development strategy should also be to secure more airline capacity in non -
peak periods of the year. The chart in Exhibit 2 illustrates the variance in capacity between the first
quarter from 2015 to 2018 versus second quarter through fourth quarter of each year. There is
significant opportunity to increase capacity in non -peak periods of the year, especially in the summer
months from June through august.

first quarter 2018 should result in lower airfares. Exhibit 3 illustrates EagleNail's average one-way
airfare has trended dawn 9.40A overthe last nine quarters from$346 in first quarter 2015 to $314 in first

Our proposed engagement manager, Michael Lum, has the bandwidth to accommodate Eagle County
Regional airport as a client. Michael is able to accommodate the workload of all EaglelVail project
engagementsto include the analysis of capacity, traffic and fare trends, preparation of business cases,
scheduling meetingswith airlines, travel to airline meetings, communication and negotiation with airline
personnel and ad-hoc requeststor data or information from the Director of Aviation.
Data Sources
Volaire Aviation has electronic subscriptions for the data needed to perform air service analysis and
build business cases. All subscription fees are absorbed by Volaire Aviation with no charge assessed
by Volaire to our clients for these subscriptions. These subscriptions include.

■ Database Products, Inc. — U.S. DOT DB1A Traffic and Revenue Data
• Sabre — Marketing Information Data Tapes (MI DT) data

All business cases prepared on behalf of the Airport will be prepared in PovverPo int for presentation to
airlines with a electronic copy of the document provided to the Airport in advance of any meeting with
an airline.
FAMILIARITY WITH EAGLE COUNTY
Volaire Aviation has experience working with Eagle County Regional Airport. Michael Lum recently
prepared materials on behalf of the Airport and presented the material at a headquarters meeting at
United Airlines in Chicago. The primary purpose of the meeting was to discuss United's performance in
EaglelVall, understand United's strategy in the marketand understand the criteria United will analyze in
determining to add any additional capacity in the market, including additional capacity far the Summer
2018 season.

SCOPE OF SERVICES
Airline Headquarters Meetings and Presentations
Consultant will prepare all materials for airline headquarters meetings, including specific business
cases and presentations for targeted service. Presentations will include specific demographic analysis
of the Airport catchment area, economic analysis of the market region, overview of historical and
current airline market conditions, and a specific hu sine ss case and analysis of proposed new service or

Consultant Will work with Airport to identify target airlines for meetings and to identify which conferences

area, economic analysis of the market region, overview of current airline market conditions, and a
specific business case and analysis of proposed new service or expanded service.
Consultant vAll provide all requested fallow -up information requested by the airline following the

Phone Calls an Ad -Hoc Analysis
Consultant will be available for an unlimited number of phone calls and an unlimited amount of ad-
hoc analysis for the term of the agreement on issues of air service development and recruitment.
Community Visits
Consultant vWI prepare and present in or around EagleNail up to two presentations per contract year
detailing the state of the airline industry, the state of air service at Eagle County Regional airport and
other pertinent information for community stakeholder meetings at the Airport's request.
Data Reporting
Consultantwill provide data reports on a regular basis as specified below.
• Weekly schedule change reports detailing week -by -week changes for each airline serving
Eagle -Vail.
• Monthly airline schedule reports with flight detail of arrivals and departures at Airport.
■ Monthly frequency and capacity summaries by airline and market for airports in the region
around Eagle -Vail. Airport will advise Consultant of airports to be included in the summaries.
■ Quarterly DOT traffic and fare data based on DOT DI31A survey data. Traffic and revenue
data detail and trends will be summarized at total airport and city pair levels.

Passenger Leakage Study
Consultant will develop a passenger retention and leakage study detailing Airport use for catchment
area passengers residing in the United States. The study will include zip code level detail including
passengers, average fares, revenue, largest markets, and carrier share by market.
The analysis Will include both filed passenger data and booking data by zip code based on data for the
mast recent available 12 month period of U.S. Department of Transportation D131 data (or any other
12 month period at the Airport's request). The study will use Consultant's proprietary methodology to
determine the retention of passengers at the Eagle County Regional Airport, leakage to other airports
and to develop an actual market size forthe catchment area.
BUD G EUP RI GI NG
We are proposing a fixed monthly retainer fee of $4,750 based on the deliverables as specified in the
scope of services and below in Table 4. The fixed monthly retainer fee will he hilted on a monthly basis
and will he payable within 30 days of the invoice date. Travel expenses will he hilted at actual cast plus
an administrative fee of 10% immediately fall awing the travel and vAII he payable within 30 days of the
invoice date.
