HomeMy WebLinkAboutC17-329 Auzimi ConsultingFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND AUZIMI CONSULTING, LLC THIS FIRST AMENDMENT ("First Amendment') is effective as of 9/30/2017 by and between Auzimi Consulting, LLC a Colorado limited liability company (hereinafter "Consultant" or "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 6`11 day of June, 2017, for certain Services (the "Original Agreement"); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $24,999; and WHEREAS, the County desires to have Consultant perform additional Services for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires on the 30"' day of September, 2017 and the parties desire to extend the term of the Original Agreement for an additional three months. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit Al, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit Al shall not exceed $22,500 or a total maximum compensation under the Original Agreement and this First Amendment of $47,499. Services provided during this three month contract extension shall be compensated in accordance with the fees and compensation established in Exhibit Al. 3. The term of the Original Agreement is hereby extended to the 3 V day of December, 2017. 4. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full farce and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. Moore Tille: Principal Consultant 3 Eagle County Amendment Ext Term Final 5/14 EXHIBIT A 1 SCOPE OF SERVICES, SCHEDULE, FEES 1. PURPOSE: Eagle County Department of Human Services (ECDHS) provides a wide array of State & Federally - mandated services to ensure the safety and stability of the most vulnerable populations in Eagle County and is in the midst of a significant transition in leadership. ECDHS seeks to extend its contract with an ECDHS professional to provide services outlined below during an additional three month interim operating period while new leadership is selected and subsequent ECDHS staffing and structure decisions are made to ensure continuity of public services, compliance with program requirements and to support timely and appropriate client service delivery. 2. PROVIDER RESPONSIBILITIES: Contractor will continue project management of HSConnects EDMS software implementation required to implement one of the key areas of focus within the ECDHS and Eagle County strategic plans. Deliverables for this project include: a) Collaboration and communication with Arapahoe County and Eagle County representatives for implementation, cut -over into the HSConnects production system, and related support; and b) System configuration for the implementation, cut -over into the HSConnects production system, and related support; and c) Pilot/testing through cut -over into the HSConnects production system; and d) Training delivered to Economic Services team members and leadership staff including the development of training materials and a training manual and tools for current and future use, e) Development of a written HSConnects User Guide; and f) Business process updates of Economic Services unit processes related to HSConnects software implementation including a revised Economic Services business process map reflecting changes through HSConnects implementation; and g) Consultation with Economic Services Leadership team to develop a transition plan and oversight/management plan for HSConnects; and h) Provide regular (typically weekly) updates and act upon any feedback or requested changes from ECDHS leadership team to ensure continued alignment against professional services agreement deliverables. In the event cut -over into the HSConnects production system is delayed beyond the term of this Amendment, all deliverables excluding actual cut -over activities remain as deliverables within the Amendment term. 3. FEES AND COMPENSATION: County shall pay Contractor in three monthly installments of $7,500 each. Total compensation is not to exceed $22,500. Each installment will be paid upon receipt of an invoice and satisfactory completion of Services performed for each monthly service period which begins on the I" of each month and ends on the last calendar day of each month. A detailed report of tasks performed, activity progress and any additional information requested by the County is due on or about November 15, 2017 (midpoint of the Agreement term).
