HomeMy WebLinkAboutC96-075 Paramount Fabrics IncAGREEMENT FOR PURCHASE AND INSTALLATION OF MINI BLINDS THIS AGREEMENT is made this 15th day of April , 1996, by and between the County of Eagle, State of Colorado, by and through its Board of County Commissioners (hereinafter "the County") ; and Paramount Fabrics Inc. doing business as Paramount Fabrics Inc. (hereinafter "Contractor" The County and the Contractor, in consideration of the mutual covenants hereinafter set forth, agree as follows: SECTION I. SCOPE OF WORK Contractor will provide all labor, equipment and materials to perform the following "Work": 1. THEIR ARE 27 WINDOWS IN DIFFERENT WIDTHS AND LENGTHS. CONTRACTOR SHALL MEASURE EACH WINDOW FOR PROPER SIZING OF BLINDS. 2. COLOR SELECTION WILL BE BY EAGLE COUNTY'S REPRESENTATIVE: JANET REUZELMAN, TECHNICAL SUPPORT SPECIALIST. 3. ALL BLINDS ARE TO THE SPECIFICATIONS OF CLASSICS. 4. STEEL HEADRAIL CHANNEL: 1 INCH HIGH BY 1/2 INCH DEEP "U" SHAPED CHANNEL. 5. ENCLOSED METAL BOTTOMRAIL: TUBULAR SHAPE, 0.28" THICK ELECTRO -ZINC COATED STEEL. PAINTED WITH VINYL PRIMER AND BAKED POLYESTER ENAMEL FINISH COAT. 6. THE BLINDS WILL BE ALUMINUM ALLOY, SLATS SHALL BE NOMINALLY 1 - INCH WIDE, AND .006" THICK. 7. CORD LOCK: SNAP -IN -DESIGN USING POLISHED WEAR SURFACES. CORD LOCK WILL BE A CRASH PROOF DESIGN THAT WILL LOCK UPON RELEASE OF LIFT CORD. CORD SEPARATORS SHALL PREVENT CORDS FROM TWISTING OR TANGLING. 8. SHAFT TYPE TILTER: SHALL BE OF A WORM AND GEAR TYPE ENCLOSED IN AN ACETAL HOUSING. TILTER SHAFT SHALL BE CLEAR POLYCABONATE AND THE GEAR SHALL BE NYLON. TILER SHALL BE A SNAP -IN COMPONENT. 9. BRAIDED LADDER: SHALL BE OF BRAIDED POLYESTER YARN WHICH WILL PROVIDE MAXIMUM STRETCH. HORIZONTAL COMPONENTS SHALL BE NOT LESS THAN TWO THREADS. DISTANCE BETWEEN END LADDER AND END OF SLATS WILL NOT EXCEED 22 -INCHES. 10. LIFT CORD: SHALL BE BRAIDED WITH POLYESTER JACKETS AND RAYON CENTER CORE AND SHALL BE 1.4MM. SHALL BE SUFFICIENT LENGTH TO CONTROL THE RAISING OR LOWERING OF THE BLIND AND BE SECURELY ANCHORED TO THE BOTTOMRAIL. 11. END STIFFENERS: SHALL BE ELECTROPLATED STEEL AND INSERTED AT EACH END OF HEADRAIL TO ADD RIGIDITY. FIELD ADJUSTMENT TABS ELIMINATE LATERAL MOVEMENT. 12. END SUPPORT BRACKETS: SHALL BE TREATED WITH STEEL WITH A VINYL PRIMER AND POLYESTER BAKED ENAMEL FINISH COAT TO MATCH HEADRAIL. 13. HOLD-DOWN BRACKETS: UNIVERSAL HOLD-DOWN BRACKETS FOR SILL OR JAMB INSTALLATION. 14. COLOR: COLOR OF HEADRAIL, BOTTOMRAIL LADDER, CORD AND PLASTIC ACCESSORIES SHALL COORDINATE WITH SLATS. 15. INSTALLATION OF ALL BLINDS, AS PER MANUFACTURES SPECIFICATIONS. SECTION II. COUNTY'S REPRESENTATIVE Janet Renzelman, the County's Buildings and Grounds Technical Support Specialist, is designated as the County's representative for purposes required hereunder. SECTION III. PRICE The price is $ > > 4n _ nn , payable in one lump sum upon County's acceptance of the materials and installation. The price excludes any sales or similar tax and County will assist Contractor to obtain exemption from such tax. SECTION IV. TERM Services under this Agreement shall commence immediately upon the execution of this agreement, and shall be completed on or before April 30, 1996. SECTION V. INSURANCE The Contractor shall purchase and maintain during the term of this Agreement insurance in the following types and coverages protecting him from claims which may arise out of or result from the Installation operations under this Agreement, whether such operations be by himself, or by anyone for whose acts he may be liable. A. Worker's Compensation Insurance as required by the laws of the State of Colorado. SECTION VI WARRANTY Contractor shall warrant installation free from defect for a period of one year following acceptance, and shall repair or replace the same upon receipt of notice of defect. Contractor shall provide the materials manufacturer's standard warranty; if none, Contractor shall warrant the materials free from defect for a period of one year following acceptance, and shall repair or replace same upon receipt of notice of defect. SECTION VII. INDEMNITY Contractor agrees to indemnify, defend and hold harmless the County, its respective agents, officers, servants, and employees of and from any and all loss, costs, damage, injury, whatsoever, of any nature arising out of or related to the Contractor's intention- al or negligent acts, errors or omissions and those of its agents, officer, servants and employees, whether contractual or otherwise in the performance of this agreement. ARTICLE VIII. MISCELLANEOUS A. No assignment or subcontracting by a party hereto of any rights or duties under, or interest in, this Agreement will be binding on another party without the written consent of the party sought to be bound. No assignment will release or discharge the assignor form any duty or responsibility under this agreement unless expressly provided in the consent. B. Venue and jurisdiction for any action arising out of this Agreement shall be in the County Court, Eagle County Colorado or the District Court sitting in Eagle County, Colorado, as appropriate in accordance with the remedy jurisdictions of those courts.
