GENERAL TERAS AND CONDMONS American Standard Inc. (ASID, and its affiliates, are committed to a policy of fair, honest and ethical business deals and conduct, and to full compliance with all applicable laws and government regulations. ASI requires every emloyee and affiliate in every area of business activity to meet extremely high standards of conduct. Adherence to the foregoing policy is an essential term and condition of this and every contract or agreement to which ASI and any of its affiliates is a party, and by its signature hereto each party of this Agreement accepts rhe foregoing policy as the governing condition and law of this Agreement. 1. Price Adjustment. The Trane Company reserves the right to renegotiate the price effective with each annual renewal of this agreement by forty-five (45) days written notice in advance of the expiration date. Automatically renewable agreements are cancelable by the written notice of either parry (for any reason or no reason) no later than thirty (30) days prior to the expiration date. The price quoted is based on standard business hours. 2. Payment and Taxes. A. Payment due net thirty (30) days upon receipt of invoice. Interest of 1 1/2% on unpaid balances may be charged by The Trane Company. The Trane Company may discontinue services whenever payment is overdue. B. Unless otherwise agreed, Customer shall pay, in addition to the stated price, all taxes not legally required to be paid by The Trane Company or, alternatively, shall provide The Trane Company with acceptable tax exemption certificates. 3. Acceptance. This agreement is subject to Customer acceptance within thirty (30) days from date. 4. Performance. Services will be performed during normal working hours with any overtime or emergency labor billed separately, unless otherwise agreed to in writing. The Trane Company's duty to perform under this agreement and the price hereof is subject to the approval of its' Credit Department and is also contingent upon strikes accidents, fires, the inability to procure materials from the usual sources of supply, or upon any like or unlike cause beyond the control of The Trane Company. Upon disapproval of the Credit Department or upon the occurrence of any such event as aforesaid The Trane Company may delay performance or, at its option. renegotiate prices, terms and conditions with the Customer. If The Trane Company and Customer are unable to agree on such revisions, this agreement shall be canceled without any liability, other than Customer's obligation to pay for services rendered by The Trane Company to thedate of cancellation. 5. Customer Obligations. Customer shall: A. Provide The Trane Company reasonable and safe access to all equipment covered by this contract; B. Reimburse The Trane Company for repairs, replacements, and/or emergency calls occasioned by any cause beyond The Trane Company's control. Such reimbursement shall be at current overtime/holiday rates for labor, and current price levels for materials unless otherwise agreed and may at The Trane Company's option be subject to a separate written agreement prior to its undertaking such work; C. Notify The Trane Company of any unusual performance of equipment included in this contract; and D. Permit only The Trane Company personnel to repair or adjust equipment and/or controls during the period of this agreement. 6. Exclusions. The Trane Company will not be responsible for. A. The repair and replacement of non -maintainable parts of the system such as unit cabinets, shells, ductwork, electrical wiring, hydronic piping, structural supports, boiler refractory material and shells, storage tanks and similar items; B. Any damage or malfunction resulting from freezing, corrosion or erosion on the water side of the equipment or caused by scale or sludge on internal tubes except where water treatment protection services are provided by The Trane Company as part of this agreement; C. Problems caused by utility service needed for operation of the equipment or damage sustained by equipment or systems not specifically included in this agreement; D. Furnishing any items of equipment, material, or labor, or performing special tests recommended or required by insurance companies or federal, state, or local governments unless specifically included in the scope of work of this agreement. E. Failure or inadequacy of any structure or foundation supporting or surrounding the unit(s) or any portion thereof; or F. Building access or alterations which might be necessary to repair or replace Customer's existing equipment. 7. Miscellaneous. A. Service and maintenance famished hereunder does not include the normal function of starting and stopping the listed equipment unless otherwise agreed. This includes among other things the opening and closing of valves, dampers or regulators normally installed to protect the equipment against damage, or for obtaining proper operation. B. If The Trane Company is required to make emergency calls to respond to or repair damage caused by extrinsic forces such as floods, fire, elements, lightning, riots, strikes, labor troubles, civil commotion of any kind, or any reason or event beyond The Trane Company's reasonable control or as described in Paragraph 7 Customer shall be separately billed for such time and expense. C. This agreement presupposes that all major pieces of equipment are in proper operating condition at the signing of this agreement. Required restoration shall be performed by Customer at its cost prior to The Trane Company's being obligated to perform under this agreement D. This agreement does not include air conditioning ductwork, electrical disconnect switches, recording or portable instruments, gauges or thermometers, services to any pipe covering or insulation containing asbestos, or responsibility for maintaining the appearance of decorative casing or cabinets. The furnishing of water treatment to protect the equipment or to provide satisfactory operation is not included and if found necessary Customer agrees to have it famished by The Trane Company or someone approved by The Trane Company at Customer's expense. E. If, during or prior to the performance of its functions hereunder, the Trane Company discovers the existence of a hazardous substance such as but not limited to asbestos it will stop work immediately and notify Customer of its existence. Customer agrees to take such steps as may be required in relation to the hazardous substance as will permit The Trane Company to safely resume its work hereunder. 8. Warranties. A. The Trane Company warrants that: 1. Trane manufactured material supplied is warranted to be free from defect in material and manufacture for a period of twelve months from date of start-up or replacement. The Trane Company's obligation under this warranty is limited to repairing or replacing the defective part at its option. 2. Labor is warranted (to have been properly performed) for a period of 90 days from completion. The Trane Company's obligation under this warranty is limited to correcting any improperly performed labor. 3. Non -Trane equipment and/or parts are not warranted by The Trane Company. Warranties for such equipment and parts are those extended to The Trane Company by the respective manufacturer B. There are absolutely no other warranties extended, including any implied warranties of FITNESS FOR PARTICULAR PURPOSE OR MERCHANTABILITY. 9. Liability. The Trane Company's liability for injury to persons or damage to property (including the Equipment and any other property) shall be limited to that caused directly and proximately by its negligence in performing operations under this agreement. The Trane Company shall not be liable for personal injury or for damages to any equipment or other property caused by reason or negligence of others, faulty system design, miscue, abuse or caused by conditions beyond its reasonable control or by unknown causes. In no event will The Trane Company be liable for any damages caused by Customer's failure to perform Customer responsibilities or for any claim by Customer based on any third -parry claim. The Trane Company reserves all rights of subrogation. IN NO EVENT SHALL THE TRANE COMPANY BE LIABLE FOR INCIDENTAL OR CONSEQUENTL-kL DAMAGES OF XNY NATURE WHETHER CLAIMED UNDER CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY. 10. Indemnification. The Trane Company shall indemnify and hold harmless Customer and its affiliates, and the directors, shareholders, agents and employees of each of them ("indemnities'), from and against any fine, penalty, loss, cost, damage, injury, claim, expense or liability (individually and collectively "Liabilities'), where and to the extend such liabilities arise out of or result from the negligence of The Trane Company as described in "Liability" above. 11. Insurance. The Trane Company agrees to cavy insurance in the following minimum amounts during the period of this agreement.: A. Commercial General Liability $2,000,000 per occurrence B. Automobile Liability $2,000,000 CSL C. Workers Compensation Statutory Limits 12. Entire Agreement. This instrument embodies the entire agreement between Customer and The Trane Company. Any modifications or amendments must be in writing and signed by both parties. The Trane Company, A Division of American Standard, Inc. August 8, 1995 Water Cooled Series R (Helical Rotary) Limited Inspection Maintenance Program The various services described below are provided as part of our Limited Maintenance Program. 1. Annual Winter Maintenance - Once a year a thorough preventive maintenance schedule will be performed including the following: • Check the evaporator refrigerant pressure and the condenser refrigerant pressure. • Check the liquid line sight glasses. • Replace oil filter. • Inspect refrigerant filter. • Tighten all electrical connections in the control panel and starter panel. • Measure the system superheat and system subcooling. • Inspect the entire system for unusual conditions and visually inspect the condenser tubes for fouling if owner removes the waterbox heads. • Check oil level. • Check the setting and function of each contrl. Inspect the condition of compressor and control contactors and replace as required. • Inspect all piping components for leakage and damage. Clean out any inline strainers. • Test vent piping of all relief valves for presence of refrigerant to detect improperly sealed relief valves. Notifiy owner and make proposal to replace any leaking relief valve. • Measure compressor motor winding resistance to ground. • Review operator log, instruct and advise troubleshooting techniques via log. • Report any uncorrected dificiencies noted. • Take oil sample and have analyzed for acid, moisture, and wear metals content. 2. Written Reports - Provided to customer representative following each regular inspection of emergency call. 3. Seasonal Start un (included with Annual Winter Maintenance and performed in • Test motor (meg) • Start machine - check controls and calibrate • Complete operating log and record settings • Check refrigerant and oil levels • Check starter operation, voltage and current 4. Operator Training Update • Limited training overview for current operators and new staff members • Question and Answer Review Period 5. Exceptions Replacement parts and components when required (will be charged at 1.05 X list price) • Refrigerant • Major repair labor - this includes all labor to diagnose, repair or replace failed components of the equipment covered under this agreement • Tube cleaning (brushing nor chemical cleaning) • Eddy current tube analysis for wear and pitting (Non-Destrctive Testing is recommended every three years under notmal operating conditions) • Emergency service calls (will be billed at contract rate of $ 60.00 per hour standard time) • Adequate water treatment by a qualified water treatment firm must be furnished for the equipemtn covered under this agreement. • Additional scheduled preventive maintenance inspections Trane Tracer 100 Maintenance Program Benefits of a Tracer Service Agreement: • Improve tenant satisfaction • Reduce operating expenses • Reduce maintenance expenses • Provide Peace -of -Mind to Building owners and staff • Improve knowledge and flexibility of Tracer operators • Extend mechanical equipment life Annual Service: The Trane Company will provide one inspection on your Tracer 100 Building Automation System. Our factory trained technicians will perform the following services: • Visually inspect panel for loose wiring and secure/tighen as necessary • Visually inspect panel for damaged parts. Trane will recommend replacement when applicable and provide a quotation for this work. • Clean inside of panel of any accumulated dirt, dust, or moisture • Clean outside of panel • Verify that the Manual Override switches are in the desired positions • Check the current Time and Date in the System Set -Up Menu and correct as necessary • View the Event Log and other items in the Status Displays • Batteries: inspect or replace as necessary • Check holiday entries in System Set-up Menu • Save a copy of the current Tracer program to tape or to BMN file as applicable This insures that in the unlikely event of loss of memory in your system, we could quickly restore your operating system parameters by downloading your most recent program over the phone line provided that your system has a modem option. • Program save of PCM/UPCM Controllers • Perform power supply check-out • Perform Processor Card check-out • Replace batteries on memory card • Check the operation of each binary output using the manual override switches • Training to ensure that the facility's operators are comfortable with the system Notes: 1. Version 15 Software Chin Kit Upgrade with Literature is included in your proposal. 2. It is recommended that the binary outputs, be more thoroughly checked by using the Operator Override in the Status Displays. Also, all analog inputs should be calibrated. This work is not included in the price of the maintenance contract. The Trane Company would be happy to provide an estimate to perform this work. OIL ANALYSIS Prevent Equipment Failures Qualified, scheduled predictive maintenance procedures are necessary if equipment owners and managers are to avoid costly shutdowns and failure. LABORATORY ANALYSIS OF OIL SAMPLES IS ONE OF THE FINEST PREDICTIVE MAINTENANCE TOOLS AVAILABLE TODAY. This provides the means, at modest cost, to "look inside" compressors without tearing them down for a complete inspection. By taking oil samples on a scheduled basis, laboratory analysis will, over a period of time, develop trends to establish normal operating baselines for wear metals for the equipment and lubricant being monitored. When unacceptable wear conditions develop inside your compressor, a corresponding detectable change in the characteristics of the oil will be noted. This scheduled analysis will spot trends that can be an early indication of potential major equipment problems before catastrophic failure occurs. Laboratory analysis of compressor oil provides benefits such as: 1. The ability to schedule repairs to reduce downtime. 2. Extends the operating time on an oil charge. 3. Eliminates the problems associated with disposing of used oil and substantially reduces maintenance costs. Analysis Program The first step in establishing a comprehensive and effective predictive maintenance analysis program is selection of a proper used oil testing program for the particular lubricant and application. If improper or inadequate testing is performed, the used oil program does not give complete information and wrong conclusions can be reached. The program must include the following: 1. Sampling at required intervals using proper techniques and procedures. The sampling interval will be recommended by a Trane analyst based on: a. The type of equipment. b. Application c. Operating frequency and duration. d. Results of previous analyses. 2. Accurate timely analysis of each sample. 3. Qualified interpretation of the data, related to the unit operation and maintenance history. 4. Reliable and prompt feedback of all data including chronological comparison of previous samples and specific preventive maintenance recommended. Only through a complete knowledge in each of these four areas can an effective sampling and analysis program be instituted. The information and recommendations are best determined with the assistance provided by a qualified service engineer. Qualified Analysts Refrigeration oil samples are received, tested and analyzed by professional chemists and trained analysts. Trane laboratory personnel have direct Engineering and Technical support in all areas of equipment design and operation. C Laboratory Facilities Samples of refrigeration oil are analyzed in Trane's modern facilities in Charlotte, North Carolina. It is furnished with the most advanced equipment available. An Emission spectrometer simultaneously measures the concentration of seven significant metallic elements in each refrigeration oil sample. It is important to note that typical spectroscopy analysis cannot detect particles greater than 10-15 microns in size. The human eye cannot discern particles smaller than 40 microns. This is why spectroscopy is often coupled with another analytical technique such as vibration analysis. The amount of moisture present in each sample is determined by the Karl Fischer Method. This method is especially useful for refrigeration system lubricants which must be maintained as free of water as possible to prevent damage to the internal components. The acidity of the oil is determined in accordance with ASTM -D664-81 and is reported as milligrams of potassium hydroxide/gm. of oil. These lab facilities include computer storage of oil tests in similar equipment and similar application as well as all previous history on your particular machine. This allows for the quick, valid analysis of each sample and all necessary interpretations and recommendations. Taking An Oil Sample Refrigeration oil samples should be taken by qualified, trained service engineers at scheduled intervals. For used oil analysis to be effective, the sample being analyzed must be representative of the system. Collection must be carried out in a way that insures the sample will not become contaminated. These steps cannot be overemphasized, because interpretation of the results of the laboratory analysis can only be as valid as the samples provided. ldition to withdrawing the physical sample, the service engineer provides data identifying the particular machine, the number of operating hours on the sample, oil type and reason for the analysis. The service engineer also provides necessary information and data covering his knowledge of previous maintenance problems, present machine operating conditions, and current maintenance, which is being performed on the machine. Correct sampling techniques and accurate unit history and operating parameters are necessary for valid analyses, interpretations and recommendations. Oil Analysis Report The standard oil analysis report will include three sections: 1. Numerical data on all tests performed as well as data from previous samples on the same machine. 2. Present and past interpretations and recommendations on samples from the same machine. 3. Graphing of the current test data with data from previous samples for comparative purposes. Your oil analysis report, plus the related knowledge of qualified and experienced service engineers, will provide you with valuable information about the internal condition of your equipment.
