AMENDMENT TO
SUBDIVISION and OFF-SITE IMPROVEMENTS AGREEMENT
ADDENDUM NUMBER 1
FOR RIVERWALK AT EDWARDS, LOT 3, PHASE 3
THIS Amendment made and entered into this day of s- 1997 by and
between by and between 4020 Land Investors, a general partnership anEagle Associates, a
Colorado limited partnership (hereinafter "Subdivider"), and the Board of County Commission-
ers of Eagle County, Colorado (hereinafter "County").
WHEREAS, pursuant to C.R.S. 30-28-37, the Board of County Commissioners of the
County of Eagle, State of Colorado ("County") entered into Addendum Number One, signed
August 15, 1995, to the Subdivision Improvements Agreement dated January 5, 1995 ("Agree-
ment") with 4020 Land Investors, a general partnership and Eagle Associates, a Colorado limited
partnership ("Subdivider"), recorder in Book 673 and Page 791 in the records of the Eagle
County Clerk and Recorder's Office, as a condition of final plat approval for Riverwalk At
Edwards, Lot 3, Phase 3; and
WHEREAS, the Subdivision Improvements Agreement required that all subdivision
improvements shall be completed prior to July 1, 1997; and
WHEREAS, certain public improvements associated with Riverwalk at Edwards, Lot 3,
Phase 3 have not been completed; and
WHEREAS, Subdivider requests an extension of the completion date to August 31, 1998,
and acknowledges the necessity of providing collateral therefore; and
WHEREAS, based thereon the County agrees to said extension.
NOW, THEREFORE, Addendum Number 1 to the Subdivision Improvements Agree-
ment is hereby amended to extend the date for completion of the public improvements to August
31, 1998.
THAT, all covenants and conditions of Addendum Number 1 to the Subdivision
Improvements Agreement which are not hereby expressly amended shall remain in full force and
effect.
THAT, the parties agree that this Amendment does not in any way abrogate the rights of
the County in enforcing the Subdivider's performance of his outstanding obligations under the
Agreement as amended.
