AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVICES
FOR GIS IMPLEMENTATION STUDY .
THIS Amendment is made and entered into this 13th day of Auaus t , 1997
by and between UGC Consulting (hereinafter "Contractor") and Eagle County, Colorado, acting
by and through its Board of County Commissioners (hereinafter "County")
WHEREAS, County and Contractor entered into an Agreement for Professional Services
dated December 30, 1996 ("Agreement"); and
WHEREAS, paragraph 4.g of the Agreement provided that additional services, if required
beyond the Scope of Work defined in Paragraph 1 of the Agreement, shall be separately
negotiated and agreed to by both the County and Contractor. Such additional services are set
forth in Exhibit "A"; and
WHEREAS, the Agreement required that all Work shall be completed no later than May
30, 1997; and
WHEREAS, the parties want to add project implementation planning services to the
Scope of the Work and extend the time for performance of the Work; and
WHEREAS, the extension of completion date to December 31, 1997 is necessary for the
completion of additional services.
NOW, THEREFORE, in consideration of their mutual promises herein, the parties agree:
A. The Agreement is amended in the following particulars:
1) The Scope of Work, paragraph 1 of the Agreement, is amended by adding
the services described in Exhibit `B" attached hereto and incorporated herein by this
reference.
2) The Time of Performance, paragraph 3 of the Agreement, is amended by
adding that the completion date for the Work specified in Exhibit `B" is December 31,
1997.
3) The Compensation and Payment, paragraph 4 of the Agreement, is
amended to add that the total fixed price labor fee for the Work specified in Exhibit `B"
is $97,900.00 and the expenses for that part of the Work are estimated as $14,685.00.
B. All terms and conditions of the Agreement which are not hereby expressly
amended shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have signed this document the year and date
first set forth above.
