This agreement made and entered into this 12T" day of June, 1997, by and between Super Bull Series, Inc. dba BULL RIDERS ONLY of 102 Inverness Terrace East, Suite 204, Englewood, CO 80112, hereinafter referred to as the "Licensor" and Eagle County Government, hereinafter referred to as the "Licensee." 2. It is understood and agreed that the term of this Agreement will, throughout the conditions of this Agreement, begin at the date of execution of this Agreement and shall terminate at 12 midnight the 26`h day of July, 1997. B. Licensor agrees to the following: 1. BRO Name usage: Licensor will grant the right to tag the Bull Riders Only logo and tradename to advertising and promotional material with your event name, "sanctioned or approved" by Bull Riders Only. 2. Releases: A liability release with the name of the event and BULL RIDERS ONLY will be provided to licensee for each contestant (BRO members and non BRO members), workers and all others whose activities involve competition areas (arena, chutes, pens, etc.) to sign. 3. Lists: A membership list and current money winnings list will be furnished. 4. Newsletter: Approval will be listed in the quarterly news letter. 5. Banners: 2 (two) Bull Riders Only banners will be provided for display in the arena. 6. Pay Out: A estimated pay out sheet and a fill in the blanks pay out sheet will be provided for the secretary. C. Licensee agrees to the following: 1. Liability Insurance: Will be provided through an "A" rated company with a limit of liability of $1,000,000 per occurrence. Policy must name Bull Riders Only, Inc., Wrangler, Coors Brewing Co., General Motors, Award Design 102 Inverness Terrace East Suite 204 • Englewood, CO 80112 • (303) 649-1234 FAX: (303) 649-1559 2120 West Ina Road Suite 201-S • Tucson, Arizona 85741 • (520) 544-9200 FAX: (520) 575-6488 Medals and Stetson Hats as additional insured. A copy of the this certificate is due in the BRO office two weeks before the first performance of the event. 2. Contestant Accident Insurance: BRO will arrange Contestant Accident Insurance covering accidental injuries to contestants occurring during the event. Cost of this coverage will vary depending on the event format. Appropriate cost to be borne by promoter. 3. Liability Release: BRO will provide a copy of a liability release to the promoter. It is required that the promoter establish a system to obtain releases from the contestants (BRO members and non BRO members), workers and all others whose activities involve competition areas (arena, chutes, pens, etc.). Originals of all releases to be delivered to BRO at the event conclusion. Promoter may make copies. 4. Contestants: BRO contestant members will have first priority to enter these events. If the maximum number of bull riders is not achieved, the producer may open the entries to other contestants. 5. Prize Money: $3,000 of added prize money to be combined with the entry fees collected, minus 5% for the BRO approval fee. The remainder of the prize money will be paid to the contestants. 6. Competition format: 30 contestants, with the top 10 to a final round. Estimated payout sheet is included. 7. Age Limit: No one under the age of 18 will be allowed to enter these events. 8. Sponsors: Sponsors may not conflict with BRO's national sponsorships with Wrangler, Original Coors Beer and Chevy Trucks. Please return your current and prospective sponsor list with this agreement. 9. BRO Name usage: This event is a Bull Riders Only sanctioned event and will be termed as such. it should not be billed as a "WRANGLER BULL RIDERS ONLY" event. (i.e. "SPECTACULAR BULL BASH 96' "sanctioned" or "approved" by Bull Riders Only ) 10.13RO mention: BRO affiliation will be mentioned a minimum of two times per performance by the live announcer. 11.Ambulance: An ambulance and qualified EMT personal will be present at each event. 12.Veterinarian: A veterinarian will be on site or on call. 13.Results: The results will be due in the BRO office by 12:00 noon, the Monday following the event. The judges sheets and liability waivers will be due in the BRO office by 5:00 PM the Friday following the event. 14.Fees: $500 (five hundred dollar) fee paid to Licensor for use of the BRO name, logo and contestants. 5% may be deducted from the added money and entry fees to recover this fee. If the 5% does not equal the minimum of $500 the remainder of the fee will be borne by the producer. 15.Independent Status: It is agreed and understood between the parties that nothing contained herein shall constitute or imply an agreement or JUN -19-1997 15:11 FROM BULL RIDERS ONLY TO 19703286444 P.02 understanding of joint venture, agency partnership or employment between the partied, and neither party shall have the authority to incur any financial or contractO obligations on behalf of the other. LICENSEE shall have no power of ,direction and control over BRO or BRO's employees, agents, subcontractors, volunteers, or the manner or method utilized by BRO in the performance of its business. BRO shall determine and have sole discretion over the manner and methods utilized to achieve the results desired by LICENSE and shall be solely responsible for the direction, control and supervision of its acts and those of its agents, employees, volunteers, and subcontraoore relating to the performance of this Agrooment. 16.1ndemnoication: BRO hereby agrees to indemnify and hold LICENSEE and its respective officers, directors, agents and employees, harmless from and agal4t any and all claims, domands, obligations, causes of actions and lawsuits and all damages, liabilities, fines, judgments, costs associated therewith, including reasonable attorneys fees, arising out of the actions of BRO or iti agents and employees in the pmr1iidlon and promotion of BRO Events or arising out of any breach by BRO of any of its duties hereunder. Licensee hereby agrees to indemnify and hold BRO. Rs officers, directors, agents and employees harmless from and against any and all claims, demands, obligations, causes of action and lawsuits in all damages, liabilities, fines, judoments, costs, including reasonable attorneys fees, arising out of the actions of LICENSEE or its agents and employees in the production and promotion of the Sanctioned Event or arising out of any breach by LICENSEE of any of Its duties hereunder.
