these entities are referred to as the "Parties," and individually as defined above or as a "Party."

WHEREAS, Crawford was awarded a Capital Improvements Projects Fund from Eagle County
for construction of the El Jebel Sidewalks and the Parties entered into a Capital Improvements
Project Funding Agreement for El Jebel Road Sidewalks dated August 5, 2011 ("CIP
Agreement"); and
WHEREAS, in accordance with the CIP Agreement, Crawford constructed an asphalt public
sidewalk /bicycle and pedestrian path through the Subject Property from Shadowrock Drive on
the south, to Clark Drive on the north in the locations depicted in the attached Exhibit B
("Sidewalk Improvements "), providing a benefit to Crawford and the County as a whole; and
WHEREAS, paragraph 1.3.5 of the CIP Agreement provides that Crawford shall enter into a
Public Use and Sidewalk Maintenance Easement Agreement for the perpetual continued use of
certain sidewalks by the public and the maintenance thereof, and
WHEREAS, Crawford is willing to grant to County a perpetual, non-exclusive easement for use
and enjoyment of the public and is willing to assume maintenance obligations all as set forth
herein.
AGREEMENT
1. Easement Grant. Crawford hereby grants to County a perpetual, irrevocable and non-
exclusive easement for use by the public across the Subject Property at the locations

("Agreement") made and entered into this ,-" day of , 2015, by and between Eagle
County, State of Colorado by and through its Board of County Commissioners ("County") and
Crawford Properties, LLC a Colorado limited liability company ("Crawford"). Collectively
these entities are referred to as the "Parties," and individually as defined above or as a "Party."
RECITALS
WHEREAS, Crawford is the owner of property located in the southeast quarter of Section 34,
Township 7 South, Range 87 West of the Sixth Principal Meridian, County of Eagle, State of
Colorado, that is adjacent to El Jebel Road and JW Drive, as shown in the attached Exhibit A and
having the following Eagle County parcel numbers:
239134410002 (Eagle County Schedule Number: R065230);
239134400019 (Eagle County Schedule Number: R030436);
239134317001 (Eagle County Schedule Number: R063085);
239134400019 (Eagle County Schedule Number: R030436); and
246503100004 (Eagle County Schedule Number: R026841)
("Subject Property"); and

Public Use and Sidewalk Maintenance Easement Agreement for the perpetual continued use of
certain sidewalks by the public and the maintenance thereof; and
WHEREAS, Crawford is willing to grant to County a perpetual, non-exclusive easement for use
and enjoyment of the public and is willing to assume maintenance obligations all as set forth
herein.
AGREEMENT
Easement Grant. Crawford hereby grants to County a perpetual, irrevocable and non-
exclusive easement for use by the public across the Subject Property at the locations
identified as Trail Easement `A', Trail Easement `B' and Trail Easement `C' and with the
corresponding legal descriptions set forth in the attached Exhibit B, which is incorporated
herein by this reference (the "Easement Area"). The Easement Area and Sidewalk
Improvements may be used by the public as a sidewalk for such non -motorized uses to
include but not limited to, pedestrian and bicycle use. Motorized vehicles shall not be
permitted on the Sidewalk improvements, except for sidewalk maintenance, repair and
emergency purposes or as may be required by law.
2. Crawford Rights. Crawford hereby reserves the right to authorize utility easements
along, across, under and through the Easement Area and to install landscaping and entry
features subject to this Agreement so long as any such work does not unreasonably
interfere with the public's access to the Easement area. All such utility easements shall
be subject to this Agreement. Crawford may operate motorized maintenance equipment
on the Sidewalk Improvements for maintenance purposes such as snow removal. Except
as otherwise provided herein, Crawford shall have the rights accorded to the general
public to use the Improvements and Easement Area.
3. Crawford Maintenance Responsibility. Crawford will, at its sole cost and expense,
provide all maintenance of the Sidewalk Improvements and Easement Area, including but
not limited to, snowplowing, sweeping, repairs to ensure that the Sidewalk Improvements
can be accessed by the public at all reasonable times and as necessary to maintain and
repair any damage to the Sidewalk Improvements and Easement Area in a safe and
serviceable condition.
4. County Responsibility. County shall be solely responsible for ownership and
maintenance of the crosswalks and signs within the County's right of way. Except as
expressly provided herein, Eagle County shall have no maintenance obligation related to
the Sidewalk Improvements or Easement Area, financial or otherwise.
5. Governmental Immunity. County shall have all of the protections available to it under
Colorado law and does not waive or intend to waive the limitations on liability which are
provided to it under the Colorado Governmental Immunity Act, C.R.S. 24-10-101 et. seq.
6. Liabilities and Indemnification. Crawford assumes all liabilities associated with the
maintenance of the Sidewalk Improvements and the Easement Area. Accordingly,
Crawford agrees to release, indemnify and hold harmless County, and its officers, agents
and employees, against any and all claims or causes of action of any kind arising out of
damage to real or personal property, or injury and/or death to persons, including the
property, agents or employees of either party, resulting in any way from the operations
and duties undertaken by Crawford in connection with the maintenance of the Sidewalk
Improvements and Easement Area. Crawford shall further indemnify and hold harmless
County and its officers, agents, and employees from any and all claims, damages, suits,
costs, expenses, liabilities, actions or proceedings of any kind or nature whatsoever,
including workers' compensation claims, of or by any person, in any way resulting form
or arising out of, either directly or indirectly, the duties undertaken by Crawford in
connection with this Agreement.
7. Remedies. The rights and obligations set forth in this Agreement may be enforced for
specific performance, injunctive or other appropriate relief, including damages, as may be
available according to the laws and statutes of the State of Colorado. It is specifically
understood that by executing this Agreement both parties commit themselves to the terms
and conditions contained herein. In the event than an action is brought to enforce this
Agreement, the prevailing party shall be receive its fees and costs, including reasonable
attorney fees.
8. Recording and Covenant Running with the Land. This Agreement shall be recorded in the
records of the Office of the Eagle County Clerk and Recorder and shall constitute a
covenant running with the Subject Property, as a burden thereon, for the benefit and shall
be specifically enforceable by Eagle County against Crawford, its successors and assigns.
9. Interpretation. It is the intention of the parties that all questions with respect to the
construction and interpretation of this Agreement and all rights and liabilities of the
parties hereunder shall be determined in accordance with the laws of the State of
Colorado.
10. Notices. All notices or other communications made pursuant hereto shall be in writing
and shall be deemed properly delivered, given or serviced (i) when personally delivered,
or (ii) three (3) calendar days after being deposited in the United States mail, certified or
registered, postage prepaid, return receipt requested, (iii) when delivered by Fed Ex or
other comparable courier service, charges prepaid, to the parties at their respective
addresses listed below, or (iv) when sent via facsimile so long as the sending party can
provide a facsimile machine or other confirmation showing the date, time and receiving
facsimile number for the transmission. Either party may change its address for the
purposes of this paragraph by giving five (5) days prior written notice to of such change
to the other party.

11. Severability. Whenever possible, each provision of this Agreement shall be interpreted in
such a manner as to be valid under applicable law; provided, however, if any provision of
this Agreement shall be invalid or prohibited under applicable law, such provision shall
be ineffective to the extent of such invalidity or prohibition without invalidating the
remaining provisions of this Agreement.
12. Duration. This Agreement shall remain in effect in perpetuity unless amended or
terminated by mutual agreement of the parties.
13. Authority. Each of the parties warrant that they possess the legal authority to enter into
this Agreement and that they have taken all actions required by law to exercise that
authority, and to lawfully authorize their undersigned signatory to execute this
Agreement and to bind them to its terms. The person executing this Agreement on behalf
of each party warrants that such person has full authorization to execute the same.
14. Waiver. The waiver of any breach of a term, provision or requirement of this Agreement
shall not be construed or deemed a waiver of any subsequent breach of such term,
provision or requirement, or any other term, provision or requirement.
15. Authority. Crawford hereby represents that it is the record owner of the Subject Property
upon which the easement is granted and has the full power and authority to execute this
Agreement. Further, Crawford warrants title to the easement granted herein.
16. Modification and Amendment. The parties agree that any modifications to this
Agreement shall be effective only when made in writing signed by both parties and
recorded with the Clerk and Recorder of Eagle County, Colorado.
17. Insurance. Crawford and County shall insure themselves separately against liability, loss
and damages arising out of the use of the Easement Area.
18. Entire Agreement. The parties hereto agree that neither has made or authorized any
agreement with respect to the subject matter of this instrument other than expressly set
forth herein, and no oral representation, promise, or consideration different from the
terms herein contained shall be binding upon either party, or its agents or employees.
19. Appropriation Limitation. Nothing herein shall be construed as the creation in the
County of a multi -fiscal year direct or indirect debt or other multiple -fiscal year financial
obligation.
20. No Third Party Beneficiaries. It is expressly understood and agreed that the enforcement
of the terms and conditions of this Agreement and all rights of action relating to such
enforcement, shall be strictly reserved to the County and the Crawfords. Nothing
contained in this Agreement shall give or allow any claim or right of action whatsoever
by any other third person or entity. It is the express intention of the County and the
Crawfords that any such person or entity receiving services or benefits under this
Agreement shall be deemed an incidental beneficiary only.
21. Successors and Assigns. This Agreement shall be binding upon and inure to the benefit
of the Parties and their respective successors and assigns.
