THIS TRAIL EASEMENT AGREEMENT (the "Trail Easement Agreement") is made
as of the July 18 , 2017 (the "Effective Date") between Eagle County School District RE -
50J, with an address of 948 Chambers Avenue, Post Office Box 740, Eagle, CO 81631 ("District")
and Eagle County, Colorado, a body corporate and politic ("County"), whose address is 500
Broadway, Post Office Box 850, Eagle, CO 81631. District and County shall collectively be
referred to as the "Parties".
WITNESSETH:
WHEREAS, District is the fee owner of certain real property located in Eagle County, State
of Colorado which is described and depicted on Exhibit A (the "Property"); and
WHEREAS, District granted to County, on July 19, 2016, a perpetual, non-exclusive
easement across a portion of the Property for purposes of constructing, maintaining, repairing and
replacing a paved recreational trail ("Trail") and related improvements for the benefit of, and use
and enjoyment by the public (the "Original Agreement") recorded in the Office of the Eagle County
Clerk and Recorder at Reception 201611563; and
WHEREAS, District has agreed to allow the Trail to occupy a portion of the Property that is
planned for a future access road to the Property (the "School District Road"); and County has acted
on District's behalf to seek additional property from the Colorado Department of Transportation
("CDOT") through CDOT's Disposal of Excess Property process to mitigate constraints due to the
grant of easement for the Trail project; and County will facilitate conveyance of said property to
District upon approval from CDOT ("CDOT Property Acquisition"); and
WHEREAS, CDOT and the County continue to pursue an agreement pertaining to
obtaining the additional property; however, the County desires to initiate construction of the Trail
prior to finalizing the CDOT Property Acquisition conveyance; and
WHEREAS, the District has agreed to allow the County to initiate construction prior to
conveyance of the CDOT Property Acquisition; and
WHEREAS, County wishes to obtain a Temporary Construction Easement to facilitate
construction of the Trail and access to the Trail construction, as depicted on Exhibit E; and
WHEREAS, the County and District agree that the Original Agreement should be amended
and superseded in whole by this Trail Easement Agreement.
EASEMENT
NOW, THEREFORE, in consideration of the foregoing premises and the following
promises, the Parties hereto hereby agree as follows:
1. Grant of Easement. District, for good and valuable consideration the sufficiency of
which is hereby confessed and acknowledged, hereby grants a twenty (20) foot wide, non-exclusive

easement and right-of-way over, upon, under, and across the "Easement Area" as described and
depicted in Exhibit B, to County, for the benefit of the public, for construction, operation, use,
maintenance, repair, and replacement thereon of a paved Trail and Trail Improvements to have and
to hold the same, together with all and singular the appurtenances and privileges thereunto, for
proper use and the benefit of the County, its successors and assigns and for use and enjoyment by
the public. "Trail Improvements" shall mean and include any or all or some of the following
construction items: excavation, embankment, asphalt, gravel shoulders, fencing, signs, pavement
markings, ditch and drainage grates and pipes, side slopes, wall and railing, as necessary.
A. The Easement granted by this Agreement is non-exclusive and District reserves the right
to use for itself and to grant for others rights-of-way over, under, across or through the
Easement Area herein granted, provided that they do not interfere with the right of
County to use the same for the purposes herein granted. District reserves the right to use
and enjoy the Property to the fullest possible extent without unreasonable interference
with the exercise by County of the rights granted in this Trail Easement Agreement.
Without limiting the foregoing, in the event that Trail Improvements are damaged or
destroyed by District, its employees, agents, or contractors, then District shall be
responsible for repair, replacement, and restoration of the Trail Improvements to their
condition prior to such destruction or damage. Except for the Existing Driveway (as
defined in paragraph 8) and possible expansions thereof across the Easement Area, the
District shall not place, construct or maintain any structure on or above the surface of the
Easement Area that would unreasonably obstruct access to or the use of the Easement
Area.
B. Permitted Uses. The Trail and the Trail Easement shall be made available to the public
for passive recreational purposes, including, but not limited to, bicycles, pedestrians,
wheelchairs, horseback riders, and other non -motorized users (the "Permitted Uses").
Except for approved road crossings, motorized vehicles shall not be permitted within the
Easement Area, except during construction, maintenance, repair or replacement of the
Trail Improvements and for emergency vehicle and emergency access or as may be
required pursuant to the Americans with Disabilities Act ("ADA"). No parking is
permitted on the Trail Easement or on the Trail except in the event of an emergency or
as may be required by the ADA. Except with respect to motorized vehicles operating
pursuant to the ADA, all motorized vehicles accessing the Trail Easement and the Trail
shall use warning signs or warning lights or warning sounds to alert Trail users to their
presence, and shall not obstruct access to or impede or interfere with the reasonable use
of the Trail Easement or the Trail for the purposes described herein. County may install
signs within the Trail Easement to mark the Trail and to identify the Trail Easement as
being subject to this Agreement, the size, number and location of which shall be subject
to District's prior reasonable approval.
2. Termination: This Trail Easement Agreement may be terminated as set forth below:
A. By written agreement of the parties hereto; or
B. If the District determines it requires construction of the School District Road, its board
has approved plans to do so, and the County and CDOT have not finalized the CDOT
Property Acquisition, District may request termination of the Trail Easement Agreement.

Such termination shall be in writing and consent to such termination shall not be
unreasonably withheld; or
C. If in County's sole discretion, the Trail for which this Trail Easement Agreement was
originally granted is no longer necessary for any reason, County may request termination
of the Trail Easement Agreement. Such termination shall be in writing and consent to
such termination shall not be unreasonably withheld; or
D. At the election of either parry, and effective upon delivery of written notice to the other
party hereto of such election, if the County affirmatively abandons the Trail Easement
Agreement by resolution of the Board of County Commissioners.
E. In the event this Agreement is terminated as set forth herein, County shall reasonably
reclaim the surface of the Trail Easement to a condition satisfactory to the District which
is equal to the natural condition which existed prior to the construction of the Trail,
provided, however that District shall not require such reclamation in the event it
determines it requires construction of School District Road. For purposes of this
Agreement, "natural condition" shall mean removal of the asphalt Trail, fencing and
guard rails, and reseeding with native grasses or bushes.
3. Duration. The parties agree that this Trail Easement shall be perpetual unless earlier
terminated pursuant to the terms of paragraph 2 hereof.
4. Construction of Trail Improvements. County will be responsible for obtaining all
necessary permits to construct the Trail. County shall cause its contractor to construct the Trail
Improvements generally consistent with the final drawings prepared by SGM Engineering as set
forth in Exhibit C (the "Final Drawings" consisting of 134 pages). County will provide to District
the Final Drawings for review and approval by District prior to County initiating construction of the
Trail Improvements. Such review and approval by District shall occur within thirty (30) days of
submittal of the Final Drawings to District and approval shall not be unreasonably withheld.
County's contractor shall be responsible for any risk of loss occurring to material or property stored
or located by it on the Property during construction of the Trail Improvements. County will provide
written notice to District of the date construction will commence and the date the Trail will be
opened to the public.
5. Maintenance. District shall have no responsibility for any portion of the Trail
Improvements or Easement Area after the Trail is constructed and opened to the public. County
shall be solely responsible for the maintenance, repair, and replacement of the Trail Improvements
and all costs associated with the same. The County may perform chemical and mechanical weed
control on the Easement Area as needed. In the event County intends to perform maintenance,
repair or replacement activities that would result in Trail Improvements substantially different from
those approved in the Final Drawings previously reviewed and approved by the District, then
County shall present modified plans to the District for its review and approval. Approval of the
modified plans shall not be unreasonably withheld so long as the modified Trail Improvements are
located within the Easement Area.
6. Colorado Department of Transportation Property. County continues to endeavor to
purchase property from CDOT to allow the School District Road to be constructed on current
Interstate 70 right of way as depicted on the attached Exhibit D. However, this Easement
Agreement is not contingent on the CDOT Property Acquisition.
A. In the event that the County is successful in facilitating the CDOT Property Acquisition,
then the County will facilitate conveyance the same to the District within a reasonable
time of such agreement. Additionally, the County, at its own expense will relocate the
existing Interstate 70 boundary fence and CDOT pedestal.
B. In the event that the County is not able to facilitate the CDOT Property Acquisition, then
the Parties will work together to determine how to accomplish both the School District
Road and the Trail Improvements adjacent to one another. While the County shall have
no responsibility for construction, maintenance or repair of the School District Road, it
shall pay the cost of reconfiguring the Trail Improvements to accommodate the School
District Road. Attached at Exhibit F is an illustration of the Trail Improvements and the
School District Road in the event the CDOT Property Acquisition is not accomplished.
7. Consideration. County shall pay District a one-time payment of one hundred thousand
dollars ($100,000.00) for the Trail Easement identified in paragraph hereof prior to commencement
of construction of the Trail Improvements.
8. Property Access. In consideration of the grant of the easement herein, County will
incorporate the existing District driveway from U.S. Highway 6 to the Property into the design and
construction of the Trail. The existing driveway is depicted in the Final Drawings attached as
Exhibit C (the "Existing Driveway"). County will install trail and driveway traffic warning signs at
all locations where the Trail crosses the Existing Driveway and any future expansions thereof prior
to commencement of public use of the Trail. County will regrade to a level condition any portion of
the Existing Driveway disturbed during adjacent construction and provide six (6) feet of asphalt
apron on either side of the Trail at all locations where the Trail crosses the Existing Driveway to
facilitate vehicle travel across the Trail. Upon completion of the Trail, County is permitted to
periodically access the Easement Area through the Existing Driveway to District Property (at
approximate Final Plan station 115+00) for emergency maintenance ingress and egress. County
acknowledges that the District may develop the Property in the future and will expand and improve
the Existing Driveway as it crosses the Trail. District and County agree to cooperate as necessary to
accommodate possible future expansion of the Existing Driveway access to the Property from U.S.
Highway 6, or additional driveway crossing points over the Easement Area, but in no event shall
County be responsible for construction, maintenance and repair of an expanded driveway to the
Property, or any additional driveway crossing points the District may construct. Any damage to the
Trail Improvements caused by expansion, repair, replacement or maintenance of the Existing
Driveway or new driveway crossing points shall be the responsibility of the District.
9. Temporary Construction Easements. District hereby grants to County a non-exclusive
temporary easement ("Temporary Construction Easement") over, under, upon and across
portions of the Property depicted in the attached as Exhibit E (the "Temporary Construction
Easement Area") to allow County to construct the Trail Improvements. The Temporary Easement
Area shall include access to District property by the Existing Driveway from Highway 6. District
reserves the right to use for itself and to grant to others rights of way over, under, across or through
the Temporary Construction Easements, provided that they do not unreasonably interfere with
County's use of the Temporary Construction Easements and construction of the Trail
Improvements. The Temporary Easements shall terminate the earlier of (i) thirty (30) days after

County's completion of the Trail Improvements including final grading, seeding, mulching and
fertilizing, with exception that District hereby grants County access to the Temporary Construction
Easements for one (1) additional year from date the Trail Improvements are completed by County
so that County may perform chemical and mechanical weed control on the Temporary Construction
Easements.
10. Liability and Indemnification. The Parties intend that this conveyance of an easement
for recreational purpose shall be subject to all of the provisions, privileges, immunities, and
protections afforded to the District as the grantor pursuant to the Colorado Owners of Recreational
Areas -Liability Act, Sec. 33-41-101, et seq., C.R.S. In this regard, District and County acknowledge
and agree that: (a) County shall not impose any charge or fee to the public for use of the Trail;
(b) persons using the Trail for the Permitted Uses authorized herein shall constitute "invited guests"
of County, as such term is defined in such statute; and (c) nothing herein is intended to nor confers
upon any such person the legal status of an invitee or licensee to whom a duty of care is owed by
District. To the extent permitted by law and for claims not barred by the privileges, immunities,
and protections of such Act, County shall indemnify the District, its directors, employees, and
agents from claims arising as a result of County's failure to perform under this Agreement and in no
event shall County's obligation to indemnify exceed the limits set forth in the Colorado
Governmental Immunity Act. County and District shall have all protections available to them under
Colorado law and do not waive or intend to waive the limitations of liability which are provided
under the Colorado Governmental Immunity Act.
11. Notice. All notices or other communications made pursuant hereto shall be in writing
and shall be deemed properly delivered, given or served (i) when personally delivered, or (ii) three
(3) calendar days after being deposited in the United States mail, certified or registered, postage
prepaid, return receipt requested, or (iii) when delivered by FedEx or other comparable courier
service, charges prepaid, to the Parties at their respective addresses listed below their signatures, or
(iv) when sent via facsimile so long as the sending Party can provide a facsimile receipt or other
confirmation showing the date, time, and receiving facsimile number for the transmission. Either
Parry may change its address for the purposes of this paragraph by giving five (5) days prior written
notice of such change to the other Party.

12. Successors and Assigns. This Agreement shall be binding upon and shall inure to
the benefit of the Parties hereto and their respective successors and assigns and the benefits and
burdens hereof shall constitute covenants running with the title to the Property. Enforcement of this
Agreement and the rights and obligations hereunder are reserved solely for the Parties, and not to
any third party.
13. Warranty of Title. District represents that it is the record owner of the Property
and that it has full power and authority to execute this Agreement. This Easement is granted subject
to prior, recorded grants of easements. During the term of this Agreement, District shall not make or
authorize any use of the Property which is inconsistent with or interferes with the uses authorized
herein.
14. Governing Law and Venue. It is the intention of the Parties hereto that all
questions of construction and interpretation of this Agreement and the rights and obligations of the
Parties hereunder shall be determined in accordance with the laws of the State of Colorado. Venue
shall be in the District Court of Eagle County, Colorado.
15. Modifications. The Parties agree that any modification of this Agreement shall be
effective only when made in writing signed by both Parties which shall be recorded with the Clerk
and Recorder of Eagle County, Colorado.
16. Severability. Whenever possible, each provision of this Agreement shall be
interpreted in such a manner as to be valid under applicable law; provided, however, if any
provision of this Agreement shall be invalid or prohibited under applicable law, such provision shall
be ineffective to the extent of such invalidity or prohibition without invalidating the remaining
provisions of this Agreement.
17. Recitals. The recitals set forth above are incorporated herein by reference.
18. Recording. Upon execution by the Parties, this Agreement shall be recorded in the
records of the Eagle County Clerk and Recorder.
19. Annual Appropriations. All financial obligations of Grantee set forth in this
Agreement are subject to annual appropriation pursuant to C.R.S. § 29-1-110, as amended.
20. No Third Party Rights. This Agreement does not and shall not be deemed to confer
upon or grant to any third party any right enforceable at law or equity arising out of any term,
covenant or condition herein or a breach thereof.

PERMANENT EASEMENT DESCRIPTION
An easement situated in Tracts 53 and 56, Township 4 South, Range 84 West of the
Sixth Principal Meridian, according to the Supplemental Plat of the Independent Resurvey
thereof, accepted in the U.S. Surveyor General's Office June 20, 1922, also being situated
within a parcel of land described in that Warranty Deed recorded as Reception No.
200701445 of the Eagle County Clerk and Recorder's office, County of Eagle, State of
Colorado, said easement being more fully described as follows.
Beginning at the intersection of the northerly line of the Union Pacific Railroad
right—of—way, and the west line of said Tract 56, whence Corner No. 4 of Tract 56
bears N 00'08'25"E a distance of 1327.30 feet;
thence N 00'08'25" E along said west line of Tract 56 a distance of 31.18 feet;
thence N 78'01'03" E a distance of 63.99 feet;
thence 50.15 feet along a non—tangent curve to the left, having a radius of 723.86

An easement situated in Tracts 53 and 56, TownsWp 4 South, Range 84 West of the Sixth
Principal Meridian, according to the Supplemental Plot of the Independent Resurvey thereof,
accepted in the U.S. Surveyor General's Office June 20, 1922, also being situated within a parcel
of land described in that Warranty Deed recorded as Reception No. 200701445 of the Eagle
County Clerk and Recorder's office, County of Eagle, State of Colorado, said easement being
