AND
REGENTS OF THE UNIVERSITY OF COLORADO
(HEALTH LINKS COLORADO)
THIS SECOND AMENDMENT ("Second Amendment") is effective as of 06/28/2017 , by and
between Regents of the University of Colorado, a body corporate, on behalf of the University of Colorado
Denver, a public institution of higher education created under the Constitution and the Law of the State of
Colorado (hereinafter "Consultant" or "Contractor") and Eagle County, Colorado, a body corporate and
politic (hereinafter "County").
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 4``' day of August, 2015, for
certain Services (the "Original Agreement"); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services
with compensation in an amount not to exceed $92,000; and
WHEREAS, by a First Amendment dated July 5, 2016 the parties modified the scope and compensation
and extended the term of the Original Agreement to June 30, 2017; and
WHEREAS, the County desires to have Consultant perform additional Services for additional
compensation as set forth below; and
WHEREAS, the term of the Original Agreement expires on the 3e day of June, 2017 and the parties
desire to extend the term for an additional year.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth
below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described in
Exhibit A-2, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit A-2 shall not exceed
$112,500.
3. The term of the Original Agreement is hereby extended to the 30`h day of June, 201S.
4. Capitalized terms in this Second Amendment will have the same meaning as in the Original
Agreement. To the extent that the terms and provisions of the Second Amendment conflict
with, modify or supplement portions of the Original Agreement, the terms and provisions
contained in this Second Amendment shall govern and control the rights and obligations of
the parties.

Except as expressly altered, modified and changed in this Second Amendment, all terms and
provisions of the Original Agreement shall remain in full force and effect, and are hereby
ratified and confirmed in all respects as of the date hereof.
G. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the Original
Agreement the day and year first above written.

SCOPE OF SERVICES
1. Reconcile monthly Health Links Lead Advisor expenses including outreach, preferred vendors
recruitment, advising, travel, related expense reimbursements, and financial admin support for the
entire Economic Development Region 12 (Pitkin, Eagle, Summit, Grand, and Jackson Counties).
2. Conduct up to seven training events throughout Region 12 — intended audience and topics may vary
based on locally identified needs. Training supporting materials will always be provided to ECPHE.
Trainings expenses shall include facilitator travel, time, related expenses, training material and
program support.
3. Provide ongoing technical assistance and support to the Health Links Advisors in their effort to
support employers in developing evidence -based worksite wellness and safety programs. This
includes, but is not limited to:
a. At a minimum, bi-weekly or monthly call/s with Region 12 Advisors
b. Support of Advisors for local employer outreach events, and resource development; as needed
c. Support of Advisors and ECPHE in the development of local strategic partnerships
d. Direct support to organizations and the WorkWell collaborative when advisors are absent.
4. Provide quarterly reports, both in aggregate and separated by County, to ECPHE. Quarterly reports
shall be submitted to ECPHE by the 7`h of the month. The reports shall include:
a. Number of employers receiving advising; Number of employers who have achieved Healthy
Business Certification; Number of employers who have received kick-start funding, and what
amount; Number of employees who are part of Certified Healthy Business employers; and
Qualitative examples of worksite wellness and safety programs implemented by employers as a
result of Health Links' involvement.
5. Provide and/or support communications and promotions of Health Links and the WorkWell
Collaborative throughout Economic Development Region 12.
6. Maintain consistent communication with core collaborators including ECPHE and Northwest
Colorado Council of Governments.
7. Develop and administer the Healthy Business Accelerator Program aimed at promoting evidence -
informed and sustainable health initiatives at the workplace across the entire Economic Development
Region 12. Scope includes the direct provision of funds to organizations and the staff support of
administering the program.
S. Manage and implement the marketing and communications plan for Health Links and worksite
wellness in Region 12. This includes maintaining the shared marketing calendar, development of
basic promotional materials such as flyers, implementation of advertising placement, and
coordination of messaging for promotions among Region 12 advisors and partners.
FEES:
The Contractor shall submit an invoice by the 3'd day of each month to PHinvoices@eaglecounty.us for
services provided the month prior. A report outlining the costs associated with the Scope of Services will
accompany the invoice. The invoice shall include all costs associated with the grant project as defined
above. Contract amount may not exceed $112,500 for the term of the Agreement. Payment will be made
by check and mailed to the Consultant from ECPHE grant funds.
