BETWEEN EAGLE COUNTY, COLORADO
AND
HDR ENGINEERING, INC.
THIS AGREEMENT ("Agreement") is effective as of 06/20/2017 by and between
HDR Engineering, Inc. a Nebraska corporation (hereinafter "Consultant") and Eagle County, Colorado, a
body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, County desires to utilize Consultant for facilities condition assessments (the "Project") for
Eagle County owned facilities (the "Property" or "Properties"); and
WHEREAS, Consultant is authorized to do business in the State of Colorado and has the time, skill,
expertise, and experience necessary to provide the Services as defined below in paragraph 1 hereof; and
WHEREAS, this Agreement shall govern the relationship between Consultant and County in connection
with the Services.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and the following promises Consultant and
County agree as follows:
1. Services. Consultant agrees to diligently provide all services, labor, personnel and materials
necessary to perform and complete the services described in Exhibits A and B ("Services") which is
attached hereto and incorporated herein by reference. The Services shall be performed in accordance with
the provisions and conditions of this Agreement.
a. Consultant agrees to furnish the Services no later than six months after the kick off
meeting and in accordance with the schedule established in Exhibit B which will be updated and
submitted to the County after the Agreement has been signed. Consultant agrees to furnish the Services
in a timely and expeditious manner consistent with the applicable standard of care. By signing below
Consultant represents that it has the expertise and personnel necessary to properly and timely perform the
Services.
b. County intends to enter into a separate agreement with DIGON Systems for the purchase,
licensing and support of the BUILDER software to be utilized by County and Consultant for the facilities
assessment.
C. In the event of any conflict or inconsistency between the terms and conditions set forth in
Exhibit A and B and the terms and conditions set forth in this Agreement, the terns and conditions set
forth in this Agreement shall prevail.

d. Consultant agrees that it will not enter into any consulting or other arrangements with
third parties that will conflict in any manner with the Services.
2. County's Representative. The Facilities Management Department's designee shall be
Consultant's contact with respect to this Agreement and performance of the Services.
3. Term of the Agreement. This Agreement shall continence upon the date first written above, and
subject to the provisions of paragraph 12 hereof, shall continue in full force and effect for a period of one
year.
4. Extension or Modification. This Agreement may not be amended or supplemented, nor may any
obligations hereunder be waived, except by agreement signed by both parties. No additional services or
work performed by Consultant shall be the basis for additional compensation unless and until Consultant
has obtained written authorization and acknowledgement by County for such additional services in
accordance with County's intemal policies. Accordingly, no course of conduct or dealings between the
parties, nor verbal change orders, express or implied acceptance of alterations or additions to the Services,
and no claim that County has been unjustly enriched by any additional services, whether or not there is in
fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder.
In the event that written authorization and acknowledgment by County for such additional services is not
timely executed and issued in strict accordance with this Agreement, Consultant's rights with respect to
such additional services shall be deemed waived and such failure shall result in non-payment for such
additional services or work performed.
5. Compensation. County shall compensate Consultant for the performance of the Services in a sum
computed and payable as set forth in Exhibit B. The performance of the Services under this Agreement
shall not exceed one hundred seven thousand three hundred sixty rive dollars ($107,365.00). In the
event Consultant and County agree upon the need for additional services beyond those described in
Exhibit B, those services shall be billed at the rates as set forth in Exhibit B. Prior to commencement of
any additional services, Consultant shall first provide County with a written estimate which shall include
an estimate of the labor, materials and any additional costs necessary to perform the services. Each
estimate must be approved by County's Representative prior to commencement of the services by
Consultant and all rates shall be in accordance with the rates set forth herein. Total compensation under
this Agreement shall not exceed one hundred thirty five thousand seventy eight dollars ($135,078.00)
without a written amendment to this Agreement. Consultant shall not be entitled to bill at overtime
and/or double time rates for work done outside of normal business hours unless specifically authorized in
writing by County.
a. Payment will be made for Services satisfactorily performed within thirty (30) days of
receipt of a proper and accurate invoice from Consultant. All invoices shall include detail regarding the
hours spent, tasks performed, who performed each task and such other detail as County may request.
b. Any out-of-pocket expenses to be incurred by Consultant and reimbursed by County shall
be identified on Exhibit B. Out-of-pocket expenses will be reimbursed without any additional mark-up

thereon and are included in the not to exceed contract amount set forth above. Out-of-pocket expenses
shall not include any payment of salaries, bonuses or other compensation to personnel of Consultant.
Consultant shall not be reimbursed for expenses that are not set forth on Exhibit B unless specifically
approved in writing by County.
C. If, at any time during the term or after termination or expiration of this Agreement,
County reasonably determines that any payment made by County to Consultant was improper because the
Services for which payment was made were not performed as set forth in this Agreement, then upon
written notice of such determination and request for reimbursement from County, Consultant shall
forthwith return such payment(s) to County. Upon termination or expiration of this Agreement,
unexpended funds advanced by County, if any, shall forthwith be returned to County.
d. County will not withhold any taxes from monies paid to the Consultant hereunder and
Consultant agrees to be solely responsible for the accurate reporting and payment of any taxes related to
payments made pursuant to the terms of this Agreement.
e Notwithstanding anything to the contrary contained in this Agreement, County shall have
no obligations under this Agreement after, nor shall any payments be made to Consultant in respect of any
period after December 31 of any year, without an appropriation therefor by County in accordance with a
budget adopted by the Board of County Commissioners in compliance with Article 25, title 30 of the
Colorado Revised Statutes, the Local Government Budget Law (C.R.S. 29-1-101 et. seq.) and the
TABOR Amendment (Colorado Constitution, Article X, Sec. 20).
5. 'Sub -consultants . Consultant acknowledges that County has entered into this Agreement in
reliance upon the particular reputation and expertise of Consultant. Consultant shall not enter into any
sub -consultant agreements for the performance of any of the Services or additional services without
County's prior written consent, which may be withheld in County's sole discretion. County shall have
the right in its reasonable discretion to approve all personnel assigned to the subject Project during the
performance of this Agreement and no personnel to whom County has an objection, in its reasonable
discretion, shall be assigned to the Project. Consultant shall require each sub -consultant, as approved by
County and to the extent of the Services to be performed by the sub -consultant, to be bound to Consultant
by the terms of this Agreement, and to assume toward Consultant all the obligations and responsibilities
which Consultant, by this Agreement, assumes toward County. County shall have the right (but not the
obligation) to enforce the provisions of this Agreement against any sub -consultant hired by Consultant
and Consultant shall cooperate in such process. The Consultant shall be responsible for the acts and
omissions of its agents, employees and sub -consultants or sub -contractors to the same extent as
Consultant is responsible to the County.
7. Insurance. Consultant agrees to provide and maintain at Consultant's sole cost and expense, the
following insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
Workers' Compensation insurance as required by law.

ii. Auto coverage with limits of liability not less than $1,000,000 each accident
combined bodily injury and property damage liability insurance, including coverage for owned, hired, and
non -owned vehicles.
iii. Commercial General Liability coverage to include premises and operations,
personal/advertising injury, products/completed operations, broad form property damage with limits of
liability not less than $1,000,000 per occurrence and $2,000,000 aggregate limits.
iv. Professional liability insurance with prior acts coverage for all Services required
hereunder, in a form and with an insurer or insurers satisfactory to County, with limits of liability of not
less than $1,000,000 per claim and $2,000,000 in the aggregate. In the event the professional liability
insurance is on a claims -made basis, Consultant warrants that any retroactive date under the policy shall
precede the effective date of this Agreement. Continuous coverage will be maintained during any
applicable statute of limitations for the Services and Project.
b. Other Requirements.
i. The automobile and commercial general liability coverage shall be endorsed to
include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials,
employees, agents and volunteers as additional insureds.
ii. Consultant's certificates of insurance shall include sub -consultants as additional
insureds under its policies or Consultant shall furnish to County separate certificates and endorsements for
each sub -consultant. All coverage(s) for sub -consultants shall be subject to the same minimum
requirements identified above. Consultant and sub -consultants, if any, shall maintain the Foregoing
coverage in effect until the Services are completed. In addition, all such policies shall be kept in force by
Consultant and its sub -consultants until the applicable statute of limitations for the Project and the
Services has expired.
iii. Insurance shall be placed with insurers duly licensed or authorized to do business
in the State of Colorado and with an "A.M. Best" rating of not less than A -VII.
iv. Consultant's insurance coverage shall be primary and non-contributory with
respect to all other available sources. Consultant's policy shall contain a waiver of subrogation against
Eagle County.
V. All policies must contain an endorsement affording an unqualified thirty (30)
days' notice of cancellation to County in the event of cancellation of coverage.
Vi. All insurers must be licensed or approved to do business within the State of
Colorado and all policies must be written on a per occurrence basis unless otherwise provided herein.

vii. Consultant's certificate of insurance evidencing all required coverage(s) is
attached hereto as Exhibit C. Upon request, Consultant shall provide a redacted copy of the actual
insurance policy and/or required endorsements required under this Agreement within five (5) business
days of a written request from County, and hereby authorizes Consultant's broker, without further notice
or authorization by Consultant, to immediately comply with any written request of County for a redacted
complete copy of the policy.
viii. Consultant shall advise County in the event the general aggregate or other
aggregate limits are reduced below the required per occurrence limit. Consultant, at its own expense, will
reinstate the aggregate limits to comply with the minimum limits and shall furnish County a new
certificate of insurance showing such coverage.
ix. If Consultant fails to secure and maintain the insurance required by this
Agreement and provide satisfactory evidence thereof to County, County shall be entitled to immediately
terminate this Agreement.
X. The insurance provisions of this Agreement shall survive expiration or
termination hereof.
xi. The parties hereto understand and agree that the County is relying on, and does
not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights,
immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time
amended, or otherwise available to County, its affiliated entities, successors or assigns, its elected
officials, employees, agents and volunteers.
xii. Consultant is not entitled to workers' compensation benefits except as
provided by the Consultant, nor to unemployment insurance benefits unless unemployment compensation
coverage is provided by Consultant or some other entity. The Consultant is obligated to pay all federal
and state income tax on any moneys paid pursuant to this Agreement.
8. Indemnification. Consultant agrees to defend the County, its officers, agents, servants and
employees (hereinafter individually and collectively referred to as "Indemnitees"), from all suits, claims,
demands, actions, or proceedings, and to the extent permissible by law, indemnify and hold harmless the
Indemnitees from:
A. All damages of liability, including costs, expenses and attorney fees, to the extent caused by any
negligent act, error, or omission of Consultant or any person or organization for whom Consultant
is responsible, and arising out of the performance of or failure of performance of any professional
services under this Agreement; and
B. All liability, loss, damage, claims, demands, costs and expenses, including, in part, court costs
and attorney fees, based upon any act, omission, or occurrence of Consultant or any person or
organization for whom Consultant is responsible, to the extent arising out of, in connection with,
resulting from or caused by the performance or failure of performance of any work or services

other than professional services under this Agreement, or from conditions created by Consultant's
performance or non-performance of said work or services.
9. Ownership of Documents. All documents prepared by Consultant in connection with the Services
shall become property of County. Consultant shall execute written assignments to County of all rights
(including common law, statutory, and other rights, including copyrights) to the same as County shall
from time to time request. For purposes of this paragraph, the term "documents" shall mean and include
all reports, plans, studies, tape or other electronic recordings, drawings, sketches, estimates, data sheets,
maps and work sheets produced, or prepared by or for Consultant (including any employee or
subconsultant in connection with the performance of the Services and additional services under this
Agreement). Documents shall be in excel, word and pdf format when transferred to County.
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i)
personally delivered, or (ii) when mailed in the United States mail, first class postage prepaid, or (iii)
when delivered by FedEx or other comparable, courier service, charges prepaid, to the parties at their
respective addresses listed below, or (iv) when sent via facsimile so long as the sending party can provide
facsimile machine or other confirmation showing the date, time and receiving facsimile number for the
transmission, or (v) when transmitted via e-mail with confirmation of receipt. Either party may change its
address for purposes of this paragraph by giving five (5) days prior written notice of such change to the
other party.

11. Coordination. Consultant acknowledges that the development and processing of the Services for
the Project may require close coordination between various consultants and contractors. Consultant shall
coordinate the Services required hereunder with the other consultants and contractors that are identified
by County to Consultant from time to time, and Consultant shall immediately notify such other
consultants or contractors, in writing, of any changes or revisions to Consultant's work product that might
affect the work of others providing services for the Project and concurrently provide County with a copy
of such notification. Consultant shall not knowingly cause other consultants or contractors extra work
without obtaining prior written approval from County. If such prior approval is not obtained, Consultant
shall be subject to any offset for the costs of such extra work.
12. Termination. County may terminate this Agreement, in whole or in part, at any time and for any
reason, with or without cause, and without penalty therefor with seven (7) calendar days' prior written
notice to the Consultant. Upon termination of this Agreement, Consultant shall immediately provide
County with all documents as defined in paragraph 9 hereof, in such format as County shall direct and
shall return all County owned materials and documents. County shall pay Consultant for Services
satisfactorily performed to the date of termination.
13. Venue, Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to
this Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado,
which shall be the sole and exclusive forurn for such litigation. This Agreement shall be construed and
interpreted under and shall be governed by the laws of the State of Colorado.
14. Execution by Counterparts: Electronic Signatures. This Agreement may be executed in two or
more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the
same instrument. The parties approve the use of electronic signatures for execution of this Agreement.
Only the following two forms of electronic signatures shall be permitted to bind the parties to this
Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the
image of the signature of an authorized signer inserted onto PDF format documents. All documents must
be properly notarized, if applicable. All use of electronic signatures shall be governed by the Uniform
Electronic Transactions Act, C.R.S. 24-71.3-101 to 121.
15. Other Contract Requirements.
a. Consultant shall be responsible for the completeness and accuracy of the Services,
including all supporting data or other documents prepared or compiled in performance of the Services,
and shall correct, at its sole expense, all significant errors and omissions therein. The fact that the County
has accepted or approved the Services shall not relieve Consultant of any of its responsibilities.
Consultant shall perform the Services in a skillful, professional and competent manner and in accordance
with the standard of care, skill and diligence applicable to Consultants performing similar services.

Consultant represents and warrants that it has the expertise and personnel necessary to properly perform
the Services and covenants that its professional personnel are duly licensed to perform the Services within
Colorado. This paragraph shall survive termination of this Agreement.
b. Consultant agrees to work in an expeditious manner, within the sound exercise of its
judgment and professional standards, in the performance of this Agreement. Time is of the essence with
respect to this Agreement.
C. This Agreement constitutes an agreement for performance of the Services by Consultant
as an independent contractor and not as an employee of County. Nothing contained in this Agreement
shall be deemed to create a relationship of employer-employee, master -servant, partnership, joint venture
or any other relationship between County and Consultant except that of independent contractor.
Consultant shall have no authority to bind County.
d. Consultant represents and warrants that at all times in the performance of the Services,
Consultant shall comply with any and all applicable laws, codes, rules and regulations.
C. This Agreement contains the entire agreement between the parties with respect to the
subject matter hereof and supersedes all other agreements or understanding between the parties with
respect thereto.
f. Consultant shall not assign any portion of this Agreement without the prior written
consent of the County. Any attempt to assign this Agreement without such consent shall be void.
g. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto
and their respective permitted assigns and successors in interest. Enforcement of this Agreement and all
rights and obligations hereunder are reserved solely for the parties, and not to any third parry.
h. No failure or delay by either party in the exercise of any right hereunder shall constitute a
waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding
breach.
i. The invalidity, illegality or unenforceability of any provision of this Agreement shall not
affect the validity or enforceability of any other provision hereof.
j. Consultant shall maintain for a minimum of three years, adequate financial and other
records for reporting to County. Consultant shall be subject to financial audit by federal, state or county
auditors or their designees. Consultant authorizes such audits and inspections of records during normal
business hours, upon 48 hours' notice to Consultant. Consultant shall fully cooperate during such audit or
inspections.
k. The signatories to this Agreement aver to their knowledge, no employee of the County
has any personal or beneficial interest whatsoever in the Services or Property described in this
Agreement. The Consultant has no beneficial interest, direct or indirect, that would conflict in any manner

or degree with the performance of the Services and Consultant shall not employ any person having such
known interests.
1. The Consultant, if a natural person eighteen (18) years of age or older, hereby swears and
affirms under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United
States pursuant to federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-103 prior to
the effective date of this Agreement.
16. Prohibitions on Government Contracts.
As used in this Section 16, the term undocumented individual will refer to those individuals from foreign
countries not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Consultant has
any employees or subcontractors, Consultant shall comply with C.R.S. 8-17.5-101, et. seq., and this
Agreement. By execution of this Agreement, Consultant certifies that it does not knowingly employ or
contract with an undocumented individual who will perform under this Agreement and that Consultant
will participate in the E -verify Program or other Department of Labor and Employment program
("Department Program") in order to confirm the eligibility of all employees who are newly hired for
employment to perform Services under this Agreement.
a. Consultant shall not:
i. Knowingly employ or contract with an undocumented individual to perform
Services under this Agreement; or
ii. Enter into a subcontract that fails to certify to Consultant that the subcontractor
shall not knowingly employ or contract with an undocumented individual to perform work under the
public contract for services.
b. Consultant has confirmed the employment eligibility of all employees who are newly
hired for employment to perform Services under this Agreement through participation in the E -Verify
Program or Department Program, as administered by the United States Department of Homeland
Security. Information on applying for the E -verify program can be found at:

C. Consultant shall not use either the E -verify program or other Department Program
procedures to undertake pre-employment screening of job applicants while the public contract for services
is being performed.
d. If Consultant obtains actual knowledge that a subcontractor performing work under the
public contract for services knowingly employs or contracts with an undocumented individual, Consultant
shall be required to:
i. Notify the subcontractor and County within three (3) days that Consultant has
actual knowledge that the subcontractor is employing or contracting with an undocumented individual;
and

ii. Terminate the subcontract with the subcontractor if within three days of receiving
the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop
employing or contracting with the undocumented individual; except that Consultant shall not terminate
the contract with the subcontractor if during such three (3) days the subcontractor provides information to
establish that the subcontractor has not knowingly employed or contracted with an undocumented
individual.
e. Consultant shall comply with any reasonable request by the Department of Labor and
Employment made in the course of an investigation that the department is undertaking pursuant to its
authority established in C.R.S. 8-17.5-102(5).
f. If Consultant violates these prohibitions, County may terminate the Agreement for breach
of contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement,
Consultant shall be liable for actual and consequential damages to County as required by law.
g. County will notify the Colorado Secretary of State if Consultant violates this provision
of this Agreement and County terminates the Agreement for such breach.

REQUEST FOR PROPOSAL
PROJECT DESCRIPTION
The Eagle County Facilities Management Department is seeking a consultant or consultant team
to prepare a plan that provides a comprehensive inventory and conditions assessment for multiple
county owned facilities. This Assessment will include a Capital Projects prioritized listing and
cost estimation for a period of five, ten and fifteen years. This plan will provide data and
recommendations that will guide the Facilities Management Department in effectively managing
the facilities in terms of suggested improvements, on-going preventative maintenance, and major
repairs based on conditions and life -cycle of assets.
In addition to the conditions assessment, the selected Consultant will recommend Eagle County
with a software package recommendation and cost estimate that digitizes the information
gathered during the conditions assessment. The cost estimate should include the first year set up
and licensing costs, broken out separately. The recommended software should allow Facilities
Management staff to continuously update the assessment and create new five, ten and fifteen year
UP planning reports with updated costing.
The Facilities Condition Assessment will require an outside consultant(s) with proven

understanding the normal operation and maintenance of these facilities.
Included with the RFP are the detailed minimum scope of services and tasks to be completed by
the Consultant. It is not the intent of Eagle County to outline a rigid scope of tasks as part of this
RFP. The Consultant is encouraged to develop a comprehensive approach with Eagle County
staff throughout the project that includes step-by-step interim deliverables and workshops.
SCOPE OF SERVICES
The scope of the consulting services shall include the following:
A facility by facility evaluation by inspection by the consultant's team in order to determine the
condition of the Eagle County facilities,
�..,.sum"iea, deferred maintenance, potential hazards, and compliance with
depreciation/replacement schedules for roofs/windows, heating and cooling systems and other
facility issues.
The preparation of the Facilities Condition Assessment for Eagle County will require
consultant(s) with proven qualifications in inventorying and assessing building systems and
infrastructure and understanding the normal operation and maintenance of these facilities.
Generally, the Scope of Services is divided into the following phases.
Phase 1: Data Sharing
Phase 2: Data Collection
Phase 3: Analysis and Assessment of Facilities
Phase 4: Final Prioritized Facilities Conditions Assessment
Due to the number of facilities and the scope of work to be performed at each facility, the
decision may be made to shorten the list of facilities or phase the implementation of the
assessments.
NOTE: Any reference to "Exhibit A" in this Exhibit is referring to
Facility Groupings and Fee in Exhibit B.

Phase 1: Data Sharing
Evaluate and perform risk analysis of existing data collected for each facility by Eagle County
Facilities Management Department.
Phase 2: Data Collection
The data collection effort will inventory the facilities listed in EXHIBU A. Data collection will
include supplementing inventory and conditions, based on items identified in Phase 1, of the
existing physical infrastructure or systems of the following:
• Architectural: Structural, roof, shell, iate*iens and envelope
■ Mechanical, electrical, plumbing
• Elevator and other conveyance systems
■ All alternative energy systems such as photo -voltaic that may be part of the facility
Exclusions to this assessment include: Information Technology infrastructure
All facilities will not require the same level of data collection efforts. The facilities list, Exhibit
A, provides a list of facilities grouped by type/uses within this task that will need to be
completed. Some facilities may take priority over others in the data gathering and analysis phases
of the work. The consultant will work with Eagle County to determine schedules for the work to
be completed.
Note that Eagle County has limited record documents including building plans. All available
plans are in PDF format and are not available in CAD.
The data gathered in this phase of work should provide enough detail to evaluate code
compliancy for the different building systems and what, if necessary, is required to become code
compliant at the time of construction.
Phase 2: Deliverables
1. Detailed schedule of facility tours to complete the project
2. Detailed list of data requested for all facilities
3. Tentative schedule of requested interviews with specific facility management staff
4. Detailed schedule of all tasks related to project completion
Phase 3: Facility Assessments
The consultant will develop a report that summarizes all of the information gathered during data
collection. This section of the report should clearly identify all inventoried systems (regardless of
deficiency of maintenance need) and any maintenance needs, repair needs, and deficiencies for
the different facilities. Emphasis should be placed on the criticality of the systems in relation to
the facility's primary operation resulting in a matrix of prioritized needs over the five, ten, and
fifteen year horizons.
Facility assessments must include the following:
1. A descriptive narrative of the deficiency, repair, or maintenance needs;
2. A descriptive location of the deficiency, repair, or maintenance needs;
3. Where appropriate, identification inefficient energy systems that may benefit from
replacement prior to end of life related to energy costs;

4. The corrective action(s) necessary to ameliorate the deficiency, repair or maintenance
need; and
5. The quantity of the deficiency, repair, or maintenance needs in enough detail to prepare a
detailed cost estimate.
6. Evaluation and recommendation of existing capital budgeting methods.
PHASE 3: Deliverables
Deliverables for Phase 3 of the Facilities Strategic Plan should include:
1. A report detailing the information for Phase 3 for all facilities inventoried and the systems
identified in this phase of work.
2. All pictures and other relevant documentation labeled to correspond with the facilities
shall be presented in PDF format.
3. Inspection report(s) for major systems and building components for all facilities.
4. Report of all repair needs, maintenance needs, and deficiencies (un -prioritized and without
cost estimates).
5. A description of the methodology used.
6. Consultation with Facilities Management Staff to discuss facility criticality, work
prioritization, costing, and cost escalation to create the Final Prioritized Facilities
Conditions Assessment.
PHASE 4: ANALYSIS and ASSESSMENT OF FACILITIES
CAPITAL INVESTMENT STRATEGY
1. Analyze, Interpret, and Summarize the Data
The consultant will prepare an analysis of the systems data gathered during Phase 3 of
the work and should address the following:
1. Code compliance 1 non-compliance including analysis of building energy performance
requirements
2. Site conditions
3. Roof assessment
4. Hazard assessment (risk or threat potential): Analysis of probable hazards (ie flood) and
recommendations for specific preventative measures to mitigate losses
5. Operational assessment: Review of current maintenance and operational practices (to
include annual maintenance closures) based on current industry best practices for similar
facilities
2. Cost Estimating
The consultant will provide a detailed cost estimate for each of the identified deficiencies, repairs,
or maintenance items. The cost estimates should, at a minimum, detail deficiencies/costs by major
building system or component and by facility.
3. Current Replacement Value (CRV) and Facility Condition Index (FCI)

The consultant will determine the CRV value for each of the major building systems and
components. With the information gathered from the data collection phase and the facility
assessment phase, the consultant will determine the FCI for the major building systems and
components. This information will be used to determine if a system or component or system
should be repaired or replaced based on the FCI.
Eagle County believes that some of the facilities listed in this RFP are in poor condition and may
not warrant a full or completed inventory and assessment. At the direction of the Project
Manager, in coordination with the consultant, Eagle County may decide not to proceed with an
inventory and analysis of a facility or scale down the analysis if preliminary assessments indicate
that a facility is beyond its useful life and would not warrant upgrades. Upon this determination,
the facility shall not need analysis in other phases of this RFP.
4. Software recommendation
Implementation of the software solution your firm is recommending to Eagle County, includes:
1. Customizable data base of all assets for continuous updating of conditions.
2. Reports related to long term CIP planning.
3. Tracking of remaining service life of facility and equipment.
4. Calculate and track building facility conditions index.
5. Forecasting long term capital investment requirements.
6. Development of long term investment alternatives based on prioritized functional needs,
safety/cost, and organizational mission.
7. Training of staff to an appropriate user Ievel.
PHASE 4 Deliverables
1. Summary of analysis findings.
2. A list of deficiencies and maintenance and repair needs recommendations that have been
prioritized based on knowledge of these systems and feedback from the department.
3. Cost estimates for addressing recommended repair needs, maintenance needs, and
deficiencies for all facilities.
4. Current replacement values and facility condition index.
5. Draft prioritized recommendations for facility maintenance 1 enhancements based on a
financial planning strategy.
6. All of the above information shall be submitted in Microsoft Excel and PDF format.
PROPOSAL SUBMITTAL REQUIREMENTS
1. Proposal Form. Must be signed and submitted with response.
2. Qualifications, Briefly explain your company's qualifications to provide the services
requested, e.g., years in business, staffing, vehicles to be utilized and experience and

management of these facilities.
3. Experience. Company must have successfully performed at least five Facility
Assessments, must have experience in the evaluation of facilities in the mountain regions.
4. Schedule. Provide anticipated schedule and/or time frame to complete assessment and
delivery of deliverables.
5. Budget/Pricing. Provide estimated "not to exceed" fee for the proposed services,
including a breakdown by facility grouping for all facilities. The "not to exceed" fees
shall include all costs, both direct and indirect, including any reimbursable expenses, a

6. Familiarity with Eagle County. Provide a narrative describing familiarity with the
weather, altitude and how this affects the building systems and equipment in Eagle
County.
7. References. Please provide three (3) references from current customers receiving the
same or similar service(s). Include name of entity, contact name and telephone number.
8. Legal Issues. Are there any lawsuits, federal, state or local tax liens, or any potential
claims or liabilities against you, your company or the officers of the company at this time
or within the last three years? If so, please explain.
9. Deliverables.
1. Description of the firms' understanding and approach of the project including the
expected deliverables.
2. Describe your firm's experience with energy audits and identifying energy efficiency
opportunities.
3. Eagle County staff time is extremely limited. Describe the level of involvement of
Eagle County Facilities Management staff for tours, interviews, and other
information gathering.
4. Describe what documents will be requested from Eagle County.
5. Describe the ability to complete the work for all facilities within the estimated six (6)
month duration of this project.
6. A description and milestone schedule of anticipated meetings based on the
consultants understanding of the phases and tasks associated with the project.
7. List at least five previous work examples and provide at least three examples that, as
closely as possible, represents the scope of worked covered in this RFP. Provide

10. Evaluation Criteria
All Consultants must be prepared to submit, within five days of Eagle County's request,
written evidence of their qualifications to perform as represented in their proposal. In
determining the Consultant's qualifications, the following factors will be considered:
1. Projects previously completed by the Consultant;
2. Staff and resources available;
3. Whether the Consultant maintains a permanent place of business;
4. Whether the Consultant has appropriate technical experience. Each Consultant may
be required to show that it has handled similar projects and that no just claims are
pending against such projects. No proposal will be awarded to a Consultant who is
engaged on another project that would impair its ability to perform or finance this
project for Eagle County.

Proposal Deliverables
HDR will prepare a set of documents that include
a comprehensive inventory and conditions
assessment for multiple County -owned facilities.
The assessment will result in a prioritized capital
projects listing and cost estimation for periods
of 5, 10, and 15 years. once completed, this
implementation plan will provide the necessary
data and recommendations to guide the Facilities
Management Department in effectively managing
the facilities in terms of suggested improvements,
ongoing preventative maintenance, and major
repairs based on facility conditions and life -cycle
of assets.
In addition to the conditions assessment, the
H DR will provide Eagle County with a mar$
cost estimate that will synthesize the information
gathered during the conditions assessment. The
fee proposal includes the first-year setup eP4
H D R's
software recommendation will allow Facilities
Management Department staff to continuously
update the assessment and create new 5-,
10- and 15 -year capital improvements planning
reports with updated costing.
Based on the Request for Proposal (RFP),
HDR has developed a comprehensive, phased
approach that includes interim deliverables and
establishes consultation meeting milestones
with Facilities Management Department staff
and other stakeholders, as detailed in the
following text.
Project Understanding
and Approach
HDR will conduct a facility -by -facility inspection
in order to determine the condition of the
identified Eagle County facilities with regard to
code compliance at the time of construction,
deferred maintenance, potential hazards, and
compliance with depreciation/replacement
schedules for roofs/windows, heating and cooling
systems, and other facility deficiencies.
HDR will perform the work as follows in

accordance with the phasing schedule outlined in
the RFP:
• Phase 1— Data Sharing
■ Phase 2 — Data Collection
■ Phase 3 — Facility Analysis and Assessment
• Phase 4 -- Capital Investment Strategy
Formulation and Software Recommendation
Because of the number of facilities and the
evaluations to be performed at each facility,
HDR understands that the list of facilities may be
shortened by the County or the implementation
of the individual facility assessments may be
phased. We will work with you to match the
scope or scheduling of services to adjust for the
available budget.
Phase I: Data Sharing
HDR will evaluate available data and perform
a gap analysis to identify project execution risk
associated with data provided for each facility by
Eagle County Facilities Management Department.
PHASE 1 DELIVERABLES
1. Debrief
Phase 2: Data Collection
HDR will commence with the data collection
effort, which will include an inventory of the
facilities listed in the Facility Groupings and Fee
table. The data collection will also supplement
the inventory and conditions of the existing
physical infrastructure or systems based on
items identified in Phase 1, as they relate to the
following systems:
• Architectural: structural, roof, shell, interiors,
and envelope
• Mechanical, electrical, and plumbing
• Elevator and other conveyance systems
• Alternative energy systems such as
photovoltaic that may be part of the facility

HDR understands that Information Technology
infrastructure is excluded from this assessment.
HDR also understands that each facility will
not require the same level of data collection
effort and that some facilities may take priority
over others in the data gathering and analysis
phases of the work. HDR will work with Eagle
County to determine schedules forthe work to
be completed.
H DR acknowledges that Eagle County has limited
record documents, including building plans in
PDF format, and that the available plans are not
CAD format.
In this phase, HDR will gather data of sufficient
detail to evaluate code compliancy for the
building systems and determine what, if
anything, is required to become code compliant
for the capital improvement projects that
are identified and estimated. Part of our data
collection process will include interviews with
Facilities Management staff, as time allows, to
determine existing conditions and the history of
the facilities to be assessed. Typical questions
asked will pertain to recent and planned
maintenance, repairs, and renovations; work
order logs and occupant complaints; validation
of year constructed and space utilization; points
of contact for access to locked spaces; and any
other special considerations to minimize impact
to normal daily operations.

The Eagle County Facility Groupings map on
the following page, illustrates HDR's planned
approach to package facilities together for the
purpose of maximizing efficiency in the field
inspection work. Facility numbers in color -coded
icons, as indicated on the map, are aligned by
color with the Facility Groupings and Fee table
in the Budget/Pricing section. HDR proposes to
initiate the field inspections with a single building
in Eagle at the County's Administration Building
on 500 Broadway, followed immediately by data
entry and quality control procedures. This initial
building will enable County staff to observe
a portion of the assessment process, provide
feedback on the results, and allow H DR to ensure
proper quality assurance procedures are in place
with the field team before proceeding with the
remaining assessments.

Phase 3: Facility Analysis
and Assessment
HDR will develop a summary of the information
gathered during data collection. HDR will clearly
identify all inventoried systems (regardless
of deficiency or maintenance need) and
any maintenance needs, repair needs, and
deficiencies for the facilities. As a part of the
assessment phase, H DR will place particular
emphasis on the criticality of the systems
in relation to the facility's primary operation
resulting in a matrix of prioritized needs over the
5-,1Q-, and 15 -year horizons.
HDR will include the following in the facility
assessments and budgeting methods:
• A descriptive narrative of the deficiency, repair,
or maintenance needs
• A descriptive location of the deficiency, repair,
or maintenance needs
• Where appropriate, identification of inefficient
energy systems that may benefit from
replacement prior to end -of -life related to
energy costs
• The corrective action(s) necessary to
ameliorate the deficiency, repair, or
maintenance need
• The quantity of the deficiency, repair, or
maintenance needs in enough detail to prepare
a detailed cost estimate
• An evaluation and recommendation of existing
capital budgeting methods
PHASE 3 DELIVERABLES
1. A report detailing the information for Phase
3 for all facilities inventoried and the systems
identified in this phase of work
2. All photos and other relevant documentation
labeled to correspond with the facilities
presented in PDF format
3. Inspection reports for major systems and
building components for all facilities
4. A report of all repair needs, maintenance
needs, and deficiencies (not prioritized and
without cost estimates)

Prior to commencing with Phase 4, the HDR
team will discuss, in consultation with Facilities
Management Department staff, facility
criticality, work prioritization, costing, and cost
escalation in anticipation of creating the Final
Prioritized Facilities Conditions Assessment,
which will be a part of the Eagle County Capital
Investment Strategy.
Phase 4: Capital Investment
Strategy Formulation and
Software Recommendation
ANALYZE, INTERPRET, AND SUMMARIZE
THE DATA
HDR will prepare an analysis of the systems data
gathered during the previous phases, which will
address the following:
• Code compliance/noncompliance
including analysis of building energy
performance requirements
• Site conditions
■ Roof assessment
• Hazard assessment (risk or threat potential):
Analysis of probable"hazards (e.g., flooding)
and recommendations for specific preventative
measures to mitigate losses
• Operational assessment: Review of current
maintenance and operational practices
(to include annual maintenance closures)
based on current industry best practices for
similar facilities
COST ESTIMATING
HDR will provide a detailed cost estimate for
each of the identified deficiencies, repairs, or
maintenance items. The cost estimates will, at
a minimum, detail deficiencies/costs by major
building system or component and by facility,

DETERMINATION
HDR will determine the CRV for each of the
major building systems and components. With
the information gathered from the data collection
phase and the facility assessment phase, HDR
will determine the FCI for the major building

systems and components. This information will
be used to determine if a system or component of
a system should be repaired or replaced based on
the FCL
HDR acknowledges that Eagle County believes
some of the facilities identified are in poor
condition and may not warrant a full or complete
inventory and assessment. As such, HDR further
acknowledges that, in consultation with the
project manager, Eagle County may decide not
to proceed with an inventory and analysis of a
facility or scale down said analysis if preliminary
assessments indicate a facility is beyond its useful
life and would not warrant upgrades. Upon such
a determination, HDR will not conduct further
analysis for that particular facility. if this occurs,
we will work with to match the scope of our effort
as necessary to adjust to the available budget.
SOFTWARE RECOMMENDATION
HDR is recommending a software solution
(BU ILDERTM) to Eagle County which will allow the
County to:
• Customize a database of all assets for
continuous updating of conditions
• Create reports related to long-term capital
improvements planning
• Track remaining service life of facilities
and equipment
• Calculate and track building FCIs
• Forecast long-term capital
investment requirements
• Develop long-term investment alternatives
based on prioritized functional needs, safety/
cost, and organizational mission training of
staff to an appropriate user level

Note: All deliverables will be submitted in
Microsoft Excel and PDF format.
For the purposes of this proposal, it is assumed
that the County's review period for deliverables
will be 10 working days. At the end of each phase
(except Phase 4), a previous phase telephonic
debrief/future phase brief meeting will be held.
(A debrief meeting only will be held at the end of
Phase 4.)
While we assume some level of client
involvement in this project, HDR will remain
cognizant and respective of Eagle County staff
time when scheduling interviews, tours, and
information gathering. The level of involvement is
likely to be the greatest during the kickoff meeting
and staff interview stages.
HDR would request receipt of the following
documents by no later than December 16, 2015:
• 2017 Eagle County Adopted Budget
• Adopted Capital Improvements Program
• Any Facilities Management Department
strategic planning documents
■ Any available architectural drawings (floor
plans, wall sections, roof details, etc,) and
as -built drawings
