EAGLE COUNTY, COLORADO
AND
NORTHWEST COLORADO COUNCIL OF GOVERNMENTS
THIS SECOND AMENDMENT ("Second Amendment") is effective as of
06/19/2017 'by and between Northwest Colorado Council of Governments, a
voluntary association of county and municipal governments, located at 249 Warren Ave.,
Silverthorne, CO 80498 (hereinafter "NWCCOG" or "Contractor") and Eagle County,
Colorado, a body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 7th day of July, 2015,
for certain Services (the "Original Agreement"); and
WHEREAS, the Original Agreement contemplated that the Contractor would perform certain
Services with compensation in an amount not to exceed $34,000; and
WHEREAS, by a First Amendment dated June 28, 2016 the parties modified the scope and
compensation and extended the term of the Original Agreement to June 30, 2017; and
WHEREAS, the County desires to have Contractor perform additional Services for additional
compensation as set forth below; and
WHEREAS, the term of the Original Agreement expires on the 30th day of June, 2017 and the
parties desire to extend the term for an additional year.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit A-2, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit A-2 shall not exceed
$6,000.
3. The term of the Original Agreement is hereby extended to the 30th day of June, 2018.
4. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this Second Amendment shall govern and
control the rights and obligations of the parties.

5. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.
6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement the day and year first above written.

SCOPE OF SERVICES
1. Represent the Workwell Collaborative and serve as a champion for worksite wellness on the
Rural Resort Region Workforce Development Board. This includes sharing updates, key talking
points and eliciting feedback as necessary and sharing information back to the Workwell
Collaborative core team.
2. Enable and help coordinate opportunities for Health Links Advisors to promote Health Links
across the Region (e.g. make connection to local chambers of commerce).
3. Help coordinate and/or participate in events to promote Health Links including recognition events
and trainings as applicable.
SCHEDULE:
The Contractor shall work the hours required to fulfill the scope of work.
FEES:
The Contractor shall submit an invoice by the 3'4 day of each month to PHinvoiccs@eaglecountv.us for
services provided the month prior. The Contractor shall be paid at a rate of $40 per hour and cover
expenses related to outreach and promotion that it initiates. The invoice shall include all costs associated
with the grant project as defined above. Contract amount may not exceed $5,000 for the term of the
Agreement. Payment will be made by check and mailed to the Contractor from Eagle County Public
Health and Environment grant funds.
