HomeMy WebLinkAboutC17-169 City of Alamosa Police DepartmentBILL OF SALE, ACKNOWLEDGEMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT ("Agreement") is made and executed this 05/30/2017 , by the City of Alamosa Police Department ("Alamosa") and Eagle County ("Eagle County"). WITNESSETH WHEREAS, Eagle County elected to sell to a municipal agency, one 2006 Chevy Tahoe, which is a police surplus vehicle that has outlived the useful life for day-to-day Eagle County Patrol Operations. WHEREAS, Alamosa has agreed to purchase the Vehicle for $7,000.00. WHEREAS, Eagle County is willing to deliver title and Alamosa is willing to assume the same for the payment, acknowledgements and indemnification agreement set forth hereunder. BILL OF SALE Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and payment of $7,000.00 for the Chevy Tahoe (Eagle Count Fleet Unit #8464; VIN I GNEK I 3Z96R 141497 (the "Vehicle"), receipt of payment acknowledged, does hereby transfer to Alamosa, title to the Vehicle to have and to hold. NOW, THEREFORE, Alamosa acknowledges the following: That Vehicle is being delivered in "as is" condition. Alamosa understands that Eagle County makes no warranties, express or implied, as to the fitness of the Vehicle for any particular use; 2. Alamosa has received from Eagle County, maintenance records of the Vehicle and understands that Eagle County makes no representation regarding the completeness of said records; and 3. Alamosa will, at all times, operate the Vehicle in a lawful manner including maintaining adequate insurance coverage during its operation and use. NOW THEREFORE, in consideration of the sale of the Vehicle and the acknowledgements herein, Alamosa agrees to the following: Alamosa, its successors or assigns, assume all liability for and shall defend, indemnify, and hold harmless Eagle County, and its officers, agents, representatives and employees, for all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or property damage received or sustained by any person or persons growing out of, occurring or attributable directly or indirectly, to the operation of the Vehicle after the transfer of the camp. to AIAmncn 05/22/2017 date 05/30/2017 date �ar�a�ceL GJ��LzcLc� By: amosa Police Dept.
