AGREEMENT
THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT
("Agreement") is made and executed this 04/20/2017 , by the City of Alamosa Police Department
("Alamosa") and Eagle County ("Eagle County").
WITNESSETH
WHEREAS, Eagle County elected to sell to a municipal agency, one 2012 Chevy Tahoe and one
2013 Chevy Tahoe (collectively the "Vehicles"), which are each police surplus vehicles that have
outlived their useful lives for day-to-day Eagle County Patrol Operations.
WHEREAS, Alamosa has agreed to purchase the Vehicles for a total of $20,000.00.
WHEREAS, Eagle County is willing to deliver title and Alamosa is willing to assume the same
for the payment, acknowledgements and indemnification agreement set forth hereunder.
WHEREAS, the Original Bill of Sale, executed on April 5, 2017, contained an incorrect VIN
number for Eagle County Fleet Unit #8672 that being VIN 1GNSK2E03CR258043 and the correct VIN
number for Eagle County Fleet Unit #8672 is VIN 1GNSK2E0$CR257924.
WHEREAS, Alamosa and Eagle County desire to correct that inadvertent mistake.
AMENDED BILL OF SALE
Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein
and payment of $10,000.00 for the Chevy Tahoe (Eagle Count Fleet Unit #8672; VIN
1GNSK2EOSCR257924); and the payment of $10,000.00 for the Chevy Tahoe (Eagle County Fleet Unit
#8706; VIN 1GNSK2E03DR287057), receipt of payment acknowledged, does hereby transfer to
Alamosa, title to the Vehicles to have and to hold.
NOW, THEREFORE, Alamosa acknowledges the following:
1. That Vehicles are being delivered in "as is" condition. Alamosa understands that Eagle County
makes no warranties, express or implied, as to the fitness of the Vehicles for any particular use;
2. Alamosa has received from Eagle County, maintenance records of the Vehicles and understands
that Eagle County makes no representation regarding the completeness of said records; and
3. Alamosa will, at all times, operate the Vehicles in a lawful manner including maintaining
adequate insurance coverage during its operation and use.
NOW THEREFORE, in consideration of the sale of the Vehicles and the acknowledgements
herein, Alamosa agrees to the following:
Alamosa, its successors or assigns, assume all liability for and shall defend, indemnify, and hold harmless
Eagle County, and its officers, agents, representatives and employees, for all claims, loss, damage,
actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of
personal injury, or property damage received or sustained by any person or persons growing out of,

occurring or attributable directly or indirectly, to the operation of the Vehicles after the transfer of the
same to Alamosa.
