TRAIL EASEMENT AGREEMENT
-0, THIS TRAIL EASEMENT AGREEMENT (the "Agreement") is made as of the
_day of 5ju-I ; 2016 (the "Effective Date') between Eagle County School District RE
50J, with an address of 948 Chambers Avenue, Post Office Box�740, Eagle, CO 81631"("District")
and Eagle County, Colorado, a body corporate and politic ("County"), whose address is 500
Broadway, Post Office Box 850, Eagle, CO 81631. District and County shall collectively be
referred tows the "Parties".
WITNESSETH:
WHEREAS, District is the fee owner of certain real property located in Eagle County, State
of Colorado which is described and depicted on Exhibit A (the "Property"); and
WHEREAS, District wishes to grant to County, and County wishes to obtain from District,
a perpetual, non-exclusive easement across a portion of the Property which is described and
depicted on Exhibit B (the "Easement Area") for purposes of constructing, maintaining, repairing
and replacing a paved recreational trail (`"Trail") . and related improvements for the benefit of, and
use and enjoyment by the public all in accordance with the terms and conditions of this Agreement.
EASEMENT
NOW, THEREFORE, in consideration of the foregoing premises and the following
promises, the Parties hereto hereby agree as follows:
1. Grant of Easement. District, for good and valuable consideration in the amount of one
hundred thousand dollars ($100,000.00), (to be paid to District by County at such time as the
Agency Approvals. identified in paragraph 4 hereof are achieved and prior to commencement of
construction of the Trail Improvements (defined below)), hereby grants a twenty (20) foot wide
perpetual, non-exclusive easement over, upon, under, and across the Easement Area as described
and depicted in Exhibit -B, to County, for the benefit of the "people of Eagle County, for
construction maintenance, repair, and replacement thereon of a paved Trail and Trail Improvements
for use and enjoyment by the public. "Trail Improvements" shall mean and include any or all or
some of the following construction items: excavation, embankment, asphalt, gravel" shoulders,
fencing, signs, pavement markings, ditch and drainage grates and pipes, side slopes, wall and
railing, as necessary. Except for approved road crossings, motorized vehicles shall not be permitted
within the Easement Area, except` during construction, maintenance, repair or replacement of the
Trail Improvements and for emergency purposes or as may be required by law.
2. Construction of Trail Improvements. County will be responsible for obtaining all
necessary permits to construct the 'TraiI Improvements on the Property and within the Easement
Area. County shall cause its contractor to construct the Trail Improvements in the Easement Area
and generally consistent with the preliminary civil plans prepared by SGM Engineering as set forth
in Exhibit C (the `.`Preliminary Plans" consisting of thirteen pages). County will provide to
District the final civil engineering drawings ("Final Drawings") for review and approval by District
prior to County initiating construction of the Trail Improvements within the Easement Area.' Such

review and approval by District shall occur within thirty (30) days of submittal of the Final
Drawings to District and approval shall not be unreasonably withheld so long as such Final
Drawings are substantially consistent with the Preliminary Plans. County's contractor shall be
responsible for any risk of loss occurring to material or property stored or located by it on the
Property during construction of the Trail Improvements. County will provide written notice to
District of the date construction will commence and the date the Trail will be opened to the public.
3. Maintenance. District shall have no responsibility for any portion of the Trail
Improvements or Easement Area after it is constructed and opened to the public. County shall be
solely responsible for the maintenance, repair, and replacement of the Trail Improvements within
the Easement Area and all costs associated with the same. In the event County intends to perform
maintenance, repair or replacement activities that would result in Trail Improvements substantially
different from those approved in the Final Drawings previously reviewed and approved by the
District, then County shall present modified plans to the District for its review and approval.
Approval of the modified plans shall not be unreasonably withheld so long as the modified Trail
Improvements are located within the Easement Area. In the event that Trail Improvements are
damaged or destroyed by District, its employees, agents, or contractors, then District shall be
responsible for repair, replacement, and restoration of the Trail Improvements to their condition
prior to such destruction or damage. Except for road crossings across the Easement Area, the
District shall not place, construct or maintain any structure on or above the surface of the Easement
Area that would unreasonably obstruct access to or the use of the Easement Area.
4. Agency Approvals. County agrees to coordinate the following necessary and related
right of way approvals for the District that will allow for development of the Trail across the
Property (hereinafter "Agency Approvals"):
a. Bureau of Land Mana e ment: District currently has a right-of-way C00072989
("ROW") granted by and across adjacent Bureau of Land Management (BLM) property for
purposes of a motorized access road to the Property. County will obtain from BLM and
provide to District an amendment to this ROW that revises its location and width to allow
the Trail to occupy a portion of the original ROW grant to District, as depicted on the
attached Exhibit D. County will cause completion of the approval of the amended ROW
and delivery to District prior to initiating construction of the Trail Improvements. County
shall not be responsible for construction, maintenance or repair of the District's access road
to the Property.
b. Colorado Department of Transportation: County will obtain a right-of-way ("CDOT
ROW") approval from Colorado Department of Transportation (CDOT) to locate the
District access road to the Property on Interstate 70 right of way as depicted on the attached
Exhibit E. Said right of way approval will allow County to construct the Trail
Improvements on the Property within the Easement Area and allow District to construct an
access road at the location to the north partially located on Interstate 70 right of way.
County will cause completion of the CDOT ROW approval, granted by CDOT to District,
and deliver the same to District prior to initiating construction of the Trail Improvements.
Construction of the Trail Improvements in the access road location will require relocation by
County at its own expense of the existing Interstate 70 boundary fence and piping of an
existing irrigation ditch in addition to customary trail construction items, and as shown on

the Preliminary Plans which are attached as Exhibit C. County shall have no responsibility
for construction, maintenance or repair of the District's access road.
c. At such time as the Agency Approvals are received and prior to initiating construction of
the Trail, County shall pay to District the one-time consideration payment of one hundred
thousand dollars ($100,000) identified in paragraph 1 hereof. In the event the Agency
Approvals are not achieved by December 31, 2018, unless otherwise extended by mutual
written agreement of the Parties, then District may request that County prepare and record a
release of this Agreement. If requested, County shall prepare and record a release of this
Agreement and neither Party shall thereafter have any obligation to the other under the terms
of this Agreement.
5. Property Access. In consideration of the grant of the easement herein, County will
incorporate the existing District driveway from U.S. Highway 6 to the Property into the design and
construction of the Trail. The existing driveway is depicted in the Preliminary Plans attached as
Exhibit C. County will install trail and driveway traffic warning signs prior to commencement of
public use of the Trail. County will regrade to a level condition any portion of existing driveway
disturbed during adjacent construction and provide six (6) feet of asphalt apron on either side of
Trail at driveway to facilitate vehicle travel across the Trail. County acknowledges that future
development of the Property may occur and the existing driveway may be expanded and improved
and will cross the Trail. District and County agree to cooperate as necessary to accommodate
possible future expansion of driveway access to the Property from U.S. Highway 6, or additional
driveway crossing points over the Easement Area, but in no event shall County be responsible for
construction, maintenance and repair of an expanded driveway to the Property, or any additional
driveway crossing points the District may construct. Any damage to the Trail Improvements caused
by expansion, repair, replacement or maintenance of the existing or new driveway crossing points
shall be the responsibility of the District.
6. Liability and Indemnification. The Parties intend that this conveyance of an easement
for recreational purpose shall be subject to all of the provisions, privileges, immunities, and
protections afforded to the District as the grantor pursuant to the Colorado Owners of Recreational
Areas -Liability Act, Sec. 33-41-101, et seq., C.R.S. To the extent permitted by law and for claims
not barred by the privileges, immunities, and protections of such Act, County shall indemnify the
District, its directors, employees, and agents from claims arising as a result of County's failure to
perform under this Agreement and in no event shall County's obligation to indemnify exceed the
limits set forth in the Colorado Governmental Immunity Act. County and District shall have all
protections available to them under Colorado law and do not waive or intend to waive the
limitations of liability which are provided under the Colorado Governmental Immunity Act.
Further, the Parties acknowledge and agree that County's obligations are subject to laws governing
budgeting and appropriations and that this indemnification shall not apply with respect to claims,
damages, or losses caused by third parties.
7. Notice. All notices or other communications made pursuant hereto shall be in writing
and shall be deemed properly delivered, given or served (i) when personally delivered, or (ii) three
(3) calendar days after being deposited in the United States mail, certified or registered, postage
prepaid, return receipt requested, or (iii) when delivered by FedEx or other comparable courier
service, charges prepaid, to the Parties at their respective addresses listed below their signatures, or
(iv) when sent via facsimile so long as the sending Party can provide a facsimile receipt or other

confirmation showing the date, time, and receiving facsimile number for the transmission. Either
Party may change its address for the purposes of this paragraph by giving five (5) days prior written
notice of such change to the other Party.

8. Successors and Assigns. This Agreement shall be binding upon and shall inure to
the benefit of the Parties hereto and their respective successors and assigns and the benefits and
burdens hereof shall constitute covenants running with the title to the Property. Enforcement of this
Agreement and the rights and obligations hereunder are reserved solely for the Parties, and not to
any third party.
9. Warranty of Title. District represents that it is the record owner of the Property
and that it has full power and authority to execute this Agreement. This Easement is granted subject
to prior, recorded grants of easements. During the term of this Agreement, District shall not make or
authorize any use of the Property which is inconsistent with or interferes with the uses authorized
herein.
10. Governing Law and Venue. It is the intention of the Parties hereto that all
questions of construction and interpretation of this Agreement and the rights and obligations of the
Parties hereunder shall be determined in accordance with the laws of the State of Colorado. Venue
shall be in the District Court of Eagle County, Colorado.
11. Modifications. The Parties agree that any modification of this Agreement shall be
effective only when made in writing signed by both Parties which shall be recorded with the Clerk
and Recorder of Eagle County, Colorado.
12. Severability. Whenever possible, each provision of this Agreement shall be
interpreted in such a manner as to be valid under applicable law; provided, however, if any
provision of this Agreement shall be invalid or prohibited under applicable law, such provision shall

be ineffective to the extent of such invalidity or prohibition without invalidating the remaining
provisions of this Agreement.
13. Recitals. The recitals set forth above are incorporated herein by reference.
14. Recording. Upon execution by the Parties, this Agreement shall be recorded in the
records of the Eagle County Clerk and Recorder.
