EAGLE COUNTY, COLORADO
AND
WHOLE HEALTH, LLC
THIS FIRST AMENDMENT ("First Amendment") dated the 3rd day of' anUaTY
2017 and ell'ective as ol'the 31" day of'Decernber, 2016 by and between Whole Health, LLC a
Colorado limited liability company (hereinafter "Consultant" or "Contractor") and Eagle County,
Colorado, a body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 26"' day of April, 2016,
I'm certain Services (the "Original Agreement"); and
WHEREAS, the term ol'the Original Agreement expires on the 31" day of December, 2016 and
the parties desire to extend the term ol'the Original Agreement Im an additional three (3) months
on the sarne terms and conditions as set I'orth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration ol'the foregoing and the mutual rights and obligations as
set Iorth below, the parties agree as follows:
I The Original Agreement shall be amended to extend the term to the 31" day of'
March, 2017.
1 Services provided during this three month contract extension shall be compensated in
accordance with the hourly rates established in Exhibit A ol'the Original Agreement.
1 Capitalized terms in this First Amendment will have the sarne meaning as in the
Original Agreement. To the extent that the terms and provisions ol'the First
Amendment conflict with, modil'y or supplement portions ol'the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations ol'the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions ol'the Original Agreement shall remain in 17ull Iorce and ef'f'ect, and are
hereby ratified and confirmed in all respects as ol'the date hereof'.
5This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
