CHARLES F. SPANEL, INC. DBA
INTER-MOUNTAIN ENGINEERING
THIS THIRD AMENDMENT ("'Third Amendment") is el'I'ective as ol'the 30th day of'
D_ec_emLe.r2016,404-7 by and between Charles F. Spared, Inc., a Colorado corporation d/b/a Inter-
Mountain Engineering (hereinafter"Consultant" or"Contractor") and Eagle County, Colorado, a
body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 27"' day of October, 2015,
l'or certain Services (the "Original Agreement"); and
WHEREAS, by a First Amendment dated the 3"d day cid'December, 2015, the parties identified
additional sub-consultants pursuant to Paragraph 6 ol'the Original Agreement to per l'orm portions of'
the Services; and
WHEREAS, the Second Amendment extended the original term cid'June 30, 2016 to end the work to
December 31, 2016; and
WHEREAS, due to the complexity ol'the Services, schedules and processes cid'ether agencies and
landowners involved in the work, and lundraising lor construction, the parties desire to extend the
term ol'the Original Agreement to December 3I, 2017 on the same terms and conditions as set l'orth
in the Original Agreement.
THIRD AMENDMENT
NOW THEREFORE, in consideration ol'the l'oregoing and the mutual rights and obligations as set
l'orth below, the parties apree as l'ollows:
I. The Original Agreement and Second Amendment shall be amended to extend the term 1'rom
December 31, 2016 to December 31, 20IT
1 Capitalized terms in this Third Amendment will have the carne meaning as in the Original
Agreement. To the extent that the terms and provisions ol'the Third Amendment coni'lict
with modil'y or supplement portions ol'the Original Agreement, the First Amendment and
the Second Amendment, the terms and provisions contained in this Third Amendment shall
govern and control the rights and obligations ol'the parties.

1 Except as expressly altered, modified and changed in this Third Amendment, all terms and
provisions ol'the Original Agreement shall remain in 17ull lorce and el'I'ect, and are hereby
ratified and confirmed in all respects as ol'the date hereof'.
4. This Third Amendment shall Inc binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the,parties hereto have executed this Third Amendment to the Original
Agreement the day and year first above written.
