THIS SECOND AMENDMENT ("Second Amendment") is ell'ective as ol'the day of'
January — — — -- 28_17 by and between Carr Pro Rodeo (hereinafter "Contractor") and Eagle
County, Colorado, a body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 10'11 day of' February,
2015, lor certain Services (the "Original Agreement"); and
WHEREAS, the Original Agreement contemplated that the Contractor would perf'orill certain
Services for the 2015 Eagle County Fair and Rodeo with the compensation in an amount not to
exceed $85,000.00; and
WHEREAS, by a First Amendment dated the 2"d day of'December, 2015, the parties amended
the compensation and renewed the Original Agreement lor an additional year; and
WHEREAS, the term ol'the Original Agreement expires on the 10"' day oebruary, 2017, and
the parties desire to extend the term lor an additional year.
SECOND AMENDMENT
NOW THEREFORE, in consideration ol'the l'oregoing and the mutual rights and obligations as
set loi-th below, the parties apree as l'ollows:
The Original Agreement shall Inc amended to include the same Services as described
in Exhibit A of'Ori ginal Agreement to Inc pefformed at the 2017 Eagle County Fair
and Rodeo 1rom July 19-22, 20I
1 The compensation l'or the Services to Inc pelf armed at the 2017 Eagle County Fair and
Rodeo shall not exceed $86,708.00 as established in Exhibit A ol'the Original
Agreement or a total maximum compensation under the Original Agreement, First
Amendment and this Second Amendment cel' $257,558.00.
1 The term ol'the Original Agreement is hereby extended to the 10"' day of' February,
2018 .
4 Capitalized terms in the Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions ol'the Second
Amendment conflict with modil'y or supplement poi -tions ol'the original Agreement,

the terms and provisions contained in this Second Amendment shall govern and
control the rights and obligations ol'the parties.
5Except as expressly altered, modified and changed in this Second Amendment , all
terms and provisions ol'the Original Agreement shall remain in l'ull l'orce and el'l'ort,
and are hereby ratified and confirmed in all respects as ol'the date hereof'.
6This Second Amendment shall Inc binding on the parties hereto, their heirs, executors,
successors, and assigns.

Original Agreement the day and year first above written.
