HomeMy WebLinkAboutC16-487 Crawford Properties LLC - El Jebel Right of Way AcquisitionEagleCounty,CO201619551TeakJSimonton11/16/2016Pgs:2203:36:00PMREC:$0.00DOC:$0.00EASEMENTAGREEMENTFORSIDEWALKANDDRAINAGEIMPROVEMENTSTHISEASEMENT(hereinafter“EasementAgreement”)ismadeandenteredintothis15thdayofNovember,2016byandbetweenCrawfordProperties,LLC,aColoradolimitedliabilitycompany,whoseaddressis60ElJebelRoad,Unit105,Carbondale,CO81623(hereinafter“Crawford”)andtheCountyofEagle,StateofColorado,abodycorporateandpolitic,byandthroughitsBoardofCountyCommissioners,whoseaddressisP.O.Box850,Eagle,CO81631(hereinafter‘EagleCounty’).WITNESSETH:WHEREAS,CrawfordownsthepropertymoreparticularlydescribedonExhibitA,attachedheretoandincorporatedhereinbythisreference(the“Property”);andWHEREAS,EagleCountyisperformingcertainconstructionforinstallationofaroundaboutattheintersectionofShadowrockDriveandElJebelRoad,improvementofcertainrelatedingress/egress,wideningandimprovementofElJebelRoad,aswellastheconstructionofsidewalksanddrainageimprovementsalongElJebelRoadandShadowrockDrive,alllocatedinEagleCounty,Colorado(the“Project”);andWHEREAS,theProjectwillrequireconstructionofsidewalkanddrainageimprovementsonthePropertyasfurtherdescribedbytheProjectright-of-wayplans,attachedheretoasExhibitBandincorporatedhereinbythisreference(the“Improvements”);andWHEREAS,CrawfordhasagreedtograntEagleCountyperpetual,non-exclusiveeasementsforthepurposeofinstallation,constructionandmaintenanceoftheImprovementsonthePropertypursuanttothetermsandconditionsofthisAgreement.NOW,TifEREFORE,inconsiderationofthetermsandcovenantsstatedherein,thesufficiencyofwhichisherebyacknowledged,CrawfordandEagleCountyagreeasfollows:EASEMENTGRANT:CrawfordherebygrantsandconveystoEagleCounty,itssuccessorsandassigns,non-exclusive,perpetualeasementsforthepurposedofexcavatingfor,constructing,installing,changing,maintaining,inspecting,repairing,replacingtheImprovementsover,under,acrossandthroughportionsofthePropertydescribedbythelegaldescriptionsattachedheretoasExhibitAandatthelocationsshownontheProjectright-of-wayplansattachedheretoasExhibitB(collectivelythe“PermanentEasement’).ThePermanentEasementgrantedbythisEasementAgreementandtheImprovementstobelocatedthereonshallbeusedbythepublic.ThePermanentEasementgrantedbythisEasementAgreementisnon-exclusiveandCrawfordreservestherighttouseforitselfandtogranttoothersrightsover,under,acrossandthroughthePermanentEasement,providedthattheydonotdamageorunreasonablyinterferewiththeC16-487
PermanentEasementorthestructuralsupportoftheoverlyingImprovements.Withoutlimitingtheforegoing,Crawfordreservestherighttoplacealong,over,under,acrossandthroughthePermanentEasementasmanyelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesasCrawfordmaydeemnecessary,aswellaslandscapeimprovementssuchasplantmaterials,grasses,trees,entryfeatures,street-scape,andhard-scapesubjectonlytotherightofEagleCountytousethesameforthepurposeshereingranted.TheplacementoftheImprovementsontoCrawford’spropertyshallnotconstituteanyrelinquishmentofCrawford’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.CONSTRUCTIONANDMAINTENANCEOFIMPROVEMENTS:EagleCountyshallenterintoacontractforconstructionoftheImprovementsandwillberesponsibleformanagementoftheconstruction.Afterinitialconstruction,Crawfordwill,atitssoleexpense,provideallmaintenance,includingreplacement,necessarytorepairanydamagetoortomaintainthesidewalkportionoftheImprovementsinasafeandserviceablecondition,whetheronEagleCountyorCrawfordproperty.EagleCountyshallbesolelyresponsibleforrepairofanydamagetoormaintenance,includingreplacement,ofthecurbandgutterandstormsewerandotherdrainageimprovementsconstructedaspartoftheImprovementswhetheronEagleCountyorCrawfordproperty.Afterinitialconstruction,EagleCountyshallhavenofurtherobligationsrelatedtothesidewalkportionoftheImprovements,financialorotherwise.Crawfordassumesallliabilitiesassociatedwiththeon-goingmaintenance,repairandreplacementofthesidewalkportionoftheImprovements.Accordingly,totheextentpermittedbylaw,Crawfordagreestorelease,indemnifyandsaveharmlessEagleCounty,itsofficers,agentsandemployeesagainstanyandallclaims,causesofaction,damagesorliabilitiesofanykindarisingoutofthisEasementAgreement,damagetorealorpersonalproperty,orinjuryandiordeathtopersonsresultinginanywayfromtheperformanceornonperformancebyCrawfordhereunderincludingtheactsandomissionsofitsagents,employees,contractorsandsubcontractors.ENFORCEMENTREMEDIES:CrawfordandEagleCountyagreethattherightsandobligationssetforthinthisEasementAgreementmaybeenforcedforspecificperformance,injunctive,orotherappropriaterelief,includingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.ItisspecificallyunderstoodthatbyexecutingthisEasementAgreement,bothCrawfordandEagleCountycommitthemselvestoperformpursuanttothetermsandconditionscontainedherein.IntheeventthatanactionisbroughttoenforcethisEasementAgreement,theprevailingpartyshallberesponsiblefortherecoveryofitscostsandfees,includingreasonableattorney’sfees.
MISCELLANEOUS:ThisEasementAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisputepertainingtothisEasementAgreementshallbeinEagleCounty,Colorado.ThisEasementAgreementandtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitofCrawfordandEagleCountyandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldbeconstruedtoconferorgivetoanypersonorentityotherthanCrawfordandEagleCountyandtheirrespectivesuccessorsandassigns,anyright,remedyorclaimunderorbyreasonofanycovenantorconditionhereincontained.ifanyportionofthisEasementAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityoritsunenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionsshallbefullyseverableandthisEasementAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisEasementAgreement.ThisEasementAgreementmaybeamended,modified,changed,orterminatedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbybothCrawfordandEagleCounty.ThisEasementAgreementrepresentsthefullandcompleteunderstandingofCrawfordandEagleCountyandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofCrawfordandEagleCountywithrespecttothesubjectmattercontainedherein.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,promise,orconsiderationdifferentfromthetermshereincontainedshallbebindingoneitherparty,oritsagentsoremployeeshereto.CrawfordrepresentsthatitistherecordownerofthePropertyuponwhichthePermanentEasementislocatedandthatithasfullpowerandauthoritytoexecutethisAgreement.ThisPermanentEasementisgrantedsubjecttoprior,recordedgrantsofeasements.CrawfordshallnotmakeorauthorizeanyuseofthePermanentEasementwhichisinconsistentwithorinterfereswiththeusesauthorizedherein.CrawfordandEagleCountyshallinsurethemselvesseparatelyagainstliability,lossanddamagesarisingoutoftheuseoftheEasements.EagleCounty,itselectedofficials,officers,agentsandemployeesarerelyinguponanddonotwaiveorabrogate,orintendtowaiveorabrogatebyanyprovisionofthisEasementAgreementthemonetarylimitationsoranyotherrightsimmunitiesorprotectionsaffordedbytheColoradoGovernmentalImmunityAct,C.R.SSection24-10-101,et.Seq.,asthesamemaybeamended.3
