AcquisitionTEMPORARYCONSTRUCTIONEASEMENTAGREEMENTTHISTEMPORARYCONSTRUCTIONEASEMENTAGREEMENT(the“Agreement”)ismadeasofthe15thdayofNovember,2016(the“EffectiveDate”)betweenCRAWFORDPROPERTIESLLC,aColoradolimitedliabilitycompany,whoseaddressis60ElJebelRoad,Unit105,Carbondale,CO81623(“Grantor”),andtheCOUNTYOFEAGLE,STATEOFCOLORADO,whoseaddressisP.O.Box850,EagleCO$1631(“Grantee”).GrantorandGranteeshallcollectivelybereferredtoasthe“Parties”.WITNESSETH:WHEREAS,GrantoristhefeeownerofcertainrealpropertymoreparticularlydescribedonExhibitAattachedheretoandincorporatedhereinbythisreference(the“Property”);andWHEREAS,GranteeisperformingcertainconstructionforinstallationofaroundaboutattheintersectionofShadowrockDriveandElJebelRoad,improvementofcertainrelatedingress/egress,wideningandimprovementofElJebelRoad,aswellastheconstructionofsidewalksanddrainageimprovementsalongElJebelRoadandShadowrockDrive,alllocatedinEagleCounty,Colorado(the“Project”);andWHEREAS,GranteedesirestousethePropertyforaccess,gradingandconstructionoftheProject,includingconstructionstaging,parking,andstorageofmaterialsontheProperty;andWHEREAS,GrantordesirestogranttoGranteeandGranteedesirestoobtainfromGrantor,atemporaryconstructioneasementonthePropertyforthebenefitofGranteeandtheProject,allinaccordancewiththetermsandconditionsofthisAgreement.EASEMENTNOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,andforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesheretoherebyagreeasfollows:1.GrantofTemporaryEasement.Grantorforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyconfessedandacknowledged,herebygrantstoGrantee,itscontractors,subcontractors,employeesandagents,anon-exclusivetemporaryconstructionandaccesseasementover,under,acrossandthroughthePropertyinthelocationslegallydescribedonExhibitAandasdepictedontheProjectright-of-wayplansattachedheretoasExhibitBandincorporatedhereinbythisreference(collectivelythe“TemporaryEasement”).TheTemporaryEasementmaybeusedforaccess,staging,parking,storageofconstructionmaterials,andthegradingandconstructionoftheProjectbyGrantee,itscontractors,subcontractors,employeesandagents.TheTemporaryEasementareamaybefencedandenclosedaspartoftheconstructionsitewhileconstructionisoccurringontheProject.2.Restoration.GranteeshallberesponsibleforrestoringallareasdisturbedwithintheTemporaryEasement,ifany,totheconditionthatexistedpriortosuchdisturbance,inaccordancewiththeconstructioncontractdocumentsfortheProject.GranteeshallberesponsibleC16-486 forpromptlyremovinganyconstructionfencingupontheearliertooccurofcompletionofconstructionoftheProjectorterminationorexpirationofthisAgreementassetforthherein.3.Term.TheTemporaryEasementshallbeeffectiveuponthedateofentrybyGrantee,itscontractors,subcontractors,employeesoragents,ontothePropertyforcommencementofconstructionoftheProject.TheTemporaryEasementshallremainineffectduringconstructionoftheProjectandshallautomaticallyterminate30daysaftertheconclusionofconstruction.Inanyevent,theTemporaryEasementshallautomaticallyterminatenolaterthan12monthsafterthestartofconstruction.4.Insurance.Granteeagreestomaintaincommercialgeneralliabilityinsurance(“CGL”)forGranteeanditsemployeesandagentsandshallcauseitscontractorsandsubcontractorstomaintaincommercialgeneralliabilityinsurancefortheuseandoccupancyoftheTemporaryEasement.TheGrantee’sCGLpolicyshallprovideforinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityActandshallnameGrantorasanadditionalinsured.GranteeshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.NothinghereinshallbeconstruedasawaiverbyGranteeofthelimitationsonliabilitywhichareprovidedtoitundertheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101etseq.5.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(1)whenpersonallydelivered,or(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyFedExorothercomparablecourierservice,chargesprepaid,tothepartiesattheirrespectiveaddresseslistedbelow.Eitherpartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.GRANTOR:CrawfordProperties,LLC60ElJebelRoad,Unit105Carbondale,CO81623Andacopyto:GRANTEE:EagleCounty,Colorado500BroadwayPostOfficeBox850Eagle,CO81631Telephone:970-328-8605facsimile:970-328-8629
