TEMPORARYCONSTRUCTIONEASEMENTAGREEMENT1FfISTEMPORARYCONSTRUCTIONEASE1\IENTAGREEMENT(the“Agreement”)ismadeasofthe_J_dayofflpt(,2016(the“EffectiveDate”)betweenKEVINTUCKERANDTAMMYJ.TUCKER,whoseaddressisandtheCOUNTYOPEAGLE,STATEOfCOLORADO,vhoseaddressisP.O.Box850,EagleCO$1631(“Grantee”).GrantorandGranteeshallcollectivelybereferredtoasthe“Parties”.WITNESSETH:WHEREAS,GrantoristhefeeownerofcertainrealpropertyknownasParcelA,ElJebelTexaco,APlannedUnitDevelopment,accordingtotheplatrecordedasReceptionNo.528795intheEagleCountyrecords,alsolyinginSection3,Township8South,Range$7Westofthe6PrincipalMeridian,CountyofEagle,StateofColorado(the“Property”);andWI-IEREAS,GranteeisperformingcertainconstructionforinstallationofaroundaboutattheintersectionofShadowrockDriveandElJebelRoad,improvementofcertainrelatedingress/egress,wideningandimprovementofElJebelRoad,aswellastheconstructionofsidewalksanddrainageimprovementsalongElJebelReadandShadowrockDrive,alllocatedinEagleCounty,Colorado(the“Project”);andWHEREAS,GranteedesirestouseaportionofthePropertyforaccess,gradingandconstructionofthePt-eject,includingconstructionstaging,parking,andstorageofmaterialsontheProperty;andWHEREAS,GrantordesirestogranttoGranteeandGranteedesirestoobtainfromGrantor,atemporaryconstructioneasemententhePropertyforthebenefitofGranteeandtheProject,allinaccordancewiththetermsandconditionsofthisAgreement.EASEMENTNOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,andforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesheretoherebyagreeasfollows:I.GrantofTemporaryEasement.Grantorforgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyconfessedandacknowledged,herebygrantstoGrantee.itscontractors,subcontractors,employeesandagents,anon-exclusivetemporaryconstructionandaccesseasemeniover,under,acrossandthroughthePropertyinthelocationdescribedonExhibitA,attachedheretoandincorporatedherein,andasdepictedontheright-of-wayplansonExhibitB,attachedheretoandincorporatedherein(collectivelythe“TemporaryEasement”).TheTemporaryEasementmaybeusedforaccess,staging,parking,storageofconstructionmaterials,andthegradingandconstructionoftheProjectbyGrantee,itscontractors,subcontractors,employeesandagents.TheTemporaryEasementareamaybefencedandenclosedaspartoftheconstructionsitewhileconstructionisoccunngontheProject.C16-485 2.Restoration.GranteeshallberesponsiblefhrrestoringallareasdisturbedwithintheTemporaryEasement,ifany,totheconditionthatexistedpriortosuchdisturbance.inaccordancewiththeconstructioncontractdocumentsfortheProject.GranteeshallberesponsibleforpromptlyremovinganyconstructionfencingupontheearliertooccurofcompletionofconstructionoftheProjectorterminationorexpirationofthisAgreementassetforthherein.3.Term.TheTemporaryEasementshallbeeffectiveuponthedateofentrybyGrantee,itscontractors,subcontractors,employeesoragents,ontothePropertyforcommencementofconstructionoftheProject.TheTemporaryEasementshallremainineffectduringconstructionoftheProjectandshallautomaticallytenninate30daysaftertheconclusionofconstruction.Inanyevent,theTemporacyEasementshallautomaticallyterminatenolaterthan12monthsafterthestartofconstruction,4.Insurance.Granteeagreestomaintaincommercialgeneralliabilityinsurance(“CGL”)forGranteeanditsemployeesandagentsandshallcauseitscontractorsandsubcontractorstomaintaincommercialgeneralliabilityinsurancefortheuseandoccupancyoftheTemporaryEasement.TheGrantee’sCGLpolicyshallprovideforinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityActandshallnameGrantorasanadditionalinsured.GranteeshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.NothinghereinshallbeconstruedasawaiverbyGranteeofthelimitationsonliabilitywhichareprovidedtoitundertheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101etseq.5.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(1)whenpersonallydelivered,or(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyfedExorothercomparablecourierservice,chargesprepaid,tothepartiesattheirrespectiveaddresseslistedbelow.Eitherpartymaychangeitsaddressfrthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.GRANTOR:Andacopyto:GRANTEE:EagleCounty,Colorado500BroadwayPostOfficeBox850Eagle,CO81631
