I..CCMukecColceadoCcliSiteNumbaDNVRCO4514CellSiteNameWolcottFixedA,sNumba10115173OPTIONANDLEASEAGREEMENTTEESOPTIONANDLEASEAGREEMENT(“Agreement”),datedasofthelatterofthesignaturedatesbelow(the“EffectiveDate”),isenteredintobyTheCountyofEagle,StateofColoradohavingamailingaddressofP0Box850,500Broadway,EagleCO81631(hereinafterreferredtoas“Landlord”)andNewCingularWirelessPCS,LLC,aDelawarelimitedliabilitycompany,havingamailingaddressof12555CingularWay,Aipharella,Georgia30004(hereinafterreferredtoas“Tenant”).BACKGROUNDLandlordownsorcontrolsaradiocommunicationstower,togetherwithallrightsandprivilegesarisinginconnectiontherewith,locatedattheEagleCountyLandfill,intheCountyofEagle,StateofColorado(collectively,the“Property”).Tenantdesirestouseaportionoftheradiocommunicationstower(the‘Premises”)inconnectionwithitsfederallylicensedcommunicationsbusiness.LandlorddesirestogranttoTenanttherighttouseaportionofthePremisesinaccordancewiththisAgreement.Thepartiesagreeasfollows:I.OPTIONTOLEASE.(a)LandlordgrantstoTenantasixmonthoption(the“Option”)toleaseacertainportionofthePremisesincludingtheairspaceabovesuchradiocommunicationstowerasdescribedonattachedExhIbit1,togetherwithreasonableaccessforTenant’susesfromthenearestpublicright-of-wayalongthePropertytothePremisesasdescribedontheattachedExhIbit1.TheOptionmaybeextendedorrenewedforanadditionalsix(6)monthbywrittenagreementoftheParties,whichagreementshallbemadeanaddendumhereto.(1,)DuringtheOptionperiodandanyextensionthereof,andduringthetermofthisAgreerncntTenantanditsagents,engineers,surveyorsandotherrepresentativeswillhavetherighttoenteruponthePropertytoinspect,examine,conductsoilborings,drainagetesting,materialsanipling.rjjfrequencytestingandothergeologicalorengineeringtestsorstudiesoftheProperty(collectively,the“Tests”),toapplyforandobtainlicenses,permits,approvals,orotherreliefrequiredofordeemednecessaryorappropriateatTenant’ssolediscretionforhauseofthePremisesandinclude,withoutlimitation,applicationsforzoningvariances,zoningordinances,amendments,specialusepermits,andconstructionpermits(collectively,the“GovernmentApprovals”),initiatetheorderingand/orschedulingofnecessaryutiities,andotherwisetodothosethingsonoroffthePropertythat,intheopinionofTenant,arenecessaryinTenant’ssolediscretiontodeterminethephysicalconditionoftheProperty,theenvironmentalhistoryoftheProperty,Landlord’stitletothePropertyandthefeasibilityorsuitabilityofthePropertyforTenant’sPermittedUse,allatTenant’sexpense.TenantwillnotbeliabletoLandlordoranythirdpartyonaccountofanypre-existingdefectorconditiononorwithrespecttotheProperty,whetherornotsuchdefectorconditionisdisclosedbyTenant’sinspection.TenantwillrestorethePropertytoitsconditionasitexistedatthecommencementoftheOptionTerm(asdefinedbelow),reasonablewearandtearandcasualtynotcausedbyTenantexcepteLInaddition,Tenantshallindemnify,defendandholdLandlordharmlessfromandagainstanyandallinjury,loss,damageorclaimsarisingdirectlyoutofTenant’sTests.(c)InconsiderationofLandlordgrantingTenanttheOption,TenantagreestopayLandlordthesumofsixhundredandN&100Dollars($600.00)withinthirty(30)businessdaysoftheEffectiveDate.TheOptionwillbeforaninitialtermofsix(6)monthscommencingontheEffectiveDate(the“InitialOptionTerm”).(d)UponwrittenconsentofLandlord,whichconsentshallnotbeunreasonablywithheldorconditioned,theOptionmaybesold,assignedortransferredbyTenanttoTenant’sparentcompanyormemberifTenantisalimitedliabilitycompanyoranyaffiliateorsubsidiaryof,orpartnerin,Tenantoritsparentcompanyormember,ortoanythirdpartyagreeingtobesubjecttothetermshereof.FromandafterthedatetheOptionhas110077‘-
CC’beensold,assignedortransferredbyTenanttoathirdpartyagreeingtobesubjecttothetermshereof,Tenantshallimmediatelybereleasedfromanyandexceptforinjury,loss,damageorclaimsarisingoutofTenant’sactivitiesontheProperty,aMotherliabilityunderthisAgreement,includingthepaymentofanyrentalorothersumsdue,withoutanyfurtheraction.fe)DuringtheInitialOptionTermandanyextensionthereof,TenantmayexercisetheOptionbynotifyingLandlordinwriting.TfTenantexercisestheOptionthenLandlordleasesthePremisestotheTenantsubjecttothetermsandconditionsofthisAgreement.IfTenantdoesnotexercisetheOptionduringtheInitialOptionTermoranyextensionthereof,thisAgreementwillterminateandthepartieswillhavenofurtherliabilitytoeachother.(f)IfduringtheInitialOptionTermoranyextensionthereof,orduringthetermofthisAgreementiftheOptionisexercised,Landlorddecidestosubdivide,sell,orchangethestatusofthezoningofthePremises,PropertyoranyofLandlord’scontiguous,adjoiningorsurroundingproperty(the“SurroundingProperty,”whichincludeswithoutlimitation,theremainderofthestructure)orintheeventofforeclosure,LandlordshallimmediatelynotifyTenantinwriting.AnysaleofthePropertyshallbesubjecttoTenant’srightswiderthisAgreement.LandlordagreesthatduringtheInitialOptionTermoranyextensionthereof,orduringtheTermofthisAgreementiftheOptionisexercised,LandlordshallnotinitiateorconsenttoanychangeinthezoningofthePremises,PropertyorSurroundingPropertyorimposeorconsenttoanyotherrestrictionthatwouldpreventorlimitTenantfromusingthePremisesfortheusesintendedbyTenantashereinaftersetforthinthisAgreement.2.PERMITEIDUSLDuringtheTermoftheLease,TenantmayusethePremisesforthetransmissionandreceptionofcommunicationssignalsandtheinstallation,constniction,maintenance,operation,repair,replacementandupgradeofitscommunicationsfixturesandrelatedequipment,cables,accessoriesandimprovements,whichmayincludeasuitablesupportstructure,associatedantennas,equipmentsheltersorcabinetsandfencingandanyotheritemsnecessarytothesuccessfulandsecureuseofthePremises(collectiveLy,the“CommunicationFacility”),aswellastherighttotest,surveyandreviewtitleontheProperty,solongassuchusedoesnotinterferewithLandlord’spublicsafetyradiosystemorlandfillfacilityoperations.Tenantfurtherhastherightbutnottheobligationtoadd,modifyand/orreplaceequipmentinordertobeincompliancewithanycurrentorfuturefederal,stateorlocalmandatedappticafion,incLuding,butnotlimitedto,emergency911communicationservices,atnoadditionalcosttoTenantorLandlord(collectively,the“PermittedUse”).LandlordandTenantagreethatanyportionoftheCommunicationFacilitythatmaybeconceptuallydescribedonExhIbit1willnotbedeemedtolimitTenant’sPermittedUse.IfExhIbit1includesdrawingsoftheinitialinstallationoftheCommunicationFacility.Landlord’sexecutionofthisAgreementwillsignifyLandlord’sapprovalofExhIbit1.Foraperiodofninety(90)daysfollowingthecommencementoftheInitialTermasdescribedinSection3ofthisAgreement,,LandlordgrantsTenant,itssubtenants,licenseesandsublicensees,thetighttousesuchportionsofLandlord’scontiguous,adjoiningorSurroundingPropertyasdescribedonExhIbit1asmayreasonablyberequiredduringconstructionandinstallationoftheCommunicationsFacility.UponwrittenapprovalofLandlord,Tenantmayinstallandoperatetransmissioncablesfromtheequipmentshelterorcabinettotheantennas,electriclinesfromthemainfeedtotheequipmentshelterorcabinetandcommunicationluresfromthemainentrypointtotheequipmentshelterorcabinet,andtomakePropertyimprovements,alterations,upgradesoradditionsappropriateforTenant’suse(“TenantChanges’).Tenantagreestocomplywithallapplicablegovernmentallaws,rules,statutesandregulations,relatingtoitsuseoftheCommunicationFacilityontheProperty.UponwrittenapprovalofLandlord,Tenantmaymodify,supplement,replace,upgrade,expandtheequipment,increasethenumberofantennasorrelocatetheCommunicationFacilitywithinthePremisesduringthetermofthisAgreement.TenantwillbeallowedtomakesuchalterationstothePremisesinordertoaccomplishTenant’sChangesortoinsurethatTenant’sCommunicationFacilitycomplieswithaltappticabtefederal,stateorlocallaws,rulesorregulations.IntheeventTenantdesirestomodifyorupgradetheCommunicationFacility,andTenantrequiresanadditionalportionoftheProperty(the“AdditionalPremises’)forsuchmodificationorupgrade,LandlordmayagreeinwritingtoleasetoTenanttheAdditionalPremises,uponthesametermsandconditionssetforthherein,exceptthattheRentshallincrease,inconjunctionwiththeleaseoftheAdditionalPremisesbyareasonableamountconsistentwithrentalratesthenchargedfor28-10-07
CCcomparableportionsofrealpropertybeinginthesamearea.IntheeventLandlordagreestoteasetoTenanttheAdditionalPremises,LandlordwilttakesuchactionsandenterintoanddelivertoTenantsuchdocumentsasTenantreasonablyrequestsinordertoeffectandmemorializetheleaseoftheAdditionalPremisestoTenant3.TERM.fa)InitialTerm.Theinitialteasetermwillbefive(5)years(“InitialTerm”),commencingontheeffectivedateofwrittennotificationbyTenanttoLandlordofTenant’sexerciseoftheOption(the“TermCommencementDate”).TheInitialTermwillterminateonthefifth(5th)annualanniversaryoftheTennCommencementDate.(1,)ExtensionTerm.ThisAgreementwiltautomaticallyrenewforfour(4)additionalfive(5)yearterm(s)(eachfive(5)yeartermshallbedefinedasthe“ExtensionTerm”),uponthesametermsandconditionsunlesstheTenantnotifiestheLandlordinwritingofTenant’sintentionnottorenewthisAgreementatleastsixty(60)dayspriortotheexpirationoftheexistingTerm.(c)HoldoverTerm.if,atteastsixty(60)dayspriortotheendofthefourth(4tl)extendedterm,eitherLandlordorTenanthasnotgiventheotherwrittennoticeofitsdesirethatthetermofthisAgreementendattheexpirationofthefourth(4)extendedterm,thenupontheexpirationofthefourthf4th)extendedtermthisAgreementshatlcontinueinforceuponthesamecovenants,termsandconditionsforafurthertermofone(1)year,andforannualtermsthereafteruntilterminatedbyeitherpartybygivingtotheotherwrittennoticeofitsintentiontosoterminateatleastsix(6)monthspriortotheendofanysuchannualterm.Monthlyrentalduringsuchannualtermsshallbeequaltotherentpaidforthelastmonthofthefourth(4th)extendedterm.ifTenantremainsinpossessionofthePremisesaftertheterminationofthisAgreementthenTenantwillbedeemedtobeoccupyingthePremisesonamonthtomonthbasis(the“HoldoverTerm”),subjecttothetermsandconditionsofthisAgreement(d)TheInitialTerm,theExtensionTermandtheHoldoverTermarecollectivelyreferredtoastheTerm(“Term”).4.RENT.(a)CommencingonthefirstdayaftertheTermCommencementDate,TenantwillpaytheLandlordtheproratedportionofthemonthlyrentalpaymentofsixhundredandNoROODollars($600.00)(“Rent”),attheaddresssetforthabove.Thereafter,monthlyrentalpaymentsshallbepaidbyTenantonorbeforethefilth(5th)dayofeachcalendarmonth.InpartialmonthsoccurringaftertheTermCommencementDate,Rentwillbe(b)Commencingonthefirst(1st)dayoftheExtensionTerm,andannuallythereafter,themonthlyrent(usingthemonthlyrentpayableduringtheprecedingyearasthebaserate)shallbeincreasedinanamountproportionatetotheincrease,ifany,inthethenmostcurrentU.S.ConsumerPriceIndexforUrbanWageEaniersandClericalWorkers(CPI-U),U.S.CityAverage,MIItems(publishedbytheU.S.DepartmentofLabor,BureauofLaborStatistics)oversaidCPI-Uforthesamemonthoftheprecedingyear.Landlord’scomputationofsuchadjustmentshaltbeconclusiveunlessTenantshaltnotifyLandlordofanerrorthereinwithinthirty(30)daysafternoticeofsuchincreaseisgiven,iftheabovedescribedindexshallceasetobereleasedoravailable,thenanothersimilarindexgenerallyrecognizedasauthoritativemaybesubstitutedbytheLandlordwiththeagreementofTenant(c)MIchargespayableunderthisAgreementsuchasutilitiesandtaxesshallbebilledbyLandlordwithinone(1)yearfromtheendofthecalendaryearinwhichthechargeswereincurred;anychargesbeyondsuchperiodshallnotbebilledbyLandlord,andshaltnotbepayablebyTenantTheforegoingshaltnotapptytomonthlyrentwhichisdueandpayabtewithoutarequirementthatitbebilledbyLandlord.ThepiovisionsoftheforegoingsentenceshallsurvivetheterminationorexpirationofthisAgreement.5.APPROVALS.(a)LandlordagreesthatTenant’sabilitytousethePremisesiscontingentuponthesuitabilityofthePremisesforTenant’sPermittedUseandTenant’sabilitytoobtainandmaintainallGovernmentApprovals.LandlordauthorizesTenanttoprepare,executeandfileallrequiredapplicationstoobtainGovernmentApprovals38-10-07X700*b
CCforTenant’sPermittedUseunderthisAgreementatTenant’ssolecostandexpenseandagreestoreasonablyprovideTenantwithanyinformationnecessaryforTenant’sapplicationsandtoobtainandmaintaintheGovernmentApprovals.(b)TenanthastherighttoobtainatitlereportorcommitmentforaleaseholdtitlepolicyfromatitleinsurancecompanyofitschoiceandtohavethePropertysurveyedbyasurveyorofTenant’schoice.IntheeventTenantdetermines,initssolediscretion,duetothetidereportresultsorsurveyresults,thattheconditionofthePremisesisunsatisfactory,TenantwillhavetherighttotenninatethisAgreementuponnoticetoLandlord.Intheeventofsuchtermination,TenantshallrestorethePremisestoitsconditionatthecommencementoftheAgreement,reasonablewearandtearandlossbycasualtyorothercausesbeyondTenant’scontrolexcepted.(c)Tenantmayalsoperformandobtain,atTenant’ssolecostandexpense,soilborings,percolationtests,engineeringprocedures,environmentalinvestigationorothertestsorreportson,over,andundertheProperty,necessarytodetermineiftheTenant’suseofthePremiseswillbecompatiblewithTenant’sengineeringspecifications,system,design,operationsorGovernmentApprovals.6.TERMINATION.ThisAgreementmaybeterminated,withoutpenaltyorfintherliability,asfollows:(a)byeitherpartyonthirty(30)dayspriorwrittennotice,iftheotherpartyremainsindefaultunderParagraph15ofthisAgreementaftertheapplicablecureperiods;(1,)byTenantuponwrittennoticetoLandlord,ifTenantisunabletoobtain,ormaintain,anyrequiredapproval(s)ortheissuanceofalicenseorpermitbyanyagency,board,courtorothergovernmentalauthoritynecessaryfortheconstructionoroperationoftheCommunicationFacilityasnoworhereafterintendedbyTenant;orifTenantdeterminesinitssolediscretionthatthecostofobtainingorretainingthesameiscommerciallyunreasonable(c)byTenantuponwrittennoticetoLandlordforanyreasonornoreason,atanytimepriortocommencementofconstructionbyTenant.or(d)byTenantuponsixty(60)dayspriorwrittennoticetoLandlordforanyreason,solongasTenantpaysLandlordaterminationfeeequaltothree(3)monthsRent,atthethencurrentrate,provided,however,thatnosuchterminationfeewillbepayableonaccountoftheterminationofthisAgreementbyTenantunderanyoneormoreofParagraphs5(b),6(a),6(b),6(c),8,11(d),18,19or23(j)ofthisAgreement.fe)byLandlorduponthirty(30)dayspriorwrittennotice,ifTenant’suseofsaidpropertyforthepurposesstatedhereinarenolongerallowableunderthetermsoftheCodhty’slandpatentagreementwiththeUnitedStatesBureauofLandManagement.inwhichevent;LandlordshallhavenofurtherliabilityorobligationwithrespecttothetermsofthisLease.7.INSURANCE.TenantwillcarryduringtheTemi,atitsowncostandexpense,thefollowinginsurance:(I)“MiRisk”propertyinsuranceforitsproperty’sreplacementcost.(ii)commercialgeneralliabilityinsurancewithaminimumlimitofliabilityofTwoMillionFiveHundredThousandDollars$2,500,000combinedsinglelimitforbodilyinjuryordeath/propertydamagearisingoutofanyoneoccurrence;and(iii)Workers’CompensationInsuranceasrequiredbylaw.ThecoverageaffordedbyTenant’scommercialgeneralliabilityinsuranceshallapplytoLandlordasanadditionalinsured,butonlywithrespecttoLandlord’sliabilityarisingoutofitsinterestintheProperty.S.INTERFERENCE,(a)Wherethereareexistingradiofrequencyuser(s)ontheProperty,theLandlordwillprovideTenantwithatistofallexistingradiofrequencyuser(s)onthePropertytoallowTenanttoevaluatethepotentialforinterference.TenantwarrantsthatitsuseofthePremiseswillnotinterferewithexistingradiofrequencyuser(s)onthePropertysodisclosedbyLandlord,aslongastheexistingradiofrequencyuser(s)operateandcontinuetooperatewithintheirrespectivefrequenciesandinaccordancewithallapplicablelawsandregulations.IfatanytimeduringtheTermofthisLease,Tenant’soperationinterfereswithLandlord’spublicsafetyradiosystem,TenantmustimmediatelycausesuchinterferencetoceaseafterreceiptofnoticebyLandlord.Inthe48-10-077OkLaad’
CCeventthatanysuchinterferencedoesnotceasewithintheaforementionedcureperiod,thenthepartiesacknowledgethatLandlordwillsufferirreparableinjury,andtherefore,LandlordwillhavetherighttoenjoinsuchinterferenceandterminatethisAgreementuponnoticetoTenant.Wherethereareexistingradiofrequencyuser(s)ontheProperty,theLandlordwillprovideTenantwithalistofallexistingradiofrequencyuser(s)onthePropertytoallowTenanttoevaluatethepotentialforinterference.TenantwarrantsthatitsuseofthePremiseswillnotinterferewithexistingradiofrequencyuser(s)onthePropertysodisclosedbyLandlord,aslongastheexistingradiofrequencyuser(s)operateandcontinuetooperatewithintheirrespectivefrequenciesandinaccordancewithallapplicablelawsandregulations.(b)Landlordwillnotgrant,afterthedateofthisAgreement,alease,licenseoranyotherrighttoanythirdpartyfortheuseoftheProperty,ifsuchusemayinanywayadverselyaffectorinterferewiththeCommunicationfacility,theoperationsofTenantortherightsofTenantunderthisAgreement.LandlordwillnotifyTenantinwritingpriortograntinganythirdpartytherighttoinstallandoperatecommunicationsequipmentontheProperty.(c)TenantacknowledgesthataportionofthePropertyisbeingusedbytheCountyasalandfillandrecyclingfacilityandthatsuchusewillcontinuethroughoutthetermofthisAgreement.Landlordwillnotuse,norwillLandlordpermititsemployees,tenants,licensees,inviteesoragentstouse,anyportionofthePropertyinanywaywhichotherwiseinterfereswiththeCommunicationfacility,theoperationsofTenantortherightsofTenantunderthisAgreement,exceptuseofthePropertyasalandfillandrecyclingcenterwillalwaysbeLandlord’sright.Landlordwillcausesuchinterferencetoceasewithintwenty-four(24)hoursafterreceiptofnoticeofinterferencefromTenant.IntheeventanysuchinterferencedoesnotceasewithintheaforementionedcureperiodthenthepartiesacknowledgethatTenantwillsufferirreparableinjury,andtherefore,Tenantwillhavetheright,forLandlord’sbreachofthisAgreement,toelecttoenjoinsuchinterferenceortoterminatethisAgreementuponnoticetoLandlord.9.INDEMNIFICATION,(a)Tenantagreestoindemnify,defendandholdLandlordharmlessfromandagainstanyandallinjury,loss,damageorliability(oranyclaimsinrespectoftheforegoing),costsorexpenses(includingreasonableattorneys’feesandcourtcosts)arisingdirectlyfromTenant’suseofthePremisesorAccesstothePropertyorTenant’sinstallation,use,maintenance,repairorremovaloftheCommunicationFacilityorTenant’sbreachofanyprovisionofthisAgreement,excepttotheextentattributabletothenegligentorintentionalactoromissionofLandlord,itsemployees,agentsorindependentcontractors.(b)Totheextentallowablebylaw,Landlordagreestoindemnify,defendandholdTenantharmlessfromandagainstanyandallinjury,toss,damageorliability(oranyclaimsinrespectoftheforegoing),costsorexpenses(includingreasonableattorneys’feesandcourtcosts)arisingdirectlyfromtheactionsorfaiLuretoactofLandlordoritsemployeesoragents,orLandlord’sbreachofanyprovisionofthisAgreement,excepttotheextentattributabletothenegligentorintentionalactoromissionofTenant,itsemployees,agentsorindependentcontractors.(c)NotwithstandinganythingtothecontraryinthisAgreement,TenantandLandlordeachwaiveanyclaimsthateachmayhaveagainsttheotherwithrespecttoconsequential,incidentalorspecialdamages.10.WARRANTIES.(a)TenantandLandlordeachacknowledgeandrepresentthatitisdulyorganized,validlyexistingandingoodstandingandhasthetight,powerandauthoritytoenterintothisAgreementandbinditselfheretothroughthepartysetforthassignatoryforthepartybelow.(b)Landlordrepresentsandwarrantsthat(I)LandlordownsthePropertybyvirtueofalandpatentconveyedbytheBureauofLandManagement(“BLM”);(ii)thePropertyisnotencumberedbyanyliens,restrictions,mortgages,covenants,conditions,easements,leases,oranyotheragreementsofrecordornotofrecord,whichwouldadverselyaffectTenant’sPermittedUseandenjoymentofthePremisesunderthisAgreement;fiii)aslongasTenantisnotindefaultthenLandlordgrantstoTenantactual,quietandpeacefuluse,enjoymentandpossessionofthePremises;(iv)Landlord’sexecutionandperformanceofthisAgreementwillnotviolateanylaws,ordinances,covenantsortheprovisionsofanymortgage,leaseorotheragreementbindingon58-10-07
CCtheLandlord,andfv)ifthePropertyisorbecomesencumberedbyadeedtosecureadebt,mortgageorothersecurityinterest,LandlordwillprovidepromptlytoTenantamutuallyagreeableSubordination,Non-DisturbanceandAttommentAgreement.11.ENVIRONMENTAL(a)LandlordrepresentsandwarrantsthatthePropertyisfreeofhazardoussubstancesasofthedateofthisAgreement,and,tothebestofLandlord’sknowledge,thePropertyhasneverbeensubjecttoanycontaminationorhazardousconditionsresultinginanyenvironmentalinvestigation,inquiryorremediation.TenantacknowledgesthataportionofthePropertyisbeingusedbytheCountyasalandfillandrecyclingfacilityandthatsuchusewillcontinuethroughoutthetermofthisAgreement.LandlordandTenantagreethateachwiltberesponsibleforcompliancewithanyandallenvironmentalandindustrialhygienelaws,includinganyregulations,guidelines,standards,orpoliciesofanygovernmentalauthoritiesregulatingorimposingstandardsofliabilityorstandardsofconductwithregardtoanyenvironmentalorindustrialhygieneconditionorothermattersasmaynoworatanytimehereafterbeineffect,thatarenoworwererelatedtothatparty’spossession,useoforactivityconductedinorontheProperty.(b)Landlord,totheextentallowablebylaw,andTenantagreetoholdharmlessandindemnifytheotherfrom,andtoassumeallduties,responsibilitiesandliabilitiesatthesolecostandexpenseoftheindemnifyingpartyfor,paymentofpenalties,sanctions,forfeitures,losses,costsordamages,andforrespondingtoanyaction,notice,claim,order,summons,citation,directive,litigation,investigationorproceedingwhichisrelatedto(i)theindemnifyingparty’sfailuretocomplywithanyenvironmentalorindustrialhygienelaw,includingwithoutlimitationanyregulations,guidelines,standardsorpoliciesofanygovernmentalauthoritiesregulatingorimposingstandardsofliabilityorstandardsofconductwithregardtoanyenvironmentalorindustrialhygieneconditionsormattersasmaynoworhereafterbeineffect,or(ii)anyenvironmentalorindustrialhygieneconditionsthatariseoutoforareinanywayrelatedtotheconditionofthePropertyandactivitiesconductedbythepartythereon,unlesstheenvironmentalconditionsarecausedbytheotherparty.(c)TheindemnificationsofthisParagraph11specificallyincludereasonablecosts,expensesandfeesincurredinconnectionwithanyinvestigationofPropertyconditionsoranyclean-up,remediation,removalorrestorationworkrequiredbyanygovernmentalauthority.TheprovisionsofthisParagraph11willsurvivetheexpirationorterminationofthisAgreement.(d)IntheeventTenantbecomesawareofanyhazardousmaterialsontheProperty,oranyenvironmentalorindustrialhygieneconditionormatterrelatingtothePropertythat,inTenant’ssoledetermination.renderstheconditionofthePremisesorPropertyunsuitableforTenant’suse,orifTenantbelievesthattheteasingorcontinuedleasingofthePremiseswouldexposeTenanttounduerisksofgovernmentaction,interventionorthird-partyliability,TenantwilthavetherighttoterminatetheAgreementuponnoticetoLandlord.12.ACCESS.AccesstothePremisesforroutinemaintenanceandnon-emergencyrepairswillbeallowedduringnormalLandfilloperatinghours.MaintenancepersonnelshallcheckWiandoutattheLandfilloffice.AccessforafterhoursemergencyrepairsmustbearrangedthoughtheVaNPublicSafetyCommunicationsCenterbycallIng(970)479-2201.ThIsaccesswiltrequireanescortatAT&VsexpenseTenantacknowledgesthatthePremisesislocatedbehindalockedgateandthattheroadwaytothePremisesbeyondthelockedgateisa4X4trailthatisnotregularlyplowedormaintained.Therefore,Tenant,itsemployees,agentsandsubcontractorsmayneedtousesnowmachinestoaccessthePremisesduringwintermonths.SnowmachineswillnotbeprovidedbyLandlordandTenantissolelyresponsibleforacquiringthenecessaryequipmenttoaccessthePremises.13.REMOVAI]RESTORATION.AllportionsoftheCommunicationFacilitybioughtontothePropertybyTenantwillbeandremainTenant’spersonalpropertyand,atTenant’soption,mayberemovedbyTenantatanytimeduringtheTerm.LandlordcovenantsandagreesthatnopastoftheCommunicationFacilityotherthantheundergroundimprovementsorundergrounduthlitiesconstructed,erectedorplacedonthePremisesbyTenantwillbecome,orbeconsideredasbeingaffixedtoorapartof,theProperty,itbeingthespecificintentionoftheLandlordthatallimprovementsofeverykindandnatureconstructed,erectedccplacedbyTenantonthePremiseswiltbeandremainthepropertyoftheTenantandmayberemovedbyTenantatanytimeduringtheTerm.68-10-07
CCWithinonehundredtwenty(120)daysoftheterminationofthisAgreement,TenantwillremoveallofTenant’sabove-groundimprovementsandTenantwill,totheextentreasonable,restorethePremisestoitsconditionatthecommencementoftheAgreement,reasonablewearandtearandlossbycasualtyorothercausesbeyondTenant’scontrolexcepted.Notwithstandingtheforegoing,Tenantwillnotberesponsibleforthereplacementofanytrees,shrubsorothervegetation,norwiltTenantberequiredtoremovefromthePremisesorthePropertyanystructuralsteeloranyfoundationsorundergroundutilities.14.MAINTENANCFIUTIUTIFS.(a)TenantwillkeepandmaintainthePremisesingoodcondition,,reasonablewearandtearanddamagefromtheelementsexcepted.(b)IntheeventTenantrequiresatelephoneserviceline,Tenantwillberesponsibleforsecuringsaidtelephoneservicelineatitsownexpense.Tenantshallalsoberesponsibleforsecuringitsownmeteredelectricalsupplyatitsownexpense.Tenantwillberesponsibleforpayingonamonthlyorquarterlybasisallutilitieschargesforelectricity,telephoneserviceoranyotherutilityusedorconsumedbyTenantonthePremises.LandlordacknowledgesthatTenantprovidesacommunicationservicewhichrequireselectricalpowertooperateandmustoperatetwenty-four(24)hourperday,seven(7)dayperweek.Iftheintemiptionisforanextendedperiodoftime,inTenant’sreasonabledetermination,theLandlordagreestoallowTenanttherighttobringinatemporarysourceofpowerforthedurationoftheinterruption.LandlordwillfullycooperatewithanyutilitycompanyrequestingaccesstothePropertyinorderfortheutilitycompanytoprovideservicetotheTenant.LandlordwiUnotberesponsibleforinterferencewith,interruptionoforfailure,beyondthereasonablecontrolofLandlord,ofsuchservicestobefurnishedorsuppliedbyLandlord.13.DEFAULTANDRIGHTTOCURE.(a)ThefollowingwillhedeemedadefaultbyTenantandabreachofthisAgreement:(i)nonpaymentofRentifsuchRentremainsunpaidformorethanthirty(30)daysafterreceiptofwrittennoticefromLandlordofsuchfailuretopay;(ii)Tenant’sfailuretocureaninterferenceproblempersection8(a)or(iii)Tenant’sfailuretoperformanyothertermorconditionunderthisAgreementwithinforty-five(45)daysaflarreceiptofwrittennoticefromLandlordspecifyingthefailure.DelayincuringadefaultwillbeexcusedifduetocausesbeyondthereasonablecontrolofTenant.IfTenantremainsindefaultbeyondanyapplicablecureperiod,LandlordwillhavetherighttoexerciseanyandallrightsandremediesavailabletoitunderlawandequityincludingtherighttocureTenant’sdefaultandtobillTenantforanycostrelatedtothecure.(1,)ThefollowingwiltbedeemedadefaultbyLandlordandabreachofthisAgreement:(1)failuretoprovideaccesstothePremisesortocureaninterferenceproblemwithintwenty-four(24)hoursafterreceiptofwrittennoticeofsuchdefault;or(ii)Landlord’sfailuretoperformanyterm,conditionorbreachofanywarrantyorcovenantunderthisAgreementwithinforty-five(45)daysafterreceiptofwrittennoticefromTenantspecifyingthefailure.Nosuchfailure,however,willbedeemedtoexistifLandlordhascommencedtocurethedefaultwithinsuchperiodandprovidedsucheffortsareprosecutedtocompletionwithreasonablediligence.DelayincuringadefaultwillbeexcusedifduetocausesbeyondthereasonablecontrolofLandlord,ifLandlordremainsindefaultbeyondanyapplicablecureperiod,Tenantwillhavetherighttoexerciseanyandallrightsavailabletoitunderlawandequity.16.ASSIGNMENTISUDLEASE.Tenantwillhavetherighttoassign,sellortransferitsinterestunderthisAgreementwithouttheapprovalorconsentofLandlord,toTenant’sparentormembercompanyoranyaffiliateorsubsidiaryof,orpartnerin,TenantoritsparentormembercompanyortoanyentitywhichacquiresallorsubstantiallyalloftheTenant’sassetsinthemarketdefinedbythefederalCommunicationsCommissioninwhichthePropertyislocatedbyreasonofamerger,acquisition,orotherbusinessreorganization.UponnotificationtoLandlordofsuchassignment,transferorsale,Tenantwillberelievedofallfutureperformance,liabilitiesandobligationsunderthisAgreement.TenantshallnothavetherighttosubleasethePremises,inwholeorinpart,withoutLandlord’sconsent.TenantmaynototherwiseassignthisAgreementwithoutLandlord’sconsent,Landlord’sconsentnottobeunreasonablywithheld,conditionedordelayed.78.10-07ZE7,LLj..

CactioninthenameofLandlord,Tenant,orboth,withrespecttothevaluationofthePremises.TheexpenseofanysuchproceedingsshallbebornebyTenantandanyrefundsorrebatessecuredasaresultofTenant’sactionshallbelongtoTenant.22.SALEOFPROPERTY/RIGHTOFFIRSTREFUSAL(a)IfLandlord,atanytimeduringtheTermofthisAgreement,decidestosell,subdivideorrezoneanyofthePremises,alloranypartofthePremisesorSurroundingProperty,toapurchaserotherthanTenant,LandlordshallpromptlynotifyTenantinwriting,andsuchsale,subdivisionorrezoningshallbesubjecttothisAgreementandTenant’srightshereunder.Landlordagreesnottosell,leaseoruseanyareasofthePropertyorSurroundingPropertyfortheinstallation,operationormaintenanceofotherwirelesscommunicationsfacilitiesifsuchinstallation,operationormaintenancewouldinterferewithTenant’sPermittedUseorcommunicationsequipmentasdeterminedbyradiopropagationtestsperformedbyTenantinitssolediscretion,anysuchtestingtobeattheexpenseofLandlord’sprospectivepurchaser,andnotTenant.IftheradiofrequencypropagationtestsdemonstratelevelsofinterferenceunacceptabletoTenant,Landlordshallbeprohibitedfromselling,leasingorusinganyareasofthePremisesortheSurroundingPropertyforpurposesofanyinstallation,operationormaintenanceofanyotherwirelesscommunicationsfacilityorequipment.Landlordshallnotbemhibitedfromtheselling,leasingoruseofanyofthePropertyortheSurroundingPropertyfornon-wirelesscommunicationuse.IntheeventthePropertyistransferred,thenewlandlordshallhaveadutyatthetimeofsuchtransfertoprovideTenantwithacompletedIRSFormW-9,oritsequivalent,andotherrelatedpaperworktoeffectatransferinRenttothenewlandlord.TheprovisionsofthisParagraph22shallinnowaylimitorimpairtheobligationsofLandlordunderParagraph8above.(b)IfatanytimeaftertheEffectiveDate,LandlordreceivesabonnfidewrittenofferfromathirdpartyseekinganassignmentoftherentalstreamassociatedwiththisAgreement(‘?urthaseOffer”).LandlordshallimmediatelyfurnishTenantwithacopyofthePurchaseOffer,togetherwitharepresentationthatthePurchaseOfferisvalid,genuineandtrueinallrespects.Tenantshallhavetherightwithinthirty(30)daysafteritreceivessuchcopyandrepresentationtomatchthePurchaseOfferandagreeinwritingtomatchthetermsofthePurchaseOffer.SuchwritingshallbeintheformofacontractsubstantiallysimilartothePurchaseOffer.ifTenantchoosesnottoexercisethisrightoffirstrefusalorfailstoprovidewrittennoticetoLandlordwithinthethirty(30)dayperiod,LandlordmayassigntherentalatteampursuanttothePurchaseOffer,subjecttothetermsofthisAgreement(includingwithoutlimitationthetermsofthisSubparagraph22(B),tothepersonorentitythatmadethePurchaseOfferprovidedthat(i)theassignmentisonthesametermscontainedinthePurchaseOfferand(ii)theassignmentoccurswithinninety(90)daysofTenant’sreceiptofacopyofthePurchaseOffer.IfsuchthirdpartymodifiesthePurchaseOfferortheassignmentdoesnotoccurwithinsuchninety(90)dayperiod,Landlordshallre-offertoTenant,pursuanttotheproceduresetforthinthissubparagraph22(b),theassignmentonthetermssetforthinthePurchaseOffer,asamended.Therightoffirstrefusalhereundershall(i)surviveanytransferofalloranypaxtofthePmpertyorassignmentofalloranypartoftheAgrcement,(ii)bindandinurewthebenefitof,LandlordandTenantandtheirrespectiveheirs,successorsandassigns;(ill)runwiththeland;and(iv)terminateupontheexpirationorearlierterminationofthisAgreement.23.TOWERMASKING.IntheeventtheEagleCountyBoardofCountyCommissionersrequiressomeformofmaskingofthetowerlocatedonthePremises,thecosttoprovidetherequiredmaskingshallbesharedbyLandlordandTenantequally.24.MISCELLANEOUS.(a)AmeudmenUWalver.ThisAgreementcannotbeamended,modifiedorrevisedunlessdoneinwritingandsignedbyanauthorizedagentoftheLandlordandanauthorizedagentoftheTenant.Noprovisionmaybewaivedexceptinawritingsignedbybothparties.(b)Memorandum/ShortFormLease.Eitherpartywill,atanytimeuponfifteen(15)businessdayspriorwrittennoticefromtheother,execute,acknowledgeanddelivertotheotherarecordableMemorandumor108-10-07
