/ThAGREEMENTBETWEE.EAGLECOUNTYANDH&BSNOW1EMOVALSERVICES,INC.THISAGREEMENTismadethisOdayof,2013,byandbetweenEagleCounty(“County”),and,H&BSnowRemoval,Inc.(“Contractor”),aColoradocorporationwithaprincipalplaceofbusinessat916BChambersAve.,Eagle,CO81631WHEREAS,CountydesirestoutilizeContractorforfrozenprecipitationremovalservicesfortheareasdescribedinARTICLE1ofthisAgreement.WHEREAS,ContractorisauthorizedtodobusinessintheStateofColorado,hasexperienceandexpertisenecessarytoprovidesaidproductand/orservicestoCounty;andWHEREAS,CountyandContractorintendbythisAgreementtosetforththescopeoftheresponsibilitiesofContractorinconnectionwiththeservicesandrelatedtermsandconditionstogoverntherelationshipbetweenContractorandCountyinconnectionwiththisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractoragreeasfollows:ARTICLE1-WORK1.1Contractoragreestoprovideallservices,labor,personnelandmaterialstoperformandcompleteallthefrozenprecipitationremovalservicessetforthbelowinSections1.2through1.5,whichshallcollectivelybereferredtohereinasthe“Work.”Contractorwilluseitsexpertise,skilltoperformtheWork.1.2DuringtheperiodofNovember15ththroughApril15thContractorshallperformfrozenprecipitationremovalservices,includingsnowplowing,snowblowing,shoveling,icechipping,andtheapplicationoficemeltproducts,attheMillerRanchCommunityCenterinEdwards,Colorado,asshowninsitemapattachedheretoasExhibit“Al.1”andincorporatedhereinbythisreference.ForthiscomponentoftheWork,frozenprecipitationmustberemovedfromparkinglotandsidewalksurfaces,includingthoseleadingtoeachoftheexterioregressdoorstothebuilding.ThiscomponentoftheWorkshouldbeinitiallycompletedby7:30a.m.whenone(1)inchormoreoffrozenprecipitationispresent,andmustberepeatedasneededthroughoutthedaytoprovidesafeaccesstothelocationstomaximizeoperationsandtominimizeriskofinjurytopedestrians.ThiscomponentoftheWorkalsoincludestheapplicationoficemeltonmainaccessesofparkingareaandonsidewalksleadinguptothebuilding’sexteriordoors.Frozenprecipitationshallbestoredindesignatedareasintheparkinglots,asdirectedEagleCountyFacilityManagement,andasdescribedintheattachedExhibit“Al.l”incorporatedhereinbythisreference.1.3DuringtheperiodofNovember15ththroughApril15th,Contractorshallperformfrozenprecipitationremovalservices,includingsnowplowing,snowblowingandshovelingon(1)therecreationpaththatrunsalongMillerRanchRoadfromtheround-aboutatEdwardsSpurRoadtotheECOrecreationpathneartherailroadtrackcrossingasdepictedinExhibit“Al.2”whichisattachedheretoandincorporatedhereinbyreference;and(2)therecreationpaththatgoesaroundthefreedomPondasdepictedinExhibit“Al.3”whichisattachedheretoandincorporatedhereinbyreference.forthiscomponentoftheWork,frozenprecipitationmustberemovedfromrecreationpaths.ThiscomponentoftheWorkshouldbeinitiallycompletedby7:30a.m.whenone(1)inchormoreoffrozenprecipitationispresent,andmustberepeatedasneededthroughoutthedaytoprovidesafeaccesstothelocationstomaximizeoperationsandtominimizeriskofinjurytopedestrians.1.4DuringtheperiodofNovember15ththroughApril15th,Contractorshallperformfrozenprecipitationremovalservices,includingsnowplowing,snowblowing,shoveling,icechipping,andtheapplicationof1 icemeltproducts,attheEabCountyJusticeCenterinEagle,Colorado,asshowninsitemapattachedheretoasExhibit“Al.4”andincorporatedhereinbythisreference(the“Work”).ForthiscomponentoftheWork,frozenprecipitationmustberemovedfromsidewalksurfaces,includingthoseleadingtoeachoftheexterioregressdoorstothebuilding.TheWorkshouldbeinitiallycompletedby7:30a.m.whenanyfrozenprecipitationispresent,andmustberepeatedasneededthroughoutthedaytoprovidesafeaccesstothelocationstomaximizeoperationsandtominimizeriskofinjurytopedestrians.ThiscomponentoftheWorkalsoincludestheapplicationoficemeltonmainaccessesofparkingareaandonsidewalksleadinguptothebuilding’sexteriordoors.1.5DuringtheperiodofNovember15ththroughApril15t1i,Contractorshallperformfrozenprecipitationremovalservices,includingsnowplowing,snowblowing,shoveling,icechipping,andtheapplicationoficemeltproducts,attheSeniorCenterinEagle,ColoradoasshowninthesitemapattachedheretoasExhibit“Al.5”andincorporatedhereinbythisreference.ForthiscomponentoftheWork,frozenprecipitationmustberemovedfromparkinglotandsidewalksurfaces,includingthoseleadingtoeachoftheexterioregressdoorstothebuilding.ThiscomponentoftheWorkshouldbeinitiallycompletedby7:30a.m.whenanyfrozenprecipitationispresent,andmustberepeatedasneededthroughoutthedaytoprovidesafeaccesstothelocationstomaximizeoperationsandtominimizeriskofinjurytopedestrians.ThiscomponentoftheWorkalsoincludestheapplicationoficemeltonmainaccessesofparkingareaandonsidewalksleadinguptothebuilding’sexteriordoors.1.6IntheeventofanyconflictbetweenthecontentsofthisAgreementandanyExhibithereto,thisAgreementshallcontrol.ARTICLE2-COUNTY’SREPRESENTATIVE2.1TheFacilitiesManagementDepartmentdesignee,shallbeContractor’scontactwithrespecttothisAgreementandtheperformanceoftheServices.ARTICLE3-TERMOFAGREEMENT3.1ThisAgreementshallcommenceuponexecutionofthisAgreementbybothparties,and,subjecttotheprovisionsofArticle11hereof,shallcontinueinfullforceandeffectuntiltheServicesaresatisfactorilycompletedinaccordancewiththetermsofthisAgreement.3.2ThetermofthisAgreementmaybeextendedforuptotitreeadditionaloneyeartermsuponwrittenagreementoftheparties.Further,theAgreementmaybemodifiedandthescopeofServicesmaybechangeduponawrittenamendmenttothisAgreementsignedbybothparties.ARTICLE4-COMPENSATION4.1ForsatisfactorycompletionoftheWorkprovidedattheMillerRanchCommunityCenterassetforthherein,CountyshallpaytotheContractormonthlyinstallmentsof$908.75($3,635.00perseason)asdescribedintheFeesListattachedheretoasExhibit“Bi.1”andincorporatedhereinbythisreference.4.2ForsatisfactorycompletionoftheWorkprovidedattherecreationpathsassetforthherein,CountyshallpaytotheContractormonthlyinstallmentsof$292.50($1,170.00perseason)asdescribedintheFeesListattachedheretoasExhibit“B1.1”andincorporatedhereinbythisreference.4.3ForsatisfactorycompletionoftheWorkprovidedattheJusticeCenterassetforthherein,CountyshallpaytotheContractormonthlyinstallmentsof$1,070.50($4,282.00perseason)asdescribedintheJusticeCenterFeesListattachedheretoasExhibit“B1.2”andincorporatedhereinbythisreference.2 CC4.4forsatisfactorycompletionoftheWorkprovidedattheSeniorCenterassetforthherein,CountyshallpaytotheContractormonthlyinstallmentsof$759.37($3,037.50perseason)asdescribedintheSeniorCenterfeesListattachedheretoasExhibit“Bi.3”andincorporatedhereinbythisreference4.5IntheeventContractorandCountyagreeupontheneedforadditionalservicesbeyondtheworkdescribedinARTICLE1,thoseservicesshallbebilledattheratessetforthinExhibit“BI.4”.4.6TotalcompensationunderthisAgreementshallnotexceedsixteenthousandeightysevendollars($16,124.50)withoutawrittenamendmenttothisAgreement.4.6PaymentwillbemadeforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoicefromContractorrespectingtheServices.Theinvoiceshallincludeadescriptionofservicesperfonried.Uponrequest,ContractorshallprovideCountywithsuchothersupportinginformationasCountymayrequest.4.7CountywillnotwithholdanytaxesfrommoniespaidtotheContractorhereunderandContractoragreestobesolelyresponsiblefortheaccuratereportingandpaymentofanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.4.8NotwithstandinganythingtothecontrarycontainedinthisAgreement,nochargesshallbemadetotheCountynorshallanypaymentbemadetotheContractorinexcessoftheamountforanyServicesdonewithoutthewrittenapprovalinaccordancewithabudgetadoptedbytheBoardinaccordancewithprovisionsoftheColoradoRevisedStatutes.Moreover,thepartiesagreethattheCountyisagovernmentalentityandthatallobligationsbeyondthecurrentfiscalyeararesubjecttofundsbeingbudgetedandappropriated.4.9ThesignatoriestothisAgreementavertotheirknowledge,noemployeeoftheCountyhasanypersonalorbeneficialinterestwhatsoeverintheserviceorpropertydescribedinthisAgreement.TheContractorhasnointerestandshallnotacquireanyinterest,directorindirect,thatwouldconflictinanymatterordegreewiththeperformanceofContractor’sservicesandContractorshallnotemployanypersonhavingsuchknowninterests.ARTICLES-CONTRACTOR’SREPRESENTATIONSInordertoinduceCountytoenterintothisAgreement,Contractormakesthefollowingrepresentations:5.1ContractorhasfamiliarizeditselfwiththenatureandextentoftheServicestobeprovidedhereunder,thefacility,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymanneraffectcost,progress,orperfonrianceoftheServices.5.2Contractorwillmake,orcausetobemade,examinations,investigations,andtestsashedeemsnecessaryfortheperformanceoftheServices.5.4Totheextentpossible,Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsofthisAgreement.5.5TotheextentpossibleContractor,hasgivenCountywrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheAgreement.5.6ContractorwillberesponsibleforprovisionoftheServicesandshallperformtheServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletofrozenprecipitationremovalservices.Further,inrenderingtheServices,Contractorshallcomplywiththe3 higheststandardsofcustomers‘icetothepublic.ContractorshallpiuvideappropriatesupervisionofitsemployeestoensuretheServicesareperformedinaccordancewiththisAgreement.ARTICLE6-ENTIREAGREEMENT6.1ThisAgreementrepresentstheentireAgreementbetweenthepartieshereto.TherearenoContractDocumentsotherthanthisAgreement,Exhibits“A1.1—A1.5”,Exhibits“B1.1—B1.4”andExhibit“C”.TheAgreementmayonlybealtered,amended,orrepealedinwriting.ARTICLE7-MISCELLANEOUS7.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheAgreementwillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheAgreement.7.2CountyandContractoreachbindsitself,itspartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedinthisAgreement.7.3NotwithstandinganythingtothecontrarycontainedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoContractorinrespectofanyperiodafterDecember31withoutanappropriationthereforebyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewithArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).7.4ProvisionMandatedbyC.R.S.§8-17.5-101etseq.PROHIBITIONSONPUBLICCONTRACTFORSERVICES7.4.1IfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,ContractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunderthisContractandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformServicesunderthisContract.7.4.2Contractorshallnot:(i)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifjtotheContractorthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.7.4.3ContractorhasconfirmedtheemploymenteligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verifyProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheE-verifyprogramcanbefoundat:4 http://w.dhs.gov/xprevprot/pCams/gc1185221678150.shtm7.4.4TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employinentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperformed.7.4.5IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:(i)Notif’thesubcontractorandtheCountywithinthreedaysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenoticerequiredpursuanttosubparagraph(i)oftheparagraph(D)thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthattheContractorshallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.7.4.6TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).7.4.7IfaContractorviolatestheseprohibitions,theCountymayterminatethecontractforabreachofthecontract.IfthecontractissoterminatedspecificallyforabreachofthisprovisionofthisContract,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.7.4.8TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisContractandtheCountyterminatestheContractforsuchbreach.7.5TheContractor,ifanaturalpersoneighteen(18)yearsofageorolder,herebyswearsandaffirmsunderpenaltyofperjurythatheorshe(a)isacitizenorotherwiselawfullypresentintheUnitedStatespursuanttofederallaw,(b)totheextentapplicableshallcomplywiththeprovisionsofC.R.S.24-76.5-101et.seq.,and(c)hasproducedoneformofidentificationrequiredbyC.R.S.24-76.5-103priortotheeffectivedateofthisAgreement.7.5InvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffecttheotherprovisionshereofandthisAgreementshallbeconstruedasifsuchinvalidorunenforceableprovisionwasomitted.7.6ContractoracknowledgesthatCountyhasenteredintothisAgreementinrelianceupontheparticularreputationandexpertiseofContractor.Contractorshallnotenterintoanysub-consultantorsub-contractoragreementsfortheperformanceofanyoftheServicesorwithoutCounty’spriorwrittenconsent,whichmaybewithheldinCounty’ssolediscretion.CountyshallhavetherightinitsreasonablediscretiontoapproveallpersonnelassignedtoperformtheWorkandnopersonneltowhomCountyhasanobjection,initsreasonablediscretion,shallbeassigned.ContractorshallbesolelyresponsibleforanyWorkperformedbyasub-consultantorsub-contractorandshallrequireeachsub-consultantorsub-contractor,asapprovedbyCountyandtotheextentoftheServicestobeperformedbythesub-consultantorsub-contractor,tobeboundtoContractorbythetenTisofthisAgreement,andtoassumetowardContractoralltheobligationsandresponsibilitieswhichContractor,bythisAgreement,assumestowardCounty.ARTICLE8-JURISDICTIONANDVENUE:5 8.1ThisAgreementshallbeirpretedinaccordancewiththelawsoicueStateofColoradoandthepartiesherebyagreetosubmittothejurisdictionofthecourtsthereof.VenueshallbeinthefifthJudicialDistrictfortheStateofColorado.8.2IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,orifsuitotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperformance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.ARTICLE9-INDEMNIFICATION:9.1TheContractorshallindemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutofdirectlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperformancebyContractororanyofitssubcontractorshereunder;andContractorshallreimburseCountyforanyandallattorneyfeesandcosts,legalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyissolelyliabletosuchthirdpartyforsuchclaimswithoutregardtotheinvolvementoftheContractor.ARTICLE10-OWNERSHIPOFDOCUMENTSANDMATERIALS:10.1Alldocuments(includingelectronicfiles)andmaterialswhichareobtainedduring,purchasedorpreparedintheperformanceoftheServicesshallremainthepropertyoftheCountyandaretobedeliveredtoCountybeforefinalpaymentismadetoContractororuponearlierterminationofthisAgreement.ARTICLE11-TERMINATION:11.1CountymayterminatethisAgreement,inwholeorinpart,foranyreason,atanytime,withorwithoutcause.AnysuchterminationshallbeeffectedbydeliverytoContractorofawrittennoticeofterminationspecifyingthedateuponwhichterminationbecomeseffective.Insuchevent,ContractorshallbecompensatedforallServicessatisfactorilycompleteduptothedateofterminationforsuchServices.ARTICLE12-NOTICE12.1AnynoticerequiredunderthisAgreementshallbepersonallydelivered,mailedintheUnitedStatesmail,firstclasspostageprepaid,orsentviafacsimileprovidedanoriginalisalsopromptlydeliveredtotheappropriatepartyatthefollowingaddresses:TheCounty:EagleCountyFacilitiesManagementP.O.Box850Eagle,Colorado81631(970)328-8786(p)(970)328-8899(1)andacopyto:EagleCountyAttorneyP.O.Box850Eagle,Colorado81631(970)328-8685(p)6
