HomeMy WebLinkAboutC13-345 Mary Pat WittC,0AGREEMENTBETWEENEAGLECOUNTYANDMARYPATWITTThisAgreement(“Agreement”)datedasofthis____dayofNoV,2013,isbetweentheCountyofEagle,StateofColorado,abodycorporateandpolitic,byandthroughitsCountyManager(“County”),withamailingaddressof500Broadway,P.O.Box$50,Eagle,CO$1631andMaryPatWilt,anindividualwithamailingaddressofP.O.Box1193,Eagle,CO$1631(“Contractor”).WITNESSETH:Whereas,theCounty,throughitsDepartmentofPublicHealth,workstopromotethehealth,safetyandwelfareofCountyresidentsofallages;andWhereas,amongtheservicestheCountyprovidesinordertopromotesuchhealth,safetyandwelfareincludetheadministrationofexerciseprogrammingforEagleCountySeniors;andWhereas,theuseofoutsideproviderstoprovideexerciseprogrammingenhancestheabilityoftheCountytopromotehealth,safetyandwelfareinthecommunity;andWhereas,Contractorisaproviderofsuchexerciseprogrammingservice,andtheCountywishestocontractwithContractorfortheprovisionofsuchservices.Now,therefore,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractorenterintothisAgreement.I.SCOPEA.Contractorshallprovidesenior-appropriateexerciseclassesonetimeperweekattheGoldenEagleSeniorCenterat715Broadway,Eagle,Colorado81631(the“Services”).B.UnlessotherwiseagreeduponbytheCounty,theServicesshallbeprovidedeachweekduringthetermofthisAgreementonthefollowingdaysandtimes:•Eagle:Tuesdaysat10:00a.m.C.IntheeventthattheContractorisunavailabletoprovidetheServices,CountymayelecttocontractfortheservicesofanexercisespecialistnotemployedorretainedbyContractor.ContractoragreesthatitwillprovideCountywithasmuchadvancednoticeasisreasonablewhenevertheContractorwillnotbeavailableonaparticulardatetoprovidetheServices.(‘(Lft CCII.TERMA.ThisAgreementshallcommenceonJanuary6,2014shallterminateonMarch11,2014.B.Anyrevision,amendmentormodificationofthisAgreementshallbevalidonlyifinwritingandsignedbyallparties.Exceptasmaybeexpresslyalteredbytheamendment,alltermsandconditionsofthisAgreementshallcontrol.III.COMPENSATIONA.TheCountywillpaytheContractorafeeof$20.00perclass,nottoexceedanannualamount$200.00.ContractorshallsubmitmonthlyinvoicestoCountyforServicesprovidedduringthepriormonth.InvoiceswillbepaidthroughtheCounty’susualbillpayingprocesswithinthirty(30)daysofCounty’sreceiptofacompleteandaccurateinvoicefromContractor.ContractorshallprovideCountywithsupportinginformationasrequestedbyCounty.Contractorshallnotbeentitledtobillatovertimeand/ordoubletimeratesforworkdoneoutsideofnormalbusinesshoursunlessspecificallyauthorizedinwritingbyCounty.B.If,priortopaymentofcompensationorreimbursementforservices,butaftersubmissiontoCountyofarequestthereforebyContractor,CountyreasonablydeterminesthatpaymentasrequestedwouldbeimproperbecausetheserviceswerenotperformedasprescribedbytheprovisionsofthisAgreement,theCountyshallhavenoobligationtomakesuchpayment.If,atanytimeafterorduringtheTermorafterterminationofthisAgreementashereinafterprovidedorexpirationofthisAgreement,CountyreasonablydeterminesthatanypaymenttheretoforepaidbyCountytoContractorwasimproperbecausetheservicesforwhichpaymentwasmadewerenotperformedasprescribedbytheprovisionsofthisAgreement,thenuponwrittennoticeofsuchdeterminationandrequestforreimbursementfromCounty,ContractorshallforthwithreturnsuchpaymenttoCounty.UponterminationofthisAgreementashereinafterprovidedorexpirationoftheTerm,anyunexpendedfundsadvancedbyCountytoContractorshallforthwithbereturnedtoCounty.C.TheCountywillnotwithholdanytaxesfrommoniespaidtotheContractorhereunderandContractoragreestobesolelyresponsiblefortheaccuratereportingandpaymentofanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.D.NotwithstandinganythingtothecontrarycontainedinthisAgreement,nochargesshallbemadetotheCountynorshallanypaymentbemadetotheContractorinexcessoftheamountforanyworkdonewithoutthewrittenapprovalinaccordancewithabudgetadoptedbytheEagleCountyBoardofCountyCommissionersinaccordancewithprovisionsoftheColoradoRevisedStatutes.Moreover,thepartiesagreethattheCountyisagovernmentalentityandthatallobligationsbeyondthecurrentfiscalyeararesubjecttofundsbeingbudgetedandappropriated. CIV.PROHIBITIONSONPUBLICCONTRACTFORSERVICESIfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,ContractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunderthisAgreementandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisAgreement.A.Contractorshallnot:(i)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifytotheContractorthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.B.ContractorhasconfirmedtheemploymenteligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verif’ProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheE-verifyprogramcanbefoundat:http://www.dhs.gov/xprevprot/programs/gcl18522167$150.shtmC.TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperformed.D.IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:(i)NotifythesubcontractorandtheCountywithinthreedaysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenoticerequiredpursuanttosubparagraph(i)oftheparagraph(D)thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthattheContractorshallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.3 cmE.TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).F.IfaContractorviolatestheseprohibitions,theCountymayterminatetheAgreementforabreachofthecontract.IftheAgreementissoterminatedspecificallyforabreachofthisprovisionofthisAgreement,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.G.TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisAgreementandtheCountyterminatestheAgreementforsuchbreach.V.TERMINATIONCountymayterminatethisAgreement,inwholeorinpart,foranyreason,atanytime,withorwithoutcause.AnysuchterminationshallbeeffectedbydeliverytoContractorofawrittennoticeofterminationspecifyingthereasonanddateuponwhichterminationbecomeseffective.Insuchevent,ContractorshallbecompensatedforallServicessatisfactorilycompleteduptothedateofterminationforsuchServices.IntheeventtheContractorfilesforbankruptcyorisdeclaredbankrupt,theCountymaydeclareinwritingthatthisAgreementisimmediatelyterminated,andallrightsofContractorandobligationsofCountyareterminated,exceptpaymentofaccruedbutunpaidfeesassetforthherein.VI.CONTRACTOR’SDUTIESA.AllfundsreceivedbyContractorunderthisAgreementshallbeorhavebeenexpendedsolelyforthepurposeforwhichgranted,andanyfundsnotsoexpended,includingfundslostordivertedforotherpurposes,shallbereturnedtoCounty.B.Contractorshallmaintain,foraminimumof3years,adequatefinancialandprogrammaticrecordsforreportingtoCountyonperformanceofitsresponsibilitieshereunder.Contractorshallbesubjecttofinancialauditbyfederal,stateorcountyauditorsortheirdesignees.ContractorauthorizesCountytoperformauditsortomakeinspectionsduringnormalbusinesshours,upon4$hoursnoticetoContractor,forthepurposeofevaluatingperformanceunderthisAgreement.ContractorshallcooperatefullywithauthorizedHHSrepresentativesintheobservationandevaluationoftheprogramandrecords.ContractorshallhavetherighttodisputeanyclaimsofmisuseoffundsandseekanamicableresolutionwithCounty.C.Contractorshallcomplywithallapplicablefederal,stateandlocalrules,regulationsandlawsgoverningservicesofthekindprovidedbyContractorunderthisAgreement.UponexecutionofthisAgreement,ContractorshallprovideCountywithacopyofthemostrecentexercisecertificationsfortheContractordemonstratingshehastheknowledgeandexpertisetoprovidetheServicesoutlinedinthisAgreement,andacopyofhercurrentCPR4 CCcertificationcard.CopiesofthecertificationsrequiredbythisAgreementshallbeattachedheretoJ::-zasExhibit“A”andincorporatedhereinbyreference.D.ContractorshallassurethattheservicedescribedhereinisprovidedtotheCountyatacostnotgreaterthanthatchargedtootherpersonsinthesamecommunity.E.ContractorshallsafeguardinformationandconfidentialityofallclientsinaccordancewithrulesofEagleCountyHealth&HumanServices,andtheHealthInformationPrivacyandAccountabilityAct.VII.NOTICEAnynoticerequiredunderthisAgreementshallbegiveninwritingbyregisteredorcertifiedmail;returnreceiptrequestedwhichshallbeaddressedasfollows:COUNTY:CONTRACTOR:KarenKoenemann,HealthyCommunitiesMangerMaryPatWittEagleCountyPublicHealthP0Box1193P0Box660Eagle,CO$1631Eagle,CO$1631marypatwittgmail.com(970)328-2610Karen.Koenemann(eaglecounty.usNoticeshallbedeemedgiventhree(3)daysafterthedateofdepositinaregulardepositoryoftheUnitedStatesPostalService.VIII.ASSIGNMENTContractorshallnotassignanyofitsrightsordutiesunderthisAgreementtoathirdpartywithoutthepriorwrittenconsentofCounty.CountyshallterminatethisAgreementintheeventofanyassignmentwithoutitspriorwrittenconsentofCounty.IX.MODIFICATIONAnyrevision,amendmentormodificationofthisAgreementshallbevalidonlyifinwritingandsignedbyallparties.X.INSURANCEContractoragreestoprovideandmaintainatContractor’ssolecostandexpense,thefollowinginsurancecoveragewithlimitsofliabilitynotlessthanthosestatedbelow:TypeofInsuranceCoverageLimitsProfessionalLiabilityInsurance$1,000,000peroccurrenceGeneralliabilityinsurance$1,000,000peroccurrence5 CCContractorshallpurchaseandmaintainsuchinsuranceasrequiredaboveandshallprovidecertificatesofinsuranceinaformacceptabletoCountyuponexecutionofthisAgreement.TheCertificateofInsuranceshallbeattachedheretoasExhibit“B”.XI.MISCELLANEOUSA.TherelationshipofContractortoCountyisthatofindependentcontractor.NothinginthisAgreementshallbedeemedtomakeContractoranagent,employee,partnerorrepresentativeofCounty.TheContractorisnotentitledtounemploymentinsurancebenefitsunlessunemploymentcompensationcoverageisprovidedbyanentityotherthantheCounty.TheContractorherebyacknowledgesfullandcompleteliabilityforandtimelypaymentofalllocal,stateandfederaltaxesimposedincluding,withoutlimitation,taxonself-employmentincome,unemploymenttaxesandincometaxes.B.IntheeventoflitigationinconnectionwiththisAgreement,theprevailingpartyshallbeentitledtorecoverallreasonablecostsincurred,includingattorneyfees,costs,stafftimeandotherclaimrelatedexpense.C.InvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidorunenforceableprovisionwasomitted.D.TheContractorshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlesstheCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichtheCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutofdirectlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperforrnancebyContractorhereunder;andContractorshallreimbursetheCountyforanyandalllegalandotherexpensesincurredbytheCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyissolelyliabletosuchthirdpartyforsuchclaimwithoutregardtotheinvolvementoftheContractor.E.ThepartiesheretounderstandandagreethattheCountyisrelyingon,anddoesnotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitationsoranyotherrights,immunities,andprotectionsprovidedbytheColoradoGovernmentalImmunityAct,asfromtimetotimeamended,orotherwiseavailabletotheCounty,itselectedofficials,employees,agentsandvolunteers.F.Contractorshallcomplyatalltimesandinallrespectswithallapplicablefederal,stateandlocallaws,resolutions,andcodes.G.NotwithstandinganythingtothecontrarycontainedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadeto6 CCContractorinrespectofanyperiodafter,December31StofthecalendaryearoftheTermofthis*zzAgreement,withoutanappropriationthereforebyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewiththeprovisionsofArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).H.Anyandallclaims,disputesorcontroversiesrelatedtothisAgreement,orbreachthereof,shallbelitigatedintheDistrictCourtforEagleCounty,Colorado,whichshallbethesoleandexclusiveforumforsuchlitigation.ThisAgreementshallbeconstruedandinterpretedunderandshallbegovernedbythelawsoftheStateofColorado.I.ThisAgreementsupersedesallpreviouscommunications,negotiationsand/oragreementsbetweentherespectivepartieshereto,eitherverbalorwritten,andthesamenotexpresslycontainedhereinareherebywithdrawnandannulled.ThisisanintegratedagreementandtherearenorepresentationsaboutanyofthesubjectmatterhereofexceptasexpresslysetforthinthisAgreement.J.ThisAgreementdoesnot,andshallnotbedeemedorconstruedto,conferuponorgranttoanythirdpartyorpartiesanyrighttoclaimdamagesortobringanysuit,actionorotherproceedingagainsteitherContractororCountybecauseofanybreachhereoforbecauseofanyoftheterms,covenants,agreementsandconditionsherein.K.ContractorcertifiesthatithasreadtheAgreement,understandseachandeverytermandtherequirementssetforthherein,andagreestocomplywiththesame.L.ThisAgreementmaybeexecutedintwoormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichshallconstituteoneandthesameinstrument.ThepartiesapprovetheuseofelectronicsignaturesforexecutionofthisAgreement.OnlythefollowingtwoformsofelectronicsignaturesshallbepermittedtobindthepartiestothisAgreement:(i)Electronicorfacsimiledeliveryofafullyexecutedcopyofthesignaturepage;(ii)theimageofthesignatureofanauthorizedsignerinsertedontoPDfformatdocuments.Alldocumentsmustbeproperlynotarized,ifapplicable.AlluseofelectronicsignaturesshallbegovernedbytheUniformElectronicTransactionsAct,C.R.5.24-71.3-101to121.M.TheConsultant,ifanaturalpersoneighteen(18)yearsofageorolder,herebyswearsandaffirmsunderpenaltyofperjurythatheorshe(i)isacitizenorotherwiselawfullypresentintheUnitedStatespursuanttofederallaw,(ii)totheextentapplicableshallcomplywithC.R.S.24-76.5-103priortotheeffectivedateofthisAgreement.[SIGNATUREPAGETOFOLLOW]7
