C0AGREEMENTFORPROFESSIONALSERVICESBETWEENEAGLECOUNTY,COLORADOANDSPARKPOLICYINSTITUTETHISAGREEMENT(“Agreement”)iseffectiveasofthe_______dayof/1hi,201?byandbetweenSparkPolicyInstitute,aColoradolimitedliabilitycompanythatcollaborateswithpolicymakersandcommunitiestofindinnovatesolutionstocomplexproblems,(hereinafter“Consultant”or“Contractor”)andEagleCounty,Colorado,abodycorporateandpolitic(hereinafter“County”).RECITALSWHEREAS,theCounty,throughitsDepartmentofHealthandHumanServices(“HHS”)workstopromotethehealth,safetyandwelfareofCountyresidentsofallages;andWHEREAS,theCountyusesoutsideprovidersandprofessionalstoenhancetheabilityofCountytopromotesuchhealth,safetyandwelfare;andWHEREAS,CountydesirestohiretheConsultanttoperformtheServicesdefinedbelowinparagraph1;andWHEREAS,ConsultantisauthorizedtodobusinessintheStateofColoradoandhasthetime,skill,expertise,andexperiencenecessarytoprovidetheServices;andWHEREAS,thisAgreementshallgoverntherelationshipbetweenConsultantandCountyinconnectionwiththeservices.AGREEMENTNOW,THEREFORE,inconsiderationoftheforegoingandthefollowingpromisesConsultantandCountyagreeasfollows:1.Services.Consultantagreestodiligentlyprovideallservices,labor,personnelandmaterialsnecessarytoperformandcompletetheservicesdescribedinContractor’sproposal,attachedheretoasExhibitAandtheScopeofWorkattachedheretoasExhibitB(“Services”)whichExhibitsareincorporatedhereinbyreference.TheServicesshallbeperformedinaccordancewiththeprovisionsandconditionsofthisAgreement.a.ConsultantagreestofurnishtheServicesnolaterthanApril2014andinaccordancewiththescheduleestablishedinExhibitAandExhibitB.BysigningbelowConsultantrepresentsthatithastheexpertiseandpersonnelnecessarytoproperlyandtimelyperformtheServices.f- CCDb.IntheeventofanyconflictorinconsistencybetweenthetermsandconditionssetforthinExhibitAorExhibitBandthetermsandconditionssetforthinthisAgreement,thetermsandconditionssetforthinthisAgreementshallprevail.c.ConsultantagreesthatitwillnotenterintoanyconsultingorotherarrangementswiththirdpartiesthatwillconflictinanymannerwiththeServices.2.County’sRepresentative.ThePublicHealthDepartment’sdesigneeshallbeConsultant’scontactwithrespecttothisAgreementandperformanceoftheServices.3.TermoftheAgreement.ThisAgreementshallcommenceuponthedatefirstwrittenabove,andsubjecttotheprovisionsofparagraph11hereof,shallcontinueinfullforceandeffectthroughthe30thdayofApril,2014.4.ExtensionorModification.ThisAgreementmaynotbeamendedorsupplemented,normayanyobligationshereunderbewaived,exceptbyagreementsignedbybothparties.NoadditionalservicesorworkperformedbyConsultantshallbethebasisforadditionalcompensationunlessanduntilConsultanthasobtainedwrittenauthorizationandacknowledgementbyCountyforsuchadditionalservices.Accordingly,nocourseofconductordealingsbetweentheparties,norverbalchangeorders,expressorimpliedacceptanceofalterationsoradditionstotheServices,andnoclaimthatCountyhasbeenunjustlyenrichedbyanyadditionalservices,whetherornotthereisinfactanysuchunjustenrichment,shallbethebasisofanyincreaseinthecompensationpayablehereunder.IntheeventthatwrittenauthorizationandacknowledgmentbyCountyforsuchadditionalservicesisnottimelyexecutedandissuedinstrictaccordancewiththisAgreement,Consultant’srightswithrespecttosuchadditionalservicesshallbedeemedwaivedandsuchfailureshallresultinnon-paymentforsuchadditionalservicesorworkperformed.5.Compensation.CountyshallcompensateConsultantfortheperformanceoftheServicesinasumcomputedandpayableassetforthinExhibitAandExhibitB.TheperformanceoftheServicesunderthisAgreementshallnotexceed$5,040.00.ContractorshallnotbeentitledtobillatovertimeandlordoubletimeratesforworkdoneoutsideofnormalbusinesshoursunlessspecificallyauthorizedinwritingbyCounty.a.ForcompensationunderthisAgreementContractormustsubmitacompleteandaccurateinvoiceuponcompletionoftheServices.TheinvoicesshallincludeadescriptionofServicesperformed.IfCountyisnotsatisfiedwiththecompletenessofasubmittedinvoice,CountymayrequestContractortoeitherrevisetheinvoiceorprovideadditionalinformation.PaymentwillbemadeforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoice.Allinvoicesshallincludedetailregardingthehoursspent,tasksperformed,whoperformedeachtaskandsuchotherdetailasCountymayrequest.Allinvoicesmustbemailedordeliveredin-persontothefollowingaddresstoensureproperpayment.Invoicessentbyfaxore-mailwillnotbeaccepted.2SparkPolicyPhaseIContract CCEagleCountyHealthandHumanServicesJenniferLudwig,PublicHealthDirector550BroadwayPostOfficeBox660Eagle,CO81631b.Anyout-of-pocketexpensestobeincurredbyConsultantandreimbursedbyCountyshallbeidentifiedonExhibitAorExhibitB.Out-of-pocketexpenseswillbereimbursedwithoutanyadditionalmark-upthereonandareincludedinthenottoexceedcontractamountsetforthabove.Out-of-pocketexpensesshallnotincludeanypaymentofsalaries,bonusesorothercompensationtopersonnelofConsultant.ConsultantshallnotbereimbursedforexpensesthatarenotsetforthonExhibitAorBunlessspecificallyapprovedinwritingbyCounty.c.If,priortopaymentofcompensationorreimbursementforServicesbutaftersubmissiontoCountyofarequestthereforebyContractor,CountyreasonablydeterminesthatpaymentasrequestedwouldbeimproperbecausetheServiceswerenotperformedasprescribedbytheprovisionsofthisAgreement,theCountyshallhavenoobligationtomakesuchpayment.If,atanytimeafterorduringthetermorafterterminationorexpirationofthisAgreement,CountyreasonablydeterminesthatanypaymenttheretoforepaidbyCountytoContractorwasimproperbecausetheServicesforwhichpaymentwasmadewerenotperformedassetforthinthisAgreement,thenuponwrittennoticeofsuchdeterminationandrequestforreimbursementfromCounty,Consultantshallforthwithreturnsuchpayment(s)toCounty.UponterminationorexpirationofthisAgreement,unexpendedfundsadvancedbyCounty,ifany,shallforthwithbereturnedtoCounty.d.AllfundsreceivedbyContractorunderthisAgreementshallbeorhavebeenexpendedsolelyforthepurposeforwhichgranted,andanyfundsnotsoexpended,includingfundslostordivertedforotherpurposes,shallbereturnedtoCounty.ContractorshallprovidetheCountywithprogressreportsuponCounty’srequest;orContractorshallfurnishprogressreportsasmorespecificallysetforthintheattachedExhibitAandExhibitB.e.CountywillnotwithholdanytaxesfrommoniespaidtotheConsultanthereunderandConsultantagreestobesolelyresponsiblefortheaccuratereportingandpaymentofanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.fNotwithstandinganythingtothecontrarycontainedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoConsultantinrespectofanyperiodafterDecember31ofanyyear,withoutanappropriationthereforbyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewithArticle25,title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.29-1-101et.seq.)andthelABORAmendment(ColoradoConstitution,ArticleX,Sec.20).3SparkPolicyPhaseIContract CC6.Sub-consultants.ConsultantacknowledgesthatCountyhasenteredintothisAgreementinrelianceupontheparticularreputationandexpertiseofConsultant.Consultantshallnotenterintoanysub-consultantagreementsfortheperformanceofanyoftheServicesoradditionalserviceswithoutCounty’spriorwrittenconsent,whichmaybewithheldinCounty’ssolediscretion.CountyshallhavetherightinitsreasonablediscretiontoapproveallpersonnelassignedtothesubjectprojectduringtheperformanceofthisAgreementandnopersonneltowhomCountyhasanobjection,initsreasonablediscretion,shallbeassignedtotheproject.Consultantshallrequireeachsub-consultant,asapprovedbyCountyandtotheextentoftheServicestobeperformedbythesub-consultant,tobeboundtoConsultantbythetermsofthisAgreement,andtoassumetowardConsultantalltheobligationsandresponsibilitieswhichConsultant,bythisAgreement,assumestowardCounty.Countyshallhavetheright(butnottheobligation)toenforcetheprovisionsofthisAgreementagainstanysub-consultanthiredbyConsultantandConsultantshallcooperateinsuchprocess.TheContractorshallberesponsiblefortheactsandomissionsofitsagents,employeesandsub-consultantsorsub-contractors.7.Insurance.ConsultantagreestoprovideandmaintainatConsultant’ssolecostandexpense,thefollowinginsurancecoveragewithlimitsofliabilitynotlessthanthosestatedbelow:a.TypesofInsurance.i.Workers’Compensationinsuranceasrequiredbylaw.ii.Autocoveragewithlimitsofliabilitynotlessthan$1,000,000eachaccidentcombinedbodilyinjuryandpropertydamageliabilityinsurance,includingcoverageforowned,hired,andnon-ownedvehicles.iii.CommercialGeneralLiabilitycoveragetoincludepremisesandoperations,personal/advertisinginjury,products/completedoperations,broadformpropertydamagewithlimitsofliabilitynotlessthan$1,000,000peroccurrenceand$2,000,000aggregatelimits.iv.ProfessionalliabilityinsurancewithprioractscoverageforallServicesrequiredhereunder,inaformandwithaninsurerorinsurerssatisfactorytoCounty,withlimitsofliabilityofnotlessthan$1,000,000perclaimand$2,000,000intheaggregate.Intheeventtheprofessionalliabilityinsuranceisonaclaims-madebasis,ConsultantwarrantsthatanyretroactivedateunderthepolicyshallprecedetheeffectivedateofthisAgreement.ContinuouscoveragewillbemaintainedduringanyapplicablestatuteoflimitationsfortheServicesprovidedthatthecoverageiscommerciallyavailableatareasonablepremium.Contractorshallprovidethirty(30)days’noticetoCountypriortocancellingsuchinsuranceduringtheapplicablestatuteoflimitationsperiod.b.OtherRequirements.i.TheautomobileandcommercialgeneralliabilitycoverageandsuchothercoverageasindicatedaboveshallbeendorsedtoincludeEagleCounty,itsassociatedoraffiliatedentities,itssuccessorsandassigns,electedofficials,employees,agentsandvolunteersasadditionalinsureds.4SparkPolicyPhaseIContract CCii.Consultant’scertificatesofinsuranceshallincludesub-consultantsasadditionalinsuredsunderitspoliciesorConsultantshallfurnishtoCountyseparatecertificatesandendorsementsforeachsub-consultant.Allcoverage(s)forsub-consultantsshallbesubjecttothesameminimumrequirementsidentifiedabove.Consultantandsub-consultants,ifany,shallmaintaintheforegoingcoverageineffectuntiltheServicesarecompleted.Inaddition,allsuchpoliciesshallbekeptinforcebyConsultantanditssub-consultantsuntiltheapplicablestatuteoflimitationsfortheServiceshasexpiredprovidedthatthecoverageiscommerciallyavailableatareasonablepremium.iii.InsuranceshallbeplacedwithinsurersdulylicensedorauthorizedtodobusinessintheStateofColoradoandwithan“A.M.Best”ratingofnotlessthanA-Vu.iv.Consultant’sinsurancecoverageshallbeprimaryandnon-contributorywithrespecttoallotheravailablesources.Consultant’spolicyshallcontainawaiverofsubrogationagainstEagleCounty.v.Allpoliciesmustcontainanendorsementaffordinganunqualifiedthirty(30)days’noticeofcancellationtoCountyintheeventofcancellationofcoverage.vi.AllinsurersmustbelicensedorapprovedtodobusinesswithintheStateofColoradoandallpoliciesmustbewrittenonaperoccurrencebasisunlessotherwiseprovidedherein.vii.Consultant’scertificateofinsuranceevidencingallrequiredcoverage(s)isattachedheretoasExhibitC.Uponrequest,ConsultantshallprovideacopyoftheactualinsurancepolicyandlorrequiredendorsementsrequiredunderthisAgreementwithinfive(5)businessdaysofawrittenrequestfromCounty,andherebyauthorizesConsultant’sbroker,withoutfurthernoticeandauthorizationbyConsultant,toimmediatelycomplywithanywrittenrequestofCountyforacompletecopyofthepolicy.viii.ConsultantshalladviseCountyintheeventthegeneralaggregateorotheraggregatelimitsarereducedbelowtherequiredperoccurrencelimit.Consultant,atitsownexpense,willreinstatetheaggregatelimitstocomplywiththeminimumlimitsandshallfurnishCountyanewcertificateofinsuranceshowingsuchcoverage.ix.IfConsultantfailstosecureandmaintaintheinsurancerequiredbythisAgreementandprovidesatisfactoryevidencethereoftoCounty,CountyshallbeentitledtoimmediatelyterminatethisAgreement.x.TheinsuranceprovisionsofthisAgreementshallsurviveexpirationorterminationhereof.xi.ThepartiesheretounderstandandagreethattheCountyisrelyingon,anddoesnotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitationsorrights,immunitiesandprotectionsprovidedbytheColoradoGovernmentalImmunityAct,asfromtimetotime5SparkPolicyPhaseIContract CCamended,orothenviseavailabletoCounty,itsaffiliatedentities,successorsorassigns,itselectedofficials,employees,agentsandvolunteers.xii.Consultantisnotentitledtoworkers’compensationbenefitsexceptasprovidedbytheConsultant,nortounemploymentinsurancebenefitsunlessunemploymentcompensationcoverageisprovidedbyConsultantorsomeotherentity.TheConsultantisobligatedtopayallfederalandstateincometaxonanymoneyspaidpursuanttothisAgreement.8.Indemnification.TheConsultantshallindemnifyandholdharmlessCounty,andanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountymaybecomesubjecttoinsofarasansuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperformancebyConsultantoranyofitssub-consultantshereunderincludingclaimsforbodilyinjuryorpersonalinjuryincludingdeath,orlossordamagetotangibleorintangibleproperty;andConsultantshallreimburseCountyforreasonableattorneyfeesandcosts,legalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthatCountyisliabletosuchthirdpartyforsuchclaimswithoutregardtotheinvolvementoftheConsultant.Thisparagraphshallsurviveexpirationorterminationhereof.9.OwnershipofDocuments.AlldocumentspreparedbyConsultantinconnectionwiththeServicesshallbecomepropertyofCounty.ConsultantshallexecutewrittenassignmentstoCountyofallrights(includingcommonlaw,statutory,andotherrights,includingcopyrights)tothesameasCountyshallfromtimetotimerequest.Forpurposesofthisparagraph,theterm“documents”shallmeanandincludeallreports,plans,studies,tapeorotherelectronicrecordings,drawings,sketches,estimates,datasheets,mapsandworksheetsproduced,orpreparedbyorforConsultant(includinganyemployeeorsubcontractorinconnectionwiththeperformanceoftheServicesandadditionalservicesunderthisAgreement).10.Notice.AnynoticerequiredbythisAgreementshallbedeemedproperlydeliveredwhen(1)personallydelivered,or(ii)whenmailedintheUnitedStatesmail,firstclasspostageprepaid,or(iii)whendeliveredbyfedExorothercomparablecourierservice,chargesprepaid,tothepartiesattheirrespectiveaddresseslistedbelow,or(iv)whensentviafacsimilesolongasthesendingpartycanprovidefacsimilemachineorotherconfirmationshowingthedate,timeandreceivingfacsimilenumberforthetransmission,or(v)whentransmittedviae-mail.Eitherpartymaychangeitsaddressforpurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.COUNTY:EagleCounty,ColoradoAttention:JenniferLudwig,PublicHealthDirector500BroadwayPostOfficeBox660Eagle,CO81631Telephone:970-328-88196SparkPolicyPhaseContract CCa.InrenderingtheServiceshereunder,Contractorshallcomplywiththehigheststandardsofcustomerservicetothepublic.Contractorshallprovideappropriatesupervisionofitsemployeestoensurethemaintenanceofthesehighstandardsofcustomerserviceandprofessionalismaremaintained.TheperformanceofsuchobligationshallbedeterminedatthesolediscretionofCounty.IntheeventCountyfindsthesestandardsofcustomerservicearenotbeingmetbyContractor,CountymayterminatethisAgreement,inwholeorinpart,uponseven(7)days’noticetoContractor.b.ConsultantshallberesponsibleforthecompletenessandaccuracyoftheServices,includingallsupportingdataorotherdocumentspreparedorcompiledinperformanceoftheServices,andshallcorrect,atitssoleexpense,allsignificanterrorsandomissionstherein.ThefactthattheCountyhasacceptedorapprovedtheServicesshallnotrelieveConsultantofanyofitsresponsibilities.ConsultantshallperformtheServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletoConsultantsperformingsimilarservices.ThisparagraphshallsurviveterminationofthisAgreement.c.ConsultantrepresentsandwarrantsthatithastheexpertiseandpersonnelnecessarytoproperlyperformtheServicesandcovenantsthatitsprofessionalpersonnelaredulylicensedtoperformtheServiceswithinColorado.d.Consultantagreestoworkinanexpeditiousmanner,withinthesoundexerciseofitsjudgmentandprofessionalstandards,intheperformanceofthisAgreement.TimeisoftheessencewithrespecttothisAgreement.e.ThisAgreementconstitutesanagreementforperformanceoftheServicesbyConsultantasanindependentcontractorandnotasanemployeeofCounty.NothingcontainedinthisAgreementshallbedeemedtocreatearelationshipofemployer-employee,master-servant,partnership,jointventureoranyotherrelationshipbetweenCountyandConsultantexceptthatofindependentcontractor.ConsultantshallhavenoauthoritytobindCounty.f.ConsultantrepresentsandwarrantsthatatalltimesintheperformanceoftheServices,Consultantshallcomplywithanyandallapplicablefederalandstatelaws,codes,rulesandregulations.g.ContractorshallcomplywiththeCivilRightsActof1964andSection504,RehabilitationActof1973,concerningdiscriminationonthebasisofrace,color,sex,age,religion,politicalbeliefs,nationaloriginorhandicap.h.ThisAgreementcontainstheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallotheragreementsorunderstandingbetweenthepartieswithrespectthereto.i.ConsultantshallnotassignanyportionofthisAgreementwithoutthepriorwrittenconsentoftheCounty.AnyattempttoassignthisAgreementwithoutsuchconsentshallbevoid.8SparkPolicyPhaseIContract
