C.CsuorunginformationasCountymayrequest.4.3CuntvwillnotwithholdanytUXCStrammoniespaidtotheContractorhereunderandContractoragreestøheSoldresponsiblefurtheaccuratereportingandpaymentotanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAereement.4.4NotwithstandinganythingtOthecontrarycontainedinthisAgreement.tiC)chareesshaltbenodetothe(‘ountynorshallanypaymenthemadetotheContractorinCXCCSSoftheamountforanyServicesdonewithoutthewrittenapprovalinaccordancewithabudgetadoptedbytheBoardinaccordancewithpmvsionsattileColoradoRevisedStatutes.Moreover,thepartiesagreethattheCountyisagovernmentalentityandthatobliutitionsbeyondthecurrentfiscalyeararesubjecttofundsbeinubucluetedandappropriated.4.5tThesignatoriestothisAereementavertotheirknowledge.noemployeeofthe(aunt\htisanflersonaorbeneficialinterestwhatsoe\erintheserviceorpropertydescribedinthisAgreement.IheCiitrc:c.rhasninterestandshaltnotacquireanyinterest,directorindirect,thatwouldconflictinanymatterordegreewiththeperfot-inanceofContractor’sservicesandC’ontractorshallnotemployanypersonhavingsuchknowninterests.:\R11CLE5—CONTRACTOR’SREPRESENTATIONSInordertoinduceCotintvtoenterintothisAgreement.Contracwrmakesthefollowingreoresentatiuns:5.1Contractorhaslumi}anteditseltwiththenatureandextentoftheServicestobeprovidedhereunder.thelaeilitv.andwithtilllocalconditions,andfederal.state.andbeatlaws,ordinances,rulestmdregulationsthatinutimanneraffectcost.progress.orperformanceattheServices.5.2Contractorvillmake.orcausetohemacic.examinations,investigations,andtestsashedeemsnecessarytartheperlbrmanceoftheServices.5.4Totheextentpossible.Contractorhascorrelatedtheresultsofallsuchobservations,examinations.investigations,tests,reports.anddatawiththetermsandconditionsofthisAgreement..sIatheextentpossibleContractor,hasgivenCountywrittennoticeofallcontliets.errors.orJjscrepanciesthathehasdiscoveredintheAgreement..6ContractoreillberesponsibleliarprovisionoftheServicesandshallpt’rtonntheServicesinaskilltat.professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicableto\lasicPerformanceforthe75thEulcCountyFairandRodeoon.1ulv26°.2014.Further.intenderingtheServices.Contractorshallcomplywiththehigheststandardsofcustomerservicetothepublic.ContractorshallprovideappropriatesupervisionofitsemployeestoensciretheServicesareperformedinaccordancewiththis.\greement.ARTICLE6—ENTIREAGREEMENT6.1ThisAgreementrepresentstheentireAgreementbetweenthepartieshereto.‘therearenoContract)ocumentsotherthanthisAgreement.TheAgreementma\onlybealtered.amended.orrepealedin\rtinu..TTI(’LE7—MISCELLANEOUS7.1Noassignmentbyapartyheretoofartyrihtsunder.orinterestsintheAgreement‘aillhebtndingon
