IncCONTRACTAGREEMENTEagleCountyRegionalAirportGypsum,ColoradoAlPPROJECTNO.3-08-0020-056THISAGREEMENT,madeandenteredintothisZ’1dayofjAf]v4t11‘Zô17..2.1-6,byandbetweenEagleCounty,Colorado,PartyoftheFirstPart,hereinafterreferredtoasthe“Owner”,andInterstateHighwayConstruction,Inc.,PartyoftheSecondPart,hereinafterreferredtoasthe“Contractor,”fortheconstructionofairportimprovementincludingScheduleI:ApronReconstruction(WestPortion)&InfieldAreaImprovementsandScheduleII:ApronReconstruction(EastPortion)&InfieldAreaImprovementsandotherincidentalworkattheEagleCountyRegionalAirport.WITNESSETH:ARTICLE1.Itisherebymutually agreedthatforandinconsiderationofthepaymentsasprovidedforhereintotheContractorbytheOwner,thesaidContractorshallfurnishalllabor,equipment,andmaterialandshallperformallworknecessarytocompletetheimprovementsinagoodandsubstantialmanner,readyforuse,andinstrictaccordancewiththisContract,acopyofwhichisfiledpursuanttolawinthe officeofthelegalrepresentativeoftheOwner.ARTICLE2.ItisherebyfurtheragreedthatinconsiderationofthefaithfulperformanceoftheworkbytheContractor,theOwnershallpaytheContractorthecompensationduehim/herbyreasonofsaidfaithfulperformanceofthework,atstatedintervals andintheamountcertifiedbytheEngineer,inaccordancewiththe provisionsofthisContract.ARTICLE3.Itisherebyfurtheragreed that,atthecompletionofthework anditsacceptancebytheOwner,allsumsduetheContractorbyreasonofhisfaithfulperformanceofthework,takingintoconsiderationadditionstoordeductionsfromtheContractpricebyreasonofalterationsormodificationsoftheoriginalContractorbyreasonof“ExtraWork”authorizedunderthisContract,willbepaidtheContractorbytheOwneraftersaidcompletionandacceptance.ARTICLE4.Itisherebyfurtheragreedthatanyreferenceshereintothe“Contract”shallinclude“ContractDocuments”asthesameasdefinedinParagraph10-13,Section10oftheGeneralProvisionsandconsistingoftheInvitationforBid,InstructiontoBidders,allissuedAddenda,Proposal,StatementofQualifications,Anticipated Sub-Contracts,FormofProposalGuaranty,NoticeofAward,ContractAgreement,Performance&Payment bonds,NoticetoProceed,NoticeofContractor’sSettlement,WageRates,General Provisions,SpecialProvisions,Plans,TechnicalSpecifications,attachedappendices andalldocumentsincorporatedbyreference.Said“Contract Documents”aremadeapartoftheContractasifsetoutatlengthherein.SaidContractAgreementislimitedtotheitemsintheproposalassignedbythe“Contractor”and includedinthe“ContractDocuments.”ARTICLE5.TheContractoragreestoperformalltheworkdescribeintheContract DocumentsfortheunitpricesandlumpsumsassubmittedintheBid,takingintoconsiderationadditionstoordeductionsfromtheTotalBidbyreasonofalterationsormodificationsoftheoriginalquantitiesorbyreasonof“ExtraWork”authorizedunderthisAgreementinaccordancewiththeprovisionsoftheContractDocuments.ARTICLE6.TheContractoragrees tocommenceworkwithinten(10)calendardaysafterthereceiptofanoticetoproceedandtheContractorfurtheragreestocompletesaidworkwithin135calendarday(s).EaaleCninh,Afrrn,’C17-036 ExtensionsoftheContracttimemayoniybepermittedexecutionofaformalmodificationtoContractAgreementasapprovedbytheOwner.Liquidateddamagesintheamountof$2,500/calendarday(s)shallbepaidtotheAirportforthattimewhichexceedsthenumberofCalendardaysallowedinthisparagraph.Inaddition,upto$1,600/calendarday(s)fortheconstructionmanagerplusupto$1,350/calendarday(s)foreachadditionalresidentengineerplusanyincurredexpenses(perdiem,lodging,etc.)willbechargedtotheContractorforthattimewhichexceedsthenumberofCalendardaysallowedinthisparagraph.Further,eachphaseofworkundertheprojecthasadditionalliquidateddamageclauses,asoutlinedinSection80-08FAILURETOCOMPLETEONTIME.ARTICLE7.Theamountofmoneyappropriatedwillbeequaltoorinexcessofthecontractamountasforthinthenotice(s)toproceed.Changeordersrequiringadditionalcompensableworktobeperformed,whichcausetheaggregateamountpayableunderthecontracttoexceedtheamountappropriatedfortheoriginalcontract,areprohibitedunlessthecontractorisgivenwrittenassurancebytheOwnerthatlawfulappropriationstocovercostsoftheadditionalworkhavebeenmadeorunlesssuchworkiscoveredunderaremedygrantingprovisionsofthecontract.NotwithstandinganythingtothecontraryintheContractDocumentstheContractorherebyacknowledgesandagreesthatOwner’sperformanceunderthecontractissubjecttoreceiptoffundsfromtheFAAandfurtherissubjecttoannualappropriationbyOwnerinaccordancewithabudgetadoptedbyEagleCountyBoardofCountyCommissionersincompliancewiththeprovisionsofArticle25,Tide30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.29-1-101et.Seq.)andtheTaborAmendment(ColoradoConstitutionArticleX,Sec.20).OwnermayissuemultipleNotice(s)toProceedinincrementalstagesandfundingbecomesavailable.ARTICLE8.InfurtheranceoftheInsuranceRequirementscontainedintheContractDocuments,ContractoragreesthatContractor’scommercialgeneralliabilitycoverageshallbeendorsedtoincludeEagleCounty,itsassociatedoraffiliatedentities,itssuccessorsandassigns,electedofficials,employees,agentsandvolunteersasadditionalinsureds.A.Thegeneralliabthtrinsurancepolicyshallbeendorsedasfollows:i.Designatedconstructionprojectgeneralaggregatelimitendorsement,ISOGC2503orequivalent;n.AutomaticAdditionalInsuredEndorsement,Owners,LesseesorContractors,ISOForm2038orequivalent;iii.AdditionalInsured—CompletedOperationsOwners,LesseesorContractorsEndorsement,ISOCG2037orequivalent.iv.TheCompletedOperationscoveragemustbekeptineffectforuptothestatueofreposeafterprojectcompletion.B.Contractor’scertificatesofinsuranceshallincludesubcontractors,ifanyasadditionalinsuredsunderitspoliciesorContractorshallfurnishtoCountyseparatecertificatesandendorsementsforeachsubcontractor.C.TheinsuranceprovisionsofthisAgreementshallsurviveexpirationorterminationhereof.
