Inc.CCFIXEDBIDCONSTRUCTIONAGREEMENTBETWEENEAGLECOUNTY,COLORADOANDEVANSCHAFFEECONSTRUCTIONGROUP,INC.FOREAGLECOUNTYEMERGENCYOPERATIONSCENTERREMODELTHISAGREEMENTismadethisdayofAugust2013,byandbetweenEagleCounty,Colorado,actingbyandthroughitsBoardofCountyCommissioners(“County”),andEvansChaffeeConstructionGroup,Inc.,acompanyorganizedandexistingbyvirtueofthelawsoftheStateofColorado(“Contractor”).RECITALSWHEREAS,CountydesirestoremodelanexistingspaceintheEagleCountyBuildingtoaccommodateanewEmergencyOperationsCenter(EOC)(the“Project”);andWHEREAS,ContractorisauthorizedtodobusinessintheStateofColorado,hasexperienceandexpertisenecessarytoperformsaidrenovationandconstructionservicesforCounty;andWHEREAS,ContractorunderstandsandacknowledgesthattheProjectisfortheremodelofspacewithintheFacilityinthegardenleveloftheEagleCountyBuildingandthatContractor’sworkunderthisfixedBidConstructionAgreement(the“Agreement”)willbesubjecttothetermsandrequirementsoftheContractDocuments;andWHEREAS,CountyandContractorintendbythisAgreementtosetforththescopeoftheresponsibilitiesofContractorinconnectionwiththeProjectandrelatedtermsandconditionstogoverntherelationshipbetweenContractorandCountyinconnectionwiththisAgreement.AGREEMENTNOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractoragreeasfollows:ARTICLE1-WORK1.1Contractorshalluselicensed,skilledandcompetentlaborerstocompleteallWorkasspecifiedorindicatedintheContractDocuments.The“Work”isgenerallydescribedasprovidingalllabor,toolsmaterialsandservicestocompletetherenovationprojectinaccordancewithEagleCountyEmergencyOperationsCenterOfficeRemodelDrawingsandProjectManualissuedbyMenendezArchitects-IssuedDate04-25-2013,includingandAddendumandClarification#1datedJune20,2013,whicharecollectivelyattachedheretoandincorporatedhereinasExhibitA,andtheRevisedDrawingsA-3-ECCGandE3.0-NEWwhicharecollectivelyattachedheretoandincorporatedhereinasExhibitA-IandtheValueEngineeringConstructionCostBreakdownattachedheretoandincorporatedhereinasExhibitB.AsacomponentoftheWork,ContractorwillbeCA%5 CCsrequiredtoscreenandprotectallconstructionareasfromthepublic.EagleCounty,aspartofthisProject,willenterintoanAgreementwithComputerSites,Inc.(CSI)forthepurchaseandinstallationoftheraisedflooringsystemdescribedintheProjectplans.Contractor’scoordinationandcooperationwithCSIforitsinstallationoftheraisedfloorisalsoacomponentoftheWorkunderthisAgreement.TheWorkmayalsobereferredtohereinasthe“ConstructionServices”.ARTICLE2-COUNTY’SREPRESENTATIVE2.1TheProjectisundertheauthorityoftheEagleCountyFacilitiesManagementDepartment,theManagerofwhich,orhisdesignee,shallbeCounty’sProjectManagerwithContractorwithrespecttotheperformanceoftheWork(hereinafter“ProjectManager”).ARTICLE3-CONTRACTTIME3.1ThisAgreementshallcommenceuponexecutionofthisAgreementbybothpartiesand,subjecttotheprovisionsofArticle11hereofshallcontinueinfullforceandeffectuntiltheWorkhasbeencompleted.ContractorwillcommenceWorkwithin24hoursoftheCounty’sissuanceofaNoticetoProceed.OnceaNoticetoProceedhasbeenissued,ContractorwillpickupandsignthebuildingpermitfromtheTownofEagleBuildingDepartment.Contractorwillalsoprovideallsubmittals(requiredbyExhibitA)withinten(10)daystoArchitect.ContractorwillcompletetheWorkinadiligentandexpeditiousmannerandshallachievefinalCompletionoftheWorkinaccordancewithparagraphs20and21(includingsubparts)oftheGeneralConditionsonorbeforeSeptember30,2013.3.1OwnerandContractorrecognizethattimeisoftheessenceofthisAgreementandthatOwnerwillsufferfinanciallossifProjectisnotsubstantiallycompletedwithinthetimespecifiedinParagraph3.1above,plusanyextensionsthereofallowedinaccordancewiththeGeneralConditions.Theyalsorecognizethedelays,expense,anddifficultiesinvolvedinproving,inalegalorarbitrationproceeding,theactuallosssufferedbytheOwnerifProjectisnotsubstantiallycompletedontime.Accordingly,insteadofrequiringanysuchproof,OwnerandContractoragreethatasliquidateddamagesfordelay(butnotasapenalty)ContractorshallpayOwnerinaccordancewiththefollowing:LatefinalCompletion:$250perdayARTICLE4-CONTRACTPRICE4.1CountyshallpayContractorfortheConstructionServicesincurrentfundsthefixedsumofonehundredtwentysixthousandthreehundredninetythreedollars($126,393.00)inaccordancewithValueEngineeringConstructionCostBreakdownattachedheretoandincorporatedhereinasExhibitB.ContractorshallnotbeentitledtobillforovertimeorothercostsandContractoracknowledgesthatthefullcompensationfortheWorkhereunderisthefixedsumsetforthinthisparagraph4.1.2’ CCARTICLE5-PAYMENTPROCEDURES5.1Contractorshallsubmitapplicationsforpaymentinaccordancewithparagraph12oftheGeneralConditions.TheContractorshallsubmitapplicationsforpaymentandallback-upmaterial(e.g.Subcontractor’sinvoices,vendorstatementsandreceipts)asshallbereasonablyrequiredinaccordancewiththeGeneralConditions.ApplicationsforpaymentwillbeprocessedbytheProjectManagerasprovidedintheGeneralConditions.Theapplicationforpaymentshalllistallgeneralandsub-tradedivisionswitheachdivisionclearlyshowingthetotalconstructioncostandallincrementsformonthlypaymentrequestsforlaborandmaterialsandallmonthlyreconciliationtotalsforeachdivision.TheapplicationshallalsoincludeasummaryofallcurrentchangestothecontractthroughapprovedChangeOrdersandthecostimpactforthesechanges.5.2PROGRESSPAYMENTS:CountyshallmakemonthlyprogresspaymentsonaccountoftheContractPriceonthebasisofContractor’sapplicationsforpaymentsasrecommendedbytheProjectManager,asprovidedbelow.AllprogresspaymentswillbeonthebasisoftheprogressoftheWork.Countyshallhavetherighttorequestandinspectsupportingdocumentationforprogresspayments,includingbutnotlimitedtoreceiptsandinvoicesevidencingpaymentsofchargesassociatedwiththeWork.5.2.1ProgressPaymentswillbeinanamountequalto:Ninety-fivepercentofthecalculatedvalueofWorkcompletedandmaterialsandequipmentnotyetincorporatedintheWorkbutdeliveredandsuitablystoredlessineachcasetheaggregateofpaymentspreviouslymade.ThewithheldpercentageoftheContractPricemayberetaineduntiltheWorkiscompletedsatisfactorilyandfinallyacceptedbyCountyasprovidedforherein.5.3FINALPAYMENT:Exceptasprovidedinsection5.4ofthisAgreement,withinsixty(60)daysofcompletionandacceptanceoftheWorkbyCountyinaccordancewiththeGeneralConditions,CountyshallpaytheremainderoftheContractPriceasrecommendedbyProjectManagerasprovidedinparagraphs20and21(includingsubparts)oftheGeneralConditions.ThefinalpaymentshallnotbemadeuntilafterfinalsettlementofthiscontracthasbeendulyadvertisedatleasttendayspriortosuchfinalpaymentbypublicationofnoticethereofatleasttwiceinapublicnewspaperofgeneralcirculationpublishedinEagleCountyandcompliedwithC.R.S.§38-26-107,asamended.Finalpaymentshallbemadeinaccordancewiththerequirementsofaforesaidstatute.5.4CountymaywithholdfromanypaymentsduetoContractor,tosuchextentasmaybenecessarytoprotecttheCountyfromloss,becauseofdefectiveworkormaterialnotremediedorthefailureofContractortocarryouttheScopeofWorkinaccordancewiththisAgreement. CCARTICLE6-CONTRACTOR’SREPRESENTATIONSInordertoinduceCountytoenterintothisAgreement,Contractormakesthefollowingrepresentations:6.1ContractorhasfamiliarizedhimselfwiththenatureandextentoftheContractDocuments,Work,locality,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatmay,inanymanner,affectcost,progress,orperformanceoftheWork.6.2Contractorhasstudiedcareftillyallreportsofinvestigationsandtestsofsubsurfaceandlatentphysicalconditionsatthesiteorotherwiseaffectingcost,progress,orperformanceoftheWorkwhichwererelieduponbyProjectManagerinthepreparationoftheplansandspecificationsasshowninExhibitA,ExhibitA-iandExhibitB.6.3Contractorhasmade,orcausedtobemade,examinations,investigations,andtestsandstudiesofsuchreportsandrelateddatainadditiontothosereferredtohereinashedeemsnecessaryfortheperformanceoftheWorkatthecontractprice,withinthecontracttime,andinaccordancewithothertermsandconditionsoftheContractDocuments;andnoadditionalexaminations,investigations,tests,reports,orsimilardataare,orwillberequiredbyContractorforsuchpurposes.6.4Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsoftheContractDocuments.6.5ContractorhasgivenProjectManagerwrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheContractDocumentsandthewrittenresolutionthereofbyProjectManagerisacceptabletoContractor.6.6ContractoracknowledgesandagreesthatthisProjectisbeingfundedinpartbyagranttoEagleCountybytheStateofColoradoDepartmentofPublicSafetyDivisionofHomelandSecurityandEmergencyManagement.ContractorrepresentsthatithasfamiliarizeditselfwiththerequirementsofthatgrantpertainingtoitsWorkunderthisAgreementassetforthinEagleCounty’sInstructiontoBiddersforthisProject,attachedheretoasExhibitCandincorporatedhereinbythisreference,andagreestoatalltimescomplywithsuchrequirements.ARTICLE7-CONTRACTDOCUMENTSTheContractDocumentswhichcomprisetheentireAgreement,madeaparthereof,andconsistofthefollowing:7.1ThisAgreement. CC7.2GeneralConditions.7.3ExhibitC,InstructionstoBidders.7.4ExhibitB:ValueEngineeringConstructionCostBreakdown.7.5ExhibitA-i:RevisedDrawings“A3ECCG”and“E3.0New”.7.6ExhibitA:EagleCountyEmergencyOperationsCenterOfficeRemodelDrawingsandBasicRequirementsissuedbyMenendezArchitectsdated04-25-2013,alongwithandAddendumandClarification#1,issuedbyMenendezArchitectsdated06-20-2013.TherearenoContractDocumentsotherthanthoselistedaboveinthisArticle7.TheContractDocumentsmayonlybealtered,amended,orrepealedbyaChangeOrderorModification(asdefinedintheGeneralConditions).TheintentoftheContractDocumentsistoincludeallitems,componentsandservicesnecessaryfortheproperexecutionandcompletionofalltheWorkoutlinedinparagraph1.1ofthisAgreement.TheContractDocumentsarecomplementary,andwhatisrequiredbyanyoneshallbeasbindingasifrequiredbyall.WordsandabbreviationswhichhavewellknowntechnicalortrademeaningsareusedintheContractDocumentsinaccordancewithsuchrecognizedmeanings.TheContractDocumentsarelistedinorderofpriority.IfaconflictexistsinthetermsofanyoftheContractDocuments,thedocumentwithahigherpriorityshallcontrol.ARTICLE8-MISCELLANEOUS8.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheContractDocumentswillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheContractDocuments.8.2CountyandContractoreachbindsitself,itspartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedintheContractDocuments.8.3NotwithstandinganythingtothecontrarycontainedinthisAgreement,EagleCountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoContractorinrespectofanyperiodafterDecember31,2013withoutanappropriationthereforebyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewithArticle25,Title30oftheColoradoRevised CCStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).8.4ContractorshallcomplywiththefollowingprovisionsmandatedbyC.R.S.§8-17.5-101etseq.PROHIBITIONSONPUBLICCONTRACTFORSERVICES:IfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,ContractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunderthisContractandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContract.8.4.1.Contractorshallnot:(i)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifytotheContractorthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.8.4.2.ContractorhasconfirmedtheemploymenteligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verifyProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheE-verifyprogramcanbefoundat:http://www.dhs.gov/xprevprot/programs/gc1185221678150.shtm8.4.3.TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperformed.8.4.4.IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:(1)NotifythesubcontractorandtheCountywithinthreedaysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenoticerequiredpursuanttosubparagraph(i)oftheparagraph(D)thesubcontractordoesnotstopemployingor6A CCcontractingwiththeillegalalien;exceptthattheContractorshallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.8.4.5.TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).8.4.6.IfaContractorviolatestheseprohibitions,theCountymayterminatethecontractforabreachofthecontract.IfthecontractissoterminatedspecificallyforabreachofthisprovisionofthisContract,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.8.4.7.TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisContractandtheCountyterminatestheContractforsuchbreach.8.5IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,orifsuitotherwiseisbroughtinlaworinequitytorecoverdamagesforbreachofthisAgreement,oranactionintortoranactionbebroughtforinjunctionorspecificperformance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.8.6AtalltimesduringthetermofthisAgreement,Contractorshallmaintaininsuranceonitsownbehalfintheminimumamountsrequiredbyparagraph14oftheGeneralConditions.8.7ContractorshallrequireeachsubcontractortobeboundbythetermsoftheContractDocuments.AllWorkperformedbyasubcontractorshallbepursuanttotheappropriatewrittenagreementinaccordancewiththerequirementsoftheContractDocuments.ARTICLE9-JURISDICTIONANDVENUE9.1ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheStateofColoradoandthepartiesherebyagreetosubmittothejurisdictionofthecourtsthereof.VenueshallbeintheFiflhJudicialDistrictfortheStateofColorado.ARTICLE10-INDEMNIfICATION7 CC10.1TheContractorshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutofdirectlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperformancebyContractorhereunderoranysubcontractororanyonedirectlyorindirectlyemployedbyanyofthemoranyoneforwhoseactsanyofthemmaybeliable,regardlessofwhetherornotitiscausedinpartbyapartyindemnifiedhereunder;andContractorshallreimburseCountyforanyandalllegalandotherexpensesincludingattorneyfeesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyissolelyliabletosuchthirdpartyforsuchclaim.ThisArticleshallsurviveterminationofthisAgreement.ARTICLE11-TERMINATION11.1CountymayterminatethisAgreement,inwholeorinpart,foranyreason,atanytime,withorwithoutcause.AnysuchterminationshallbeeffectedbydeliverytoContractorofawrittennoticeofterminationspecifyingthedateuponwhichterminationbecomeseffective.Upontermination,Contractorshalldeliverallredlineddrawingsandotherillustrations,photosordocumentsentirelyorpartiallycompleted,whetherinelectronicformorotherwise,togetherwithallmaterialsuppliedbyContractororbyCounty.Insuchevent,ContractorshallbecompensatedforallWorksatisfactorilycompleteduptothedateoftermination.finalpayment,subjecttotherequirementsofArticle5ofthisAgreement,willbeduewithinthirty(30)daysafterContractorhasdeliveredthelastofthedocumentsorrecordsduetheCounty..ARTICLE12-OWNERSHIPOFDOCUMENTS12.1Alldocuments(includingelectronicfiles)whichareobtainedduringorwhollyorpartiallypreparedintheperformanceoftheWorkshallremainthepropertyoftheCountyandaretobedeliveredtoCountybeforefinalpaymentismadetoContractororuponearlierterminationofthisAgreement.ARTICLE13-NOTICE13.1AnynoticerequiredunderthisAgreementshallbepersonallydelivered,mailedintheUnitedStatesmail,firstclasspostageprepaid,orsentviafacsimileprovidedanoriginalisalsopromptlydeliveredtotheappropriatepartyatthefollowingaddresses:TheCounty:EagleCountyFacilitiesManagementRonSiebert,ConstructionManagerP.O.Box850Eagle,Colorado81631(970)328-8881(p)(970)328-3539(f)
