Agreement0CAGREEMENTBETWEENEAGLECOUNTYANDSPOHNHEIMERCONSULTINGAIRSPACESYSTEMS,LLCTHISAGREEMENTismadethis21dayofAttAJfr?,2013,byandbetweenEagleCounty,Coloradoabodycorporateandpolitic+he“County”),andSpohnheimerConsultingAirspaceSystems,LLC,acompanyorganizedunderthelawsoftheStateofWashington(“Contractor”).WHEREAS,CountydesirestoanalyzethecurrentairportterminalareainstrumentproceduresfortheEagleCountyRegionalAirport(the“Airport”)andidentifyareaswhereimprovementtothecurrentproceduresarepossibleattheFacility.WHEREAS,ContractorisauthorizedtodobusinessintheStateofColorado,hasexperienceandexpertisenecessarytoprovidesaidservicestotheCounty;andWHEREAS,theCountyandContractorintendbythisAgreementtosetforththescopeoftheresponsibilitiesofContractorinconnectionwiththeservicesandrelatedtermsandconditionstogoverntherelationshipbetweenContractorandCountyinconnectionwiththisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractoragreeasfollows:ARTICLE1-WORK1.1ContractorwillfurnishallmaterialsandlabornecessarytoassessthecurrentairportinstrumentenvironmentattheAirportandidentifyareasforimprovementasidentifiedinContractor’sproposaldatedJuly12,2013,attachedheretoasExhibit“A”andincorporatedhereinbythisreference(hereinafterthe“Work”or“Services”).AssetforthinExhibit“A”,ContractorwillprovidetheCountywithafeasibilityreportsettingforthitsanalysisandfindings.Thereportwillinclude,butshallnotbelimitedto,optionsforandlikelihoodoflowerapproachminimaforbothpublicandspecialprocedures,newtechnologiesthatmaybenefittheAirport’sprocedures,andanystepsthattheCountycantaketoimprovethecurrentinstrumentenvironment.Thisanalysiswilltakeaholisticapproachtoincludenotonlytheterminalenvironment,butalsotheregionalairspacethataffectsarrivalsanddeparturesintotheAirportandanygroundbasedinstrumentequipmentsuchaslighting,weatherreportinginstrumentation,etc.Inadditiontothefeasibilityreport,Contractorwillalsoprovideallsupportingdocumentation,data,and/oranalysisthatwereusedtogeneratethereport.1.2Contractorshallconducttheon-siteanalysis,asdescribedinExhibit“A”,nolaterthan12weeksaftercontractexecutionunlessbothpartiesagreeinwritingtoextendthedeadlineforperformingtheon-siteanalysis.Contractorwillprovidethefinalreportandallsupportinginformationnolaterthan8weeksaftercompletionoftheon-siteanalysis.IntheeventofanyconflictorinconsistencybetweenthetermsandconditionssetforthinExhibit“A”andthetermsandconditionssetforthinthisAgreement,the1(t 00termsandconditionssetforthinthisAgreementshallprevail.ARTICLE2-TERMOFAGREEMENT2.1ThisAgreementshallcommenceuponexecutionofthisAgreementbybothparties,and,subjecttotheprovisionsofArticle10hereofshallcontinueinfullforceandeffectuntiltheServicesaresatisfactorilycompletedinaccordancewiththetermsofthisAgreement.ARTICLE3-COMPENSATION3.1FortheServicessatisfactorilyperformedinaccordancewiththisAgreement,theCountywillpayContractortheamountsprovidedinExhibit“A”.ThemaximumamountofcompensationunderthisAgreementshallnotexceedthirtyfourthousandfiftydollarsandnocents($34,050.00)withoutasignedamendmenttotheAgreement.Thisnottoexceedpriceincludesamaximumof$28,050.00fortheServicesassociatedwithanalysisandreportgeneration,andamaximumtravelallowanceof$6,000.00.ActuallaborhoursandactualtravelexpensesutilizedfortheServiceswillbesubmittedinthefinalinvoice;however,innoeventshallcompensationunderthisAgreementexceed$34,050.00withoutasignedamendmenttotheAgreement.3.2PaymentwillbemadeforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoicefromContractorrespectingtheServices.Theinvoiceshallincludeadescriptionofservicesperformedandsupportingdocumentationforallclaimedtravelexpenses.Uponrequest,ContractorshallprovidetheCountywithsuchothersupportinginformationastheCountymayrequest.3.3AnyservicesinadditiontotheServices(“AdditionalServices”)shallbeperformedbyContractoronlyafterwrittenapprovaloftheCounty.OrdersforAdditionalServicesshallbeontheformattachedheretoassetforthinExhibit“B”,attachedheretoandincorporatedhereinbythisreference,andshallbeapprovedbytheCountyandacknowledgedbytheCountyandContractorinwriting,priortoanysuchworkidentifiedasAdditionalServicesisperformedbyContractor.FailurebyContractortoobtainwrittenauthorizationandacknowledgementfromtheCountyforAdditionalServicesshallresultinnon-paymentforanysuchAdditionalServicesorworkperformed.ExceptasotherwiseagreedinwritingbyContractorandtheCounty,allAdditionalServicesshallbesubjecttothetermsandconditionsofthisAgreement.TheCountymayalsobywrittennoticetoContractormakeanyreasonablereductionstothescopeoftheServicesandthecompensationpayabletoContractorshallbereducedinafairandreasonableamountonaccountthereof.3.4TheCountyshallhavenoobligationsunderthisAgreement,norshallanypaymentsbemadetoContractorinrespectofanyperiodafterDecember31ofanyyearwithoutanappropriationthereforebytheCountyinaccordancewithabudgetadoptedbytheEagleCountyBoardofCountyCommissionersincompliancewithArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101et.seq.)2 Cd0andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).ARTICLE4-CONTRACTOR’SREPRESENTATIONSInordertoinducetheCountytoenterintothisAgreement,Contractormakesthefollowingrepresentations:4.1ContractorhasfamiliarizeditselfwiththenatureandextentoftheServicestobeprovidedhereunder,theAirport,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymanneraffectcost,progress,orperformanceoftheServices.4.2Contractorwillmake,orcausetobemade,examinations,investigations,andtestsashedeemsnecessaryfortheperformanceoftheServices.4.3Totheextentpossible,Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsofthisAgreement.4.4TotheextentpossibleContractor,hasgiventheCountywrittennoticeofallconflicts,errors,ordiscrepanciesthatithasdiscoveredintheAgreement.4.5ContractorwillberesponsibleforprovisionoftheServicesandshallperformtheServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletocontractorsofitskind.Further,inrenderingtheServices,Contractorshallcomplywiththehigheststandardsofcustomerservicetothepublic.ContractorshallprovideappropriatesupervisionofitsemployeestoensuretheServicesareperformedinaccordancewiththisAgreement.4.6ContractorguaranteesallServicesagainstdefectsinworkmanshipforaperiodofone(1)yearfromthedatetheServicesarecompletedandacceptedbytheCounty,orsuchlongerperiodasmaybeprovidedbylaw,andpromisestorepairorreplace,atContractor’sexpense,anyworkmanshipthatisfoundtobedefective.4.7Contractorguaranteesandwarrantsthatanyequipmentormaterialsprovidedbyitshallbenewandfreefromdefectsofanynatureforaperiodofone(1)yearfromthedatetheequipmentormaterialsareacceptedbytheCounty.Ifanymanufacturerorsupplierofanyequipmentormaterialsfurnishesaguaranteeorwarranteeforaperiodlongerthanone(1)year,theContractor’sguaranteeshallextendforalikeperiodastosuchequipmentandmaterials.4.8Withinareasonabletimeafterreceiptofwrittennotice,Contractorshallatitsownexpense,withoutcosttotheCountyrepairanydefectsinworkmanshiporequipmentandmaterialsprovidedbyit.WarrantiesrequiredbythisAgreementshallcommenceonthedateofacceptanceofServicesandequipmentormaterialsbytheCountyandshallsurviveterminationofthisAgreement.3 00ARTICLE5-ENTIREAGREEMENT5.1ThisAgreementrepresentstheentireAgreementbetweenthepartieshereto.TherearenoContractDocumentsotherthanthisAgreementandExhibitsA—C.ThisAgreementmayonlybealtered,amended,orrepealedinwriting.ARTICLE6-MISCELLANEOUS6.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheAgreementwillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheAgreement.6.2TheCountyandContractoreachbindsitself,itspartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedinthisAgreement.6.3InvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidorunenforceableprovisionwasomitted.6.4IfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,ContractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunderthisContractandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContract.(a)Contractorshallnot:(i)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifytotheContractorthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.(b)ContractorhasconfirmedtheemploymenteligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verifyProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheEverifyprogramcanbefoundat:http://www.dhs.gov/xprevprot/programs/gc1185221678150.shtm4 CC(c)TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperformed.(d)IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:(i)NotifythesubcontractorandAirportwithinthree(3)daysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthree(3)daysofreceivingthenoticerequiredpursuanttosubparagraph(i)ofparagraph(d)thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthattheContractorshallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.(e)TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).(f)IfaContractorviolatestheseprohibitions,theCountymayterminatethecontractforabreachofthecontract.IfthecontractissoterminatedspecificallyforabreachofthisprovisionofthisContract,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.(g)TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisContractandAirportterminatestheContractforsuchbreach.ARTICLE7-JURISDICTIONANDVENUE:7.1ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheStateofColoradoandthepartiesherebyagreetosubmittothejurisdictionofthecourtsthereof.VenueshallbeintheFifthJudicialDistrictfortheStateofColorado.ARTICLE8-INDEMNIFICATION:8.1TheContractorshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlesstheCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichtheCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutofdirectlyorindirectly,thisAgreement,orarebaseduponanyperformanceornonperformancebyContractorhereunder;andContractorshallreimbursetheCountyforanyandallattorneyfeesandcostsandlegalandotherexpensesincurredbytheCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyissolelyliabletosuchthirdpartyforsuchclaimwithoutregardtotheinvolvementoftheContractor.5
