ServingColorado’sCountiesColoradoCountiesCasualtyandPropertyPoolAgreementforPartiallySelf-FundedProgramEagleCountyJanuary1,2017throughDecember31,2017THISAGREEMENTisenteredintothis1stdayofJanuary,2017byandbetweentheCo]oradoCountiesCasualtyandProperlyPool(“CAPP”or“Pool”),alegalentityformedbyintergovernmentalagreementunderColoradolaw,andEagleCounty(‘County’),apoliticalsubdivisionoftheStateofColorado.ARTICLE1.0RECITALS1.1TheCountyisamemberingoodstandingofCAP?andhasadoptedtheCAPPBylawsandIntergovernmentalAgreement(the“IntergovernmentalAgreement”),asamendedfromtimetotimebytheCAPPmembership.1.2TheCountyiscurrentwithrespecttoallofitsobligationstoCAPPandthereforeeligibletoparticipateinCAPP’spartiallyself-fundedoptionprogram(the“Program”).1.3TheCountywishestoself-fundthroughCAPPaportionofitsanticipatedpropertyandcasualtyclaimsforprogramyear2017 whilehavingCAPPcontinuetoprovideclaimsadjudicationandmanagementservicesandlosscontrolandpreventionprogramsfortheCountyandCAP?iswillingtoprovidesuchservicesonthetermsandconditionshereafterstated.ARTICLE2.0TERM2.1ThisAgreementshalltakeeffectonJanuary1,2017,andshallcoincidewiththetermofCAPP’sobligationstopaytheretentionundertheCAPPexcessinsurancepolicies(hereafter“Policies”),subjecttoparagraph3.7ofthisAgreement.ARTICLE3.0OBLIGATIONSOfCOUNTY3.1TheCountyshallpayCAPP$294,477.19withequitycreditof(68,036.00)anddiscountofCTSIfeesintheamountof(32,012.52)foratotalcontributiondueof$194,428.6byJanuary31,2017forinsurancecoverageandservicesrenderedbyCAPPfortheperiodJanuary1,2017—December31,2017.forservicesprovidedby CAPPafterDecember31,2017,pursuanttoparagraph4.1ofthisAgreement,theCountyshallbudget,appropriateandirrevocablypledgeanannualfeetobedeterminedbythe CAPPBoardofDirectors.3.2TheCountyshallbudget,appropriate,andirrevocablypledge$96,030.03in2017andthereafteratleastannuallyshallbudget,appropriateandirrevocablypLedgeadditionalfundssufficient,whichmaybedeterminedfromtimetotimebyCAP?afterconsiderationofactuarialorotherfinancialreports,forthepaymentofthe&st$125,000.00ofeachqualifiedclaimandallocatedlossexpensesperoccurrencesubjecttothePolicies(“Countyself-fundedretention”),noneofwhichpaymentsshallbetheresponsibility2017CAPPSelf-FundedAgreementpage1unyAttorneys0ce/C17-008 ofCAPP.Forthispurpose,allocatedlossexpensesmeansallcosts,charges,orexpensesofthirdpartiesreasonablyincurredbyCAPP,itsagentsoritsemployees,whichareproperlychargeabletoaqualifiedclaimincluding,withoutlimitation,courtcosts,fees,andexpensesofattorneys,independentinvestigators,expertsandwitnesses,andfeesforobtainingdiagrams,reports,documents,andphotographs;and“qualifiedclaims”meansthoseclaimsforwhichcoverageisprovidedpursuanttothePolicies,subjecttoanyadditionalcoveragelimitationsimposedbyCAPP.A$20,000.00claimsdepositshallbepaidtoCAPPbyJanuary31,2017.AdditionalfundsshallbeforwardedtoCAPPfromtimetotimebasedonpaymentsforqualifiedclaimsandallocatedlossexpenses.InterestearnedonpaymentsmadetoCAPPpursuanttothisparagraph3.2shallbecreditedtoCAPP.3.3TheCountyshallpaypromptlyCAPP’sinvoicespursuanttoparagraph3.2withinfifteen(15)daysofreceipt.InterestonanyoverduepaymentshallaccrueattherateconsistentwiththeIntergovernmentalAgreement.3.4Itistheparties’intentthatatalltimesCAPPshallhaveavailablesufficientfundsfromtheCountytopaypromptlyallproperchargestotheCountyself-fundedretention.ThepartiesdonotintendforCAPPtoberequiredtoadvanceCAPPfundstopaytheCountyself-fundedretentionortoperformservicesiftheCountyfailstoprovidenecessaryfundsasprovidedinparagraph3.2.3.5TheCountyagreesthatthetimelypaymentofallamountsbilledtoitpursuanttothisAgreementisanobligationoftheCountyundertheIntergovernmentalAgreement.TheCountyagreesthatanyfailuretosopay,oranyfailureoftheCountytocomplywithanyotherprovisionofthisAgreement,willresultinexpulsionoftheCountyfromCAPP,andwillsubjecttheCountytoallotherremediesandconsequencesprovidedforinthisAgreementandintheIntergovernmentalAgreement.3.6IftheCountyisentitledtoanycreditorpaymentunderArticleXIoftheIntergovernmentalAgreementforanyyear,andiftheCountyfailstotimelypayanyamountsdueunderthisAgreement,theBoardmay,inadditiontoanyotherremediesithas,applyagainstanysuchamountsduetheamountofanycreditorpaymentCAPPowesormayinthefutureowetotheCountyasaresultofsuchmembership.3.7TheCounty’sobligationsunderthisAgreementaresubjecttoandconditionalupontheCountyannuallybudgeting,appropriating,andirrevocablypledgingfundsasprovidedinparagraphs3.1and3.2ofthisAgreement.However,theCountyagreesthatcoverageoftheCountythroughCAPPunderthePoliciesandtheservicestobeprovidedtheCountybyCAPPareconditionaluponsuchannualbudgeting,appropriation,irrevocablypledgingoffunds,andtimelypaymentofallamountsdueinaccordancewiththisAgreementandtheIntergovernmentalAgreement,andupontheCounty’scompliancewithallotherprovisionsofthisAgreement.TheCountyfurtheragreesthatfailurebytheCountytosobudget,appropriate,irrevocablypledge,ormakesuchpaymentortosocomplywillresultinnocoveragethroughCAPPunderthePoliciesforanypendingqualifiedclaimsforwhichtheCountyfailstoprovidefundsorpayfeesasprovidedinthisAgreement,willresultincancellationofcoverageunderthePolicies,andwillresultinterminationofanyservicesprovidedtotheCountybyCAPPunderparagraph4.1.3.8TheCountyshallpaythefullamountthenpledgedpursuanttoparagraph3.2upontherequestoftheCAPPBoardiftheCAPPBoardreasonablydeterminesthatCAPPneedsthepaymentinordertomeetapplicableregulatoryorstatutoryrequirements.2017CAPPSelf-FundedAgreementPage2 ARTICLE4.0OBLIGATIONSOFCAPP4.1ForqualifiedclaimsoftheCountyunderthePolicies:CAPPwillsupervise,administer,manageandprovideclaimsadjudicationthroughCountyTechnicalServices,Inc.orsuchotherentityorpersonastheBoardofDirectorsofCAPP(“Board”)maydetermine,untilfurthernoticethereofprovidedtotheCounty,inaccordancewiththeIntergovernmentalAgreementandshallactastherepresentativeofCountyinallmattersrelatedtosuchservices.ARTICLE5.0WITHDRAWALANDEXPULSION5.1WithdrawalorexpulsionoftheCountyfromCAPPshallnotaffecttheobligationsoftheCountyorCAPPunderthisAgreement.5.2OnorbeforetheeffectivedateofwithdrawalorexpulsionoftheCountyfromCAPP,thefullamountthenpledgedpursuanttoparagraph3.2shallbepaidtoCAPPplussuchadditionalamountastheCAPPBoardmayreasonablydetermineisnecessarytopaytheCounty’sself-fundedretentionuntilallqualifiedclaimsunderthePoliciesareclosedandtopayCAPP’scostspursuanttoparagraph5.3.5.3UponwithdrawalorexpulsionoftheCountyfromCAPP,CAPPshallretainallpendingclaimfiles.TheCountyshallcontinuetopayCAPPforallcostsassociatedwiththeCounty’sclaimspaidthroughCAPPwhicharesubjecttotheCounty’sself-fundedretentioninexcessofthepaymentmadepursuanttoparagraph5.2.ARTICLE6.0iNFORMATION6.1AllinformationdevelopedfororspecificallyrelatingtoclaimsservicingfortheCounty,includingallsourcedocuments,storeddataandtechnical,claims,andotherinformationofanykind,andreportspreparedbyorforCAPP,arethepropertyofCAPPandremainCAPPexclusivepropertyduringtheexistenceofandaflerterminationofthisAgreement.TheCountyshallhavereasonableaccesstosuchinformation,andtheright,uponreasonablerequest,tocopythesameattheCounty’sownexpense.ARTICLE7.0GENERALPROVISIONS7.1ThisAgreementispersonaltoeachofthepartiesandnopartymayassignordelegateanyofsuchparty’srightsorobligationshereunderwithoutfirstobtainingthewrittenconsentoftheotherparty.7.2Timeisoftheessenceintheperformanceoftheparties’obligationsanddutiesunderthisAgreement.7.3IfanyportionofthisAgreementisdeclaredinvalidorunenforceablepursuanttoachallengebytheCountyorbyanyofficer,employee,orresidentoftheCounty,orbyanyotherpersonexceptCAPP,theCAPPBoardshalldeterminewhethertheAgreementisorisnotseverableanditsdecisionshallbefmal.IftheBoarddeterminestheAgreementisnotseverable,theentireAgreementshallbeterminatedeffectiveonsuchdateastheBoardmaydecide,theCounty’scoverageunderthePoliciesshallbeterminatedastoallpendingandfutureclaimsasofthatdate,andallservicesbyCAPPtotheCountyshallbeterminatedasofthatdateexceptforclaimsadjudicationunderparagraph4.1forclaimsforwhichcoverageisnotterminatedunderthisparagraph,ifanyexist.NothingshallpreventtheCountyfromobtainingcoveragethroughCAPPinthesamemannerasothernon-self-fundedmembers.7.4ThisAgreementdoesnotaltertheIntergovernmentalAgreementandtheCountyretainsallobligationsofaCAPPmemberassetforththerein.TheobligationsoftheCountyunderthisAgreementareobligationsoftheCountywithinthemeaningoftheIntergovernmentalAgreement.2077CAPPSelf-FundedAgreementPage3 7.5ThisAgreementmaybeenforcedbythepartiesorbyanymember,ifsoauthorizedbytheCAPPBoardofDirectors.AllcostsincurredbyCAPPintheattempttocollectanyamountdueunderthisAgreement,includingreasonableattorneyfees,courtcosts,andanyarbitrationcosts,shallbepaidbytheCounty.ThevenueforanycourtactionrelatedtothisAgreementshallbetheDenverDistrictCourt.7.6NoticesinconnectionwiththisAgreementanditsAddendashallbedeliveredtothefollowinginthecaseofCAPP:ColoradoCountiesCasualtyandPropertyPooldoCountyTechnicalServices,Inc.$00GrantSt.,Suite400Denver,CO$0203andtothefollowinginthecaseofCounty:CAPPDesignatedCorrespondent7.7Anyfunctions,powers,andresponsibilitiesofCAPPprovidedforinthisAgreementshallbeexercisedbytheCAPPBoardoritsauthorizeddesignee.7.8Inadditiontoanyotherremedieswhichmayexist,theCAPPBoardmaysubmitanydisputeunderthisAgreementtoadvisoryarbitration,whichshallbeconductedpursuanttotherulesoftheAmericanArbitrationAssociationorotherColoradocourtannexedarbitrationsysteminDenver,Colorado,astheBoardmaydetermine.INWITNESSWHEREOF,thepartieshavecausedthisAgreementtobeexecutedbythefollowingpersonsauthorizedtoactonbehalfoftheirrespectiveentities,datedandeffectiveasofJanuary1,2017.COLORADOCOUNTIESCASUALTYANDPROPERTYPOOL(CAP?)Date:December2,2016AllenEChapmanCTSIExecutiveDirectorEagleCounty,Colorado(County)By:By:Date:Dhair,BoardofCommi-.L--1’-..VJ*\!n&!*iDate:(3/z0111..(COUNTYSEAL)2017CAPPSelf-FundedAgreementPage4
