Agreement0CAGREEMENTBETWEENEAGLECOUNTYANDVISIONSECURITY,LLCTHISAGREEMENTismadethisdayof_____________,2013,byandbetweenEagleCounty(“County”),andVisionSecurity,LLC(“Contractor”),alinitedliabilitycompanywithaprincipalplaceofbusinessat3710Hwy$2,Suite#3,Glenwood,Colorado$1601.WHEREAS,CountydesirestoutilizeVisionSecurity,LLCtoprovidesupportfortheCounty’ssecurityandfiresystems;andWHEREAS,ContractorisauthorizedtodobusinessintheStateofColorado,hasexperienceandexpertisenecessarytoprovidesaidproductand/orservicestoCounty;andWHEREAS,CountyandContractorintendbythisAgreementtosetforththescopeoftheresponsibilitiesofContractorinconnectionwiththeservicesandrelatedtermsandconditionstogoverntherelationshipbetweenContractorandCountyinconnectionwiththisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractoragreeasfollows:ARTICLE1-WORK1.1Contractoragreestoprovideallservices,labor,personnelandmaterialstoperformandcompletemonitoring,testingandinspectionservicesforthesecurityandfirealarmsystemsatthelocationsidentifiedinandassetforthinContractor’sproposal,includingthebidsheetdatedMay3,2013,attachedheretoasExhibitAandincorporatedbythisreference,andthedocumententitledPanelTypesandDeviceCount,attachedheretoasExhibitBandincorporatedhereinbythisreference,(hereinafterreferredtoas“Services”or“Work”).Contractorwilluseitsexpertise,skilltoperformtheServices.IntheeventofanyconflictbetweenthecontentsofthisAgreementandExhibitAandB,thisAgreementshallcontrol.Servicestobeprovidedspecificallyinclude:1.fireandSecurityAlarmsMonitoring:a.24hourmonitoringforalllocationsandsystemsidentifiedinExhibitsAandB.b.NotificationtoEagleCountyfacilitiesofALLalarms24hours/day,7days/week.c.ImplementationofallapprovedEmergencynotificationproceduressetforthbyEagleCountyfacilitiesManagementDepartment.d.Availabilitytorespondtoemergencyservicecallsismandatory.e.Willberequiredtochangepasswordsonsecuritysystemsasrequested.Contractormustbeabletodialintothesecuritysystemsremotely.2.TestandInspectionServices:a.Providedailysystemcallincheckswithinformationavailableuponrequest.b.ProvideannualsystemInspections3.MonitoringReports(AccountActivity)willberequiredandsenttoEagleCountyfacilitiesManagementmonthlyoravailableviaaclientaccessiblewebsite.4.TestandInspectionReportswillberequiredandsenttoEagleCountyfacilitiesManagementandotherrequiredagencieswithin5workingdaysfollowingeachtestandinspection.5.ContractorwillfollowthespecificprotocoloutlinedbyEagleCountyfacilitiesManagement.1 CCAlistofalldialinnumberswillberequiredandanylongdistancecallinnumbersmustbeapprovedbyEagleCountyFacilitiesManagementandincludedinthecost.6.AllFireAlarmsystemtestingandinspectionmustfollowNFPAguidelinesunderStandard72,NationalFireAlarmCode1.2Contractorwillalsoprovideadditionalmaintenance,troubleshootingandrepairservicesforthesystemslistedinExhibitA,asneededandrequestedbyCounty.(“AdditionalServices”)ARTICLE2-COUNTY’SREPRESENTATIVE2.1TheFacilitiesManagementDepartmentdesignee,shallbeContractor’scontactwithrespecttothisAgreementandtheperformanceoftheServices.ARTICLE3-TERMOFAGREEMENT3.1ThisAgreementshallcommenceuponexecutionofthisAgreementbybothparties,and,subjecttotheprovisionsofArticle11hereofshallcontinueinfullforceandeffectforaperiodofoneyear.3.2TheinitialtermofthisAgreementmaybeextendedforuptothreeadditionaloneyeartermsuponwrittenagreementoftheparties.further,theAgreementmaybemodifiedandthescopeofServicesmaybechangeduponawrittenamendmenttothisAgreementsignedbybothparties.ARTICLE4-COMPENSATION4.1FortheServicestobeprovidedinExhibitAhereunder,CountywillpayContractortwentysixthousandsixhundredninetyninedollarsand00/100($26,699.00).IntheeventContractorandCountyagreeupontheneedforAdditionalServicesthoseservicesshallbebilledattheratesdescribedinSectionCofExhibitA.IntheeventofanyconflictbetweenthecontentsofthisAgreementandExhibitA.thisAgreementshallcontrol.4.2Paymentwillbemadeonapro-ratedmonthlybasisforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoicefromContractorrespectingtheServices.Theinvoiceshallincludeadescriptionofservicesperformed.Uponrequest,ContractorshallprovideCountywithsuchothersupportinginformationasCountymayrequest.4.3CountywillnotwithholdanytaxesfrommoniespaidtotheContractorhereunderandContractoragreestobesolelyresponsiblefortheaccuratereportingandpaymentofanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.4.4NotwithstandinganythingtothecontrarycontainedinthisAgreement,nochargesshallbemadetotheCountynorshallanypaymentbemadetotheContractorinexcessoftheamountforanyServicesdonewithoutthewrittenapprovalinaccordancewithabudgetadoptedbytheBoardinaccordancewithprovisionsoftheColoradoRevisedStatutes.Moreover,thepartiesagreethattheCountyisagovernmentalentityandthatallobligationsbeyondthecurrentfiscalyeararesubjecttofundsbeingbudgetedandappropriated.ARTICLE5-CONTRACTOR’SREPRESENTATIONSInordertoinduceCountytoenterintothisAgreement,Contractormakesthefollowingrepresentations:2 CC5.1ContractorhasfamiliarizeditselfwiththenatureandextentoftheServicestobeprovidedhereunder,theFacility,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymanneraffectcost,progress,orperformanceoftheServices.Contractorrepresentsandwarrantsthatitisqualifiedtotest,inspectandmonitortheequipmentlistedinExhibitB.5.2Contractorwillmake,orcausetobemade,examinations,investigations,andtestsashedeemsnecessaryfortheperformanceoftheServices.5.4Totheextentpossible,Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetermsandconditionsofthisAgreement.5.5TotheextentpossibleContractor,hasgivenCountywrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheAgreement.5.6ContractorwillberesponsibleforprovisionoftheServicesandshallperformtheServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skiLlanddiligenceapplicabletosecurityandfiremonitoring,testing,inspectionandrepair.Further,inrenderingtheServices,Contractorshallcomplywiththehigheststandardsofcustomerservicetothepublic.ContractorshallprovideappropriatesupervisionofitsemployeestoensuretheServicesareperformedinaccordancewiththisAgreement.ARTICLE6-ENTIREAGREEMENT6.1ThisAgreementrepresentstheentireAgreementbetweenthepartieshereto.TherearenoContractDocumentsotherthanthisAgreementandExhibitsA,BandC.TheAgreementmayonlybealtered,amended,orrepealedinwriting.ARTICLE7-MISCELLANEOUS7.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheAgreementwillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunLessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheAgreement.7.2CountyandContractoreachbindsitselfitspartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedinthisAgreement.7.3NotwithstandinganythingtothecontrarycontainedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoContractorinrespectofanyperiodafterDecember31withoutanappropriationthereforebyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewithArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).7.4ProvisionMandatedbyC.R.S.§8-17.5-101etseq.PROHIBITIONSONPUBLICCONTRACTFORSERVICES7.4.1IfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,Contractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunder3 C0thisContractandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformServicesunderthisContract.7.4.2Contractorshallnot:(1)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifytotheContractorthatthesubcontractorshaltnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.7.4.3ContractorhasconfirmedtheemploymenteligibilityofallemptoyeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verifyProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheE-verifyprogramcanbefoundat:http://www.dhs.gov/xprevprot/programs/gcl185221678150.shtm7.4.4TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperformed.7.4.5IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:(1)NotifythesubcontractorandtheCountywithinthreedaysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenoticerequiredpursuanttosubparagraph(1)oftheparagraph(D)thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthattheContractorshatlnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.7.4.6TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).7.4.7IfaContractorviolatestheseprohibitions,theCountymayterminatethecontractforabreachofthecontract.IfthecontractissoterminatedspecificallyforabreachofthisprovisionofthisContract,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.7.4.8TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisContractandtheCountyterminatestheContractforsuchbreach.7.5InvalidityorunenforceabilityofanyprovisionofthisAgreementshaltnotaffecttheotherprovisionshereof,andthisAgreementshallbeconstruedasifsuchinvalidorunenforceableprovisionwasomitted.7.6ContractoracknowtedgesthatCountyhasenteredintothisAgreementinrelianceupontheparticularreputationandexpertiseofContractor.Contractorshallnotenterintoanysub-consultantorsub-contractoragreementsfortheperformanceofanyoftheServicesorwithoutCounty’spriorwrittenconsent,which4 CmaybewithheldinCounty’ssolediscretion.CountyshallhavetherightinitsreasonablediscretiontoapproveallpersonnelassignedtoperformtheWorkandnopersonneltowhomCountyhasanobjection,initsreasonablediscretion,shallbeassigned.Contractorshallrequireeachsub-consultantorsub-contractor,asapprovedbyCountyandtotheextentoftheServicestobeperformedbythesub-consultantorsubcontractor,tobeboundtoContractorbythetermsofthisAgreement,andtoassumetowardContractoralltheobligationsandresponsibilitieswhichContractor,bythisAgreement,assumestowardCounty.ARTICLE8-JURISDICTIONANDVENUE:8.1ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheStateofColoradoandthepartiesherebyagreetosubmittothejurisdictionofthecourtsthereof.VenueshallbeintheFifthJudicialDistrictfortheStateofColorado.8.2IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,orifsuitotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperformance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.ARTICLE9-INDEMNIFICATION:9.1Tothefullestextentpermittedbylaw,theContractorshallindemnifyandholdharmlesstheCountyofficers,agentsandemployeesofanyofthemfromandagainstanyandallclaims,damages,losses,liabilitiesandexpenses,includingbutnotlimitedtoattorneys’fees,arisingoutoforresultingfromanyperformanceornonperformanceoftheWork,butonlytotheextentcausedinwholeorinpartbynegligentactsoromissionsoftheContractor,aSubcontractor,anyonedirectlyorindirectlyemployedbythemoranyoneforwhoseactstheymaybeliable,regardlessofwhetherornotsuchclaim,damage,lossorexpenseiscausedinpartbyapartyindemnifiedhereunder.ARTICLE10-OWNERSHIPOFDOCUMENTSANDMATERIALS:10.1Alldocuments(includingelectronicfiles)andmaterialswhichareobtainedduring,purchasedorpreparedintheperformanceoftheServicesshallremainthepropertyoftheCountyandaretobedeliveredtoCountybeforefinalpaymentismadetoContractororuponearlierterminationofthisAgreement.ARTICLE11-TERMINATION:11.1CountymayterminatethisAgreement,inwholeorinpart,foranyreason,atanytime,withorwithoutcause.AnysuchterminationshallbeeffectedbydeliverytoContractorofawrittennoticeofterminationspecifyingthedateuponwhichterminationbecomeseffective.Insuchevent,ContractorshallbecompensatedforallServicessatisfactorilycompleteduptothedateofterminationforsuchServices.ARTICLE12-NOTICE12.1AnynoticerequiredunderthisAgreementshallbepersonallydelivered,mailedintheUnitedStatesmail,firstclasspostageprepaid,orsentviafacsimileprovidedanoriginalisalsopromptlydeliveredtotheappropriatepartyatthefollowingaddresses:TheCounty:EagleCountyFacilitiesManagement5
