AGREEMENT BETWEEN
EAGLE COUNTY, COLORADO AND
AMEC EARTH & ENVIRONMENTAL, INC. FOR
PROFESSIONAL DESIGN SERVICES FOR
EAGLE COUNTY BRIDGE EAG -301 -23.5 REPLACEMENT
AMEC Earth & Environmental, Inc. a Colorado corporation ( "Consultant" or "Contractor ") and
Eagle County, Colorado a body corporate and politic ( "County ") are parties to a contract with an
effective date of the 13 day of September, 2011 ( "Contract "). Consultant and County, for good and
valuable consideration as set forth herein agree to amend the Contract ( "Second Amendment ") as
follows:
A. County has requested that Consultant modify the scope of Services and perform certain
Additional Services all as set forth in Exhibit A -2 which is attached hereto and incorporated
herein by reference. Consultant agrees to furnish all services, labor, personnel and materials
necessary to perform and complete these Additional Services in accordance with the terms of
the Contract. Consultant agrees to furnish the Additional Services within the timeframe and
within the deadlines identified in Exhibit A -2. In the event a completion date for a particular
item is not set forth in Exhibit A -2, then Consultant agrees to furnish the Additional Services
and modified scope in a timely and expeditious manner consistent with the applicable
professional standard of care.
B. The total Compensation for the modified scope of Services and Additional Services identified in
Exhibit A -2 shall not exceed zero dollars ($0) and shall be based on Consultant's fee summary
set forth in Exhibit B -2 which is attached hereto and incorporated by reference. Nothing in
Exhibit B -2 shall modify the not to exceed figure established in this paragraph B.
C. A summary of the Compensation for the Additional Services and modified scope of Services
identified in this Second Amendment is as follows:

Benesch (LONCO): Design Revisions 4,955.34
Transportation Resource Services: Acquisition Services 7,887.00)
AMEC Direct Costs: Mileage 92.14)
Not to Exceed Amount for Additional Services 0.00
D. All definitions set forth in the Contract shall apply to this Second Amendment unless a different
definition is expressly set forth herein.
E. In the event of a conflict between any exhibit and the Contract or this Second Amendment the
terms of the Contract shall control.
F. Except as expressly amended or modified herein, the Contract shall remain unmodified
and in full force and effect.

Survey Issue in the Colorado River — Continued
selected by Eagle County, does not redesign the Abutments and therefore is an additional
4,955.34. Please note that there is effort required by AMEC to address the survey change that
was related to project management, hydraulics and contour revisions to the mapping that is not
addressed by this contract modification.
Reduction in Right -of -Way Scope of Work
The Right -of -Way acquisition work is anticipated to be smaller than estimated in the Addendum
1 Scope of Work and Fee Estimate provided by TRS. After discussions between AMEC and
TRS, a revised estimate was submitted by TRS that will reduce the scope of work and fee for
this work. The total of this reduction is the total of the original and Addendum 1 fee minus the
new fee estimate estimated to complete the work. In math this is $27,380.00 - $19,493.00 =
7,887.00. As a result the scope and fee reduction is ($7,887.00). See the attached TRS Fee
Estimate in Exhibit S -3 for more information about the details of the $19,493.00 of services to be
provided by TRS.
Increase in AMEC Direct Costs
The estimated cost of mileage charges for the project was decreased by 184.28 miles ($92.14)

Benesch Engineering Proposal
Dear Dan,
As you are aware, a survey problem has resulted in the need to modify our bridge substructure design. We
consider the effort to revise the bridge design, due to the changes in the survey elevations in the Colorado River,
to be outside of our scope of work. We also understand that the County is requesting changes to accommodate
three 2 -inch diameter conduits in the project documents. The information shown below provides our scope of
work for these additional items.
Scope of Work:
The survey problem was limited to the grading in the Colorado River below the existing water surface. The
revisions to correct this problem have two related impacts on our work that was completed to reach the FOR
submittal stage. The first impact is the direct impact of the existing grade being approximately 3 -feet lower than
the previous contours indicated. The second impact is the indirect impact that results from revisions to the
hydraulic modeling. The design water surface elevation and velocity has changed (both have an impact on the
substructure design). Changes to the scour results also have a significant impact on the substructure design.
The scope of work, therefore, includes the design revisions for the abutment and pier designs. In addition, we
understand that the County wants to add three 2 -inch conduits to the project. The late addition of these utilities
makes this an out of scope item of work.
Required Information:
We received the revised contours on 1/15/13. We are beginning the revisions to the substructure design. We
received comments from AMEC on our superstructure design on 1/7/13. Since the FOR meeting, we have
primarily been addressing both AMEC and CDOT comments on our superstructure design.
We will need to coordinate with AMEC concerning the type of conduit and the details for the utility work.
Approximate Work Effort for Additional Services:
We feel that the abutment revisions will require about 40 hours of effort. We feel that the pier redesign will
require about 80 hours of effort. Revisions for the utility work will require approximately 16 hours of effort.

Our fee proposal for the additional services listed above is shown below. The proposal is shown in accordance
with the cost plus fixed fee basis used in our contract.

As of 1/20/13, we appear to have a remaining budget of $12,053.09. This appears to leave us with approximately
78 hours of additional work time. We feel that approximately 15 additional hours of work effort remain to
complete the in scope work. The breakdown of this is show below.

As mentioned previously, the abutment design is currently based on substantially higher scour results than are
currently required by the revised scour analysis. If the design of the abutment is left without revision, the effort to
complete the additional services could be reduced by about 40 hours.
