CCPARTC-ASSURANCESI.CIVILRIGHTSACTOF1964,TITLEVI-CONTRACTORCONTRACTUALREQUIREMENTSReference:49CFRPART21Duringtheperformanceofthiscontract,thecontractor,foritself,itsassigneesandsuccessorsininterest(hereinafterreferredtoasthe“Engineer”)agreesasfollows:•CompliancewithRegulations.TheEngineershallcomplywiththeRegulationsrelativetonondiscriminationinfederallyassistedprogramsoftheDepartmentofTransportation(hereinafter,“DOT”)Title49,CodeoffederalRegulations,Part21,astheymaybeamendedfromtimetotime(hereinafterreferredtoastheRegulations),whicharehereinincorporatedbyreferenceandmadeapartofthiscontract.•Nondiscrimination.TheEngineer,withregardtotheworkperfonnedbyitduringthecontract,shallnotdiscriminateonthegroundsofrace,color,ornationaloriginintheselectionandretentionofsubcontractors,includingprocurementsofmaterialsandleasesofequipment.TheEngineershallnotparticipateeitherdirectlyorindirectlyinthediscriminationprohibitedbysection21.5oftheRegulations,includingemploymentpracticeswhenthecontractcoversaprogramsetforthinAppendixBoftheRegulations.•SolicitationsforSubcontracts,IncludingProcurementsofMaterialsandEquipment.InallsolicitationseitherbycompetitivebiddingornegotiationmadebytheEngineerforworktobeperformedunderasubcontract,includingprocurementsofmaterialsorleasesofequipment,eachpotentialsubcontractororsuppliershallbenotifiedbytheEngineeroftheEngineer’sobligationsunderthiscontractandtheRegulationsrelativetonondiscriminationonthegroundsofrace,color,ornationalorigin.•InformationandReports.TheEngineershallprovideallinformationandreportsrequiredbytheRegulationsordirectivesissuedpursuanttheretoandshallpermitaccesstoitsbooks,records,accounts,othersourcesofinformationanditsfacilitiesasmaybedeterminedbytheSponsororthefederalAviationAdministration(FAA)tobepertinenttoascertaincompliancewithsuchRegulations,orders,andinstructions.WhereanyinformationrequiredofanEngineerisintheexclusivepossessionofanotherwhofailsorrefusestofurnishthisinformation,theEngineershallsocertifytothesponsorortheFAA,asappropriate,andshallsetforthwhateffortsithasmadetoobtaintheinformation.•SanctionsforNoncompliance.IntheeventoftheEngineer’snoncompliancewiththenondiscriminationprovisionsofthiscontract,thesponsorshallimposesuchcontractsanctionsasitortheFAAmaydeterminetobeappropriate,including,butnotlimitedto:a.WithholdingofpaymentstotheEngineerunderthecontractuntiltheEngineercomplies,and/orb.Cancellation,termination,orsuspensionofthecontract,inwholeorinpart.Page3of8
00IncorporationofProvisions.TheEngineershallincludetheprovisionsofparagraphsonethroughfive(CompliancewithRegulations,Nondiscrimination,Solicitationsfor$ubcontracts,InformationandReports,andSanctionsforNoncompliance)ineverysubcontract,includingprocurementsofmaterialsandleasesofequipment,unlessexemptbytheRegulationsordirectivesissuedpursuantthereto.TheEngineershalltakesuchactionwithrespecttoanysubcontractorprocurementasthesponsorortheFAAmaydirectasameansofenforcingsuchprovisionsincludingsanctionsfornoncompliance.Provided,however,thatintheeventaEngineerbecomesinvolvedin,oristhreatenedwith,litigationwithasubcontractororsupplierasaresultofsuchdirection,theEngineermayrequesttheSponsortoenterintosuchlitigationtoprotecttheinterestsofthesponsorand,inaddition,theEngineermayrequesttheUnitedStatestoenterintosuchlitigationtoprotecttheinterestsoftheUnitedStates.II.AIRPORTANDAIRWAYIMPROVEMENTACTOF1982,SECTION520-GENERALCIVILRIGHTSPROVISIONSReference:AirportandAirwayImprovementActof1982,Section520;Titte4947123;AC150/5100-15,Pant.10.c.TheEngineerassuresthatitwillcomplywithpertinentstatutes,Executiveordersandsuchrulesasarepromulgatedtoassurethatnopersonshall,onthegroundsofrace,creed,color,nationalorigin,sex,age,orhandicapbeexcludedfromparticipatinginanyactivityconductedwithorbenefitingfromFederalassistance.Thisprovisionobligatesthetenant/concessionaire/lesseeoritstransfereefortheperiodduringwhichFederalassistanceisextendedtotheairportaprogram,exceptwhereFederalassistanceistoprovide,orisintheformofpersonalpropertyorrealpropertyorinterestthereinorstructuresorimprovementsthereon.Inthesecasestheprovisionobligatesthepartyoranytransfereeforthelongerofthefollowingperiods:(a)theperiodduringwhichthepropertyisusedbytheairportsponsororanytransfereeforapurposeforwhichFederalassistanceisextended,orforanotherpurposeinvolvingtheprovisionofsimilarservicesorbenefitsor(b)theperiodduringwhichtheairportsponsororanytransfereeretainsownershiporpossessionoftheproperty.InthecaseofEngineers,thisprovisionbindstheEngineersfromthebidsolicitationperiodthroughthecompletionofthecontract.ThisprovisionisinadditiontothatrequiredofTitleVIoftheCivilRightsActof1964.III.DISADVANTAGEDBUSINESSENTERPRISESReference:49CFRPart26•ContractAssurance(26.13)-TheEngineerorsubcontractorshallnotdiscriminateonthebasisofrace,color,nationalorigin,orsexintheperformanceofthiscontract.TheEngineershallcarryoutapplicablerequirementsof49CFRPart26intheawardandadministrationofDOTassistedcontracts.FailurebytheEngineertocarryouttheserequirementsisamaterialbreachofthiscontract,whichmayresultintheterminationofthiscontractorsuchotherremedy,astherecipientdeemsappropriate.•PromptPayment(26.29)-TheprimeEngineeragreestopayeachsubcontractorunderthisprimecontractforsatisfactoryperformanceofitscontractnolaterthanfjfteen(15)daysfromthereceiptofeachpaymenttheprimeEngineerreceivesfromSponsor.TheprimeEngineerPage4of$

C)CVII.RIGHTSTOINVENTIONSReference:49CFRPart18.36(t)(8);FAAOrder5100.38AllrightstoinventionsandmaterialsgeneratedunderthiscontractaresubjecttoregulationsissuedbytheFAAandtheSponsoroftheFederalgrantunderwhichthiscontractisexecuted.VIII.TRADERESTRICTIONCLAUSEReference:49CfRPart30.13;FAAOrder5100.38TheEngineerorsubcontractor,bysubmissionofanofferand/orexecutionofacontract,certifiesthatit:a.isnotownedorcontrolledbyoneormorecitizensofaforeigncountryincludedinthelistofcountriesthatdiscriminateagainstU.S.firmspublishedbytheOfficeoftheUnitedStatesTradeRepresentative(USTR);b.hasnotknowinglyenteredintoanycontractorsubcontractforthisprojectwithapersonthatisacitizenornationalofaforeigncountryonsaidlist,orisownedorcontrolleddirectlyorindirectlybyoneormorecitizensornationalsofaforeigncountryonsaidlist;c.hasnotprocuredanyproductnorsubcontractedforthesupplyofanyproductforuseontheprojectthatisproducedinaforeigncountryonsaidlist.UnlesstherestrictionsofthisclausearewaivedbytheSecretaryofTransportationinaccordancewith49CfR30.17,nocontractshallbeawardedtoaEngineerorsubcontractorwhoisunabletocertifytotheabove.IftheEngineerknowinglyprocuresorsubcontractsforthesupplyofanyproductorserviceofaforeigncountryonsaidlistforuseontheproject,theFederalAviationAdministrationmaydirectthroughtheSponsorcancellationofthecontractatnocosttotheGovernment.further,theEngineeragreesthat,ifawardedacontractresultingfromthissolicitation,itwillincorporatethisprovisionforcertificationwithoutmodificationineachcontractandinalllowertiersubcontracts.TheEngineermayrelyonthecertificationofaprospectivesubcontractorunlessithasknowledgethatthecertificationiserroneous.TheEngineershallprovideimmediatewrittennoticetothesponsoriftheEngineerlearnsthatitscertificationorthatofasubcontractorwaserroneouswhensubmittedorhasbecomeerroneousbyreasonofchangedcircumstances.ThesubcontractoragreestoprovidewrittennoticetotheEngineerifatanytimeitlearnsthatitscertificationwaserroneousbyreasonofchangedcircumstances.Thiscertificationisamaterialrepresentationoffactuponwhichreliancewasplacedwhenmakingtheaward.IfitislaterdeterminedthattheEngineerorsubcontractorknowinglyrenderedanerroneouscertification,theFederalAviationAdministrationmaydirectthroughtheSponsorcancellationofthecontractorsubcontractfordefaultatnocosttotheGovernment.Page6of$
