HomeMy WebLinkAboutC12-149 Venturoni Surveys & Research AgreementCAGREEMENTBETWEENEAGLECOUNTY,COLORADOANDVENTURONISURVEYS&RESEARCH,INC.FORHOUSINGNEEDSASSESSMENTTHISAGREEMENT(“Agreement”),effectivethisJjdayofM6U’j.2012isbetweenEagleCounty,Colorado,abodycorporateandpolitic(hereinafter“County’)andVenturoniSurveys&Research,Inc.acompanywithitsprincipalplaceofbusinessat422idlewildDrive,Dillon,Colorado$0435(“Consultant’”).WITNESSETH:WHEREAS,Countyiscontemplatinganupdatetoits2009HousingGuidelinesandrequiresanupdatetoits2007housingneedsassessment;andWHEREAS,ConsultantisauthorizedtodobusinessintheStateofColoradoandhasexperienceandexpertiseindevelopingsuchassessments(the“Project’);andWHEREAS,CountyandConsultantintendbythisAgreementtosetforththescopeoftheresponsibilitiesofConsultantinconnectionwiththeProjectandrelatedtermsandconditionstogoverntherelationshipbetweenConsultantandCountyinconnectionwiththisAgreement;andWHEREAS,ConsultantwillperformthescopeofworksetforthhereinandattachedheretoinconjunctionwithKathyChandler-HenryoftheEconomicCouncilofEagleCountyandwithJimWestkott.retiredColoradoStateDemographeractingasasub-consultant.KathyChandler-HenrywillbepaidthroughanexistingagreementwiththeEconomicCouncilofEagleCountyandCountywillhavenoresponsibilitytopayforhertimeinassistingwiththeProject.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandConsultantagreeasfollows:1.SCOPEOFWORK:Thefollowingwillhereinafterbereferredtoasthe“Work”or“ConsultingServices”:A.Consultantagreestofurnishallservices,labor.personnelandmaterialsnecessarytoperformandcompletetheWorkassetforthintheproposaldatedApril1$,2012whichisattachedheretoasExhibitAandincorporatedhereinbythisreference.IntheeventofanyconflictorinconsistencybetweenthetermsandconditionssetforthinExhibitAandthetermsandconditionssetforthinthisAgreement,thetermsandconditionssetforthinthisAgreementshallprevail.B.ConsultantagreesthatConsultantwillnotenterintoanyservicecontractsorconsultingarrangementswiththirdpartiesduringthetermoftheAgreementthatwillconflictinanymannerwiththeWorktobeprovidedunderthisAgreement.2.CONSULTANT’SREPRESENTATIONS
0Consultanthasfamiliarizeditselfwiththenatureandextentofthecontractdocuments,work,locality,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rules,permitsandregulationsthatinanymannermayaffectcost,progress,orperformanceoftheWork.ConsultantwarrantsthattheWorkshallcomplywithanyandallapplicablelaws,codes,rulesandregulations.3.CONSULTANT’SPROFESSIONALLEVELOFCAREConsultantshallberesponsibleforthecompletenessandaccuracyoftheConsultingServices,includingallsupportingdataandotherdocumentspreparedorcompiledinperformanceoftheWork,andshallcorrect,atitssoleexpense,allsignificanterrorsandomissionsthereinwhetherpreparedbyConsultant.ThefactthattheCountyhasacceptedorapprovedtheConsultingServicesshallnotrelieveConsultantofanyofitsresponsibilities.ConsultantshallperformtheConsultingServicesinaskillful,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletoconsultants,withrespecttosimilarservices,inthisareaatthistime.4.CONFIDENTIALITYTheConsultantandCountyacknowledgethat,duringthetermofthisAgreementandinthecourseoftheConsultantrenderingtheConsultingServices,theConsultantmayacquireknowledgeofthebusinessoperationsofCountytothepointthatthegeneralmethodofdoingbusiness,thepricingofproducts,thelistsofcustomersandotheraspectsofthebusinessaffairsofCountywillbecomegenerallyknowntoConsultantandtheConsultantshallnotdisclose,use,publishorotherwisereveal(exceptinthecourseofproperlysatisfyingConsultant’sdutieshereunder),eitherdirectlyorthroughanother,toanyperson,firmorcorporation,anyknowledge.informationorfactsconcerninganyofthepastorthenbusinessoperations,pricingorsalesdataofCountyandshallretainallknowledgeandinformationwhichConsultanthasacquiredastheresultofthisAgreementintrustinafiduciarycapacityforthesolebenefitofCounty.itssuccessorsandassignsduringthetermofthisAgreement,andforaperiodoffive(5)yearsfollowingterminationofthisAgreement.5.CONTRACTPRICECountyshallpayConsultantforperformanceoftheWorkasfollows:CompensationforConsultant’sWorkshallnotexceedSevenThousandDollars($7.000.00)andoutofpocketexpensesshallnotexceedTwoHundredDollars($200.00).ConsultantshallsubmitamonthlyinvoicereflectingWorkcompletedtodate.Consultantpaymentshallbepaidwithinthirty(30)daysofreceiptofasatisfactoryinvoiceforWorksatisfactorilyperformed.Consultantshallprovideinvoicesforanyoutofpocketexpenses.ConsultantshallnotchargeforanyWorkperformedbyMs.Chandler-Henry.6.COMMENCEMENTANDCOMPLETIONOFTHEWORK
CCConsultantshallcommencetheWorkuponexecutionofthisAgreementbybothpartiesandshallcompletetheWorkonJune22,2012orbefore,unlessthepartiesotherwiseagreeinwriting.ConsultantagreestonotifyCountyifachievementofthecompletiondateappearsunlikelyassoonasitsoappearstoIheConsultant,andthereupon,CountyandConsultantwillmeettodiscussthereasonsfordelayandmeansofachievingtimelycompletion.Consultantwilluseitsbesteffortstoachievetimelycompletion.7.INDEMNIFICATIONTheConsultantshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreement.orarebaseduponanyperformanceornonperformancebyConsultanthereunder;andConsultantshallreimburseCountyforanyandallattorneyfeesandcosts,legalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim.damage,liabilityoraction.8.TERMINATIONCountymayterminatethisAgreementatanytimeandforanyreason,withorwithoutcause,withseven(7)calendardays’priorwrittennoticetoConsultant.OnterminationofthisAgreementbyCounty,CountyshallpaytoConsultantaspaymentinfullforallWorksatisfactorilyperformedbyConsultantuptotheeflëctivedateoftermination.9.ENFORCEMENTREMEDIESA.TheConsultant’sob]igationshereundershallsurviveterminationoftheAgreement.B.CountyandConsultantagreethatthisAgreementmaybeenforcedthroughallavailableremediesincluding,butnotlimitedto,specificperformance,injunctive,orotherappropriatereliefincludingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.ItisspecificallyunderstoodthatbyexecutingthisAgreement,bothCountyandtheConsultantcommitthemselvestoperformpursuanttothesetermscontainedherein.IntheeventthatanactionisbroughttoenforcethisAgreement,theprevailingpartyshallheentitledfortherecoveryofitscostsandfees.includingreasonableattorney’sfees.10.MISCELLANEOUSA.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisputepertainingtothisAgreementshallbeintheStateofColorado,DistrictCourtinandforEagleCounty,Colorado.B.ThisAgreement,andtherightsandobligationscreatedhereby,shallbebindinguponandinuretothebenefitofCountyandConsultantandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldheconstruedtoconferorgivetoanypersonorentityotherthanCountyorConsultantandtheirrespectivesuccessorsand3
00assigns,anyright,remedyorclaimunderorbyreasonhereoforbyreasonofanycovenantorconditionhereincontained.C.IfanyportionofthisAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityoritsunenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionshallbefullyseverableandthisAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisAgreement.D,ThisAgreementmaybeamendedormodifiedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbybothCountyandConsultant.ThisAgreementrepresentsthefullandcompleteunderstandingofCountyandConsultantandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofCountyandConsultantwithrespecttothesubjectmattercontainedherein.E.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,promise,orconsiderationdifferentfromthetermshereincontainedshallbebindingoneitherparty,oritsagentsoremployeeshereto.F.IfanyconflictexistsbetweentheprovisicnsofthisAgreementandExhibit“A”,theprovisionsofthisAgreementshallcontrol.G.ConsultantacknowledgesthatCountyhasenteredintothisAgreementinrelianceupontheparticularreputationandexpertiseofConsultant.Consultantshallnotenterintoanysub-consultantagreementsexceptthosespecificallydescribedhereinfortheperformanceoftheWorkwithoutCounty’spriorwrittenconsent,whichmaybewithheldinCounty’ssolediscretion.H.AlldocumentspreparedbyConsultantinconnectionwithConsultant’sperformanceunderthisAgreementshallbecomethepropertyofCountyandConsultantshallexecutewrittenassignmentstoCountyofallrightstothesameasCountymayrequest.ByexecutingthisAgreementConsultantconsentstoCountyoritsassignsusingthematerialspreparedbyConsultanttoconductitsownfocusgroupswithoutinvolvementofConsultant.1.NothingcontainedinthisAgreementshallbedeemedtocreatearelationshipofemployer-employee,master-servant,partnership,jointventureoranyotherrelationshipbetweenCountyandConsultantexceptthatofindependentcontractor.ILINSURANCEAtalltimesduringthetermofthisAgreement,Consultantshallmaintaincommercialgeneralliabilityinsuranceintheminimumamountofone-hundred-fiftythousanddollars($150,000.00)peroccurrenceandtheminimumaggregateamountofsix-hundredthousanddollars($600,000.00).ConsultantwillalsocarryWorker’sCompensationinsuranceasrequiredbyColoradolaw.ConsultantshallnameCountyasanadditionalinsured.12.NOTICEANDAUTHORIZEDREPRESENTATIVES4
