Services0CAGREEMENTBETWEENEAGLECOUNTYANDSTANTECCONSULTINGSERVICES,INC.THISAGREEMENT(“Agreement”)ismadethisdayof,2012,byandbetweenEagleCoünty,Colorado(“County”),and,StantecConsultingServices,Inc.(“Contractor”),aColoradocorporationwithaprincipalplaceofbusinessat2000SouthColoradoBoulevard,Suite2-300)Denver,Colorado80222.WHEREAS,Countydesirestodesign,forreplacement,thesiphonandtheJuneCreekcrossingontheHowardDitch(the“Facility”).WHEREAS,ContractorisauthorizedtodobusinessintheStateofColorado,hasexperienceandexpertisenecessarytoprovidesaidproductand/orservicestoCounty;andWHEREAS,CountyandContractorintendbythisAgreementtosetforththescopeoftheresponsibilitiesofContractorinconnectionwiththeservicesandrelatedtermsandconditionstogoverntherelationshipbetweenContractorandCountyinconnectionwiththisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandthefollowingpromises,CountyandContractoragreeasfollows:ARTICLE1-WORK1.1Contractoragreestoprovideallservices,labor,personnelandmaterialstoperformandcompletetheservicessetforthinExhibitA(hereinafter“Services”or“Work”)whichisattachedheretoandincorporatedbythisreference.ContractorwilluseitsexpertiseandskilltoperformtheServices.IntheeventofanyconflictbetweenthecontentsofthisAgreementandExhibitA,thisAgreementshallcontrol.ThedesignWorkshallbecompletedwithinthirty(30)daysofEagleCountysigningtheAgreement.ARTICLE2-COUNTY’SREPRESENTATIVE2.1TheFacilitiesManagementDepartmentdesignee,shallbeContractor’scontactwithrespecttothisAgreementandtheperformanceoftheServices.ARTiCLE3-TERMOFAGREEMENT3.1ThisAgreementshallcommenceuponexecutionofthisAgreementbybothparties,and,subjecttotheprovisionsofArticle11hereof;shallcontinueinhillforceandeffectuntiltheServicesaresatisfactorilycompletedinaccordancewiththetermsofthisAgreement.3.2TheAgreementmaybemodifiedandthescopeofServicesmaybechangeduponawrittenamendmenttothisAgreementsignedbybothpatties.ARTICLE4-COMPENSATION4.1FortheServicestobeprovidedhereunder,CountywillpayContractortheamountsprovidedinExhibitA.ThemaximumamountofcompensationunderthisAgreementshallnotexceedeighteenthousandsixt2ir-qd’hundrcddollars($18,600)withoutanamendmenttotheAgreementagreedtoandexecutedbybothparties.4,2PaymentwillbemadeforServicessatisfactorilyperformedwithinthirty(30)daysofreceiptofaproperandaccurateinvoicefromContractorrespectingtheServices.TheinvoiceshallincludeadescriptionofServicesperformedandanyreimbursableexpenses.Reimbursableexpensesshallbebilledatcostwithnomarkup.Uponrequest,ContractorshallprovideCountywithsuchothersupportinginformationasCountymay CCrequest.4.3CountywillnotwithholdanytaxesfrommoniespaidtotheContractorhereunderandContractoragreestobesolelyresponsiblefortheaccuratereportingandpaymentofanytaxesrelatedtopaymentsmadepursuanttothetermsofthisAgreement.4.4NotwithstandinganythingtothecontrarycontainedinthisAgreement,nochargesshallbemadetotheCountynorshallanypaymentbemadetotheContractorinexcessoftheamountforanyServicesdonewithoutwrittenapprovalinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersinaccordancewithprovisionsoftheColoradoRevisedStatutes.Moreover,thepartiesagreethattheCountyisagovennnentalentityandthatallobligationsbeyondthecurrentfiscalyeararesubjecttofundsbeingbudgetedandappropriated.ARTICLE5-CONTRACTOR’SREPRESENTATIONSInordertoinduceCountytoenterintothisAgreement,Contractormakesthefollowingrepresentations:5.1ContractorhasfamiliarizeditselfwiththenatureandextentoftheServicestobeprovidedhereunder,theFacility,andwithalllocalconditions,andfederal,state,andlocallaws,ordinances,rulesandregulationsthatinanymanneraffectcost,progress,orperformanceoftheServices.5.2Contractorwillmake,orcausetobemade,examinations,investigations,andtestsashedeemsnecessaryfortheperformanceoftheServices.5.4Totheextentpossible,Contractorhascorrelatedtheresultsofallsuchobservations,examinations,investigations,tests,reports,anddatawiththetennsandconditionsofthisAgreement.5.5TotheextentpossibleContractor,hasgivenCountywrittennoticeofallconflicts,errors,ordiscrepanciesthathehasdiscoveredintheAgreement.5.6ContractorwillberesponsibleforprovisionoftheServicesandshallperfonutheServicesinareasonably,professionalandcompetentmannerandinaccordancewiththestandardofcare,skillanddiligenceapplicabletodesignandengineeringservicesofasimilarnature.Further,inrenderingtheServices,Contractorshallcomplywiththecustomarilyacceptedstandardsofcustomerservicetothepublic.ContractorshallprovideappropriatesupervisionofitsemployeestoensuretheServicesareperfonnedinaccordancewiththisAgreement.5.7ContractorshallberesponsibleforthecompletenessandaccuracyoftheWork,includingallsupportingdataandotherdocumentspreparedorcompiledinperformanceoftheWorkincludingWorkperformedbyitsemployees,agentsorsub-contractors,andshallcorrect,atitssoleexpense,allsignificanterrorsandomissionstherein.ThefactthattheCountyhasacceptedorapprovedtheWorkshallnotrelieveContractorofanyofitsresponsibilities.5.8Contractorrepresentsthatitsprofessionalpersonnelare,andcovenantsthatisprofessionalpersonnelshallatalltimesremain,dulylicensedtoperformtheServices.ARTICLE6-ENTIREAGREEMENT6.1ThisAgreementrepresentstheentireAgreementbetweenthepartieshereto.TherearenoContractDocumentsotherthanthisAgreementandExhibitsAandB.TheAgreementmayonlybealtered,amended,orrepealedinwriting.2 C0ARTICLE7-MISCELLANEOUS7.1Noassignmentbyapartyheretoofanyrightsunder,orinterestsintheAgreementwillbebindingonanotherpartyheretowithoutthewrittenconsentofthepartysoughttobebound;andspecifically,butwithoutlimitation,moneysthatmaybecomedueandmoneysthatareduemaynotbeassignedwithoutsuchconsent(excepttotheextentthattheeffectofthisrestrictionmaybelimitedbylaw),andunlessspecificallystatedtothecontraryinanywrittenconsenttoanassignment,noassignmentwillreleaseordischargetheassignorfromanydutyorresponsibilityundertheAgreement.7.2CountyandContractoreachbindsitself,itspartners,successors,assignsandlegalrepresentativestotheotherpartyhereto,inrespecttoallcovenants,agreements,andobligationscontainedinthisAgreement.7.3NotwithstandinganythingtothecontrarycontainedinthisAgreement,CountyshallhavenoobligationsunderthisAgreementafter,norshallanypaymentsbemadetoContractorinrespectofanyperiodafterDecember31withoutanappropriationthereforebyCountyinaccordancewithabudgetadoptedbytheBoardofCountyCommissionersincompliancewithArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).7.4ProvisionMandatedbyC.R.S.§8-17.5-101etseq.PROHIBITIONSONPUBLICCONTRACTFORSERVICES7.4.1IfContractorhasanyemployeesorsubcontractors,ContractorshallcomplywithC.R.S.§8-17.5-101,etseq.,regardingIllegalAliens—PublicContractsforServices,andthisContract.ByexecutionofthisContract,ContractorcertifiesthatitdoesnotknowinglyemployorcontractwithanillegalalienwhowillperformunderthisContractandthatContractorwillparticipateintheE-verifyProgramorotherDepartmentofLaborandEmploymentprogram(“DepartmentProgram”)inordertoconfirmtheeligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformServicesunderthisContract.7.4.2Contractorshallnot:(i)Knowinglyemployorcontractwithanillegalalientoperformworkunderthiscontractforservices;or(ii)EnterintoacontractwithasubcontractorthatfailstocertifytotheContractorthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices.7.4.3ContractorhasconfirmedtheemploymenteligibilityofallemployeeswhoarenewlyhiredforemploymenttoperformworkunderthisContractthroughparticipationintheE-verifyProgramorDepartmentProgram,asadministeredbytheUnitedStatesDepartmentofHomelandSecurity.InformationonapplyingfortheE-verifyprogramcanbefoundat:http://www.dhs.gov/xprevprot/prorarns/gc1185221678150.shtm7.4.4TheContractorshallnotuseeithertheE-verifyprogramorotherDepartmentProgramprocedurestoundertakepre-employrnentscreeningofjobapplicantswhilethepubliccontractforservicesisbeingperfonued.7.4.5IftheContractorobtainsactualknowledgethatasubcontractorperformingworkunderthepubliccontractforservicesknowinglyemploysorcontractswithanillegalalien,theContractorshallberequiredto:3 CC(1)NotifythesubcontractorandtheCountywithinthreedaysthattheContractorhasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)Terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenoticerequiredpursuanttosubparagraph(i)oftheparagraph(D)thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthattheContractorshallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.7.4.6TheContractorshallcomplywithanyreasonablerequestbytheDepartmentofLaborandEmploymentmadeinthecourseofaninvestigationthatthedepartmentisundertakingpursuanttoitsauthorityestablishedinC.R.S.§8-17.5-102(5).7.4.7IfaContractorviolatestheseprohibitions,theCountymayterminatethecontractforabreachofthecontract.IfthecontractissoterminatedspecificallyforabreachofthisprovisionofthisContract,theContractorshallbeliableforactualandconsequentialdamagestotheCountyasrequiredbylaw.7.4.8TheCountywillnotifytheofficeoftheColoradoSecretaryofStateifContractorviolatesthisprovisionofthisContractandtheCountyterminatestheContractforsuchbreach.7.5InvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffecttheotherprovisionshereofandthisAgreementshallbeconstruedasifsuchinvalidorunenforceableprovisionwasomitted.7.6.1ContractoracknowledgesthatCountyhasenteredintothisAgreementinrelianceupontheparticularreputationandexpertiseofContractor.Contractorshallnotenterintoanysub-consultantorsubcontractoragreementsfortheperformanceofanyoftheServicesorwithoutCounty’spriorwrittenconsent,whichmaybewithheldinCounty’ssolediscretion.CountyshallhavetherightinitsreasonablediscretiontoapproveallpersonnelassignedtoperformtheWorkandnopersonneltowhomCountyhasanobjection,initsreasonablediscretion,shallbeassigned.Contractorshallrequireeachsub-consultantorsub-contractor,asapprovedbyCountyandtotheextentoftheServicestobeperformedbythesub-consultantorsub-contractor,tobeboundtoContractorbythetermsofthisAgreement,andtoassumetowardContractoralltheobligationsandresponsibilitieswhichContractor,bythisAgreement,assumestowardCounty.CountyherebyapprovestheretentionofSpronkWaterEngineers,Inc.asasubcontractorinperformanceoftheServices.ARTICLE$-JURISDICTIONANDVENUE:8.1ThisAgreementshallbeinterpretedinaccordancewiththelawsoftheStateofColoradoandthepartiesherebyagreetosubmittothejurisdictionofthecourtsthereof.VenueshallbeintheFifthJudicialDistrictfortheStateofColorado.8.2IntheeventoflitigationbetweenthepartiesheretoregardingtheinterpretationofthisAgreement,ortheobligations,dutiesorrightsofthepartieshereunder,orifsuitotherwiseisbroughttorecoverdamagesforbreachofthisAgreement,oranactionbebroughtforinjunctionorspecificperfonnance,thenandinsuchevents,theprevailingpartyshallrecoverallreasonablecostsincurredwithregardtosuchlitigation,includingreasonableattorney’sfees.4 CCARTICLE9-INDEMNIFICATIONANDLIMITATIONOFLIABILITY:9.1TheContractorshallindemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesariseoutofthisAgreement,orarebaseduponanynegligentacts,errorsoromissionsintheperformanceornonperformanceoftheServicesbyContractororanyofitssubcontractorshereunder;andContractorshallreimburseCountyforanyandallattorneyfeesandcosts,legalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyisliabletosuchthirdpartyforsuchclaimswithoutregardtotheinvolvementoftheContractor.9.2ThetotalamountofallclaimstheCountymayhaveagainsttheContractorunderthisAgreementorarisingfromtheperformanceornon-performanceoftheServicesunderanytheoryoflaw,includingbutnotlimitedtoclaimsfornegligence,negligentmisrepresentationandbreachofcontractshallbestrictlylimitedtothelimitsofinsurancesetforthinthisAgreement.ARTICLE10-OWNERSHIPOFDOCUMENTSANDMATERIALS:10.1Alldocuments(includingelectronicfiles)andmaterialswhichareobtainedduring,purchasedorpreparedintheperformanceoftheServicesshallremainthepropertyoftheCountyandaretobedeliveredtoCountywhenfinalpaymentismadetoContractororuponearlierterminationofthisAgreement.TheCountyagrees,totheextentpermittedbylaw,toindemnifyandholdtheContractorharmlessfromanyclaim,liabilityorcost(includingreasonableattorneyfeesanddefensecosts)arisingoutofanyreuseormodificationofthedocuments(includingelectronicfiles)bytheCounty.Electronicfileswillnotcontainstampsorseals,andarenottobeusedforanypurposeotherthanthatforwhichtheyweretransmitted.ARTICLE11-TERMINATION:11.1CountymayterminatethisAgreement,inwholeorinpart,foranyreason,atanytime,withorwithoutcause.AnysuchterminationshallbeeffectedbydeliverytoContractorofawrittennoticeofterminationspecifyingthedateuponwhichterminationbecomeseffective.Insuchevent,ContractorshallbecompensatedforallServicessatisfactorilycompleteduptothedateofterminationforsuchServices.ARTICLE12-NOTICE12.1AnynoticerequiredunderthisAgreementshallbepersonallydelivered,mailedintheUnitedStatesmail,firstclasspostageprepaid,orsentviafacsimileprovidedanoriginalisalsopromptlydeliveredtotheappropriatepartyatthefollowingaddresses:TheCounty:EagleCountyFacilitiesManagementP.O.Box850Eagle,Colorado$1631(970)328-8786(p)(970)328-3539(f)andacopyto:EagleCountyAttorneyP.O.Box850Eagle,Colorado$1631(970)328-8685(p)5
