AGREEMENT:NOW,THEREFORE,forandinconsiderationofthemutualpromisesandagreementsofthepartiesandothergoodandvaluableconsideration,theadequacyandsufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:1.MaintenanceResponsibilities.Crawfordshall,atitssolecostandexpense,provideallmaintenanceservicesdesignatedasCounty’sresponsibilityundertheCDOTAgreementwithregardtothesidewalkportionoftheImprovementsduringtheirusefullife(the“Maintenance”).SuchMaintenanceshallincludesnowremoval,repair,maintenanceandreplacementofthesidewalkportionoftheImprovements.MaintenanceshallbeperformedinamannersatisfactorytotheStateofColorado(the“State”)andtheFederalHighwayAdministration(“FHWA”)andinaccordancewithallapplicablestatutes,ordinancesandregulationspertainingtosuchimprovements.CrawfordacknowledgesthattheStateandFHWAmaymakeperiodicinspectionstoverifythatthesidewalkportionoftheImprovementsarebeingadequatelymaintained.2.County’sObligations.A.CountyagreesthatitwillactastheLocalAgencyforpurposesofreceivingCDOTauthorizationandfundingnecessarytoconstructtheProject.B.CountyshallhavenofurtherobligationsunderthisAgreement,financialorotherwise,otherthantoprovidetimelynoticetoCrawfordofallrequestsordirectionprovidedbyCDOTrelatingtoMaintenance.3.Indemnification.CrawfordassumesallliabilitiesassociatedwiththeMaintenance.Accordingly,totheextentallowedbyColoradolaw,Crawfordagreestorelease,indemnifyandsaveharmlessCounty,anditsofficers,agents,andemployees,againstanyandallclaimsorcausesofactionofanykindarisingoutofdamagetorealorpersonalproperty,orinjuryand/ordeathtopersons,includingtheproperty,agents,oremployeesofeitherparty,resultinginanywayfromtheoperationsanddutiesundertakenbyCrawfordinconnectionwiththeMaintenanceorthisAgreement.TotheextentallowedbyColoradolaw,CrawfordshallfurtherindemnifyandsaveharmlessCountyanditsofficers,agents,andemployeesfromanyandallclaims,damages,suits,costs,expenses,liabilities,actions,orproceedingsofanykindornaturewhatsoever,includingWorkman’sCompensationclaims,oforbyanyperson,inanywayresultingfromorarisingoutof,eitherdirectlyorindirectly,theoperationsanddutiesundertakenbyCrawfordinconnectionwiththeMaintenanceorthisAgreement.Thisindemnificationshallbedeemedtoincludetheactsandomissionsofallofficers,employees,representatives,suppliers,invitees,contractors,andagentsofCrawford.4.IndependentContractorStatus.ThePartiestothisAgreementintendthattherelationshipbetweenthemisthatofindependentcontractor.Crawford,andanyagent,employee,orservantofCrawfordshallnotbedeemedtobeanemployee,agent,orservantofCounty.Otherthan2 requiringthatCrawfordcomplywithallrequirements,standardsanddirectionsofCDOTandtheLocalAgencyCommitmentscontainedinExhibitAincompletingtheMaintenance,CountyshallnotattempttooverseeorsupervisetheworkoractionsofanyCrawfordemployee,contractor,subcontractor,consultant,servantoragentinthecourseofcompletingworkunderthisAgreement.5.Benefits.Crawfordandanyagent,employeeorservantofCrawfordarenotentitledtoanyWorkman’sCompensationbenefitsthroughtheCountyandareresponsibleforpaymentofanyfederal,stateFICAandotherincometaxes.6.Non-Assignable.Thisagreementisnotassignablebyeitherparty.7.IntegratedAgreement.ThisAgreementmaybechangedormodifiedonlyinwritingbyanagreementapprovedbyCrawfordandtheBoardofEagleCountyCommissionersandsignedbyauthorizedofficersofeachparty.ThisAgreementconstitutestheentireAgreementbetweenthepartiesandallotherpromisesandagreementsrelatingtothesubjectofthisAgreement,whetheroralorwritten,aremergedherein.8.Severability.ShouldanyoneormoresectionsorprovisionsofthisAgreementbejudiciallyadjudgedinvalidorunenforceable,suchjudgmentshallnotaffect,impair,orinvalidatetheremainingprovisionsofthisAgreement,theintentionbeingthatthevarioussectionsandprovisionshereofareseverable.9.Notices.AnynoticerequiredorpermittedunderthisAgreementshallbeinwritingandshallbehand-deliveredorsentbyregisteredorcertifiedregularmail,postagepre-paidtotheaddressesofthepartiesasfollows.Eachpartybynoticesentpursuanttothisparagraphmaychangetheaddresstowhichfuturenoticesshouldbesent.NoticetoCounty:EvaWilsonEagleCountyEngineer500BroadwayP.O.Box850Eagle,Colorado81631Andacopyto:EagleCountyAttorney500BroadwayP0Box850Eagle,CO81631Telephone:970-328-8685facsimile:970-328-86993 NoticetoCrawford:CrawfordProperties,LLC0060ElJebelRoad,Unit105ElJebel,Colorado$162310.Immunity.CrawfordagreesandunderstandsthatCountyisrelyingonanddoesnotwaive,byanyprovisionsofthisAgreement,themonetarylimitationsortermsoranyotherrights,immunities,andprotectionsprovidedbytheColoradoGovernmentalImmunityAct,C.R.S.24-10-101,etseq.,asfromtimetotimeamendedorotherwiseavailabletotheCountyoranyofitsofficers,agents,oremployees.11.BindingEffect.TherightsandobligationsofCrawfordunderthisAgreementshallbebindinguponandshallinuretothebenefitofCrawfordanditsrespectivesuccessorsandassigns.12.ChoiceofLawandVenue.ThisAgreementshallbeconstruedaccordingtothelawsoftheStateofColorado,andvenueforanyactionshallbeintheDistrictCourtsofEagleCounty,Colorado.CountyshallhavestandingtobringanactiontoenforcethetermsofthisAgreementinDistrictCourt,includinganactionforspecificperformanceandinjunctiverelief.13.Duration.ThisAgreementshallremainineffectinperpetuityunlessamendedorterminatedbytheparties.14.Authority.CrawfordwarrantsthatitpossessthelegalauthoritytoenterintothisAgreementandthatithastakenallactionsrequiredbyallapplicableprocedures,by-laws,andlorapplicablelawtoexercisethatauthority,andtolawfullyauthorizeitsundersignedsignatorytoexecutethisAgreementandtobindittoitsterms.ThepersonexecutingthisAgreementonbehalfofCrawfordwarrantsthatsuchpersonhasfullauthorizationtoexecutethisAgreement.15.NoThirdPartyBeneficiaries.ItisexpresslyunderstoodandagreedthattheenforcementofthetermsandconditionsofthisAgreementandallrightsofactionrelatingtosuchenforcement,shallbestrictlyreservedtotheCounty,Crawfordandpotentially,CDOT.NothingcontainedinthisAgreementshallgiveorallowanyclaimorrightofactionwhatsoeverbyanyotherthirdpersonorentity,otherthanCDOT.ItistheexpressintentionoftheCountyandCrawfordthatanysuchpersonorentity,otherthanCDOT,receivingservicesorbenefitsunderthisAgreementshallbedeemedanincidentalbeneficiaryonly.16.Waiver.Thewaiverofanybreachofaterm,provisionorrequirementofthisAgreementshallnotbeconstruedordeemedawaiverofanysubsequentbreachofsuchterm,provisionorrequirement,orofanyotherterm,provisionorrequirement.17.ModificationandAmendment.ThisAgreementissubjecttosuchmodificationsasmayberequiredbychangesinafederalorStatelaw,ortheirimplementingregulations.AnysuchrequiredmodificationshallautomaticallybeincorporatedintoandbepartofthisAgreementontheeffectivedateofsuchchangeasiffullysetforthherein.Exceptasprovidedabove,nomodificationofthisAgreementshallbeeffectiveunlessagreedtoinwritingbybothpartiesinan4 1.PARTIESTHISAGREEMENTisenteredintobyandbetween,EAGLECOUNTY,(hereinaftercalledthe‘localAgency”),andtheSTATEOFCOLORADOactingbyandthroughtheDepartnientofTransportation(hereinaftercalledthe“State”or“CDOT”).2.EFFECTIVEDATEANDNOTICEOFNONLIABILITY.ThisAgreementshallnotbeeffectiveorenforceableuntilitisapprovedandsignedbytheColoradoStateControllerortheirdesignee(hereinaftercalledthe“EffectiveDate”).TheStateshallnotbeliabletopayorreimbursetheLocalAgencyforanyperformancehereunder,inctuding,butnotlimitedtocostsorexpensesincurred,orbeboundbyanyprovisionhereofpriortotheEffectiveDate.3,RECLTALSA.Authority,Appropriation,AndApprovalAuthorityexistsinthelawandfundshavebeenbudgeted,appropriatedandotherwisemadeavailableandasufficIentunencumberedbalancethereofremainsavailableforpaymentandtherequiredapproval,clearanceandcoordinationhavebeenaccomplishedfromandwithappropriateagencies.FederalAuthorityPursuanttoTitleI,SubtitleA,Section1108ofthe“TransportationEquityActforthe21Century”of198(TEA-21)and!orthe“Safe,Accountable,Flexible,EfficientTransportationEquityAct:ALegacyforUsers”(SAEETEA-LU)of2005andtoapplicableprovisionsofTitle23oftheUnitedStatesCodeandimplementingregulationsatTitle23oftheCodeofFederalRegulations,asmaybeamended,(collectivelyreferredtohereinafterasthe“FederalProvisions”),certainfederalfundshavebeenandareexpectedtocontinuetobeallocatedfortransportationprojectsrequestedbytheLocalAgencyandeligibleundertheSurfaceTransportationImprovementProgramthathasbeenproposedbytheStateandapprovedbytheFederalHighwayAdministration(“FHWA”).StateAuthorityPursuanttoCRS§43-1-223andtoapplicableportionsoftheFederalProvisions,theStateisresponsibleforthegeneraladministrationandsupervisionofperformanceofprojectsintheProgram,includingtheadministrationoffederalfundsforaProgramprojectperformedbyaLocalAgencyunderacontractwiththeState.ThisAgreementisexecutedundertheauthorityotCRS§S29-1-203,43-1-110;43-1-176,43-2-101(4)(c)and43-2-104.5.B.ConsiderationThePartiesacknowledgethatthemutualpromisesandcovenantscontainedhereinandothergoodandvaluableconsiderationaresufficientandadequatetosupportthisAgreement.C.Purpose1.ThepurposeofthisAgreementistodisburseFederalfundstotheLocalAgencypursuanttoCDOT’sStewardshipAgreementwiththeFHWA.CDOTwillreimburseEagleCountyforahazardeliminationprojectinaccordancewiththeI-IFS(HazardEliminationSafety)Program.Theprojectencompassesapproximately300-600LFofElJebelRoadlocateddirectlynorthoftheSI-I82/El]ebelRoadintersectiontothe$hadowrockDrive!EiJebelRoadintersection,wherethecountyisscopingaturnaroundorroundabouttoprovidethenecessarymovementsfortheaccessrestrictions.D.ReferencesAllreferencesinthisAgreementtosections(whetherspelledoutorusingthe§symbol),subsections,exhibitsorotherattachments,arereferencestosections,subsections,exhibitsorotherattachmentscontainedhereinorincorporatedasaparthereof,unlessotherwisenoted.4.DEFINITIONSThefollowingtermsasusedhereinshallbeconstruedandinterpretedasfollows:A.AgreementorContractPage2eV23 6.SCOPEOFWORKA.CompletionTheLocalAgencyshallcompletetheWorkandotherobligationsasdescribedhereininExhibitA.WorkperformedpriortotheEffectiveDateorafterfinalacceptanceshallnotbeconsideredpartoftheWork.B.GoodsandServicesTheLocalAgencyshallprocureGoodsandServicesnecessarytocompletetheWork.SuchprocurementshallbeaccomplishedusingtheContractFundsandshallnotincreasethemaximumamountpayablehereunderbytheState.C.EmployeesAl!personsemployedhereunderbytheLocalAgency,oranyConsultantsorContractorsshallbeconsideredtheLocalAgency’s,Consultants’orContractors’employee(s)foraftpurposesandshallnotbeemployeesoftheStateforanypurpose.D.StateandLocalAgencyCommitmentsi,DesignIftheWorkincludespreliminarydesignorfinaldesignordesignworksheets,orspecialprovisionsandestimates(collectivelyreferredtoasthe“Plans),theLocalAgencyshallcomplywithandberesponsibleforsatisfyingthefollowingrequirements:a)PerformorprovidethePlanstotheextentrequiredbythenatureoftheWork.b)PreparefinaldesigninaccordancewiththerequirementsofthelatesteditionoftheAmericanAssociationofStateHighwayTransportationOfficials(AASHTO)manualorotherstandard,suchastheUniformBuildingCode,asapprovedbytheState.c)PrepareprovisionsandestimatesinaccordancewiththemostcurrentversionoftheState’sRoadwayandBridgeDesignManualsandStandardSpecificationsforRoadandBridgeConstructionorLoca]AgencyspecificationsifapprovedbytheState.U)includedetailsofanyrequireddetoursinthePlansinordertopreventanyinterferenceoftheconstructionWorkandtoprotectthetravelingpublic.e)StampthePlansproducedbyaColoradoRegisteredProfessionalEngineer.f)ProvidefinalassemblyofPlansandallothernecessarydocuments.g)BeresponsibleforthePlans’accuracyandcompleteness.Ii)MakenofurtherchangesinthePlansfollowingtheawardoftheconstructioncontracttoContractorunlessagreedtoinwritingbytheParties.ThePlansshallbeconsideredfinalwhenapprovedinwritingbyCOOTandwhenfinaltheyshahbeincorporatedherein.it.LocalAgencyWorka)LocalAgencyshallcomplywiththerequirementsoftheAmericansWithDisabilitiesAct(ADA),andapplicablefederalregulationsandstandardsascontainedinthedocument“ADAAccessibilityRequirementsinCOOTTransportationPcojects.b)LocalAgencyshallaffordtheStateampteopportunitytoreviewthePlansandmakeanychangesinthePlansthataredirectedbytheStatetocomprywithFHWArequirements.C)LocalAgencymayenterintoacontractwithaConsultanttoperformalloranyportionofthePlansand/orofconstructionadministration.Provided,however,iffederal-aidfundsareinvolvedinthecostofsuchWorktobedonebysuchConsultant,suchConsultantcontract(andtheperformance/provisionofthePlansunderthecontract)mustcomplywithallapplicablerequirementsof23C.FR.Part172andwithanyproceduresimplementingthoserequirementsasprovidedbytheState,includingthoseinExhibitH.litheLocalAgencyentersintoacontractwithaConsultantfortheWork:(7)LocalAgencyshallsubmitacertificationthatprocurementofanyConsultantcontractcomplieswiththerequirementsof23C.F.R.172.5(1)priortoenteringintosuchConsultantcontract,subjecttotheState’sapproval.IfnotapprovedbytheState,theLocalAgencyshallnotenterintosuchConsultantcontract.(2)LocalAgencyshatlensurethatallchangesintheConsultantcontracthavepriorapprovalbytheStateandFHWAandthattheyareinwriting.ImmediatelyPage4of23 AssistanceandRealPropertyAcquisitionPoliciesforFederalandFederallyAssistedProgramsasamended(49C.F.R.Part24),GDOT’sRightofWayManual,andCOOT’sPocyandProceduralDirectives.c)TheParties’respectivecomplianceresponsibilitiesdependontheleveloffederalparticipation;providedhowever,thattheStatealwaysretainsOversightresponsibilities.U)ThePartiesrespectiveresponsibilitiesundereachlevelinCDOT’sRightofWayManual(locatedatfj/yww.dot.state.co.iisfROWMantiaIJ)andreimbursementforthelevelswillbeunderthefollowingcategories:(1)Rightofwayacquisition(3111)forfederalparticipationandnon-participation;(2)Relocationactivities,ifapplicable(3109);(3)Rightofwayincidentals,ifapplicabte(expensesincidentaltoacquisition/relocationoftightofway—3114).UtilitiesIfnecessary,theLocalAgencyshallberespnsibleforobtainingtheproperclearanceorapprovalfromanyutilitycompanywhichmaybecomeinvolvedintheWork.PriortotheWorkbeingadvertisedforbids,theLocalAgencyshallcertifyinwritingtotheStatethatallsuchclearanceshavebeenobtained.RailroadslitheWorkinvolvesmodificationofarailroadcompany’sfacilitiesandsuchmodificationwillbeaccomplishedbytherailroadcompany,theLocalAgencyshallmaketimelyapplicationtothePubticUtilitiescommissionrequestingitsorderprovidingfortheinstallationoftheproposedimprovementsandnotproceedwiththatpartoftheWorkwithoutcompliance.TheLocalAgencyshallalsoestablishcontactwiththerailroadcompanyinvolvedforthepurposeofcomplyingwithapplicableprovisionsof23C.F.R.646,subpartB,concerningfederal-aidprojectsinvolvingrailroadfacilitiesand:a)Executeanagreementsettingoutwhatworkistobeaccomplishedandthelocation(s)thereof,andwhichcostsshallbeeligibleforfederalparticipation.b)Obtaintherailroad’sdetailedestimateofthecostoftheWork.C)Establishfuturemaintenanceresponsibilitiesfortheproposedinstallation.U)ProscribefutureuseordispositionsoftheproposedImprovementsintheeventofabandonmentoreliminationofagradecrossing.e)Establishfuturerepairand/orreplacementresponsibilitiesintheeventofaccidentaldestructionordamagetotheinstallation.EnvironmentalObligationsTheLocalAgencyshallperformallWorkInaccordancewiththerequirementsofthecurrentfederalandstateenvironmentalregulationsincLudingtheNationalEnvironmentalPolicyActof1969(NEPA)asapplicable.MaintenanceObligationsTheLocalAgencyshallmaintainandoperatetheWorkconstructedunderthisAgreementatitsowncostandexpenseduringtheirusefullife,inamannersatisfactorytotheStateandFHWA,andtheLocalAgencyshaltprovideforsuchmaintenanceandoperationsobligationseachyear.Si.chmaintenanceandoperationsshallbeconductedinaccordancewithallapplicablestatutes,ordinancesandregulationspertainingtomaintainingsuchimprovements.TheStateandHWAmaymakeperiodicinspectionstoverifythatsuchimprovementsarebeingadequatelymaintained.7.OPTIONLETTERMODIFICATIONOptionLettersmaybeusedtoextendAgreementterms,changethelevelofservicewithinthecurrenttermduetounexpectedovermatch,addaphasewithoutincreasingcontractdollars,orincreaseordecreasetheamountoffunding.Theseoptionsarelimitedtothespecificscenarioslistedbelow.TheOptionLettershallnotbedeemedvaliduntilsignedbytheStateControlleroranauthorizeddelegate.FollowingaretheapplicationsfortheindividualoptionsundertheOptionLetterfornvA.Option1-LevelofservicechangewithincurrenttermduetounexpectedovermatchinanoverbidsituationojJy.Page7of23 IntheeventtheStatehascontractedallprojectfundingandtheLocalAgency’sconstructionbidishigherthanexpected,thisoptionallowsforadditionalLocalOvermatchdollars,tobeprovidedbytheLocalAgencytobeaddedtothecontract.ThisoptionisonlyapplicableforLocalOvermatchonanoverbid.situationandshallnotbeintendedforanyotherLocalOvermatchfunding.TheStatemayunilaterallyincreasethetotaldollarsofthiscontractasstipulatedbytheexecutedOptionLetter(ExhibitD),whichwiltbringthemaximumamountpayableunderthiscontracttotheamountindicatedinExhibitC-IattachedtotheexecutedOptionLetter(futurechangestoExhibitCshallbetabeledasC-2,C-3,etc,asapplicable),Performanceoftheservicesshallcontinueunderthesametermsasestablishedinthecontract.TheStatewillusetheFinancialStatementsubmittedbytheLocalAgencyfor“ConcurrencetoAdvertise”asevidenceoftheLocalAgency’sintenttoawardanditwillalsoprovidetheadditionalamountrequiredtoexercisethisoption.IftheStateexercisesthisoption,thecontractwillbeconsideredtoincludethisoptionprovision.3.Option2—Optiontoaddoverlappingphasewithoutincreasingcontractdollars.TheStatemayrequiretheLoôalAgencytobeginaphasethatmayincludeDesign,Construction,Environmental,Utilities,ROWIncidentalsorMiscellaneous(thisdoesnotapplytoAcquisition/RelocationorRailroads)asdetailedinExhibitAandatthesametermsandconditionsstatedintheoriginalcontractwiththecontractdollarsremainingthesame.TheStatemayexercisethisoptionbyprovidingafullyexecutedoptiontotheLocalAgencywithinthirty(30)daysbeforetheinitialtargetedstartdateofthephase,inaformsubstantiallyequivalenttoExhIbitD.IftheStateexercisesthisoption,thecontractwillbeconsideredtoincludethisoptionprovision.C.Option3-Toupdatefunding(increasesandlordecreases)withanewExhibitC.Thisoptioncanbeusedtoincreaseand/ordecreasetheoverallcontractdollars(state,federal,localmatch,localagencyovermatch)todate,byreplacingtheoriginalfundingexhibit(ExhibitC)intheOriginalContractwithanupdatedExhibitC-I(subsequentexhibitstoExhibitC-IshallbelabeledC-2,C-3,etc).TheStatemayhaveaneedtoupdatechangestostate,federal,localmatchandtocalagencyovermatchfundsasoutlinedinExhibitC-I,whichwillbeattachedtotheoptionform.TheSlatemayexercisethisoptionbyprovidingafullyexecutedoptiontotheLocalAgencywithinthirty(30)daysaftertheStatehasreceivednoticeoffundingchanges,inaformsubstantiallyequivalenttoExhibitD.litheStateexercisesthisoption,thecontractwillbeconsideredtoincludethisoptionprovision.8.PAYMENTSTheStateshall,inaccordancewiththeprovisionsofthis§8,paytheLocalAgencyintheamountsandusingthemethodssetforthbelow:A.MaximumAmountThemaximumamountpayableissetforthinExhibitCasdeterminedbytheStatefromavailablefunds.PaymentstotheLocalAgencyarelimitedtotheunpaidencumberedbalanceoftheContractsetforthinExhibitC.TheLocalAgencyshallprovideitsmatchshareofthecostsasevidencedbyanappropriateordinance/resolutionorothetauthorityletterwhichexpresslyauthorizestheLocalAgencytheauthoritytoenterintothisAgreementandtoexpenditsmatchshareoftheWork.Acopyofsuchordinance/resolutionorauthorityletterisattachedheretoasExhibitB:B.PaymentiAdvance,InterimandFinalPaymentsAnyadvancepaymentallowedunderthisContractorinExhibitCshallcomplywithStateFiscalRulesandbemadeinaccordancewiththeprovisionsofthisContractorsuchExhibit.TheLocalAgencyshallinitiateanypaymentrequestsbysubmittinginvoicestotheStateintheformandmanner,approvedbytheState.InterestTheStateshallftillypayeachinvoicewithin45daysofreceiptthereofiftheamountinvoicedrepresentsperformancebytheLocalAgencypreviouslyacceptedbytheState.UncontestedPage8of23 amountsnotpaidbytheStatewithin45daysshallbearinterestontheunpaidbalancebeginningonthe46thdayataratenottoexceedonepercentpermonthuntilpaidinfull;provided,however,thatinterestshallnotaccrueonunpaidamountsthataresubjecttoagoodfaithdispute.TheLocalAgencyshallinvoicetheStateseparatelyforaccruedinterestondelinquentamounts.Thebillingshallreferencethedetinquentpayment,thenumberofdaysinteresttobepaidandtheinterestrate.AvailableFunds-Contingency.TerminationTheStateisprohibitedbylawfrommakingcommitmentsbeyondthetermoftheState’scurrentfiscaLyear.Therefore,theLocalAgency’scompensationbeyondtheState’scurrentFiscalYeariscontingentuponthecontinuingavailabilityofStateappropriationsasprovidedintheColoradoSpecialProvisions.TheState’sperformancehereunderisalsocontingentuponthecontinuingavailabilityoffederalfunds.PaymentspursuanttothisContractshallbemadeonlyfromavailablefundsencumberedforthisContractandtheState’sliabilityforsuchpaymentsshallbelimitedtotheamountremainingofsuchencumberedfunds.IfStateorfederalfundsarenotappropriated,orotherwisebecomeunavailabletofundthisContract,theStatemayterminatethisContractimmediately,inwholeorinpart,withoutfurtherliabilityinaccordancewiththeprovisionshereof.ErroneousPaymentsAttheState’ssolediscretion,paymentsmadetotheLocalAgencyinerrorforanyreason,including,butnotlimitedtooverpaymentsorimproperpayments,andunexpendedorexcessfundsreceivedbytheLocalAgency,mayberecoveredfromtheLooalAgencybydeductionfromsubsequentpaymentsunderthisContractorothercontracts,AgreementsoragreementsbetweentheStateandtheLocalAgencyorbyotherappropriatemethodsandcollectedasadebtduetotheState.$uchfundsshallnotbepaidtoanypartyotherthantheState.C.UseofFundsContractFundsshallbeusedonlyforeligiblecostsidentifiedherein.D.MatchingFundsTheLocalAgencyshallprovidematchingfundsasprovidedin§LA.andExhibitC.TheLocalAgencyshallhaveraisedthefullamountofmatchingfundspriortotheEffectiveDateandshallreporttotheStateregardingthestatusofsuchfundsuponrequestTheLocalAgency’sobligationtopayalloranypartofanymatchingfunds,whetherdirectorcontingent,onlyextendtofundsdulyandlawfullyappropriatedforthepurposesofthisAgreementbytheauthorizedrepresentativesoftheLocalAgencyandpaidintotheLocalAgency’streasury.TheLocalAgencyrepresentstotheStatethattheamountdesignated‘LocalAgencyMatchingFunds”inExhibitChasbeanlegallyappropriatedforthepurposeofthisAgreementbyitsauthorizedrepresentativesandpaidintoitstreasury.TheLocalAgencydoesnotbythisAgreementirrevocablypledgepresentcashreservesforpaymentsinfuturefiscalyears,andthisAgreementisnotintendedtocreateamultiple-fiscalyeardebtoftheLocalAgency.TheLocalAgencyshallnotpayorbeliableforanyclaimedinterest,latecharges,fees,taxesorpenaltiesofanynature,exceptasrequiredbytheLocalAgency’slawsorpolicies.E.ReimbursementofLocalAgencyCostsTheStateshallreimbursetheLocalAgency’sallowablecosts,notexceedingthemaximumtotalamountdescribedinExhibitCand§8.Theapplicableprinciplesdescribedin49C.F.R.18SubpartCand49C.F.R.18.22shallgoverntheState’sobligationtoreimburseallcostsincurredbytheLocalAgencyandsubmittedtotheStateforreimubursementhereunder,andtheLocalAgencyshallcomplywithallsuchprinciples.TheStateshallreimbursetheLocalAgencyforthefederal-aidshareofproperlydocumentedcostsrelatedtotheWorkafterreviewandapprovalthereof,subjecttotheprovisionsofthisAgreementandExhibitC.However,anycostsincurredbytheLocalAgencypriortothedateofFHWAauthorizationfortheWorkandpriortotheEffectiveDateshallnotbereimbursedabsentspecificFHWAandStateControllerapprovalthereof.Costsshallbe:i.ReasonableandNecessaryPage9of23 ResonableandnecessarytoaccomplishtheWorkandfortheGoodsandServicesprovided.iLNetCostActualnetcosttotheLocalAgency(i.e.thepricepaidminusanyitemsofvaluereceivedbytheLocalAgencythatreducethecostactuallyincurred);9.ACCOUNTINGTheLocalAgencyshallestablishandmaintainaccountingsystemsinaccordancewithgenerallyacceptedaccountingstandards(aseparatesetofaccounts,orasaseparateandintegralpartofitscurrentaccountingscheme).Suchaccountingsystemsshall,ataminimum,provideasfollows:A.LocalAgeticyPerformingtheWorkIfLocalAgencyIsperformingtheWork,alJallowablecosts,includinganyapprovedservicescontributedbytheLocalAgencyorothers,shallbedocumentedusingpayrolls,timerecords,invoices,contracts,vouchers,andotherapplicablerecords.B.LocalAgency-ChecksorDrawsChecksissuedordrawsmadebytheLocalAgencyshallbemadeordrawnagainstproperlysignedvouchersdetailingthepurposethereof.Allchecks,payrolls,invoices,contracts,vouchers,orders,andotheraccountingdocumentsshallbeonfileintheofficeoftheLocalAgency,clearlyidentified,readilyaccessible,andtotheextentfeasible,keptseparateandapartfromallotherWorkdocuments.C.State-AdministrativeServicesTheStatemayperformanynecessaryadministrativesupportservicesrequiredhereunder.TheLocalAgencyshallreimbursetheStateforthecostsofanysuchservicesfromtheBLidgetasprovidedforinExhibitC.IfFHWAfundingisnotavailableoriswithdrawn,oriftheLocalAgencyterminatesthisAgreementpriortotheWorkbeingapprovedorcompleted,thenallactualincurredcostsofsuchservicesandassistanceprovidedbytheStateshallbetheLocalAgency’ssoleexpense.D.LocalAgency-InvoicesTheLocalAgency’sinvoicesshalldescribeindetailthereimbursablecostsincurredbytheLocalAgencyforwhichitseeksreimbursement,thedatessuchcostswereincurredandtheamountsthereof,andshallnotbesubmittedmoreoftenthanmonthly.B.InvoicingWithIn60naysTheStateshallnotbeliabletoreimbursetheLocalAgencyforanycostsunlessCDOTreceivessuchinvoiceswithin60daysafterthedateforwhichpaymentisrequested,includingfinalinvoicing.FinalpaymenttotheLocalAgencymaybewithheldatthediscretionoftheStateuntilcompletionoffinalaudit.AnycostsincurredbytheLocalAgencythatarenotallowableunder49C.F.R;18shallbereimbursedbytheLocalAgency,ortheStatemayoffsetthemagainstanypaymentsduefromtheStatetotheLocalAgency.F.ReimbursementofStateCostsCUOTshallperformOversightandtheLocalAgencyshallreimburseCOOTforitsrelatedcosts.TheLocalAgencyshallpayinvoiceswithin60daysafterreceiptthereof.IftheLocalAgencyfailstoremitpaymentwithin60days,atCDOT’srequest,theStateisauthorizedtowithholdanequalamountfromfutureapportionmentduetheLocalAgencyfromtheHighwayUsersTaxFundandtopaysuchfundsdirectlytoCOOT.InterimfundsshallbepayablefromtheStateHighwaySupplementaryFund(400)untilCOOTisreimbursed.IftheLocalAgencyfailstomakepaymentwithin60days,itshallpayinteresttotheStateatarateofonepercentpermonthonthedelinquentamountsuntilthebillingispaidinfull.CDOT’sinvoicesshalldescribeindetailthereimbursablecostsIncurred,thedatesincurredandtheamountsthereof,andshallnotbesubmittedmoreoftenthanmonthly.10.REPORTING-NOTIFICATIONReports.Evaluations,andReviewsrequitedunderthis§10shallbeInaccordancewiththeproceduresofandinsuchformasprescribedbytheStateandinaccordancewith§18,ifapplicable.A.Performance,Progress,Personnel,andFundsPage10of23 TheLocalAgencyshallsubmitareporttotheStateuponexpirationorsoonerterminationofthisAgreement,containinganEvaluationandReviewoftheLocalAgency’sperformanceandthefinalstatusoftheLocalAgency’sobligationshereunder.B.LitigationReportingWithin10daysafterbeingservedwithanypleadingrelatedtothisAgreement,inalegalactionfiledwithacourtoradministrativeagency,theLocalAgencyshallnotifytheStateofsuchactionanddelivercopiesofsuchpleadingstotheState’sprincipalrepresentativeasidentifiedherein.IftheStateoritsprincipalrepresentativeisnotthenserving,suchnoticeandcopiesshallbedeliveredtotheExecutiveDirectorofCDOT.C.NoncomplianceTheLocalAgency’sfailuretoprovidereportsandnotifytheStateinatimelymannerinaccordancewiththis§10mayresultinthedelayofpaymentoffundsandlorterminationasprovidedunderthisAgreement.D.DocumentsUponrequestbytheState,theLocalAgencyshallprovidetheState,oritsauthorizedrepresentative,copiesofalldocuments,inctudingcontractsandsubcontracts,inltspossessionrelatedtotheWork.11.LOCALAGENCYRECORDSA.MaintenanceTheLocalAgencyshallmake,keep,maintain,andallowinspectionandmonitoringbytheStateofacompletefileofallrecords,documents,communications,notesandotherwrittenmaterials,electronicmediafiles,andcommunications,pertaininginanymannertotheWorkorthedeliveryotServices(including,butnotlimitedtotheoperationofprograms)orGoodshereunder.TheLocalAgencyshallmaintainsuchrecordsuntilthelasttooccurofthefollowing:(I)aperiodofthreeyearsafterthedatethisAgreementiscompletedorterminated,or(ii)threeyearsafterfinalpaymentismadehereunder,whicheverislater,or(iii)forsuchfurtherperiodasmaybenecessarytoresolveanypendingmatters,or(iv)ifanauditisoccurring,ortheLocalAgencyhasreceivednoticethatanauditispending,thenuntilsuchaudithasbeencompletedanditsfindingshavebeenresolved(collectively,the‘RecordRetentionPeriod”).B.InspectionTheLocalAgencyshallpermittheState,thefederalgovernmentandanyotherdulyauthorizedagentofagovernmentalagencytoaudit,inspect,examine,excerpt,copyand/ortranscribetheLocalAgency’srecordsrelatedtothisAgreementduringtheRecordRetentionPeriodtoassurecompliancewiththetermshereofortoevaluatetheLocalAgency’sperformancehereunder.TheStatereservestherighttoinspecttheWorkatallreasonabletimesandplacesduringthetermofthisAgreement,includinganyextension,litheWorkfailstoconformtotherequirementsofthisAgreement,theStatemayrequitetheLocalAgencypromptlytobringtheWorkintoconformitywithAgreementrequirements,attheLocalAgency’ssoleexpense.litheWorkcannotbebroughtintoconfomiancebyre-performanceorothercorrectivemeasures,theStatemayrequiretheLocalAgencytotakenecessaryactiontoensurethatfutureperformanceconformstoAgreementrequirementsandmayexercisetheremediesavailableunderthisAgreementatlaworinequityinlieuoforinconjunctionwithsuchcorrectivemeasures.C.MonitoringTheLocalAgencyalsoshallpermittheState,thefederalgovernmentoranyotherdulyauthorizedagentofagovernmentalagency,intheirsolediscretion,tomonitorallactivitiesconductedbytheLocalAgencypursuanttotheternsofthisAgreementusinganyreasonableprocedure,including,butnotlimitedto:internalevaluationprocedures,examinationofprogramdata,specialanalyses,on-sitechecking,formalauditexaminations,oranyotherprocedures.AllsuchmonitoringshallbeperformedinamannerthatshallnotundulyinterferewiththeLocalAgency’sperformancehereunder.D.FinalAuditReportPage11of23 IfanauditisperformedontheLocalAgency’srecordsforanyfiscalyearcoveringaportionofthetemofthisAgreement,theLocalAgencyshallsubmitacopyofthefinalauditreporttotheStateoritsprincipalrepresentativeattheaddressspecifiedherein.‘12.CONFIDENTIALINFORMATION-STATERECORDSTheLocalAgencyshallcomplywiththeprovisionsofthis§iItitbecomesprivytoconfidentialinformationinconnectionwithitsperformancehereunder.ConfidentialInformation,Inctudes,btitisnotnecessarilylimitedto,staterecords,personnelrecords,andinformationconcerningindividuals.Nothinginthis§12shallbeconstruedtorequiretheLocalAgencytoviolatetheColoradoOpenRecordsAct,C.R,S.§24-72-1001etseq.A.ConfidentialityTheLocalAgencyshallkeepallStaterecordáandinformationconfidentialatalltimesandtocomplywithalllawsandregulationsconcerningconfidentialityofinformation.AnyrequestordemandbyathirdpartyforStaterecordsandinformationinthepossessionoftheLocalAgencyshallbeimmediatelyforwardedtotheState’sprincipalrepresentative.B.NotificationTheLocalAgencyshallnotifyitsagents,employeesandassignswhomaycomeintocontactwithStaterecordsandconfidentialinformationthateachissubjecttotheconfidentiaHtyrequirementssetforthherein,andshallprovideeachwithawrittenexplanationofsuchrequirementsbeforetheyarepermittedtoaccesssuchrecordsandinformation.C.Use,Security,andRetentionConfidentialinformationofanykindshallnotbedistributedorsoldtoanythirdpartyorusedbytheLocalAgencyoritsagentsinanyway,exceptasauthorizedbytheAgreementandasapprovedbytheState.TheLocalAgencyshalLprovideandmaintainasecureenvironmentthatensuresconfidentialityofallStaterecordsandotherconfidentialinformationwhereverlocated.ConfidentialinformationshallnotberetainedinanyfilesorotherwisebytheLocalAgencyoritsagents,exceptassetforthinthisAgreementandapprovedbytheState.11Disclosure..LiabilltyDisclosureofStaterecordsorotherconfidentialinformationbytheLocalAgencyforanyreasonmaybecauseforLegalactionbythirdpartiesagainsttheLocalAgency,theStateortheirrespectiveagents.TheLocalAgencyisprohibitedfromprovidingindemnificationtotheStatepursuanttotheConstitutionoftheStateofColorado,ArticleXl,Section1,however,theLocalAgencyshallberesponsibleforanyandallclaims,damages,liabilityandcourtawardsincludingcosts,expenses,andattorneyfeesandrelatedcosts,incurredasaresultofanyactoromissionbytheLocalAgency,oritsemployees,agents,orassigneespursuanttothis§12.13.CONFLICTOFINTERESTTheLocalAgencyshallnotengageinanybusinessorpersonalactIvitiesorpracticesormaintainanyrelationshipswhichconflictinanywaywiththefullperformanceoftheLocalAgency’sobligationshereunder.TheLocalAgencyacknowledgesthatwithrespecttothisAgreementeventheappearanceofaconflictofinterestisharmfultotheState’sinterests.AbsenttheState’spriorwrittenapproval,theLocalAgencyshallrefrainfromanypractices,activitiesorrelationshipsthatreasonablyappeartobeinconflictwiththefullperformanceoftheLocalAgency’sobligationstotheStatehereunder.Ifaconflictorappearanceexists,orIttheLocalAgencyisuncertainwhetheraconflictortheappearanceofaconflictofinterestexists,theLocalAgencyshallsubmittotheStateadisclosurestatementsettingforththerelevantdetaitsfortheState’sconsIderation.FailuretopromptlysubmitadisclosurestatementortofollowtheState’sdirectioninregardtotheapparentconflictconstitutesabreachofthisAgreement.14.REPRESENTATIONSANDWARRANTIESTheLocalAgencymakesthefollowingspecificrepresentationsandwarranties,eachofwhichwasreliedonbytheStateinenteringintothisAgreement.A.StandardandMannerofPerformanceTheLocalAgencyshallperformitsobligationshereunder,includinginaccordancewiththehighestprofessionalstandardofcare,skillanddiligenceandinthesequenceandmannersetforthinthisAgreement.B.LegalAuthority—TheLocalAgencyandtheLocalAgency’sSignatoryPage12of23 TheLocalAgencywarrantsthatitpossessesthelegalauthoritytoenterintothisAgreementandthatithastakenallactionsrequiredbyitsprocedures,by-laws,and/orapplicablelawstoexercisethatauthority,andtolawfullyauthorizeitsundersignedsignatorytoexecutethisAgreement,oranypartthereof,andtobindtheLocalAgencytoitsterms.IfrequestedbytheState,theLocalAgencyshallprovidetheStatewithproofoftheLocalAgency’sauthoritytoenterintothisAgreementwithin15daysofreceivingsuchrequest.C.Licenses,Permits,Etc.TheLocalAgencyrepresentsandwarrantsthatasoftheEffectiveDateithas,andthatatalltimesduringthetermhereofitshallhave,atitssoleexpense,alllicenses,certifications,approvals,insurance,permits,andotherauthorizationrequiredbylawtoperformitsobligationshereunder.TheLocalAgencywarrantsthatitshallmaintainallnecessarylicenses,certifications,approvalsinsurance,permits,andotherauthorizationsrequitedtoproperlyperformthisAgreement,withoutreimbursementbytheStateorotheradjustmentinAgreementFunds.Additionally,allemployeesandagentsoftheLocalAgencyperformingServicesunderthisAgreementshallholdallrequiredlicensesorcertifications,ifany,toperformtheirresponsibilities.TheLocalAgency,ifaforeigncorporationorotherforeignentitytransactingbusinessintheStateofColorado,furtherwarrantsthatitcurrentlyhasobtainedandshallmaintainanyapplicablecertificateofauthoritytotransactbusinessintheStateofColoradoandhasdesignatedaregisteredagentinColoradotoacceptserviceofprocess.Anyrevocation,withdrawalornon-renewaloflicenses,certifications,approvals,insurance,permitsoranysuchsimilarrequirementsnecessaryfortheLocalAgencytoproperlyperformthetermsofthisAgreementshallbedeemedtobeamaterialbreachbytheLocalAgencyandconstitutegroundsforterminationofthisAgreement.15.INSURANCETheLocalAgencyanditscontractorsshallobtainandmaintaininsuranceasspecifiedinthissectionatalltimesduringthetermofthisAgreement:AllpoliciesevidencingtheinsurancecoveragerequiredhereundershallbeissuedbyinsurancecompaniessatisfactorytotheLocalAgencyandtheState.A.TheLocalAgencyI.PublicEntitiesIftheLocalAgencyisa“publicentity”withinthemeaningoftheColoradoGovernmentalImmunityAct,CRS§241O-1O1,etseq.,asamended(the“GIA’),thentheLocalAgencyshallmaintainatalltimesduringthetermofthisAgreementsuchliabilityinsurance,bycommercialpolicyorself-insurance,asisnecessarytomeetitsliabilitiesundertheGIA.TheLocalAgencyshallshowproofofsuchinsurancesatisfactorytotheState,ifrequestedbytheState.TheLocalAgencyshallrequireeachAgreementwiththeirConsultantandContractor,thatareprovidingGoodsorServiceshereunder,toincludetheinsurancerequirementsnecessarytomeetConsultantorContractorliabilitiesundertheGIA.ii.Non-PublicEntitieslitheLocalAgencyisnota“publicentity”withinthemeaningoftheGovernmentalImmunityAct,theLocalAgencyshallobtainandmaintainduringthetermofthisAgreementinsurancecoverageandpoliciesmeetingthesamerequirementssetforthin§15(B)withrespecttosub-contractorsthatarenot“publicentities”.B.ContractorsTheLocalAgencyshallrequireeachcontractwithContractors,Subcontractors,orConsultants,otherthanthosethatarepublicentities,providingGoodsorServicesinconnectionwiththisAgreement,toincludeInsurancerequirementssubstantiallysimilartothefollowing:I.Worker’sCompensationWorker’sCompensationInsuranceasrequiredbyStatestatute,andEmployer’sLiabilityInsurancecoveringalloftheLocalAgency’sContractors,Subcontractors,orConsultant’semployeesactingwithinthecourseandscopeoftheiremployment.ii.GeneralLiabilityPago13of23 CommercialGeneralLiabilityInsurancewrittenonISOoccurrenceformCO000110193orequivalent,coveringpremisesoperations,firedamage,independentcontractors,productsandcompletedoperations,blanketliability,personalinjury,andadvertisingliabilitywithminimumlimitsasfollows:(a)$1,000,000eachoccurrence;(b)$1,000,000generalaggregate;(c)$1,000,000productsandcompletedoperationsaggregate;and(d)$50,000anyonefire.Ifanyaggregatelimitisreducedbelow$1,000,000becauseofclaimsmadeorpaid,contractors,subcontractors,andconsultantsshallimmediatelyobtainadditionalinsurancetorestorethefullaggregatelimitandfurnishtotheLocalAgencyacertificateorotherdocumentsatisfactorytotheLocalAgencyshowingcompliancewiththisprovision.iii.AutomobileLiabilityAutomoblleLiabilityInsurancecoveringanyauto(includingowned,hiredandnon-ownedautos)withaminimumlimitof$1,000,000eachaccidentcombinedsinglelimit.lv.AdditionalinsuredTheLocalAgencyandtheStateshallbenamedasadditionalinsuredontheCommercialGeneralLiabilitypolicies(leasesandconstructioncontractsrequireadditionalinsuredcoverageforcompletedoperationsonendorsementsCG201011185,CO2037,orequivalent).v.PrimacyofCoveragecoveragerequiredoftheConsultantsorContractorsshallbeprimaryoveranyinsuranceorself-insuranceprogramcarriedbytheLocalAgencyortheState.vi.CancellationTheaboveinsurancepoliciesshallincludeprovisionspreventingcancellationornon-renewalwithoutatleast45dayspriornoticetotheLocalAgencyandtheStatebycertifiedmail.vii.SubrogationWaiverAllinsurancepoliciesinanywayrelatedtothisAgreementandsecuredandmaintainedbytheLocalAgency’sConsultantsorContractorsasrequiredhereinshallincludeclausesstatingthateachcarriershallwaiveallrightsofrecovery,undersubrogationorotherwise,againsttheLocalAgencyortheState,itsagencies,institutions,organizations,officers,agents,employees,andvolunteers.C.CertificatesTheLocalAgencyandallContractors,subcontractors,orConsultantsshallprovidecertificatesshowinginsurancecoveragerequitedhereundertotheStatewithinsevenbusinessdaysoftheEffectiveDateofthisAgreement.Nolaterthan15dayspriortotheexpirationdateofanysuchcoverage,theLocalAgencyandeachcontractor,subcontractor,orconsultantshalldelivertotheStateortheLocalAgencycertificatesofinsuranceevidencingrenewalsthereof.Inaddition,uponrequestbytheStateatanyothertimeduringthetermofthisAgreementoranysubcontract,theLocalAgencyandeachcontractor,subcontractor,orconsultantshall,within10daysofsuchrequest,supplytotheStateevidencesatisfactorytotheStateofcompliancewiththeprovisionsofthis§15.16.DEFAULT-BREACHA.DefinedInadditiontoanybreachesspecifiedinothersectionsofthisAgreement,thefailureofeitherPartytoperformanyofitsmaterialobligationshereunderinwholeorinpartorinatimetyorsatisfactorymannerconstitutesabreach.B.NoticeandCurePeriodIntheeventofabreach,noticeofsuchshallbegivenhiwritingbytheaggrievedPartytotheotherPartyinthemannerprovidedin§18.Ifsuchbreachisnotcuredwithin30daysofreceiptofwrittennotice,orifacurecannotbecompletedwithin30days,orifcureofthebreachhasnotbegunwithin30daysandpursuedwithduediligence,theStatemayexerciseanyoftheremediessetforthin§17.Notwithstandinganythingtothecontraryherein,theState,initssolediscretion,neednotprovideadvancenoticeoracureperiodndmayimmediatelyterminatePage14of23 thisAgreementinwholeorinpartIfreasonablynecessarytopreservepublicsafetyortopreventimmediatepubliccrisis.17.REMEDIESIftheLocalAgencyIsinbreachunderanyprovisionofthisAgreement,theStateshalthavealloftheremediesListedinthis§17inadditiontoallotherremediessetforthinothersectionsofthisAgreementfollowingthenoticeandcureperiodsetforthin§16(B).TheStatemayexerciseanyoralloftheremediesavailabletoit,initssolediscretion,concurrentlyorconsecutively.A.TerminationforCauseandIorbreachIftheLobalAgencyfailstoperformanyofitsobligationshereunderwithsuchUiltgenceasisrequiredtoensureitscompletioninaccordancewiththeprovisionsofthisAgreementandinatimelymanner,theStatemaynotifytheLocalAgencyofsuchnon-performanceinaccordancewiththeprovisionsherein.IftheLocalAgencythereafterfailstopromptlycutesuchnon-performancewithinthecureperiod,theState,atitsoption,mayterminatethisentireAgreementorsuchpartofthisAgreementastowhichtherehasbeendelayorafailuretoproperlypetforrn.ExercisebytheStateofthisrightshallnotbedeemedabreachofItsobligationshereunder.TheLocalAgencyshallcontinueperformanceofthisAgreementtotheextentnotterminated,ifany.1.ObligationsandRightsTotheextentspecifiedinanyterminationnotice,theLocalAgencyshallnotincurfurtherobligationsorrenderfurtherperformancehereunderpasttheeffectivedateofsuchnotice,andshallterminateoutstandingordersandsub-Agreementswiththirdparties.However,theLocalAgencyshallcompleteanddelivertotheStateallWork,ServicesandGoodsnotcancelledbytheterminationnoticeandmayincurobligationsasarenecessarytodosowithinthisAgreement’sterms.AtthesolediscretionoftheState,theLocalAgencyshallassigntotheStatealloftheLocalAgency’sright,title,andinterestundersuchterminatedordersorsub-Agreements.Upontermination,theLocalAgencyshalltaketimely,reasonableandnecessaryactiontoprotectandpreservepropertyinthepossessionoftheLocalAgencyinwhichtheStatehasaninterest.AllmaterialsownedbytheStateinthepossessionoftheLocalAgencyshallbeimmediatelyreturnedtotheState.AllWorkProduct,attheoptionoftheState,shallbedeliveredbytheLocalAgencytotheStateandshallbecometheState’sproperty.2.PaymentsTheStateshallreimbursetheLocalAgencyonlyforacceptedperformancereceiveduptothedateoftermination.Jf,afterterminationbytheState,itisdeterminedthattheLocalAgencywasnotindefaultorthattheLocalAgency’sactionorinactionwasexcusable,suchterminationshallbetreatedasaterminationinthepublicinterestandtherightsandobligationsofthePartiesshallbethesameasifthisAgreementhadbeenterminatedinthepublicinterest,asdescribedherein.3.DamagesandWitholdingNotwithstandinganyotherremedialactionbytheState,theLocalAgencyalsoshallremainliabletotheStateforanydamagessustainedbytheStatebyvirtueofanybreachunderthisAgreementbytheLocalAgencyandtheStatemaywithholdanypaymenttotheLodalAgencyforthepurposeofmitigatingtheState’sdamages,untilsuchtimeastheexactamountofdamagesduetotheStatefromtheLocalAgencyisdetermined.TheStatemaywithholdanyamountthatmaybeduetotheLocalAgencyastheStatedeemsnecessarytoprotecttheState,includinglossasaresultofoutstandingliensorclaimsofformerlienholders,ortoreimbursetheStatefortheexcesscostsincurredinprocuringsimilargoodsorservices.TheLocalAgencyshallbeliableforexcesscostsincurredbytheStateinprocuringfromthirdpartiesreplacementWork,ServicesorsubstituteGoodsascover.B.EarlyTerminationinthePublicInterestTheStateisenteringintothisAgreementforthepurposeofdarryingoutthepublicpolicyoftheStateofColorado,asdeterminedbyitsGovernor,GeneralAssembly,and/orCourts.IfthisAgreementceasestofurtherthepublicpolicyoftheState,theState,initssolediscretion,mayPage15of23 terminatethisAgreementinwholeorinpart.ExercisebytheStateofthisrightshallnotconstituteabreachoftheState’sobligationshereunder.ThissubsectionshallnotapplytoaterminationofthisAgreementbytheStateforcauseorbreachbytheLocalAgency,whichshallbegovernedby§17(A)orasotherwisespecificallyprovidedforherein.i.MethodandContentTheStateshallnotifytheLocalAgencyoftheterminationinaccordancewith§18,specifyingtheeffectivedateoftheterminationandwhetheritaffectsalloraportionofthisAgreement.ObligationsandRightsUponreceiptofaterminationnotice,theLocalAgencyshallbesubjecttoandcomplywiththesameobligationsandrightssetforthin§17fA)(i).PaymentsIfthisAgreementisterminatedbytheStatepursuanttothis§17fB),theLocalAgencyshallbepaidanamountwhichbearsthesameratiotothetotalreimbursementunderthisAgreementastheServicessatisfactorilyperformedbeartothetotalServicescoveredbythisAgreement,lesspaymentspreviouslymade.Additionally,ifthisAgreementislessthan60%completed,theStatemayreimbursetheLocalAgencyforaportionofactualout-of-pocketexpenses(nototherwisereimbursedunderthisAgreen,ent)incurredbytheLocalAgencywhicharedirectlyattributabletotheuncompletedportionoftheLocalAgency’sobligationshereunder;providedthatthesumofanyandallreimbursementshallnotexceedthemaximumamountpayabletotheLocalAgencyhereunder.C.RemediesNotInvolvingTerminationTheState,itssolediscretion,mayexerciseoneormoreofthefollowingremediesinadditiontootherremediesavailabletoit:i.SuspendPerformanceSuspendtheLocalAgency’sperformancewithrespecttoalloranyportionofthisAgreementVpendingnecessarycorrectiveactionasspecifiedbytheStatewithoutentitlingtheLocalAgencytoanadjustmentinprice/costorperformanceschedule.TheLocalAgencyshallpromptlyceaseperformanceandincurringcostsinaccordancewiththeState’sdirectiveandVtheStateshallnotbeliableforcostsincurredbytheLocalAgencyafterthesuspensionofperformanceunderthtsprovision.WitholdPaymentWithholdpaymenttotheLocalAgencyuntilcorrectionsintheLocalAgency’sperformancearesatisfactorilymadeandcompleted.DenyPaymentDenypaymentforthoseobligationsnotperformedthatduetotheLocalAgency’sactionsorinactionscannotbeperformedor,ifperformed,wouldbeofnovaluetotheState;providedthatanydenialofpaymentshallbereasonablyrelatedtothevaluetotheStateoftheobligationsnotperformed.VVRemovatDemandremovalofanyoftheLocalAgency’semployees,agents,orcontractorswhomtheStatedeemsincompetent,öareless,insubordinate,unsuitable,orotherwiseunacceptable,orwhosecontinuedrelationtothisAgreementisdeemedtobecontrarytothepublicinterestornotintheState’sbestinterest.IntellectualPropertyIftheLocalAgencyinfringesonapatent,copyright,trademark,tradesecretorotherintellectualpropertyrightwhileperformingitsobligationsunderthisAgreement,theLocalAgencyshall,attheState’soption(a)obtainfortheStateortheLocalAgencytherighttousesuchproductsandservices;(b)replaceanyGoods,Services,orotherproductinvolvedwithnon-infringingproductsormodifythemsothattheybecomenon-infringing;or,(c)ifneitheroftheforgegoingalternativesarereasonablyavailable,removeanyinfringingGoods,Services,orproductsandrefundthepricepaidthereforetotheState.18.NOTICESandREPRESENTATIVESVPage16of23 VI.SURLErTINGORASSIGNINGTHECONTRACTThisprovisionisappilcabietoallFederal-aidconstructioncontractsontheNationalHighwaySystem.ThecontractorshallperformwithItsownorganizationcontractworkamountingtonotlessthan30percent(oragreaterpercentageIfspecilledelsewhereInthecontract)ofthetotaloriginalcontractprice,excludinganyspaealtyitemsdesignatedbythecontractingagency.Specialtyitemsmayheperformedbysubcontractandtheamountofanysuchspecialtyitemsperformedmaybedeductedfromthetotaloriginalcontractpricebeforecomputingtheamountofworkrequiredtobeperformedbythecontractor’sownorganization{23CFR635.116).a.Theterm‘performWorkwithItsownorganization’referstoworkersemployedorleasedbytheprimecontractor,andequipmentownedorrentedbytheprimecontractor,wIthorwithoutoperators.SuchtermdoesnotIncludeemployeesorequipmentofasubcontractororlowertiersubcontractor,agchtsoftheprimecontractor,oranyotherassignees.TheleonmayIncludepayments(orthecostsofhiringleasedemployeesfromanemployeeleasingfirmmeetingallrelevantFederalandStateregulatoryrequirements.LeasedemployeesmayonlybeIncludedInthistermlitheprimecontractormeetsallofthefollowingconditions:(1)theprimecontractormaintainscontroloverthesupervisionoftheday-lo.dayactivitiesoftheleasedemployees;(2)theprimecontractorremainsresponsibleforthequalityoftheworkoftheleasedemployees;(3)theprimecontractorretainsattpowertoacceptorexcludeIndividualemployeesfromworkontheproject;and(4)theprimecontractorremaInsultimatelyrespànstbleforthepa>wrentofpredeterminedminlmurniwages,thesubmissionofpayrolls,statementsofcomplianceandallotherFederalregulatoryrequirements.b.“SpecialtyItems’shallbeconstruedtobelimitedtoworkIhatrequireshighlyspecializedknowledge,abilities,orequipmentnotordinarilyavailableInthetypeIcontractingorganicationsqualifiedandexpectedtobidorproposeonthecontractasawholeandIngeneralaretobelimitedtominorcomponentsoftheoverallcontract.2.Thecontractamountuponwi-richtherequirementsSetforthInparagraph(1)ofSectIonVIIscomputedincludesthecostofmaterialandmanufacturedproductswhicharetobepurchasedorproducedbythecontractorunderthecontractprovisions.3Thecontractorshallfurnish(a)acompetentsuperinlendentorsupervisorwhoisemployedbythefirm,haslullauthoritytodIrectperformanceoftheworkInaccordancewiththecontractrequirements,andIsinchargeofallconslaiclionoperations(regardlessofwhoperformsthework)and(b)suchotherofitsownorganizationalresourcestsupeMsion,management,andengineeringservtces)asthecontractingofficerdeterminesIsnecessarytoassuretheperformanceofthecontract4.Noportionofthecontractshallbesublet,assignedorotherwisedisposedofexceptwiththewrittenconsentofthecontractingofficer,orauthorizedrepresentative,andsuchconsentwhengivenshallnotbeconstruedtorelievethecontractorofanyresponsibilityforthefulfillmentofthecontract.WrittenconsentwillbegivenoniyafterthecontractingagencyhasassuredthateachsubcontractisevidencedInveilingandthatitcontainsallpertinentprovisIonsandrequiemantsoftheprimecontract.5.The30%self-performancerequirementofparagraph(1)Isnotapplicabletodeslgn-buildcontracts;however,contractingagenciesmayestablishtheirownself-performancerequirements.VII.SAFETY:ACCIDENTPREVENTION7hisprovi$1onisapplicabletoallFederal-aidconstructioncontractsandtoallrelatedsuhcontracls.1IntheperformanceofthiscontractthecontractorshallcomplywithallapplicableFederal,State,andlocallawsgoverningsafety,health,andsanitatIon(23CFR635).Thecontractorshallprovideallsafeguards,safetydevicesandprotectiveequipmentandtakeanyotherneededactionsasitdetermines,orasthecontractingofficermaydetermine,tobereasonablynecessarytoprotectthelifeandhealthofemployeesonthejobandthesafetyofthepublIcandtoprotectpropertyInconnectionwiththeperformanceoftheworkcoveredbythecontract.2.ItIsacondullonofthiscontract,andshallbemadeacondItionofeachsubcontract,whichthecontractorentersintopursuanttothiscontract,thatthecontractorandanysubcontractorshailnotpermitanyemployee,inperformanceofthecontract,toworkinsurroundingsorunderconditionsvAnishareunsanItary,hazardousordangeroustohlsTherhealthorsafety,asdeterminedunderconstructionsafetyandhealthstandards(29CFR1926)promulgatedbytheSeoretaryofLabor,InaccordancewithSection107oftheContractWork[foursandSafetyStandardsAct(40U.S.C.3704).3.Pursuantlo29CFR1926.3,ftisaconditionotthiscontractthattheSecretaryofLabororauthorizedrepresentativethereof,shallhaverightofentrytoanysiteofcontractperformancetoinspectorinvestigatethemalletofcompliancewiththeconstructionsafetyandhealthstandardsandtocarryoutthedutiesoftheSecretoryunderSection107oftheContractWorkHoursandSafetyStandardsAct(40U.S.C.3704).-Vill.FALSESTATEMENTSCONCERNINGHIGHWAYPROJECTSIhisproviSionisapplicabtetoallFederal-aidconstructioncontractsantitoallrelatedsuboontracts.Inordertoassurehighqualityanddurableconstructioninconformitywilhapprovedplansandspecificationsandahighdegreeofreliabilityonstatementsandrepresentationsmadebyengineers,contractors,suppliers,andworkersonFederal-aidhIghwayprojects,itIsessentialthatallpersonsconcernedwiththeprojectperformtheirfunctlonascarefully,thoroughly,andhonestlyaspossible.Willfulfalsification,distortion,ormisrepresentationwithrespecttoanyfactsrelatedtotireprojectisaviolationofFederallaw.Topreventanymisunderstandingregardingtheseriousnessoftheseandsimilaracts,FormFHWA-1022shallbepostedoneachFederal-aIdhighwayproject(23CFR635)InoneormoreplaceswhereItIsreadilyavatlablotoallpersonsconcernedwiththeproject:18U.S.C.1020readsasfollows:a
