EnterprisesFOURTHAMENDMENTTOAGREEMENTBETWEENEAGLECOUNTY,COLORADOANDVAILHONEYWAGONENTERPRISES,LLCTHISFOURTHAMENDMENT(“FourthAmendment”)iseffectiveasofthe‘2ôdayof____________2016byandbetweenVailHoneywagonEnterprises,LLCaColoradolimitedliabilitycompany(hereinafter“Consultant”or“Contractor”)andEagleCounty,Colorado,abodycorporateandpolitic(hereinafter“County”).RECfALSWHEREAS,CountyandConsultantenteredintoanagreementdatedthe25”dayofFebruary,2014,forcertainServices(the“OriginalAgreement”);andWHEREAS,the OriginalAgreementwasenteredintowithMountainRoll-Otis,Inc.(“MRI”)andeffectiveasofJuly1,2016,MRIhasmergedwithVailHoneywagonEnterprises,LLC;andWHEREAS,thepartiesdesirebythisFourthAmendmenttoamendtheOriginalAgreementtoaccuratelyreflectthismergerandnamechange;andWHEREAS,byaFirstAmendmentdatedthe7thdayofOctober,2014,thetermoftheOriginalAgreementwasextendedtoDecember31,2015;andWHEREAS,byaSecondAmendmentdatedthe20”dayofJanuary,2015,thepartiesmodifiedthescopeofServicesandcompensationassetforthintheOriginalAgreement;andWHEREAS,bythisSecondAmendment,theAvonsite(defmedbelow),oneofthedrop-offcollectionsiteslistedinExhibitAtotheOriginalAgreement,wasremovedfromtheContractor’sscopeofServicesandthepartiesnowdesiretoaddtheAvonsitebacktotheContractor’sscopeofServices;andWHEREAS,byaThirdAmendmentdatedthe8IhdayofDecember,2015,thetentoftheOriginalAgreementwasextendedtoDecember31,2016;andWHEREAS,thetermoftheOriginalAgreementexpiresonthe3l’dayofDecember,2016andthepartiesdesiretoextendthetermoftheOriginalAgreementforanadditionalyear;andWHEREAS,theOriginalAgreementcontemplatedthattheContractorwouldperformcertainServiceswiththecompensationinanamountnottoexceed$165,540.00andthepartiesdesiretoamendthecompensationtoincorporateamaximumofthreepercent(3%)priceincrease.FOURTHAMENVMENTNOWTHEREFORE,inconsiderationoftheforegoingandthemutualrightsandobligationsassetforthbelow,thepartiesagreeasfollows:APPROVi9mAsrnFORMBy:_.27tziDfficoBy:_______—EaglecountyCommissioners’OfficeC16-475 TheOriginalAgreementshallbeamendedtoextendthetermtothe31StdayofDecember,2017.2.TheOriginalAgreementshallbeamendedtoreflectthenamechangeofMountainRoll-OffsInc.toVailHoneywagonEnterprises,LLCasevidencedinthemergerletterattachedheretoasExhibitDandincorporatedhereinbyreference.3.TheOriginalAgreementshallbeamendedtoincludeanadditionalrecycledmaterialsdrop-offcollectionsitelocatedinAvon,Colorado(the“Avonsite”).ThepartiesherebyagreetoincludetheAvonsiteaspartofContractor’sscopeofServicesdescribedinSection1oftheOriginalAgreement.4.ExhibitAtotheOriginalAgreementshallbeamendedtoreadasfollows:“EXHIBITA:Drop—offCollectionCenters1.Avon:NottinghamRanchRoad,acrossfromthechurch2.Edwards:CDOTRestAreanear1-70Exit1633.Eagle:1050ChambersAvenue,nexttotheTownofEaglePublicWorksFacility4.Gypsum:NorthwestcorneroftheColumbineMarketparkinglot5.RedCliff:CommunityCenter,400PineStreet”5.ThecompensationfortheServicessetforthintheOriginalAgreementshallnotexceed$170,506.20toaccommodateamaximumpriceincreaseofthreepercent(3%)for2017.6.CapitalizedtermsinthisFourthAmendmentwillhavethesamemeaningasintheOriginalAgreement.TotheextentthatthetermsandprovisionsoftheFourthAmendmentconflictwith,modi&orsupplementportionsoftheOriginalAgreement,thetermsandprovisionscontainedinthisFourthAmendmentshallgovernandcontroltherightsandobligationsoftheparties.7.Exceptasexpresslyaltered,modifiedandchangedinthisFourthAmendment,alltermsandprovisionsoftheOriginalAgreementshallremaininfullforceandeffect,andareherebyratifiedandconfirmedinallrespectsasofthedatehereof.8.ThisFourthAmendmentshallbebindingonthepartieshereto,theirheirs,executors,successors,andassigns.[RestofPageIntentionallyLeftBlank]2EagleCountyAmendmentExtTermFina!5:14
