Home My WebLink AboutC16-474 Town of Minturn Dowd Junction IGAAMENDMENTTOINTERGOVERNMENTALAGREEMENTBETWEENTHETOWNOfMINTURNANDEAGLECOUNTY,COLORADOCONCERNINGTHEDOWDJUNCTIONTOMNTURNSEGMENTOFTHEEAGLEVALLEYTRAILTHISAMENDMENT(“Amendment”)iseffectiveasofthe‘7Odayof_irE,1t,l2016,byandbetweentheTownofMinturn,aColoradomunicipalcorporation,(hereinafier“Town”)andEagleCounty,abodycorporateandpoliticofthestateofColorado(hereinafier“County”).CollectivelytheTownandCountyshallbereferredtoasthe“Parties”.RECITALSWHEREAS,C.R.S.29-20-101et.seq.,encouragesintergovernmentalagreementsthroughwhichlocalgovernments cooperateandparticipateinjointprojects;andWHEREAS,CountyandTownenteredintoanIntergovernmentalAgreementdatedOctober27,2015(“201510K’)forpurposesofCountyprovidingTownwithfundingforconceptandpreliminaryengineeringsurvey,designandstudiesoftheProject;andWHEREAS,theProjectrequiresassemblingapublicright-of-wayforpurposesoftrailconstructionandownersofsaidproperty,whoincludeUnitedStatesforestService,StateLandBoard,EagleCountyandUnionPacificRailroadwillormayrequitevariousstudiesandplanningpriortorightof-wayapprovals,andWHEREAS,theTownhadanticipatedthattheUnitedStatesForestServicewouldperformsomeoftherequiredenvironmentalandculturalstudiesrelatedtothetrailright-of-wayrequest,butstaffresourcesnowpreventprovisionofthoseservices;andWHEREAS,Townisinneedofthosestudiesinordertoproceedwiththeplanning,permittinganddesignoftheProject,andadditionalfundingisrequiredtoperformthenecessarystudies,TownhasmadearequestforfundingfromtheECOTrailstrailengineeringdesignfunds,subjecttoapprovalbytheBoardofCountyCommissioners,andWHEREAS,therearenotsufficientfundsremainingintheoriginalgrantof$63,000.00forsurvey,design,permitting,andstudiestoaccommodatethisunanticipatedbutunavoidablecost,andWHEREAS,thePartiesfurtherdesiretoextendthetermofthe2015IGAandallowforfutureextensionsassetforthherein.AMENDMENTNOWTHEREFORE,inconsiderationoftheforegoingandthemutualtightsandobligationsassetforthbelow,thePartiesagreeasfollows:ne/sOñIceramssicnersOffice—C16-474 Paragraph2.1PROJECTFUNDINGassetforthinthe2015IGAisherebysupplementedandamendedbytheadditionofthefollowingsentenceattheendofparagraph2.1:“ThePartiesagreethatTownmadearequestfor$7,000.00ofadditionalfundstotheCountyin2016foraProjecttotalof$70,000tobefundedbytheCounty,tosupplementtheoriginalgrantoffundstoallowthefollowingstudiestobecompleted:a.ArchaeologicalandPaleontologicalClass1Studies,meetingFederalstandardsb.BiologicAssessmentandBiologicEvaluation,meetingFederalstandardsThe$7,000.00ofunallocatedfundsareavailableintheCounty’s“TownGrants”lineiteminthe2016approvedbudget.”2.Paragraph5.1ofthe2015IGAisherebyamendedandrestatedtoreadasfollows:“5.1ThisAgreementwillbeeffectiveasofthedayandyearfirstsetforthaboveandwillterminateonDecember31,2017.ThisAgreementshallautomaticallyrenewforoneyearterms(December31ofeachsucceedingyear)untilDecember31,2020unlessearlierterminatedassetforthherein.”3.CapitalizedtermsinthisAmendmentwillhavethesamemeaningasinthe2015IGA.TotheextentthatthetermsandprovisionsoftheAmendmentconflictwith,modifyorsupplementportionsofthe2015IGA,thetermsandprovisionscontainedinthisAmendmentshallgovernandcontroltherightsandobligationsoftheParties.4.Exceptasexpresslyaltered,modifiedandchangedinthisAmendment,alltermsandprovisionsofthe2015IGAshallremaininfullforceandeffect,andareherebyratifiedandconfirmedinallrespectsasofthedatehereof.5.ThisAmendmentshallbebindingonthePartieshereto,theirheirs,executors,successors,andassigns.INWITNESSWHEREOF,thePartiesheretohaveexecutedthisAmendmentthedayandyearfirstabovewritten.COUNTYOfEAGLE,STATEOfCOLORADO,ByandThroughItsBOARDOFCOUNTYCOMMISSIONERS P%uuqJe1neMcQueeneyjkTOWNOFMINTURNJayBrunvand,TownClerkBy:Mati$rr,ayorAttest:
