THEINTERGOVERNMENTALAGREEMENTBETWEENTOWNOFEAGLEANDEAGLECOUNTYREGARDINGDESIGN,LEASE,ANDUSEOFTHEFUTUREEAGLERIVERPARKTHISSECONDAMENDMENTtotheIntergovernmentalAgreementbetweentheTownofEagleandEagleCountyregardingDesign, LeaseandUseofthefutureEagleRiverParkismadeandenteredintothisdayofDecember,2016,betweentheTownofEagle,apoliticalsubdivisionoftheStateofColorado,byandthroughitsBoardofTrustees(hereinafterthe“Town”),andEagleCounty,abodycorporateandpolitic,byandthroughitsBoardofCountyCommissioners(hereinafter referredtoas“County”).Together,theTownandtheCountyarereferredtohereinasthe“Parties.”WHEREAS,TownandCountyenteredintoanAgreementdatedJune23,2015(“OriginalAgreement”)settingforththeParties’intenttocooperateineffortstoachieveacarefully-planneddesignforthefuture EagleRiverPark,whichwillincludein-streamwhitewaterfeaturesandnon-in-stream constructionofarecreationarea(hereinafterthe“Park”);andWHEREAS,by FirstAmendmentthePartiesextendedthetermoftheOriginalAgreementthroughDecember31,2016,withautomaticrenewalforthree(3)consecutiveone-yeartermsunless soonerterminatedbyeitherParty;andWHEREAS,inaccordance withtheOriginalAgreement,theTown issuedaRequestforProposalsforaprofessional parkdesignconsultant(the“RfP”)fordesignofnon-in-streamfeaturesoftheParkandintendstonegotiateacontract withthesuccessful respondenttotheRFPfordesignofthenon-in-streamfeaturesofthePark; andWHEREAS,thedesignoftheParkwill includelandownedby Eagle Countyandlocated withinunincorporatedEagleCounty(the “EagleCountyProperty”)andalsowillinclude land ownedbytheTownorthirdpartiesthatislocatedwithinthemunicipal boundariesoftheTownofEagle;andWHEREAS,theCountyhasalreadycontributed$25,000(byreimbursement)tofunddesignofin-streamfeaturesofthe Park,withtheTownofEaglesecuring additionalfundingfortheremainingdesignfeatures from othersources;andWHEREAS,pursuanttoC.R.S.§30-28-110,becausesomeorallofthePark(includinganyimprovementscontained therein)willbelocatedwithinunincorporatedEagleCounty,theextentandlocationofsuchParkandimprovementsmustbesubmittedtoandapprovedbytheEagleCountyPlanning Commission(“ECPC”)and thePartiesdesireto setforththeexpectationfortimingofsuchsubmittal;andWHEREAS,anyin-stream workthatmaybenecessarytoaccomplishthedesignoftheParkmustbepermittedbytheU.S.ArmyCorpsofEngineers(“USACE”) desiretodesignatetheTownofEagleasresponsibleformakingsuchapplications,securingsuchpermitsandcomplyingwithanyrelatedconditionsforconstructionofthePark;andWHEREAS,non-in-streamworkthatmaybenecessarytoaccomplishthedesignoftheParkwouldbesubjecttoeitherTownorCountylanduseregulationsanddevelopmentstandards;andWHEREAS,theadministrativeprocessingofdevelopmentapplicationsbytwoseparatejurisdictionsforthedevelopmentofasingleParkwouldbeinefficientandcouldcauseunnecessarydelay;andWHEREAS,theEagleCountyBoardofCountyCommissionershasbeenadvisedbystaff,assetforthinthememorandumattachedheretoasExhibitA,thattheTownofEagleLandUseRegulationsandotherdevelopmentstandardsapplicabletodesign,constructionanduseoftheParkarecompatiblewithapplicableEagleCountyLandUseRegulationsandotherdevelopmentstandards;andWHEREAS,forthesereasons,theBoardofCountyCommissionersdeemsitmostefficientfortheTowntoapplyforallin-steampermittingthroughUSACEandfortheTowntoapplyitsownLandUseRegulationsandotherdevelopmentstandardstothedesign,constructionanduseofthenon-in-streamaspectsofthePark;andWHEREAS,thePartiesdesire,bythisSecondAmendment,tofurtherdefineandclarifytheirrespectiverolesandresponsibilitiesinthedesignandapprovalprocessesrelevanttotheplanning,constructionanduseoftheParkinaccordancewiththerecitals,whichareincorporatedherein.WHEREAS,thisAgreementisauthorizedbyC.R.S.§29-1-203,whichallowsgovernmentstocooperateorcontractwithoneanothertoprovideanyfunction,serviceorfacilitylawfullyauthorizedtoeachofthecooperatingunits.NOWTHEREFORE,inconsiderationoftheobligationsandtermsexpressedintheOriginalAgreementandthisamendmentthereto,thePartiesagreetoamendtheOriginalAgreementasfollows:1.RevisionstoOriginalAgreement.Section1oftheOriginalAgreementisherebyamendedbytheadditionofthefollowinglanguage:1.ThePartiesagreethatCountyhasfulfilledaltfinancialobligationshereunderbyits$25,000contribittionforin-streamdesignwork.Section6oftheOriginalAgreementisherebydeletedinitsentiretyandreplacedbythefollowinglanguage:2 6.TheTownwillexploregrantfttndingtoassistindevelopmentofthePark.TheCountywillcooperatewithTowneffortstoobtaingrantfindingforthePark,butwillnottakeanactiveroteorresponsibilityforanyapplicationfor,orthereceiptorexpenditureofanysitchgrantfunds.TheCountyherebydelegatesauthoritytotheTowntoapplyforgrandfundingforParkdevelopmentonCounty-ownedpropertk’.II.AdditionstoOriginalAgreement.ThefollowingprovisionsareherebyaddedtotheOriginalAgreement:14.TheTownhascontractedwithaspecializeddesignconsultantforin-streamfeaturesoftheParkandTownwillselectaprofessionalparkdesignconsultantforthenon-in-streamfeaturesoftheParkuponcompletionofitsreviewofproposalsreceivedthroughitsRFPsolicitationprocessandwillnegotiateascopeofworkandcontractwiththeselectedconsultant(together,the“Designfirms”).TheTownshallbesolelyresponsibleformanagementofthecontractwith,monitoringperformanceofandmakingpaymentsundertheagreementtotheDesignFirms.15.TheTownwillcontinuewithpublicoutreacheffortsconcerningthedesignelementsforthefuturePark,includingbutnotlimitedtothehostingofpublicinputandreviewmeetingsandthefacilitationofmeetingsbetweentheDesignfirmsanddesignateddesignsteeringcommittees(the“DesignProcess”).TheTownshallbesolelyresponsibleforcostsassociatedwiththepublicoutreachprocessandultimateapprovalofthefinaldesignresultingfromtheDesignProcess.16.TheTownwillprovidethemostcurrentversionofdesigndocumentstotheEagleCountyBoardofCountyCommissioners(the“Board”)atthreeintervalsduringtheDesignProcesswhentheParkdesignisapproximately30%,60%and90%complete.17.TheTownwill,incollaborationwithEagleCountyPlanningStaffsolelyforthepurposeofensuringsufficiencyofitsapplication,submittotheEagleCountyPlanningCommission(“ECPC”)alocationandextentapplication,inaccordancewithC.R.S.§30-28-110,forreviewbytheECPCatthestageatwhichtheDesignProcessisapproximately60%complete.18.Totheextentnecessary,theCountyherebydelegatesadministrativeauthoritytotheTowntoobtainallnecessaryauthorizationsandpermitsfromtheUSACEforanyproposedin-streamworkforconstructioninaccordancewiththefinaldesignofthePark.TheTownshallberesponsibleforandassumethesolecostandexpenseassociatedwithprocessingUSACEpermitapplicationsandshallcomplywithallconditionsandrequirementsimposedbyUSACEforconstructionanduseofthePark.TheCountyalsodelegatesFEMAfloodplainPermitAdministrationtotheTownofEagle.19.TheCountyherebydelegatesadministrativeauthoritytotheTowntoprocessallpermittingandconstructionapprovalsforthenon-in-streamworkfortheParkunderapplicableTownofEaglelanduseregulationsanddevelopmentstandards.TheTownshallberesponsible,atitssolecostandexpense,forprocessingallnecessaryapplicationsandagreesthatallconstructionanddevelopmentattheParkwillcomplywiththeapplicableTownofEagleland3 useregulationsanddevelopmentstandards,includingbutnotlimitedto,buildingandgradingpermitapproval,stormwatermanagement,steamsetbackregulations,floodplainregulations,watersystemdesignregulationsanddrainageanderosioncontrolstandards.20.ThePartiesshallingoodfaithnegotiatealeaseoftheEagleCountyPropertytotheTowntobeexecutedpriortocommencinganyconstructionordevelopmentresultingfromtheDesignProcess.III.Miscellaneous21.ThePartiesagreethat,exceptasexpresslyaltered,modifiedandchangedbywrittenamendment,alltermsandprovisionsoftheOriginalAgreementshallremaininfullforceandeffect,andherebyareratifiedandconfirmedinallrespectsasofthedatehereof.22.IfanyconflictexistsbetweentheprovisionsofthisSecondAmendmentandtheOriginalAgreement,theprovisionsofthisSecondAmendmentshallcontrol.23.ThisSecondAmendmentshallbebindingonthepartieshereto,theirheirs,executors,successors,andassigns.INWITNESSWHEREOF,thepartieshaveexecutedthisSecondAmendmentonthedayandyearfirstabovewritten.TOWNOFEAGLEATTEST:By:________________________________By:AnneMcKibbn,MayorCOUNTYOFEAGLE,STATEOFCOLORADOByandThroughitsBoardofCountyATTEST:By:ReginaO’BrienClerktotheBoardofCountyCommissioners4 COMMUNITYDEVELOPMENTRobertNarracci970-328-8746CommunityDevelopmentDirectorFAX:970-328-7185bob.narraccieaglecounty.usww.eaglecounty.usMEMORANDUMTo:BoardofCountyCommissionersFrom:RobertNarracci,CommunityDevelopmentDirectorDate:November22,2016RE:EvaluationoftheTownofEagleLandUseRegulationsinComparisontotheEagleCountyLandUseRegulationsAsyouareaware,thepurposeofthisefforttocompareandcontrasttheTownofEagle’sregulationstotheCounty’sregulationsistoascertainwhethertheTown’scodeiscompatiblewiththeCounty’scodeandwhetherbothcodesareequivalentintermsofhealth,safetyandenvironmentalprotections.ThiscomparisonisnecessarytoaccommodateconstructionofthefutureEagleRiverParkandadjacentwhitewateramenity.TheproposedparkfacilitieswillimpactlandsthatarebothwithintheTown’sjurisdiction,aswellas,unincorporatedlands.ThisevaluationisforthatportionofthesubjectEagleRiverParkpropertythatisownedbyEagleCounty,andispresentlyunincorporated.TheTownofEaglewillbeconstructingandoperatingtheEagleRiverParkandadjacentwhitewateramenityonlandslocatedbothwithintheTownboundary,andoncontiguousunincorporatedlandownedbyEagleCounty.Forthepurposesoflanduseandregulatoryapprovals,themostpragmaticapproachistoapplyonesetoflanduseregulationstotheentiretyoftheEagleRiverParkandadjacentwhitewateramenity,eithertheTown’sregulationsortheCounty’sregulations.Inthisinstance,asexpressedbytheBoardofCountyCommissioners,itispossiblethatuponcompletionoftheEagleRiverParkandwhitewateramenityconstructionthesubjectpropertymaybeannexedintotheTown’sjurisdiction.Assuch,itmakesthemostsensetoapplytheTownofEagleLandUseRegulationstotheplanning,engineeringandconstructionfortheentiretyoftheEagleRiverParkandadjacentin-streamwhitewateramenity,throughanIntergovernmentalAgreementsettingforthpermissionfortheTowntoapplyitsregulationsonthesubjectunincorporatedproperty.ThisevaluationoftherespectiveTownandCountyregulationsisfocusedonthefollowingapplicablerequirementsandstandardsthatwouldbeappliedthroughouttheplanningandengineeringdesignworkfortheEagleRiverParkandadjacentin-streamwhitewateramenity:•TownofEagleDevelopmentPlansubmittalrequirementsarecompatiblewithEagleCounty’srequirements:ThesestandardsequatetoChapter2,Article5,Section5-210oftheEagleCountyLandUseRegulations;•TownofEagleDevelopmentPlanstandardsareequivalentormorestringentthanEagleCounty’srequirements:TheequivalentSiteDevelopmentStandardsarefoundinChapter2,Article4oftheEagleCountyLandUseRegulations.TheTowncodecontainsmuchmoreEagleCountyBuilding.500Broadway,P.O.Box850,Eagle,Colorado81631-0850COrrmJntyOeeIapn’.,nt rigorousstandardsfor‘lighting’and‘landscaping’.TheTowncodealsocontrolsarchitecturalstandards,whicharenon-existentintheEagleCountyLandUseRegulations;•TownofEagleSubdivisionregulationinregardstodrainageanderosioncontrolstandardsareequivalentormorestringentthantheCounty’srequirements:TheequivalentSiteDevelopmentStandardsarefoundinChapter2,Article4oftheEagleCountyLandUseRegulations.Additionally,asspecifiedintheTownofEagleRiverCorridorPlan,state-of-the-artstormwatermanagementisrequiredandisanexpectationthattheTown’sconsultantwilldesignstate-of-the-artstormwatermanagementplans.Further,theTowncodecontainsanentireSectionpertainingto‘Seeding’forrevegetationpurposes;nosuchequivalentsectionexistsintheEagleCountyLandUseRegulations.•TownofEagleZoningTableofUsesisequivalenttoormorestringentthantheCounty’s:BoththeTownandtheCountyregulationsallow‘Parks’asuses-by-right;however,theTownregulationscontainmuchgreaterregulatorycontrolsandguidanceforthedevelopmentof‘Parks’,thandoestheEagleCountyLandUseRegulation.•TownofEagleSupplementalRegulationsrelatedtosetbacksforstreams,clearvisionareas,fencesandwallsarecompatiblewiththeCounty’sregulations:TheequivalentReviewStandardsarefoundinChapter2,Article3oftheEagleCountyLandUseRegulations.TheTowncodeallowsaminimum50footstreamsetback,wherethecountyrequiresa75footstreamsetback;however,theTowncodecontainsa‘SupplementaryStreamSetbackRegulation’thatspecificallyallows,“Withinsuchlivestreamsetbackarea,undergroundutilitiesorpublicparkstructuresmaybeallowed”viatheTown’sSpecialUsePermitprocess.ThecountyregulationscontainsimilarlatitudetoreducethestreamsetbackthroughSpecialUsePermitapproval.Inthisinstance,any‘structures’thattheTownwouldpotentiallylocatewithinthelivestreamsetbackareawillbelimitedtoearthwork‘benching’,landscaping,footpaths,trails,spectatorviewingareasandagrandstaircaseforthewhitewateramenity.Itisimportanttonotethatallin-stream,riparian/wetlandworkwillbepermittedbytheArmyCorpsofEngineers.•TownofEagleRiverCorridorPlanrequiresstate-of-the-artstormwatermanagement,andisarequirementoftheTown’sengineeringconsultant.TheTownandCountystormwatermanagementregulationsarecompatible:TheequivalentSiteDevelopmentStandardsarefoundinChapter2,Article4oftheEagleCountyLandUseRegulations.Additionally,asspecifiedintheTownofEagleRiverCorridorPlan,state-of-the-artstormwatermanagementisrequiredandisanexpectationoftheTown’sconsultantRFP.•TownofEagleFloodplainRegulationsarecompatiblewiththeCounty’srequirements:BoththeTownandCountyRegulationscontainFloodplainRegulations;bothofwhicharepremisedupontherequirementsofFEMA.Assuch,anyfloodplainalterationordevelopmentrelatedtotheEagleRivetParkandin-streamwhitewateramenityshouldendupwiththesameresultutilizingtheTownfloodplainregulationsinlieuofthecountyfloodplainregulations.•TownofEagleWaterSystemDesignRegulationsaremorestringentthantheCounty:Asamunicipalitythatprovidespublicwaterservice,theTownregulationscontainanentireChapterpertainingto“WaterWorksSystem—Construction—GeneralProvisions”.NosuchequivalentdesignregulationsexistintheEagleCountyLandUseRegulations,asthecountyisnotawaterprovider.2 •TownofEagleSewerSystemDesignRegulationsaremorestringentthantheCounty:Asamunicipalitythatprovidespublicsewerservice,theTownregulationscontainanentireChapterpertainingto“WastewaterCollectionSystem-Generally”.NosuchequivalentdesignregulationsexistintheEagleCountyLandUseRegulations,asthecountyisnotaproviderofsewerservices.•TownofEagleSeedingrevegetationdetailsaremorestringentthantheCounty’s:TheTowncodecontainsanentireSectionpertainingto‘Seeding’forrevegetationpurposes(erosioncontrol);nosuchequivalentsectionexistsintheEagleCountyLandUseRegulations.•MattersofStateInterestarenotapplicable:TheTownofEaglehasnotinstituted1041Permittingpowers,whereasEagleCountydoeshave1041powersforMajorExtensionsofexistingdomesticwaterorwastewatertreatmentsystems.Inthisinstance,however;theonlyanticipatedextensionofdomesticwaterandwastewatertreatmentsysteminfrastructurewillbetoextendtheTown’swaterandsewerinfrastructuretoservethefuturerestroomfacilityfortheEagleRiverPark.ItisanticipatedthatthetotalamountofwaterneededandwastewatergeneratedfromthefuturerestroomfacilitywillbelessthanTen(10)EquivalentResidentialUnits,andassuchwouldbebelowthethresholdrequiring1041Permitreviewandapproval.Therefore,theCounty’s1041powerswouldnotbeimplicatedforthisproject.BasedupontheaboveassessmentofthepertinentportionsoftheTownofEagleLandUseRegulationsandtheEagleCountyLandUseRegulations,Ihavefoundthat,onthewhole,bothcodesarecompatibleandwouldprovideequalhealth,safetyandenvironmentalprotections.xc:BrentMcFall,CountyManagerBryanTreu,CountyAttorneyTomBoni,TownPlannerKevinSharkey,TownEngineerenc:CopiesoftheapplicableTownofEagleRegulations—Exhibit‘A’CopiesoftheapplicableEagleCàuntyRegulations—Exhibit‘B’3
