HomeMy WebLinkAboutC12-072 Hertz Rental Car LeaseCCLEASEThisLeaseAgreemnt(hereinatterreferredtoas“Lease”and/or“Agreement”)madeandenteredintothis‘jdayof(-i?U/Ji/,20UbetweenEagleCounty,StateofColorado,abodypoliticorganizedandexistingursuanttothelawsoftheStateofColorado(hereinafterreferredtoas“Landlord”)andTheHertzCorporation,aDelawarecorporation(hereinafterreferredtoas“Tenant”)whoseaddressis225BraeBoulevard,ParkRidge,NJ07656.WITNESSETH:WHEREAS,theLandlordnowownsandcontrolsandoperatestheEagleCountyAirport,(hereinafterreferredtoas“Airport”)locatedintheCountyofEagle,StateofColorado;andWHEREAS,theTenantdesirestoleaseanduseaportionofcertainlandfornewrentalmotor-vehicledeliveriesandtheparkingandstoringofoverflowrentalmotorvehicles;andWHEREAS,theLandlorddesirestoleasetoTenantaportionofthelandandgranttoTenantthenon-exclusiverighttouseaportionofthelandasmorefullydescribedherein.NOW,THEREFORE,forandinconsiderationoftherentsorsumsofmoneyhereinafteragreedtobepaidbytheTenantandifthecovenantsuponthepartoftheTenanttobekeptandperformedhereinafterexpressed,LandlordherebydemisesandleasesuntoTenant,aportionofthatcertainparceloflandlyingandbeingsituatedinEagleCounty,ColoradoandbeingmoreparticularlydescribedinExhibit“A”attachedhereto(hereinafterreferredtoasthe‘LeasedPremises/RentalSpace”orseparately“LeasedPremises”or“RentalSpace”).1.RentalSpace.Approximately65,340squarefeet,moreorless,oflandlocatedattheEagleCountyAirportashighlightedinExhibit“A.”2.Rent.TherentalfeefortheInitialLeaseTermshallbe$0.18persquarefoot(annualrateof$11,761.20,monthlyrateof$980.10,anddailyrateof$32.13).Therefore,rentfortheInitialLeaseTermshallbe$5,333.58($32.13x166days)andhalfshallbepayableonorbeforeDecember31,2011andthesecondhalfonorbeforeFebruary1,2012.3.InitialLeaseTerm.TheInitialLeaseTermsareasfollows:a.TheLeaseherebygrantedshallbecomeeffectiveNovember1,2011andshallcontinueineffectuptoandincludingApril15,2012(hereinafterreferredtoas“InitialLeaseTerm”). ClCb.AttheendoftheInitialLeaseTerm,theTenanthastheoptiontoextendtheLeaseonamonthbymonthbasisaftertheInitialLeaseTermhasendedataflatrateof$980.10permonthbysendingwrittennoticetotheLandlordofitsintentiontoextendtheLease,atleasttendayspriortotheendoftheInitialLeaseTerm.LandlordmayterminatesuchmonthtomonthtenancyatanytimeaftertheInitialLeaseTermbysendingtheTenantthirty(30)dayspriorwrittennoticeofitsintenttoterminate.Theoptiontoextendmayonlybeexercisedforsix(6)monthsandthisLeasewillnotbeextendedbeyondOctober15,2012.c.Notwithstandinganythingcontainedhereintothecontrary,LandlordmayterminatethisLeaseatanytimeduringtheInitialLeaseTermoranyextensionbysendingtheTenantThirty(30)dayspriorwrittennoticeofitsintenttoterminate.Intheeventofsuchearlytermination,Tenantshallberesponsibleforrentforsuchtimeitactuallyoccupiedthepremises.4.UseofPremises.TheRentalSpacemaybeusedfortheparkingandstoringofnewandoverflowrentalmotorvehiclesandfornootherpurposes.IftheaforesaidusebytheTenantiseverprohibitedorsubstantiallyimpairedbylaworbyrestrictionbyLandlordorotherinstrumentsofrecord,Tenantshallhavetheimmediaterighttoterminatethislease.(a)PossessionandUse.TheLandlordshallgivepossessionoftheLeasedPremises/RentalSpacetotheTenantfortheInitialLeaseTerm.TheTenantshalltakepossessionofandusetheLeasedPremises/RentalSpaceforthepurposesstatedabove.TenantshallcomplywithalllawsandordinancesandregulationsasmaybeamendedapplicabletoitsuseoftheLeasedPremises/RentalSpace.TenantshallhavereasonableingressandegresstotheLeasedPremises/RentalSpaceasdisclosedonExhibit“A”attachedhereto.5.ConditionofPremises.TenantstipulatesthatithasexaminedtheLeasedPremises/RentalSpaceincludingthegroundsandthattheyareatthetimeofthisLeaseingoodorderandrepairandinsafeandcleancondition.furthermore,TenantshallmaintaintheLeasedPremises/RentalSpaceingoodconditionandinallrespectssatisfactorytoLandlordduringthecontinuanceofthisLease.6.Subletting.TenantshallnotassignorsublettheLeasedPremises/RentalSpaceinwholeorinpartorgrantanyconcessionorlicensetotheLeasedPremises/RentalSpace.AnassignmentsublettingconcessionorlicenseonassignmentorsublettingbyoperationoflawshallbevoidandshallatLandlord’soptionterminatethisAgreement.7.RealEstateTaxes.TheTenantshallpayallrealestatetaxesandassessmentsonthelandduringtheInitialLeasePeriod.8.OuietEnjoyment.TheLandlordhastherighttoenterintothisLease.IftheTenantcomplieswiththisLease,theLandlordmustprovidetheTenantwith2 CCundisturbedpossessionoftheLeasedPremises/RentalSpacesubjecttothetermsandconditionsofthisAgreement.9.Alterations.TheTenantmaynotmakeanychangesoradditionstotheLeasedPremises/RentalSpacewithouttheLandlord’swrittenconsentwhichLandlordmaywithholdinitsreasonablediscretion.AnychangesoradditionsmadewithouttheLandlord’swrittenconsentshallbepromptlyremovedbyTenant.10.Tenant’sObligations.Tenantshall:(a)KeeptheLeasedPremises/RentalSpaceincleanandsanitarycondition,includingsnowremoval;and(b)Properlydisposeofrubbish,garbageandwasteinacleanandsanitarymannerandatreasonableandregularintervals;and(c)Notintentionallyornegligentlydestroy,deface,damage,impairorremoveanypartoftheLeasedPremises/RentalSpace,itsappurtenances,facilities,equipment,nortopermitanyinvitees,licensees,orotherpersonsactingunderTenant’scontroltodoso;and(d)Notpermitanuisanceorcommitwaste;and(e)MakeallrepairstotheLeasedPremises/RentalSpacewhicharenottheresponsibilityoftheLandlord;and(f)NotkeeporhaveontheLeasedPremises/RentalSpaceanyarticleorthingofadangerous,inflammableorexplosivecharacterthatmightincreasethechanceoferuptionoffireontherentalspaceorordinarilywouldbeconsideredhazardousorextrahazardousbyanyreasonableinsurancecompany.(g)NotconductanyfuelingorvehiclemaintenanceoperationsontheLeasedPremises/RentalSpace.11.Signs.TheTenantmayplaceanysignattheentranceonorabouttheLeasedPremises/RentalSpacesolongasitconformstotheapplicablemunicipalandcountyordinancesandregulationsandstateandfederallaw.12.AccesstoRentalSpace.TheLandlordshallhaveaccesstotheRentalSpaceatreasonabletimesuponnoticetotheTenantto:(a)InspecttheRentalSpace;(b)Makenecessaryrepairs,alterationsorimprovements;(c)Supplyservices;and3 CC(d)Showittoprospectivebuyers,mortgagees,lenders,contractorsorinsurers.13.FireandOtherCasualty.EitherpartymaycancelthisLeaseiftheLeasedPremises/RentalSpaceismateriallydamagedbyfireorothercasualty.14.Insurance.TenantshallobtainandmaintainineffectduringthetermofthisAgreementandanyextension,commercialgeneralliabilityinsuranceandcomprehensivepublicliabilityinsurancecoveringclaimsforpersonalandbodilyinjury,propertydamageoccurringonandorabouttherentalspacewiththelimitofatleast$1,000,000.00combinedsinglelimitperoccurrence.ThepartiesagreethattheTenantmayselfinsure.AcertificateofinsuranceevidencingthecoveragetobemaintainedhereunderbytheTenantshallbedeliveredtotheLandlordatthetimethisLeaseisexecuted.SuchliabilityinsuranceshallnametheLandlordasanadditionalinsured,failuretoobtainand/ormaintainsuchinsuranceshallbeadefaultunderthetermsofthisLease.15.Indemnification.TenantshallindemnifyandholdharmlesstheLandlord,itsBoardofCountyCommissionersandtheEagleCountyAirTerminalCorporationandtheindividualmembersthereof,itscommissioners,agencies,departments,officers,agents,employees,servantsoritssuccessorsfromanyandallfines,demands,losses,liabilities,claims,damagesandjudgmentsincludingattorney’sfeestogetherwithallcostsandexpensesincidenttheretowhichmayaccrueagainst,bechargedto,orberecoverablefromtheLandlord,itsBoardofCountyCommissionersanditsindividualmembersthereof,itscommissioners,agencies,departments,officers,agents,employeesorservantsanditssuccessorsasaresultofthewillfulornegligentacts,errors,oromissionsofTenant,itsemployeesoragentsinconnectionwithTenant’suseandoccupancyoftheLeasedPremisesandtheRentalSpaceexcepttotheextentsuchinjuryordamageresultsfromthewillfulactsoftheLandlordoranyoftheLandlord’srepresentatives.Additionally,thepartiesmutuallyagreethatnoCommissionerorofficeroremployeeoftheLandlordnoranyofficer,manager,member,agentoremployeeoftheTenantshallbeheldpersonallyliableunderthisAgreementorbecauseofitsenforcementorattemptedenforcement.ThepartiesfurtheragreethatthisclauseshallnotwaivethebenefitsorprovisionsofColoradoRevisedStatute§24-10-114oranysimilarprovisionoflaw.16.Environmental.Tenantagreestoindemnify,defend,protectandholdLandlordharmlessfromanyliabilityincurredbyLandlordoccurringbyreasonoftheexistenceofhazardoussubstancesontheLeasedPremises/RentalSpacearisingoutoftheactsofTenant,itsemployees,customers,agents,orlicensees.Hazardoussubstancesshallmeanthosematerialsdefinedashazardousmaterials,hazardouswasteorhazardoussubstancesunderCERCLAP.L.96-510,asamended,oranyotherlocal,stateorfederallaw.4 CC)17.SurrenderofthePremises.AttheexpirationofthetermoftheLeaseasthesamemaybeextended,TenantwillquitandsurrendertheLeasedPremises/RentalSpacetoLandlord.IntheeventthattheTenantfailstosurrendertheLeasedPremises/RentalSpaceandremainsinpossessionoftheLeasedPremises/RentalSpacewithoutthepermissionofLandlordorwithoutavalidextensionasprovidedherein,TenantshallpayLandlordaflatraterentof$2,940.30permonthandsuchcontinuedoccupancyshallbeconsideredamonthto-monthtenancy.1$.RequirementsUponTerminationofLease.UponterminationoftheLease,theTenantshallcleantheLeasedPremises/RentalSpaceandreturnthesametoLandlordinitsinitialcondition,exceptforreasonablewearandtear.19.Default.TheTenantpromisesandagreesthatifdefaultbemadeintheperformanceunderanyoftheconditionsunderthisLeasethatthisLeasemaybeforthwithterminatedattheelectionoftheLandlordandtheTenantwillsurrenderanddeliveruppossessionoftheLeasedPremises/RentalSpacetotheLandlordwithinthreebusinessdaysofreceivingwrittennoticefromtheLandlordstatingthebreachoftheconditionsofthisLease.IntheeventthatitshallbecomenecessaryfortheLandlordtoemployanattorneytoenforceanyoftheprovisionshereof,ortoenforcethecollectionofanyamountsdueunderthetermsofthisLeaseLandlordshallbeentitledtorecoverallcosts,includingreasonableattorney’sfees.Suchcostsshallberequiredtobepaidtocureanyoutstandingdefault.20.Notices.Anynoticesprovidedforhereinshallbeinwritingandshallbedeliveredinpersonormailedbycertifiedorregisteredmail,returnreceiptrequested,postageprepaid,tothepartyforwhomintendedattheaddresssetforthbelow.TheHertzCorporation225BraeBoulevardParkRidge,NJ07656Attention:VPofRealEstateandConcessionsCountyofEagle,StateofColoradoAttention:AirportManagerP.O.Box$50Eagle,CO$1631Withacopyto:EagleCountyAttorneyP.O.Box$50500BroadwayEagle,Colorado81631Eitherpartymaychangeitsaddressbywrittennoticetotheotherparty.Noticesaredeemedtohavebeengiveneffectiveasofthedateofdeliveryifpersonallydelivered,andasofthethirddayaftermailing,ifmailed.5 0C21.DutytoObtainReiuiredPermits.Tenantshallatitssoleexpense,obtainandmaintainingoodstandingallproperandnecessarypermitsandlicensesnecessarytocarryoutandperformitsobligationsunderthisAgreement.22.NoPrivateCauseofAction.TherightshereincontractedforshallinuresolelyforthebenefitofthepartiestothisAgreement,andnothinghereinshallbeconstruedtograntacauseofactiontonon-partiesclaimingasthirdpartybeneficiariesorotherwise.23.NoWaiver.ThefailureoftheLandlordtoinsistinanyoneormoreinstancesuponastrictcomplianceofanyoftheobligations,covenantsandagreementshereincontainedorthefailureoftheLandlordandanyoneormoreinstancestoexercisingtheoption,privilegeorrighthereincontainedshallinnowaybeconstruedtoconstituteawaiverorrelinquishmentorreleaseofsuchobligation,covenantoragreementandnoforbearancebytheLandlordoranydefaulthereundershallinanymannerbeconstruedasconstitutingawaiverofsuchdefaultbytheLandlord.24.Amendments.AllamendmentstothisAgreementmustbemadeinwritingbymutualagreementofthepartiesandnooralamendmentsshallbeofanyforceoreffectwhatsoever.25.EntireAgreement.ThisAgreementsupercedesallpreviouscommunications,negotiationsand/orcontractspertainingtotherespectivepartieshereto,ifany,eitherverbalorwrittenandthesamenotcontainedhereinareherebywithdrawnandannulled.26.GoverningLaw.ThelawsoftheStateofColoradoshallbecontrolLingandanyactionbetweenthepartieshereundershallbebroughtintheCountyofEagle,StateofColorado.27.BindingEffect.Thecovenantsandconditionshereincontainedshallapplyandbindtheirheirs,legalrepresentatives,assignsofthepartiesheretoandallcovenantsaretobeconstruedasconditionsofthisLease.//SIGNATUREPAGETOfOLLOW//6
