Re: Edwards Village Boulevard Sidewalk Improvements
Dear Mr. Marchetti:
This letter is intended to serve as an agreement between the Edwards Metropolitan District
EMD ") and Eagle County ( "County ") regarding the sidewalk improvements to Edwards Village
Boulevard ( "Improvements "). This letter is intended to set forth the roles and responsibilities of each
party during the design, bidding, and construction of the Improvements. The parties agree to cooperate
in good faith toward the completion of the Improvements and will execute such further agreements as
may be necessary to effectuate the same.
Edwards Village Boulevard provides an important connection between residential neighborhoods
and the community core of Edwards. There currently exists a gap in pedestrian connectivity along
Edwards Village Boulevard that creates safety and access concerns. Pedestrian connectivity is a goal
of the Edwards Area Community Plan and the Urban Design Elements — Edwards Core Area. The
attached concept plan for the Improvements has been developed with a preliminary cost estimate for
construction of $140,000.
To further these goals, EMD has committed funds to construct the Improvements and the
County has committed to provide staff to develop design plans, advertise the project and administer
construction of the Improvements.
Accordingly, the County agrees to provide in -house engineering services to survey, design,
advertise and administer construction of the Improvements. The County shall provide regular updates
to EMD during design to receive design input. The County will provide project progress updates and
will work to incorporate reasonable suggestions from EMD into the construction of the Improvements.
The County shall provide EMD with an updated project estimate prior to advertising the project for
bids.
EMD agrees to pay all costs to construct the Improvements and shall make such funds available
when necessary to cover the payments due under any contractual agreement the County may have with
a selected contractor. EMD shall have final approval in selecting a qualified contractor for the project
and shall have the right to disqualify all bids if the total project cost exceeds the budgeted amount.

EMD shall have final approval of any additional work that may be requested during construction. Any
additional work shall be approved by EMD prior to execution of the work.
Either Party may terminate this agreement at any time by giving notice to the other party. Once a
contractor has been engaged by the County for the Improvements, EMD may only terminate pursuant
to the terms and conditions of the County's agreement with the selected contractor. EMD shall be
fmancial responsible for all costs prior to the effective termination.
