AGREEMENT FOR SERVICES
BETWEEN EAGLE COUNTY, COLORADO
AND
THE GYPSUM CHRISTIAN ACADEMY LLC

THIS AGREEMENT ("Agreement") is ef fective as of the 2L auy of June, 2016 by and between The Gypsum
Christian Academy LLC a Limited Liability Company (hereinalier "Contractor") and Eagle County, Coloraclo, a
body corporate and politic (hereinafter "County").
RECITALS
WHEREAS, the County, through its Department of Human Services ("DHS") works to promote the health, safety
and welfare of County residents ofall ages; and
WHEREAS, the County uses outside providers and professionals to enhance the ability of County to promote such
health, sai'ety and weltare; and
WHEREAS County is the recipient of a grant from the State of Colorado for Colorado Infant and Toddler Quality
and Availability with a contract made date of January I,20f2 which has been amended by Contract Amendment #1
dated July 1,2014 and Contract Amendment #2 dated July 1,2015 (collectively the "Grant") to support quality
improvements at child care providers who serve low-income infants and toddlers through means such as providing
lunds for purchasing needed materials; and
WHEREAS, to continue providing a high level of quality child care as rated by the Colorado Shines Quality Rating
and Improvement System (ORIS), Contractor must replace existing playground surfacing (the "Project") at its
licensed location of 925 Green Way, Gypsum, Colorado (the ,'propeqv"); and
WHEREAS, Contractor is authorized to do business in the State of Colorado as a licensed day care provider and is a
permitted recipient of grant funds for the purposes set lbrth herein and Contractor has the time, skill, expertise, and
experience necessary to provide the Services as defined below in paragraph t hereof; and
WHEREAS, this Agreement shall govern the relationship between Contractor and County in connection with the
services.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and the fbllowing promises Contractor and County agree as
follows:
1' Services or Work. Contractor agrees to diligently provide all services, labor, personnel and materials
necessary to perlbrm and complete the services or work described in Exhibit A ("Services" or "Work") which is
attached hereto and incorporated herein by reference. The Services shall be perfbrmed in accordance with the
provisions and conditions of this Agreement.
a. Contractor agrees to furnish the Services no later than June 30,2016 and in accordance with the
schedule established in Exhibit A. If no completion date is specitied in Exhibit A, then Contractor agrees to furnish
the Services in a timely and expeditious manner consistent with the applicable standard of care. By signing below
Contractor represents that it has the expertise and personnel necessary to properly and timely perlbrm the Services.

b. In the event of any conllict or inconsistency between the terms and conditions set forth in Exhibit
A and the terms and conditions set forth in this Agreement, the terms and conditions set forth in this Agreement
shall prevail.
2. County's Representative. The Department of Human Services'designee shall be Contractor's contact with
respect to this Agreement and pertbrmance of the Services.
3. Term of the Agreement. This Agreement shall commence upon the date first written above, and subject to
the provisions ofparagraph 11 hereof, shall continue in full force and effect through the 30th day ofJune, 2016.The
parties agree that any provision hereof requiring pertbrmance after the 30'h day of June, 2016 shall survive.
4. Extension or Modification. This Agreement may be extended tbr up to three additional one year lerms
upon written agreement of the parties. Any amendments or modifications shall be in wriring signed by both parties.
No additional services or work pertbrmed by Contractor shall be the basis tbr additional compensation unless and
until Contractor has obtained written authorization and acknowledgement by County fbr such additional services in
accordance with County's internal policies. Accordingly, no course of conduct or dealings between the parties, nor
verbal change orders, express or implied acceptance ofalterations or additions to the Services, and no claim that
County has been unjustly enriched by any additional services, whether or not there is in fact any such unjust
enrichment, shall be the basis of any increase in the compensation payable hereunder. In the event that written
authorization and acknowledgment by County for such additional services is not timely executed and issued in strict
accordance with this Agreement, Contractor's rights with respect to such additional services shall be deemed waived
and such failure shall result in non-payment lbr such additional services or work performed.
5. Compensation. County shall compensate Contractor lbr the perfbrmance of the Services in a sum
computed and payable as set fbrth in Exhibit A. The performance of the Services under this Agreement shall not
exceed sixteen thousand dollars ($16,000). Contractor shall not be entitled to bill at overtime and/or double time
rates for work done outside of normai business hours unless specifically authorized in writing by County.
a. For reimbursement Contractor must submit invoices on or before June 27 r 2016. Invoices
shall include a description of the Services performed. If County is not satislied with the completeness of a submitted
invoice, County may request Contractor to either revise the invoice or provide additional information. Paymenr will
be made lbr Services satisf'actorily perlbrmed within thirty (30) days of receipt of a proper and accurate invoice
from Contractor. All invoices shall include detail regarding the materials acquired, hours spent, tasks performed,
who performed each task and such other detail as County may request. Contractor acknowledges and agrees that
this Agreement is funded by grant funds tiom the State of Colorado and payment is subject to availability ol those
funds.

b. If, at any time during the term or alier termination or expiration of this Agreement, County
reasonably determines that any payment made by County to Contractor was improper because the Services fbr
which payment was made were not performed as set forth in this Agreement, then upon written notice of such

determination and request for reimbursement from County, Contractor shall forthwith return such payment(s) to
County. Upon termination or expiration of this Agreement, unexpended funds advanced bv County, if any, shall
tbrthwith be returned to Countv.
c. All funds received by Contractor under this Agreement shall be or have been expended solely for
the purpose for which granted, and any funds not so expended, including funds lost or diverted for other purposes,
shall be returned to County. Contractor shall provide the Counfy with progress reports upon County's request; or
Contractor shall furnish progress reports as rnore specifically set forth in the attached Exhibit A.
d. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor
agrees to be solely responsible lbr the accurate reporting and payment of any taxes related to payments made
pursuant to the terms of this Agreement.
e. Notwithstanding anything to the contrary contained in this Agreement, County shall have no
obligations under this Agreement after, nor shall any payments be made to Contractor in respect of any period after
December 31 of any year, without an appropriation theretbr by County in accordance with a budget adopted by the
Board of County Commissioners in compliance with Article 25, tille 30 of the Colorado Revised Statutes, the t-ocal
Government Budget Law (C.R.S. 29-I-rc1et. seq.) and the TABOR Amendment (Colorado Constitution, Article X,
Sec. 20).
6. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the
particular reputation and expertise of Contractor. Contractor shall require each subcontractor, as approved by
County and to the extent of the Services to be performed by the subcontraclor, to be bound to Contractor by the
terms of this Agreement, and to assume toward Contractor all the obligations and responsibilities which Contractor,
by this Agreement, assumes toward County. County shall have the right (but not the obligation) to enforce the
provisions of this Agreement against any subcontractor hired by Contractor and Contractor shall cooperate in such
process. The Contractor shall be responsible for the acts and omissions of its agents, employees and subcontractors.
7. Insurance. Contractor agrees to provide and maintain at Contractor's sole cost and expense, the fbllowing
insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
i. Workers' Compensation insurance as required by law and Employer's Liability lnsurance
covering all of Contractor's employees acting within the course and scope of their employment.
ii. Auto coverage with limits of liability not less than $1,000,000 each accident combined
bodily injury and property damage liability insurance, including coverage for owned, hired, and non-owned
vehicles.
iii. Commercial General Liability coverage written on ISO occurrence tiom CG 00 01 10/93
or equivalent, covering premises operations, fire damage, independent contractors, products and completed
operations, blanket contractual liability, personal injury, and advertising liability with minimum limits as lbllows:
(a) $1,000,000 each occurrence; (b) $1,000,000 general aggregate; (c) $1,000,000 products and completed
operations aggregate; and (d) $50,000 any one fire, If any aggregate limit is reduced below $1,000,000 because of
claims made or paid, Contractor shall immediately obtain additional insurance to restore the tull aggregate limit and
furnish to the County a certificate or other document satisfactory to County showing compliance with this provision.
iv. Professional Liability insurance with minimum limits of liability not less than $1,000,000,
unless waived by the State.

b. Other Requirements
i. The automobile and commercial general liability coverage and as set lbrth above shall be
endorsed to include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials,
employees, agents and volunteers as additional insureds. The state of Colorado ("State") shall also be named as
additional insured on all commercial general liability and automobile insurance policies (leases and construction
contiacts require additional insured overage for completed operations on endorsements CG 2010 Ill85, CG 203'7, or
equivalent) required of Contractor and any subcontractors hereunder. A certificate of insurance consistent with the
fbregoing requirements is attached hereto as Exhibit B.
ii. Contractor's certificates of insurance shall include subcontractors, if any as additional
insureds under its policies or Contractor shall furnish to County separate certificates and endorsements lbr each
subcontractor.

lv. The parties hereto understand and agree that the County is relying on, and does
not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights, immunities and
protections provided by the Colorado Governmental Immunity Act, as from time to time amended, or otherwise
available to County, its affiliated entities, successors or assigns, its elected officials, employees, agents and
volunteers.
v. Contractor is not entitled to workers' compensation benefits except as
provided by the Contractor, nor to unemployment insurance benefits unless unemployment compensation coverage
is provided by Contractor or some other entity. The Contractor is obligated to pay all f'ederal ancl state income tax
on any moneys paid pursuant to this Agreement-
vi. Coverage required of Contractor shall be primary and Contractor's carrier(s) shall waive
all rights of recovery, under subrogation or otherwise, against Contractor or the State, its agencies, institutions,
organizations, otTicers, agents, employees, and volunteers.
vii. Contractor acknowledges and agrees that County shall provide this Agreement and the
certificates showing the insurance coverage required hereunder to State. In adclition, upon request by the State at any
other time during the term of this Agreement Contractor and any subcontractor shall, within ten (10) days of such
request, supply to the State evidence satisfactory to the State and County.
8. Indemnification. The Contractor shall indemnify and hold harmless County, the State , and any of their
officers, agents and employees against any losses, claims, damages or liabilities for which County or the State may
become subject to insolar as any such losses, claims, damages or liabilities arise out of, directly or indirectly, this
Agreement, or are based upon any perfbrmance or nonperformance by Contractor or any of its subcontractors
hereunder; including claims fclr bodily injury or personal injury including death or loss or damage to tangible or
intangible property; and Contractor shall reimburse County and the State of Colorado fbr reasonable attorney fees
and costs, Iegal and other expenses incurred by County and the State of Colorado in connection with investigating
or defending any such loss, claim, damage, liability or action. This indemnification shall not apply to claims by
third parties agairrst the County to the extent that County is liable to such third party for such claims without regard
to the involvement o1 the Contractor. This paragraph shall survive expiration or termination hereof.

9. Ownership of Documents. All documents (includrng electronic tiles) and written materials obtained
during, purchased or prepared in the performance of the Services shall remain the property of the County and are to
be delivered to County before final payment is made to Contractor or upon earlier termination of this Agreement.
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i) personally
delivered, or (ii) when mailed in the United States mail, tirst class postage prepaid, or (iii) when delivered by FedEx
or other comparable courier service, charges prepaid, to the parties at their respective addresses listed below, or (iv)
when transmitted via e-mail with confirmation of receipt. Either party may change its address for purposes of this
paragraph by giving five (5) days prior written notice of such change to the other party.

11. Termination. County may terminate this Agreement, in whole or in part, at any time and for any reason,
with or without cause, and without penalty therefbr with seven (7) calendar days' prior written notice to the
Contractor. Upon termination of this Agreement, Contractor shall immediately provide County with all documents
as defined in paragraph t hereof, in such format as County shall direct and shall return all County owned materials
and documents. County shall pay Contractor fbr Services satisfactorily performed to the date of termination.
12. Venue. Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to this
Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado, which shall be the
sole and exclusive forum for such litigation. This Agreement shall be construed and interpreted under and shall be
governed by the laws of the State of Colorado.
13. Execution by Counterparts: Electronic Signatures. This Agreement may be executed in two or more
counterparts, each of which shall be deemed an original, but all of which shall constitute one ancl the same
instrument. The parties approve the use of electronic signatures for execution of this Agreement. Only the tbllowing

two forms of electronic signatures shall be permitted to bind the parties to this Agreement: (i) Electronic or
facsimile delivery of a fully executed copy of the signature page; (ii) the image of the signature of an authorized
signer inserted onto PDF fbrmat documents. All documents must be properly notarized, if applicable. All use of
electronic signatures shall be governed by the Unifbrm Electronic Transactions Act, C.R.S. 24-1L3-I01 Io l21
14. Other Contract Requirements and Contractor Representations.
a. Contractor has tamiliarized itself with the nature and extent of the Services to be providecl
hereunder and the Property, and with all local conditions, federal, state and local laws, ordinances, rules and
regulations that in any manner affect cost, progress, or performance of the Services.
b. Contractor will make, or cause to be made, examinations, investigations, and tests as he deems
necessary for the performance of the Services.
c. To the extent possible, Contractor has correlated the results of such observations, examinations,
investigations, tests, reports, and data with the terms and conditions of this Agreement.
d. To the extent possible, Contractor has given County written notice of all conflicts, errors, or
discrepancies.
e. Contractor shall be responsible tbr the completeness and accuracy of the Services and shall
correct, at its sole expense, all significant errors and omissions in perfbrmance of the Services. The fact that the
County has accepted or approved the Services shall not relieve Contractor of any of its responsibilities. Cclntractor
shall perfbrm the Services in a skillful, professional and competent manner and in accordance with the standard of
care, skill and diligence applicable to contractors pertbrming similar services. Contractor represents ancl warrants
that it has the expertise and personnel necessary to properly perlbrm the Services and shall comply with the highest
standards of customer service to the public. Contractor shall provide appropriate supervision to its employees l.o
ensure the Services are performed in accordance with this Agreement. In the event County finds these standards of
customer service are not being met by Contractor, County may terminate this Agreement, in whole or in part, upon
seven (7) days' notice to Contractor. This paragraph shall survive termination of this Agreement.
f. Contractor agrees to work in an expeditious manner, within the sound exercise of its judgment and
prof'essional standards, in the performance of this Agreement. Time is of the essence with respect to this
Agreement.
g. This Agreement constitutes an agreement for performance of the Services by Contractor as an
independent contractor and not as an employee of County. Nothing contained in this Agreement shall be deemed to
create a relationship of employer-employee, master-servant, partnership, joint venture or any other relationship
between County and Contractor except that of independent contractor. Contractor shall have no authority to bind
County.
h' Contractor represents and warrants that at all times in the pertbrmance of the Services, Contractor
shall comply with any and all applicable laws, codes, rules and regulations.
i. This Agreement contains the entire agreement between the parties with respect to the subject
matter hereof and supersedes all other agreements or understanding between the parties with respect thereto.
j. Contractor shall not assign any portion of this Agreement without the prior written consent of the
county. Any attempt to assign this Agreement without such consent shall be void.

k. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their
respective permitted assigns and successors in interest. Enforcement of this Agreement ancl all rights and obligations
hereunder are reserved solely for the parties, and not to any third party.
l. No failure or delay by either party in the exercise of any right hereunder shall constitute a waiver
thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding breach.
m. The invalidity, illegality or unenfbrceability of any provision of this Agreement shall not aftect the
validity or enfbrceability of any other provision hereof.
n. The signatories to this Agreement aver to their knowledge no employee of the County has any
personal or beneficial interest whatsoever in the Services or Property described in this Agreement. The Contractor
has no benellcial inlerest, direct or indirect, that would conflict in any manner or degree with the pertbrmance of the
Services and Contractor shall not employ any person having such known interests.
o. The Contractor, if a natural person eighteen (18) years of age or older, hereby swears and affirms
under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United States pursuant to
federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-I03 prior to the et'fective date of this
Agreement.
p. Contractor shall comply with the Civil Rights Act of .l 96 and Section 504, Rehabilitation Act of
1973, concerning discrimination on the basis ofrace, color, sex, age, religion, political beliefs, national origin or
handicap.
q. Contractor acknowledges by signing below that it has read the Grant which is attached hereto and
incorporated herein as Exhibit C and shall at all times during the term of this Agreement comply with the Grant and
amendments thereto.
r. Contractor certifies that, at the time of entering into this Agreement, it and its agents have
currently in effect all necessary licenses, certifications, approvals and insurance, required to properly provide l.he
services and/or supplies covered by this Agreement in the state of Colorado. Proof of such licenses, certillcations,
approvals and insurance, shall be provided upon request by County or the State ofColoradcl.
s. Contractor represents and warrants that Contractor, or its employees or authorized subcontractors
are not presently excluded from participation, debarred, suspended, proposed lbr debarment, declared ineligible,
voluntarily excluded, or otherwise ineligible to participate in a "federal health care program" as defined in 42 U.S.C.
$ 1320a-7b(f or in any other government payment program by any federal or State of Colorado department or
agency. In the event Contractor, or one of its employees or authorized subcontractors, is excluded from
participation, or becomes otherwise ineligible to participate in any such program during the term of this Agreement,
Contractor will notily the County and the State in writing within three (3) days after such event. Upon the
occurrence of such event, whether or not such notice is given, the County and State reserve the right to immediately
cease contracting with the Contractor.
t. The Contractor shall maintain a complete lile of all records, documents, communications, and
other materials that pertain to the Services. Such files shall be sufticient to properly reflect all direct and indirect
costs of labor, materials, equipment, supplies and services, and other costs of whatever nature for which a contract
payment was made. These records shall be maintained according to generally accepted accounting principles and
shall be easily separable fiom other Contractor records. Contractor shall turther comply with the terms of the Grant
and confidentiality and other record requirements thereunder.

15. Prohibitions on Government Contracts.
As used in this Section 15, the term undocumented individual will refer to those individuals from foreign countries
not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Contractor has any employees or
subcontractors, Contractor shall comply with C.R.S. 8-17.5-101, et. seq., and this Agreement. By execution of this
Agreement, Contractor certifies that it does not knowingly employ or contract with an undocumented individual
who will perform under this Agreement and that Contractor will participate in the E-verify Program or other
Department of Labor and Employrnent program ("Department Program") in order to confirm the eligibility of all
employees who are newly hired for employment to perform Services under this Agreement.

Knowingly employ or contract with an undocumented individual to perlbrm Services
ii. Enter into a subcontract that lails to certify to Contractor that the subcontractor shall not
knowingly employ or contract with an undocumented individual to perfbrm work under the public contract fbr
services.
b. Contractor has confirmed the employment eligibility of all employees who are newly hired tbr
employment to perfbrm Services under this Agreement through participation in the E-Verify Program or Department
Program, as adminisl.ered by the United States Department of Homeland Security. Information on applying for the

c. Contractor shall not use either the E-verify program or other Department Program procedures to
undertake pre-employment screening of job applicants while the public contract for services is being perlbrmed.
d. If Contractor obtains actual knowledge that a subcontractor performing work under the public
contract for services knowingly employs or contracts with an undocumented individual, Contractor shall be required
to:
i. Notily the subcontractor and County within three (3) days that Contractor has actual
knowledge that the subcontractor is employing or contracting with an un<Jocumented individual; and
ii. Terminate the subcontract with the subcontractor if within three clays ol receiving the
notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop employing or
contracting with the undocumented individual; except that Contraclor shall not terminate the contract with the
subcontractor il during such three (3) days the subcontractor provides information to establish that the subcontractor
has not knowingly employed or contracted with an undocumented individual.

Agreement and County terminates the Agreement fbr such breach.

EXHIBIT A
SCOPE OF'SERVICES, SCHEDULE, FEES
Scope ofServiccs:
The parties agree that there are funds available through the Grant to allow Contractor to purchase certain
materials in an amount not to exceed sixteen thousand dollars ($16,000). The Services hereunder include the
purchase by Contractor of the following materials:(i) Dura SAFE "Premium" surfacing for the replacement of the
playground surface at the Property; and (ii) purchase of all related materials required for installation of the new
playground surfacing at the Property, including but not limited to, adhesive, sealant, rubber sheeting, base materials,
and wooden timbers for containing edge; and (iii) all related fees and shipping costs fiom the supplier of the
materials. Contractor represents and warrants that the materials purchased under this Agreement shall be installed at
the Property and are for the purpose of improving the Contractor's licensed day care facility so that it rnay continue
to provide high quality services to infants and toddlers. Contractor further represents and warrants that it shall be
solely responsible lbr installation oI the materials and the same shall not be the responsibility of the County or the
State. The cost of such installation is not included or part of this Agreement. Notwithstanding the foregoing,
Contractor shall install the materials by October 31,2016 and is solely responsible for obtaining appropriate
warranties for the materials to be supplied hereunder.
Scheduie:
- All materials must be purchased any delivered prior to June 30, 2016.
Fees:
- Invoice fiom Contractor must be received no later than June 27,2016 to be eligible fbr payment and must
not exceed sixteen thousand dollars ($16,000).

GENERAL PROVISIONS
The following clauses apply to this contract:
A. Governmental Immunity/Limitation of Liabilitv:
Notwithstanding anything herein to the contrary,
no term or condition of this contract shall be
construed or interpreted as a waiver, express or
implied, of any of the immunities, rights, benefits,
protection, or other provisions of the "Colorado E.
Govemmental Immunity Act", C.R. S. $ 24- I 0- I 0 1,
et seq. , as now or hereinafter amended. The parties
understand and agree that the liability ofthe,state
for claims for iqfuries to persons or property
arising out of negligence of the State of Colorado,
its departrnents, institutions, agencies, boards,
ofiicials and employees is controlled and limited
by the provisions of C.R.S. 924-10-101, et seq., as
now or hereafter amended and the risk
management statutes, C.R.S. $24-30-L501, et seq.,
as now or hereafter amended. Any liability of the F.
State created under any other provision of this
contract, whether or not incorporated herein by
reference, shall be controlled by, limited to, and
otherwise modified so as to conform with, the
above cited laws.
B. Federal. Funds Contingencv: Payment pursuant to
this contract, if in federal funds, whether in whole
or in part, is subject to and contingent upon the
continuing availability of federal funds for the
purposes hereof. In the event that said fuirds, or
any part thereof, become unavailable, as
determined by the State, the State may
immediately terminate this contract or amend it
accordingly.
C. Billing Procedures: The State shall establish billing
procedures and requirements for payment due the
Contractor in providing performance punuant to this
contract. The Confractor shall comply with the
established billing procedures and requirements for
submission of billing statements. The State shall
comply with CRS 24-3A-202(24). when paying
vendors upon receipt of a correct notice of the
amount due for goods or services provided
hereunder.
D. Exhibits- Intemretation: Unless otherwise stated, all
referenced exhibic are incorporated herein and made
a part of this contract. And, unless otherwise stated,
in the event of conflicts or inconsistencies befween
this contract and iC exhibits or attachments, such
conflicts shall be resolved bv reference to the

Notice and Representatives: For the purposes of this
contract, the representative for each parly is as
desigrated herein. Any notice required or permitted
may be delivered in person or sent by registered or
certified mail, return receipt requested, to the party at
the address provided, and if sent by mail it is
effective when posted in a U.S. Mail Depository
with suflicient postage attached thereto. Notice of
change of address or change or representative shall
be teated as any other notice.
Contractor Representations :
l. Licenses and Certification$: The Contractor
certifies that, at the time of entering into this
contract, it and its agents have currently in
effect all necessary licenses, certifications,
approvals, insurance, etc. required to properly
provide the services and/or supplies covered
by this contract in the state ofCblorado. Proof
of such licenses, certifications, approvals,
insurance, etc. shall be provided upon the
State's request. Any revocation, withdrawal or
nonrenewal of necessary license, certifi cation,
approval, insurance, etc. required for the
Contractor to properly perform this contract,
shall be grounds for termination of thrs
contract by the State.
2. Qualification: Contractor certifies that it is
qualified to perform such services or provide
such deliverables as delineated in this contract.3. Exclusion. Debarment and./or SuspensioE.'Contractor represents and warrants that
Contractor, or its employees or authorized
subcontractors, are not presenfly excluded from
participation, debarred, suspended, proposed for
debarment declared ineligible, voluntarily
excluded, or otherwise ineligible to participate
in a "federal health care program" as defrned in
42 U.S.C. g 1320a-7b(f) or in any other
goverffnent payment progam by any federal or
State of Colorado deparhent or agency. In the
event Contractor, or one of its employees or
authorized subcontractors, is excluded from
participation, or becomes otherwise ineligible to
participate in any such program during the

Term, Contractor will notiff the State in witing
within three (3) days after such event. Upon the
ocqurence of such event, whether'or not such
notice is given to Contractor, the State resewes
the right to immediately cease contracting with
Contractor.
4. Work Performed Outside the U-nited States or
Colorado. pursuant to C.RS. $24-102-206:The
Contractor certifies all work performed under
this Contract, including any subcontracts, is
anticipated to be and will be performed within
the United States or Colorado, unless otherwise
specified in.the Statement of Work. If work
tmder this Contract is anticipated to be or will
. be performed outside the United States or
Colorado, the countries and/or states where
work will be perforrred, and the reasons it is
necessary or advantageous to go outside the
United States or Colorado to perform the work
are also specified in the Statement of Work.
G. Leeal Authority: The Contractor walrants that it
possesses the legal authority to enter into this
contract and that it has taken all actions required
by its procedures, by-laws, and/or applicable law
to exercise that authority, and to lawfully authorize
its undersigned signatory to execute this contract
and bind the Contractor to its terms. The person(s)
executing this contract on behalfofthe Contractor
wanant(s) that such person(s) have full
authorization to execute this contract.
H. Indemnification: Contractor shall indemnify,
save, and hold harmless the State, its employees
and agents, against any and all claims, damages,
liability and court awards including costs,
expenses, and attomey fees and related costs,
incurred as a result of any act or omission by
Contractor, or its employees, agents,
subcontractors, or assignees pursuant to the terms
ofthis contract.

ContractsJ No term or condition of this contract
shall be construed or interpreted as a waiver,
express or implied, of any of the immunities,
rights, benefits, protection, or other provisions, of
the Colorado Govemmental Immunity Act, CRS

Act,28 U.S.C. 2671 et.seq., as applicable, as now
or hereafter amended.

insurance companies satisfactory to Contactor and
the State.
L Contractor
a. Public Entities: If Contractor is a "public
entity" within the meaning of the Colorado
Governmental Immunity Act, CRS $24-10-
101, et seq., a! amended (the "GIA"), then
Contractor shall maintain at all times during
the term of this Contract such liability
insurance, by commercial policy or self-
insurance, as is necessary to meet its
liabilities under the GIA. Contractor shall
show proof ofsuch insurance satisfactory to
the State, if requested by the State.
Contractor shall require each contract with a
Subcontractor that is a public entity, to
include the insurance .requirements
necessary to meet such Subcontractor's
liabilities under the GIA.
b. Non-Public Entities: If Contractor is not a
"public entity" within the meaning of the
GIA, Contractor shall obtain and maintain
during the term of this Contract insurance
coverage and policies meeting the same
requirements set forth in provision I.2
below with respect to Subcontractors that
are not "public entities".
2. Contractors - Subcontractors
Contractor shall require each contract with
Subcontractors other than those that are public
entities, providing Goods or Services in
connection with this Contract, to include
insurance requirements substantially similar to
the following:
a. Worker's Compensation: Workels
Compensation Insurance as required by
State stafilte, and Employer's Liability
Insurance covering all of Contractor or
Subcontractor employees acting within the
course and scope of their employment.
b. General Liability: Commercial General
Liability Insurance written on ISO
occurrence form CG 00 0l 10/93 or
. equivalent, covering premises operations,
fire damage, independent contractors,
products and completed operations, blanket
contractual liability, personal iqiury, and
advertising liability with minimum limie as
follows:
(a) $1,000,000 each occurrence;
(b) $1,000,000 general aggregate;
(c) $1,000,000 products and completed
operations aggregate; and
(d) $50,000 any one tue.

If any aggregate limit is reduced below
$ 1,000,000 because of claims made or paid,
Subcontractor shall immediately obtain
additional insurance to restore the fulI
aggregate limit and furnish to Contractor a
certificate or other document satisfactory to
Contractor showing compliance with this
provision.
c. Automobile Liabilitv: Automobile Liability
lnsurance covering any auto (including
owned, hired and non-owned autos) with a
minimum limit of $1,000,000 each accident
combined single limit.
d. Professional Liability: Professional liability
insurance with minimum limits of liability
of not less than $1,000,000, unless waived
by the State.
e. Privacy Insurance
If this Contract includes a HIPAA Business
Associates Addendum exhibit, Contractor
shall obtain and maintain during the term of J.
this Contract liability insurance covering all
loss of Protected Health Information data
and claims based upon alleged violations of
privacy rights through improper use or
disclosure of Protected Health Information
with a minimum annual limit of $1,000,000.f. Additional Insured: The State shall be
named as additional insured on all

g. Primacy ofCoveraee: Coverage required of
Contractor and Subcontractor shall be
primary ovor any insurance or self-
insurance program carried by Contractor or
the State.
h. Cancellation: The above insurance policies
shall include provisions preventing
cancellation or non-renewal without at least
30 days prior notice to Contractor and
Contractor shall forward such notice to the
State in accordance with provision E.
Notice and Representatives within seven
days ofContractols receipt ofsuch notice.
i. Subrosation Waiver: All insurance policies
in any way related to this Contract and
secured and maintained by Contractor or its
Subcontractors as required herein shall
include clauses stating that each carrier
shall waive all rights of recovery, under
subrogation or otherwise, against Contractor
or the State, its agencies, institutions,
organizations, officers, agents, employees,
and volunteers.
3.Certificates: Conh'actor and all Subcontractors
shall provide certificates showing insurance
coverage requifed hereunder to the State within
seven business days of the Effective Date of this
Contract. No later than 15 days prior to the
expiration date ofany such coverage, Contractor
and each Subcontractor shall.deliver to the State
or Confactor . certificates of insurance
evidencing renewals thereof. In addition, upon
request by the State at any other time during the
term of this Contract or any. subcontract,
Contractor and each Subcontractor shall, within
l0 days of such request, supply to the State
evidence satisfactory to the State of compliance
with the provisions of this provision I.
Disaster Planning and Pandemic Outbreaks: The
State may require the Contractor to submit a
Disaster Response Plan (Plan) to ensure the
delivery hereunder of essential govemment
services during a disaster, declared emergency,
and./or pandemic outbreak. The Plan would take
precedence over 'and nullify any contractual
provision relating to force majewe or "Acts of
God." Accordingly, should the work performed by
the Contractor under this contract include the
provision ofany essential government services, the
State may request a Plan from the Contractor, and,
upon such request, the Contractor shall forthwith
submit a Plan, and the Contractor shall be bound to
perform hereunder in accordance therewith.
Riehts in Data. Documents and Computer
Software or Other Intellectual Property:
All intellectual property including without
limitation, databases, software, documents,
research, prcgrams and codes, as well as all,
reports, studies, data, photographs, negatives or
other documents, drawings or materials prepared
by the contractor in the performance of its
obligations under this contract shall be the
exclusive properfy of tle State. Unless otherwise
stated, all such materials shall be delivered to the
State by the contractor upon completion,
termination, or cancellation of this conffact.
Contractor shall not use, willingly allow or cause
to have such materials used for any purpose other
than the performance of the contractor's
obligations under this contract without a prior
written consent of the State. All documentation,
accompanying the intellectual property or
otherwise, shall comply with the State

requirements which include but is not limited to all
documentation being in a paper, human readable
format which is useable by one who is reasonably
proficient in the given subject area.
L. Proprietary Infonnation: Proprietary information for
the purpose qf this contract is information relating toa party's research, development, trade secrets,
business affairs, internal operations and management
procedures and those of its customen, clients or
affiliates, but does not include inforrnation lawfully
obtained by third parties, which is in rhe public
domain, or which is developed independently.
Neither parry shall use or disclose directly or
indirectly without prior written authorization any
proprietary information conceming the other party
obtained as a result of this contact. Aay proprietary
information removed from the State's site by the
Contractor in the course ofproviding services under
this contract will be accorded at least the same
precautions as are employed by the Contractor for
similar information in the course of its own business.
M. Records Maintenance. Performance Monitoring &
Audits: The Contractor shall maintain a complete
file of all records, documents, communications,
and other materials that pertain to the operation of
the progranr,/project or the delivery of services
under this contract. Such files shall be sufficienfto
properly reflect all direct and indirect coSts of
labor, materials, equipment, supplies and services,
and other costs of whatever nature for which a
contract payment was made. Jhese records shall
be maintained according to generally accepted
accounting principles and shall be easily separable
from other Contractor records,
The Contractor shall protect the confidentiality of
all records and other materials containing
personally identifuing information that are N.
maintained in accordance with this contract.
Except as provided by law, no information in
possession of the Contractor about any individual
constituent shall be disclosed in a form including
identifuing information without the prior written
consent of the person in interest, a minor's parent,
guardian, or the State. The Contractor shall have
written policies governing access to, duplication
and dissemination o{ all such information and
advise its,agents, if any, that they are subject to
these confi dentiality requirements. The Contractor
shall provide its agents, if any, with a copy or
written explanation of these confidentiality O.
requirements before access to confidential data is
permitted.

The Contractor authorizes the State, the federal
government or their designee, to perform audits
and/or inspections ofits records, at any reasonable
.time, to assure compliance with the state or federal
governmenfs terms and/or to evaluate the
.Contracto/s performance. Any amounts the State
paid improperly shall be immediately returned to
the Stete or may be recovered in accordance with
other remedies.
All such records, documents, communications, and
other materials shall be the property of the State
unless otherwise specified herein and shall be
maintained by the Contractor, for a period of three
(3) years from the date of final payment or
submission of the final federal expenditure report
under this contract, unless the State requests that
the records be retained for a longer period, or until
an audit has been completed with the following
qualification. If an audit by or on behalf of tne
federal and/or state government has begun but is
not completed at the end of the three (3) year
period, or if audit frndings have not been resolved
after a three (3) year period, the materials shall be
retained until the resolution ofthe audit findings.
The Contractor shall permit the State, any other
governmental agency authorized by law, or an
authorized designee thereof, in its sole discretion,to monitor all activities conducted by the
Contractor pursuant to the terms of this contract.
Monitoring may consist of intemal evaluation
procedures, reexamination of program data, special
analyses, on-site verification, formal audit
examinations, or any other procedures as deemed
reasonable and relevant. All such monitoring shall
be performed in a manner that will not unduiy
interfere with contract work.
Taxes: The State, as purchaser, is exempt from all
federal excise taxes under Chapter 32 of the
Intemal Revenue Code [No. 84-730123K) and
from all state and local government use tax€s
[C.R.S. $39- 26-l l4(a) and 203, as amended]. The
contractor is hereby notified that when materials
are purchased for the benefit of the State, such
exemptions apply except that in certain political
subdivisions the vendor may be required to pay
sales or use taxes even though the ultimate product
or service is provided to the State. These sales or
use taxes will not be reimbursed by the State.
Conflict of Interest: During the term of thrs
contract, the Contractor shall not engage in any
business or personal activities or practices or

maintain any relationships which conflict in any
way with the Contractor fully performing hislher
obligations under this contract.
Additionally, the Contractor acknowledges that, in
governmental contracting, even the appearance of
a conflict of interest is harmful to the interests of
the State. Thus, the Contractor agrees to refrain
from any practices, activities or relationships
which could reasonably be considered to be in
conflict with the Contractor's fully performing
his/her obligations to the State under the terms of
this contract, without the prior written approval of
the State.
In the event that the Contractor is uncertain
whether the appearance of a conflict of interest
may reasonably exist, the Contractor shall submit
to the State a full disclosure statement setting forth
the relevant details for the State's consideration
and direction. Failure to promptly submit a
disclosure statement or to follow the State's
direction in regard to the apparent conflict shall be
grounds for termination of the contract.
Further, the Contractor shall maintain a witten
code of standards goveming the performance of its
agent(s) engaged in the award and administration
of contracts. Neither the Contractor nor its
agen(s) shall participate in the selection, or in the
award or administration of a contract or
subcontract supported by Federal funds if a
conflict of interest, real or apparent, would be
involved. Such a conflict would arise when:
l. The employee, officer or agent;
2. Any member of the employee's immediate
family;
3. The employee's partner; or
4. An orgatization which employees, or is about
to employ, any ofthe above,
has a financial or other interest in the firm selected
for award. Neither the Contractor nor its agent(s)
will solicit nor accept gratuities, favors, or
anything of monetary value from Contractor's
potential contractors, or parties to subagreements.
P. Conformance with Law: The Contractor and its
agent(s) shall at all times during the term of this
conhact strictly adhere to all applicable federal
laws, state laws, Executive Orders and
implementing regulations as they currently exist
and may hereafter be amended. Without limitation,

Q. Restrictions on Public Benefits: Pursuant to House
Bill065-1023, as codified at C.R.S. $ 24-76.5-101 et
seq., except as otherwise provided therein or where
exempt by federal law, the State is required to verifr
the lawful presence in the United States of each
natrual person 18 years of age or older who applies
for state or local public benefrts or for federal public
benefits for the applicant. Accordingly, should the
work performed by the Contractor under this
contract include the provision of any of said benefits
to any natural person 18 years ofage or older who
applies therefore for the applicant, the Contractor
shall follow the requirements of said law in the
provision of said benefits as if it were the State. The
State will provide the Contractor with specific
instruction on the identification documentation
required and the process to be followed by the
Contractor to properly comply with the law if the
work done under this contract is subject to these
requirements.
R. Statewide Contract Management Svstem:
l. When Applicable. If the maximum amount
payable to Contractor under this Contract is
$100,000 or greater, either on the Effective
Date or at anytime thereafter, this provision
applies.
2. Goveming State Statutes. Contractor agrees
to be govemed, and to abide, by the provisions
of cRS 924-102-205, i24-102-206, $24-103-601, $24-103.5-101 and $24-105-102
conceming the monitoring of vendor
performance on state contracts and inclusion
of contract performance information in a
statewide contract management system.
3. Performance Evaluation and Review.
Contractor's performance shall be subject to
Evaluation and Review in accordance with the
terms and conditions of this Contract, State
law (including without limitation CRS $24-
103.5-l0l), and State Fiscal Rules, Policies
and Guidance. Evaluation and Review of
Contractor's performance shall be part of the
normal contract administration process and
Contractor's performance will be
systematically recorded in the statewide
Contract Management System. Areas of

shall be entered into the statewide Contracr
Management System at intervals during the
term hereof determined appropriaie by the
State, and a final Evaluation, Review and
Rating shall be rendered by the State within
30 days of the end of the Conhact term.
Contractor shall be notified. following each
performance Evaluation and Review, and shall
address or correct any identified problem in a
timely +anner and maintain workprogress.4. Gross Failure to Meet Performance Measures.
Should the final performance Evaluation andReview determine that Contractor
demonstrated a gross failure to meet the
performance measures established hereunder,
the Executive Director of the Colorado
Department of Persoiurel and Administration
(Executive Director), upon request by the
Department of Human Services, for good
cause shown, h&y debaf Contractor and
prohibit Contractor from bidding on future
contracts. Contractor may contest the final
Evaluation and Review and Rating by: (a)
filing rebuttal statement(s), which may resultin either removal or correction of the
evaluation (CRS $24-105-102(6), or (b)
under CRS $24-105-102(6), exercising rhe
debarment protest and appeal rights provided
in CRS $$24-109-106, l0'7, 201 or 202, which
may result in the reversal of the debarment
and reinstatement of Contractor by the
Executive Director upon showing of good
cause.
5. CORA Displosure: To the extent not
prohibited by federal law, this Contract and
the performance measures and standards
under CRS $24-103.5-l0l are subject to
public release through the Colorado Open
Records Act, CRS $24-72-101, et seq.
Performance Ratings and Guidelines:
The Contractor will be given a Final Contractor
Performance Evaluation at the end of the iontract
term in accordance with C.R.S. 524-102-205(6)
and General Provision R. above. The list of
available Perfonnance Ratings, along with
guidelines for what final rating will be given, are
as follows;

1. submit to a criminal background check, and2. report any arrests, charges, or summonses for
any disqualifying offense as specified by
C.R.S. $27-90-l1l to the State.
A.ny Contractor 'or its agent(s), who does not
comply with C,R.S. $27-90-lll and DHS Policy
VI-2.4, may, at the sole discretion of the State, be
suspended or terminatec.
Litigation: The Contractor shall within five (5)
calendar days after being served with a summons,
complaint, or other pleading which has been filed
in any federal or state court or administrative
agency notify the State that it is a party defendant
in a case which involves services provided under
this contract. The Contractor shall deliver copies
of such document(s) to the State's Executive
Director. The term "litigation" includes an
assignment for the benefit of creditors, and filings
in bankruptcy, reorganization and/or foreclosure.
Disputes: Except as herein specifically provided
otherwise, disputes concerning the performance of
this contract which cannot be resolved by the
designated contract fepresentatives shall be
referred in writing to a senior departmental
management staff designated by the department
and a senior manager designated by the
Contractor. Failing resolution at that level,
disputes shall be presented in writing to the
Executive Director and the Contractor's chief
executive officer for resolution. This process is
not intended to supersede any other process for the
resolution of controversies provided by law.
Remedies: Acceptance is dependent upon
completion of all applicable inspection procedures.
The State reseryes the right to inspect the goods
and/or services provided under this contract at all
reasonable times and places. The Executive
Director of the State or her/his designee may
exercise the following remedial actions should sftre
find the Contractor substantially failed to satisfy
the scope of work found in this contract.
Substantial failure to satisfu the scope of work
shall be defined to mean substantially insufficient,
incorrect or improper activities or inaction by the
Contractor. Without limitation, the State has the
right to:
L withhold payment until performance is cured,

2. requfe the vendor to take necessary action to
enswe that the future performance conforms
to contract requirements,
3. request removal of a Contractor's agent from
contract work,
4. equitably reduce the payment due the vendor
to reflect the reduced value of the services
performed,
5. recover payment for work that due to the
Contractor cannot be performed or would be
of no value to the State,
6. modify or recover payments (from payments
under this contract or other contracts between
the State and the vendor as a debt due to the
State) to correct an error due to omission,
error, fraud and./or defalcation,
7. terminate the contract.
These remedies in no way limit the remedies
available to the State in the termination provisions of
this contract, or remedies otherwise available at law.
Y. Termination:
l. Termination for Default: The State may
terminate the contract for cause. If the State
terminates the contract for cause, it will first
give ten (10) days prior written notice to the
Contractor, stating the reasons for
cancellation, procedures to correct problems,
if any, and the date the contract will be
terminated in the event problems have not
been corrected. In the event this contract is
terminated for cause, the State will only
reimburse the Contractor for accepted work or
deliverables received up to the date of
termination. In the event this contract is
terminated for cause, final payment to the
Contractor may be withheld at the discretion
of the State until completion of final audit.
Notwithstanding the above, the Contractor
may be liable to the State for the State's
damages, If it is determined that the
Contractor was not in default then such
termination shall be treated as a termination
for convenience as described herein.
2, Temlination for Convenience: The State shall
have the right to terminate this contract by
giving the Contractor at least twenty (20) days
prior written notice. If notice is so given, this
contract shall terminate on the expiration of
the specified time period, and the liability of
the parties hereunder for further performance
of the terms of this contract shall thereupon
cease, but the parties shall not be released
from the duty to perform their obligations up
to the date of termination.
Immediate Termination: This contract is
subject to immediate termination by the State
in the event that the State determines that the
health, safety, or welfare ofpersons receiving
services may be injeopardy. Additionally, the
State may immediately terminate this contract
upon verifuing that the Contractor has
engaged in or is about to participate in
fraudulent or other illegal acts.
Termination for Financial Exigency: The State
shall have the right to terminate this contract
for financial exigency by giving the
Contractor at least thirty (30) days prior
written notice. For the purposes of this
provision, a financial exigency shall be a
detennination made by the Colorado
legislahrre or its Joint Budget Committee that
the financial circumstances of the State are
such that it is in the best interest of the State to
terminate this contract. If notice of such
termination is so given, this contract shall
termiirate on the expiration of the time period
specified in the notice, and the liability of the
parties hereunder for further performance of
the terms of this contract shall thereupon
cease, but the parties shall not be released
from the duty to perform their obligations up
to the date of termination
In the event that the State terminates this
contract under the Termination for
Convenience or Termination for Financial
Exigency provisions, the Contractor is entitled
to submit a termination claim within ten (10)
days of the effective date of termination. The
termination claim shall address and the State
shall consider paying the following costs:
a. the contract price for performance of
work, which is accepted by tlte State, up
to the effective date of the temrination.
b. reasonable and necessary costs incurred
in preparing to. perform the terminated
portion of the contract
c. reasonable profit on the completed but
undelivered work up to the date of
termination
d. the costs of settling claims arising out of
the termination of subcontracts or orders,
not to exceed 30 days pay for each
subcontractor
e. reasonable accounting, legal, clerical, and
other costs arising out of the termination
settlement.
In no event shall reimbursement under this
clause exceed the contract amount reduced bv

amounts previously paid by the State to the
Contractor.
Z. Veirue: The parties agree that venue for any action
related to performance of this contact shall be in the
City and County of Denver, Colorado.
AA.Understandine of the Parties:
l. Complete Understandins: This contract is
intended as the complete integration of all
understandings between the parties. No prior
or contemporaneous addition, deletion, or
other amendment hereto shall have any force
or effect whatsoever, unless embodied herein
in writing. No subsequent novation, renewal,
addition, deletion, or other amendment hereto
shall have any force or effect unless embodied
in a written contract executed and approved
pursuant to the State Fiscal Rules. Descriptive
headings as used herein are for convenience
and shall not control or affect the meaning or
construction of any provision of this contract.
2. Severabilitjr To the extent that this contract
may be executed and performance of the
obligations of the parties may be
accomplished within the intent of the contract,
the terms of this contract are severable, and
should any term or provision hereof be
declared invalid or become inoperative for any
reason, such invalidity or failure shall not
affect the validity of any other term or
provision hereof.
3. Benefit and \ight of Action: Except'as herein
specifically provided otherwise, it is expressly
understood and agreed that this contract shall
inure to the benefit of and be binding upon the
parties hereto and their respective successors
and assigns. All rights of action relating to
enforcement of the terms and conditions shall
be strictly reserved to the State and the named
Contractor. Nothing contained in this
agreement shall give or allow any claim or
right of action whatsoever by any other third
person. It is the express intention ofthe State
and the Contractor that any such person or
entity, other than the State or the Contractor,
receiving services or benefits under this
agreement shall be deemed an incidental
beneficiary only.
4. Waiver: The waiver of any breach of a term
hereof shall not be construed as a waiver of
any other term, or the same
subsequent breach.
5. Survival: The State and the
term upon
Contractols
obtgations under this contact shall survive
following termination or expiration to the extent
necessary to give effect to the intent and
understanding of the parties.
6. SubcontractinS. Except as herein specifically
provided otherwise, the duties and obligations
of the Contractor arising hereunder cannot be
assigned, delegated, subgranted or
subcontracted except with the express prior
written consent of the State. The subgrants
and subcontracts permitted by the State shall
be subject to the requirements of this contract.
The Contractor is responsible for all
subcontracting arrangements, delivery of
services, and performance of any subgrantor
or subcontractor. The Contractor warrants and
agrees that any subgrant or subcontract,
resulting from its performance under the terms
and conditions ofthis contract, shall include a
. provision that the said subgrantor or
subcontractor shall abide by the terms and
conditions hereof. Also, the Contractor
warrants and agrees that all subgrants or
subcontracts shatl include a provision that the
subgrantor or subcontractor shall indemnify
and hold harmless the State. The subgrantors
or subcontractors must be certified to work on
any equipment for which their services are
obtained.
BB. Holdover: In the event that the State desrres to
continue the services provided for in this Contact
and a replacement contract has not been fully
executed by the expiration date of the Contract,
this Contract may be extended unilaterally by the
State for a period of up to two (2) months upon
written notice to the Contractor under the same
terms 'and conditions of the original Contract
including, but not limited to, prices, rates, and
service delivery requirements. However, this
extension terminates when the replacement
contract becomes effective when signed by the
State Controller or an authorized delegate.
CC. Health Insurance Portabilitv & Accountability Act
of 1996 f'HIPAA"). Federal law and regulations
goveming the privacy of certain health information
requires a "Business Associate Contract" between
the State and the Contractor. 45 C.F.R. Secfion
164.504(e). If applicable to this Contract, atrached
.and incorporated herein by reference and agreed to
by the parties is a HIPAA Business Associate
Addendum for HIPAA compliance. Terms of the
Addendum shall be considered binding upon
execution of this contract and shall remain in

Fraud Policy. The CDHS Fraud Policy addresses
the need for effective and consistent measures for
preventing, detecting, and deterring fraud. The
relevant parties discussed in the policy include
CDHS employees, CDHS management, CDHS
appointees, and community partners, including
contractors, grantees, vendors, and other sub:
recipients. CDHS employees, clients, and
community partners. will all benefrt from an
effective fraud prevention, detection, and
deterrence policy because fraud can damage the
reputation and public trust of CDHS.
All appointees and employees of the CDHS must
comply with the standards of conduct set forth in
Title 24, Article 18 of the Colorado Revised
Statutes, known as the Code of Ethics, including
exposing com-rption or impropriety in government,
whenever discovered. The CDHS Fraud Policy

EE. C-Stat - Performance Based Program Analysis and
Manaeement Strateey (C-Stat Strategy): For the
sole purpose ofproviding support to the State's
intemal C-Stat Strategy, the parties understand and
agree that upon request from the State, and without
any additional cost to *re State, the Contractor
shall collect, maintain, and provide to the State
certain contract performance data determined by
the State during the term hereofto assist the State
to measure and assess the programmatic
effectiveness of the Contractor's performance
hereunder, all in support ofthe State's irrternal
continuous quality improvement working towards
positive outcomes and managing its performance
for the betterment of all Colorado residents.
The parties understand and agree that the exercise
of the requirements of this provision shall not be
used by the State to effect unilateral changes to the
performance requirements of the Contractor
hereunder.

1l PARTTES
This Amendment to the above-referenced Original Contract (hereinafter called the Contract) is
entered into by and between Eagle County Department of Health and Human Services
(hereinafter called "Contractor"), and the STATE OF COLOMDO (hereinafter called the
"State") acting by and through the Department of Human Services, Office of Early Childhood,
(hereinafter called the'OEC").
2l EFFECTTVE DATE AND ENFORCEAB|L|TY
This Amendment shall not be effective or enforceable until lt is approved and signed by the
Colorado State Controller or designee (hereinafter called the "Effective Date"). The State shall
not be liable to pay or reimburse Contractor for any performance hereunder including, but not
limited to, costs or expenses incurred, or be bound by any provision hereof prior to the
Effective Date.
3) FACTUAL RECTTALS
The Parties entered into the Contract forlto develop and administer a Tiered Reimbursernent
system that supports child care facilities building and maintaining quality programs for the low-
income infants and toddlers they serve.
4l GoNS|DERAT|ON-COLORADO SPEC|AL pROVtStONS
The Parties acknowledge that the mutual promises and covenants contained herein and other
good and valuable consideration are sufficient and adequate to support this Amendment. The
Parties agree to replacing the Colorado Special Provisions with the most recent version (if
such have been updated since the Contract and any modification thereto were effective) as
part consideration for this Amendment. lf applicable, such Special Provisions are attached
hereto and incorporated by reference herein as: NA.
5) LTMITS OF EFFECT
This Amendment is incorporated by reference into the Contract, and the Contract and all prior
amendments thereto, if any, remain in full force and effect except as specifically modified
herein.
6) MODTFTCATTONS.
The Contract and all prior amendments thereto, if any, are modified as follows:1. In accordance with the attached "Amended Page 1 of the Contract," the Contract term
shall be extended through fiscal year 2015 ending on June 3oth 2015, and the Contract
price not to exceed shall be increased by $69,923.52for Fy1b.2. Contract Exhibit B is amended by the addition of the attached "Exhibit B Budget for Fy1S".3. Contract Exhibit C is amended by the addition of the attached "Exhibit C Performance
Matrix for FY15".
4. Add the attached 'Additional General Provision FF." to the Contract General Provisions.5. Add the attached new Exhibit E, C-Stat Addendum.
7l START DATE
This Amendment shall take effect on the later of its Effective Date or July 1 ,2014.
8) ORDEROF PRECEDENCE
Except for the Special Provisions, in the event of any conflict, inconsistency, variance, or
contradiction between the provisions of this Amendment and any of the provisions of the
Contract, the provisions of this Amendment shall in all respects supersede, govern, and
control. The most recent version of the Special Provisions incorporated into the Contract or
any amendment shall always control other provisions in the Contract or any amendments.
8) AVATLABLE FUNDS
Financial obligations of the state payable after the current fiscal year are contingent upon
funds for that purpose being appropriated, budgeted, or othenrvise made available,

PERFOMANCE MATRIX Guidelines
Rationale
The performance matrix will allow grantees to creale more specific plans for supporting
infant and toddler programs in each community while increasing accountability and
rnonitoring progress, This guide to completing grantee's performance matrix plans will
support best practices for the Infant and Toddler Quality and Availability Grant (ITAA).
SMART Goals
Using SMART goals in the performance matrix will lead to clear and concise objectives
along with action steps, responsible parties involved, timelines, data collection tools,
and progress monitoring.
Statement of Work and Requirements should be:
1. Specific
2. Measurable
3. Accountable
4. Reasonable
5. Time-Based
Think about goals that have tangible outcomes, and are objective. Example:
Outcome: Positive classroom climate.
Measures of outcome:
NOT MHHTING REQUIRFMENTS: Children are happy. The room'Telt" good.
MEETING REQUIREMENTS: Children smiled and laughed frequently. Teachers used
positive language when speaking to children.
Grant lmplementation
HB13-1291 Infant and Toddler Quality and Availability Grant has created four main
components for this grant:
A. Increasing Slots
B. Increasing Quality
C. Tiered Reimbursement
D. Family Pailnerships
It is the expectation that grantees will implement all four components of this grant to
providers eligible to participate" ITQA is a holistic approach to supporting children and
families as well as increasing quality programming. Chunking out services to providers,
such as providing quality improvement dollars but not tiered reimbursement, or vice

versa, would not be allowable or meet the expectations of lreA.
Recruiting New Child Care Providers
As grantees continue to expand their provider participants in ITQA below is a guide for
recruiting new child care providers.
Grantees will complete the following steps
A. Create a plan for contacting programs that serve infants and toddlers in CCCAP
(call, site visit, community event, flyers, etc.)
B. Must complete a pre-assessment of quality for providers who are not currenly
rated to create a baseline for data collection (what pilot programs are currenly
using) and complete business screening tool.
a. Must consider historical CCCAp services provided
C. Family, Friend and Neighbor (FFN) providers
a. Grantees can offer resources for pre-licensing trainings to FFN providers.
After pre-licensing is over, providers decide if they want to become a
licensed provider. lf yes, grantees can continue to fund FFN provider and
will complete a MOU, outlining the agreement to pursue licensing and
becorne CCCAP provider with timelines. lf no, providers are no longer
eligible to receive grant fundsFunds
Memorandum of Understanding (MOU) with providers
Grantees will create an MOU with each provider participating in ITQIP to provide clear
expectations for both parties involved. An MOU will deflne the work that needs to be
done, timelines for completion, and accountability. All MOU's or subcontracts need to
he pre-approved by the Office of Early Childhood (OEC) before they are signed by both
parties. All MoU's or subcontracts with programs are structured as a cost
reimbursement. Think about the prograrns that have a high need as well as the ability to
have strong impacts for grant requirements.
A. Description of quality improvements needed per pre-assessment
B. Ability to increases slots
C. Minimum number of CCCAP slots each program will increase or provide
D. Current CCCAP enrollment for 0-3
E. Plan for enrollment to maintain at least one cccAp slot ail year
F. Plan for maintaining a wait list
a. Programs will have 4$ days from official drop date to enroll a new child in
CCCAP. lf providers failto meet enrollment deadlines they will be dropped
from grant funding and supports.
G. Length of time service will be provided

L. Performance matrix for providers that are completing construction, obtaining a
child care license, or CCCAP contract. Timelines must be reasonable, and based
on county procedures.
M. Grantees must report to the OEC by the end of the month if a program has
dropped from ITQA with details why the program dropped, how much funds have
been distributed to date, and discuss budget or performance matrix
modifications, if any with program officer.
Frovider Data Reporting
The provider must submit all data requested by the ITQIP grantee. This is to ensure
consistency in implementation and an understanding of program impact. Year-end data
will be gathered through a suruey proces$. The survey will include questions to address
the following areas:
A. Reinvesting tiered reimbursement funds
a. Specifically what did those funds pay for? (professional development, staff
wage increase$, lower staff ratios, materials, etc)
b. Allowable uses of tiered funds: extra staff to lower ratios is inf/todd rooms,
high wages for inf/todd teachers, additional professional development,
rnaterials per their licensing report and QIP needs, etc.
c. lt is nst allowable for providers to spend these funds on building
maintenance (painting, air conditioners, roofing, etc), preschool
roo ms/teachers ( m aterials, p rofessio nal d evelo pment, wages, staff , etc)
B. Provider satisfaction level
C. Equitable reimbursement process

Tiered Reimbursement
Tiered reimbursement is a payment structure lhat rewards high quality child care
programs by offering an increased reimbursement rate. Grantees should consider how
funds are being leveraged to provide incentivize the utillzation of CCCAP and to support
program$ in pursuit of higher quality. Tiered reimbursement plans must address the
followlng:
A. Quality improvement plan for staffing activities for Council and County(ieslto

t. Funds dispersed must be attached to children actively enrolled in CCCAp 0-3G' Homes and centers will receive the same reimbursement rates since they are
attached to children specific, not providers.
Allowable activities to reinvest tiered reimbursement funds for infant and toddler
providers include:
A. Decrease the cost of care gap between the County CCCAP reimbursement rate
and the market rate for child care
B. Lower staff ratios for infant and toddler room$
C. Increase staff wages for infant and toddler teacher
D' Incentives for professional development through the completion of credential or
advanced degree for infant and toddler teachers
E. lncrease professional development for infant and toddler teachers.
lmproving Quality
Address strategies to support sustainable quality in child care programs. Utilize bestpractices for programs that will improve overall quality; not just how to perform well
during a site visit from the ratings administrator. Our first focus is resolving any
outstanding licensing issues, and then meeting goals on our quality imprwement plan
that feeds from the readiness assessment.
A. Funds will be dispersed according to funding rubric
B. High quality programs will have sustainability plan
C. Coaching
a' Focused on coaching to best practices rather than solely on assessment
tool requirements
b. Integrates Colorado Early Learning and Development Guidelinesc. Coaches are trained on tools they use
D. Quality improvement plans that address:
a. Workforce qualifications
b, Learning environment
c. Leadership, management and administrationd, Child health
E. Plan for Early Childhood Council and County Departrnent of Human Servlces
staff to implement contract or MOU.
F. All providers must obtain a minimum of L2 status within 6 months of signing
MCIU. Any exceptions will be made en a case by case basis.G' Providers must meet minimum points by readiness assessment before
requesting an onsite rating.

Increasing the number of GCCAP slots
When creating a plan to increase slots grantees shall consider the increase in general
enrollment, as well as CCCAP slots. For example, opening a new classroom may
increase ten (10) infant and toddler slots; however only four (4) are designated to
CCCAP. Grantees should consider strategies to blend and braid funding and work with
existing programs to create new slots.
A. Plan includes expanding number of licensed programs who accept CCCAP in the
cornmunity by offering at least one of the following:
a. lncentives
b. Family Friend and Neighbor (FFN) care
c, Adding more CCCAP slots in programs
d. Contracting for slots
e. Outreach for parents/program
a. Partnering with local programs
i. Adding classrooms
i. Opening new programs
Family Partnerships
Think about a twq generation approach to poverty. How can we support both children
and families to have stronger support systems?
A. Plan includes method for gathering what prograrns are currently doing to engage
families and how they will improve on current practices.
B. Plan must address:
a. Home Language support
b, Sensitivity to diversity
c. Transitions
d. Ingagement of farnilies
e. fngagement with the community
C. Plan for Early Childhood Council and County Department of Human Services
staff to implernent contract or MOU.
D. Tracking participation of family engagement activities both pre and post (activity,
outcome, number of participants, etc.)
E. Family support for fathers, extended family, and diverse family structures

COST PROPOSAL
. This extension will result in a cost reimbursement contract" Costs are tied io
services that rneet or exceed the requirements and expected outcomes, This
may include the expertise, and relevant experience o{ the offeror that will
enhance the success of the project and provide minimal risk or need for $tate
resources.r Cost proposal narrative includes in-kind or wrapping funding to demonstrate how
realistic the proposal is.
. Cost reimbursement is when services being provided on a per client basis, or as
needed. No guarantee of the number of clients served, however a rate or fee is
established. Costs will only be reimbursed with proper fiscal documentation.
o A rnaximum of 10% divided between the Early Childhood Council and County
Department of Human Services may be allotted to administrative expenses
. Early Childhood Council County Department of Human Services must have a
minimum of 2A% for each entitY.
