HomeMy WebLinkAboutC16-234 The Gypsum Christian AcademyI' AGREEMENT FOR SERVICES BETWEEN EAGLE COUNTY, COLORADO AND THE GYPSUM CHRISTIAN ACADEMY LLC tro THIS AGREEMENT ("Agreement") is ef fective as of the 2L auy of June, 2016 by and between The Gypsum Christian Academy LLC a Limited Liability Company (hereinalier "Contractor") and Eagle County, Coloraclo, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, the County, through its Department of Human Services ("DHS") works to promote the health, safety and welfare of County residents ofall ages; and WHEREAS, the County uses outside providers and professionals to enhance the ability of County to promote such health, sai'ety and weltare; and WHEREAS County is the recipient of a grant from the State of Colorado for Colorado Infant and Toddler Quality and Availability with a contract made date of January I,20f2 which has been amended by Contract Amendment #1 dated July 1,2014 and Contract Amendment #2 dated July 1,2015 (collectively the "Grant") to support quality improvements at child care providers who serve low-income infants and toddlers through means such as providing lunds for purchasing needed materials; and WHEREAS, to continue providing a high level of quality child care as rated by the Colorado Shines Quality Rating and Improvement System (ORIS), Contractor must replace existing playground surfacing (the "Project") at its licensed location of 925 Green Way, Gypsum, Colorado (the ,'propeqv"); and WHEREAS, Contractor is authorized to do business in the State of Colorado as a licensed day care provider and is a permitted recipient of grant funds for the purposes set lbrth herein and Contractor has the time, skill, expertise, and experience necessary to provide the Services as defined below in paragraph t hereof; and WHEREAS, this Agreement shall govern the relationship between Contractor and County in connection with the services. AGREEMENT NOW, THEREFORE, in consideration of the foregoing and the fbllowing promises Contractor and County agree as follows: 1' Services or Work. Contractor agrees to diligently provide all services, labor, personnel and materials necessary to perlbrm and complete the services or work described in Exhibit A ("Services" or "Work") which is attached hereto and incorporated herein by reference. The Services shall be perfbrmed in accordance with the provisions and conditions of this Agreement. a. Contractor agrees to furnish the Services no later than June 30,2016 and in accordance with the schedule established in Exhibit A. If no completion date is specitied in Exhibit A, then Contractor agrees to furnish the Services in a timely and expeditious manner consistent with the applicable standard of care. By signing below Contractor represents that it has the expertise and personnel necessary to properly and timely perlbrm the Services. TO C16-234 b. In the event of any conllict or inconsistency between the terms and conditions set forth in Exhibit A and the terms and conditions set forth in this Agreement, the terms and conditions set forth in this Agreement shall prevail. 2. County's Representative. The Department of Human Services'designee shall be Contractor's contact with respect to this Agreement and pertbrmance of the Services. 3. Term of the Agreement. This Agreement shall commence upon the date first written above, and subject to the provisions ofparagraph 11 hereof, shall continue in full force and effect through the 30th day ofJune, 2016.The parties agree that any provision hereof requiring pertbrmance after the 30'h day of June, 2016 shall survive. 4. Extension or Modification. This Agreement may be extended tbr up to three additional one year lerms upon written agreement of the parties. Any amendments or modifications shall be in wriring signed by both parties. No additional services or work pertbrmed by Contractor shall be the basis tbr additional compensation unless and until Contractor has obtained written authorization and acknowledgement by County fbr such additional services in accordance with County's internal policies. Accordingly, no course of conduct or dealings between the parties, nor verbal change orders, express or implied acceptance ofalterations or additions to the Services, and no claim that County has been unjustly enriched by any additional services, whether or not there is in fact any such unjust enrichment, shall be the basis of any increase in the compensation payable hereunder. In the event that written authorization and acknowledgment by County for such additional services is not timely executed and issued in strict accordance with this Agreement, Contractor's rights with respect to such additional services shall be deemed waived and such failure shall result in non-payment lbr such additional services or work performed. 5. Compensation. County shall compensate Contractor lbr the perfbrmance of the Services in a sum computed and payable as set fbrth in Exhibit A. The performance of the Services under this Agreement shall not exceed sixteen thousand dollars ($16,000). Contractor shall not be entitled to bill at overtime and/or double time rates for work done outside of normai business hours unless specifically authorized in writing by County. a. For reimbursement Contractor must submit invoices on or before June 27 r 2016. Invoices shall include a description of the Services performed. If County is not satislied with the completeness of a submitted invoice, County may request Contractor to either revise the invoice or provide additional information. Paymenr will be made lbr Services satisf'actorily perlbrmed within thirty (30) days of receipt of a proper and accurate invoice from Contractor. All invoices shall include detail regarding the materials acquired, hours spent, tasks performed, who performed each task and such other detail as County may request. Contractor acknowledges and agrees that this Agreement is funded by grant funds tiom the State of Colorado and payment is subject to availability ol those funds. All invoices must be e-mailed or delivered in-person to the following address to ensure proper payment. Invoices sent by tax or mail will not be acceptec.. If, at any time during the term or alier termination or expiration of this Agreement, County reasonably determines that any payment made by County to Contractor was improper because the Services fbr which payment was made were not performed as set forth in this Agreement, then upon written notice of such 2 Eagle County DHS General Services Final 5/14 determination and request for reimbursement from County, Contractor shall forthwith return such payment(s) to County. Upon termination or expiration of this Agreement, unexpended funds advanced bv County, if any, shall tbrthwith be returned to Countv. c. All funds received by Contractor under this Agreement shall be or have been expended solely for the purpose for which granted, and any funds not so expended, including funds lost or diverted for other purposes, shall be returned to County. Contractor shall provide the Counfy with progress reports upon County's request; or Contractor shall furnish progress reports as rnore specifically set forth in the attached Exhibit A. d. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor agrees to be solely responsible lbr the accurate reporting and payment of any taxes related to payments made pursuant to the terms of this Agreement. e. Notwithstanding anything to the contrary contained in this Agreement, County shall have no obligations under this Agreement after, nor shall any payments be made to Contractor in respect of any period after December 31 of any year, without an appropriation theretbr by County in accordance with a budget adopted by the Board of County Commissioners in compliance with Article 25, tille 30 of the Colorado Revised Statutes, the t-ocal Government Budget Law (C.R.S. 29-I-rc1et. seq.) and the TABOR Amendment (Colorado Constitution, Article X, Sec. 20). 6. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the particular reputation and expertise of Contractor. Contractor shall require each subcontractor, as approved by County and to the extent of the Services to be performed by the subcontraclor, to be bound to Contractor by the terms of this Agreement, and to assume toward Contractor all the obligations and responsibilities which Contractor, by this Agreement, assumes toward County. County shall have the right (but not the obligation) to enforce the provisions of this Agreement against any subcontractor hired by Contractor and Contractor shall cooperate in such process. The Contractor shall be responsible for the acts and omissions of its agents, employees and subcontractors. 7. Insurance. Contractor agrees to provide and maintain at Contractor's sole cost and expense, the fbllowing insurance coverage with limits of liability not less than those stated below: a. Types of Insurance. i. Workers' Compensation insurance as required by law and Employer's Liability lnsurance covering all of Contractor's employees acting within the course and scope of their employment. ii. Auto coverage with limits of liability not less than $1,000,000 each accident combined bodily injury and property damage liability insurance, including coverage for owned, hired, and non-owned vehicles. iii. Commercial General Liability coverage written on ISO occurrence tiom CG 00 01 10/93 or equivalent, covering premises operations, fire damage, independent contractors, products and completed operations, blanket contractual liability, personal injury, and advertising liability with minimum limits as lbllows: (a) $1,000,000 each occurrence; (b) $1,000,000 general aggregate; (c) $1,000,000 products and completed operations aggregate; and (d) $50,000 any one fire, If any aggregate limit is reduced below $1,000,000 because of claims made or paid, Contractor shall immediately obtain additional insurance to restore the tull aggregate limit and furnish to the County a certificate or other document satisfactory to County showing compliance with this provision. iv. Professional Liability insurance with minimum limits of liability not less than $1,000,000, unless waived by the State. 3 Eagle County DHS General Services Final .5/14 b. Other Requirements i. The automobile and commercial general liability coverage and as set lbrth above shall be endorsed to include Eagle County, its associated or affiliated entities, its successors and assigns, elected officials, employees, agents and volunteers as additional insureds. The state of Colorado ("State") shall also be named as additional insured on all commercial general liability and automobile insurance policies (leases and construction contiacts require additional insured overage for completed operations on endorsements CG 2010 Ill85, CG 203'7, or equivalent) required of Contractor and any subcontractors hereunder. A certificate of insurance consistent with the fbregoing requirements is attached hereto as Exhibit B. ii. Contractor's certificates of insurance shall include subcontractors, if any as additional insureds under its policies or Contractor shall furnish to County separate certificates and endorsements lbr each subcontractor. lll. termination hereof. The insurance provisions of this Agreement shall survive expiration or lv. The parties hereto understand and agree that the County is relying on, and does not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights, immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time amended, or otherwise available to County, its affiliated entities, successors or assigns, its elected officials, employees, agents and volunteers. v. Contractor is not entitled to workers' compensation benefits except as provided by the Contractor, nor to unemployment insurance benefits unless unemployment compensation coverage is provided by Contractor or some other entity. The Contractor is obligated to pay all f'ederal ancl state income tax on any moneys paid pursuant to this Agreement- vi. Coverage required of Contractor shall be primary and Contractor's carrier(s) shall waive all rights of recovery, under subrogation or otherwise, against Contractor or the State, its agencies, institutions, organizations, otTicers, agents, employees, and volunteers. vii. Contractor acknowledges and agrees that County shall provide this Agreement and the certificates showing the insurance coverage required hereunder to State. In adclition, upon request by the State at any other time during the term of this Agreement Contractor and any subcontractor shall, within ten (10) days of such request, supply to the State evidence satisfactory to the State and County. 8. Indemnification. The Contractor shall indemnify and hold harmless County, the State , and any of their officers, agents and employees against any losses, claims, damages or liabilities for which County or the State may become subject to insolar as any such losses, claims, damages or liabilities arise out of, directly or indirectly, this Agreement, or are based upon any perfbrmance or nonperformance by Contractor or any of its subcontractors hereunder; including claims fclr bodily injury or personal injury including death or loss or damage to tangible or intangible property; and Contractor shall reimburse County and the State of Colorado fbr reasonable attorney fees and costs, Iegal and other expenses incurred by County and the State of Colorado in connection with investigating or defending any such loss, claim, damage, liability or action. This indemnification shall not apply to claims by third parties agairrst the County to the extent that County is liable to such third party for such claims without regard to the involvement o1 the Contractor. This paragraph shall survive expiration or termination hereof. 4 Eagle County DHS Ceneral Services Final 5/14 9. Ownership of Documents. All documents (includrng electronic tiles) and written materials obtained during, purchased or prepared in the performance of the Services shall remain the property of the County and are to be delivered to County before final payment is made to Contractor or upon earlier termination of this Agreement. 10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i) personally delivered, or (ii) when mailed in the United States mail, tirst class postage prepaid, or (iii) when delivered by FedEx or other comparable courier service, charges prepaid, to the parties at their respective addresses listed below, or (iv) when transmitted via e-mail with confirmation of receipt. Either party may change its address for purposes of this paragraph by giving five (5) days prior written notice of such change to the other party. Termination. County may terminate this Agreement, in whole or in part, at any time and for any reason, with or without cause, and without penalty therefbr with seven (7) calendar days' prior written notice to the Contractor. Upon termination of this Agreement, Contractor shall immediately provide County with all documents as defined in paragraph t hereof, in such format as County shall direct and shall return all County owned materials and documents. County shall pay Contractor fbr Services satisfactorily performed to the date of termination. 12. Venue. Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to this Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado, which shall be the sole and exclusive forum for such litigation. This Agreement shall be construed and interpreted under and shall be governed by the laws of the State of Colorado. 13. Execution by Counterparts: Electronic Signatures. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which shall constitute one ancl the same instrument. The parties approve the use of electronic signatures for execution of this Agreement. Only the tbllowing 5 Eagle County DLIS General Services Final .5/14 two forms of electronic signatures shall be permitted to bind the parties to this Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the image of the signature of an authorized signer inserted onto PDF fbrmat documents. All documents must be properly notarized, if applicable. All use of electronic signatures shall be governed by the Unifbrm Electronic Transactions Act, C.R.S. 24-1L3-I01 Io l21 14. Other Contract Requirements and Contractor Representations. a. Contractor has tamiliarized itself with the nature and extent of the Services to be providecl hereunder and the Property, and with all local conditions, federal, state and local laws, ordinances, rules and regulations that in any manner affect cost, progress, or performance of the Services. b. Contractor will make, or cause to be made, examinations, investigations, and tests as he deems necessary for the performance of the Services. c. To the extent possible, Contractor has correlated the results of such observations, examinations, investigations, tests, reports, and data with the terms and conditions of this Agreement. d. To the extent possible, Contractor has given County written notice of all conflicts, errors, or discrepancies. e. Contractor shall be responsible tbr the completeness and accuracy of the Services and shall correct, at its sole expense, all significant errors and omissions in perfbrmance of the Services. The fact that the County has accepted or approved the Services shall not relieve Contractor of any of its responsibilities. Cclntractor shall perfbrm the Services in a skillful, professional and competent manner and in accordance with the standard of care, skill and diligence applicable to contractors pertbrming similar services. Contractor represents ancl warrants that it has the expertise and personnel necessary to properly perlbrm the Services and shall comply with the highest standards of customer service to the public. Contractor shall provide appropriate supervision to its employees l.o ensure the Services are performed in accordance with this Agreement. In the event County finds these standards of customer service are not being met by Contractor, County may terminate this Agreement, in whole or in part, upon seven (7) days' notice to Contractor. This paragraph shall survive termination of this Agreement. f. Contractor agrees to work in an expeditious manner, within the sound exercise of its judgment and prof'essional standards, in the performance of this Agreement. Time is of the essence with respect to this Agreement. g. This Agreement constitutes an agreement for performance of the Services by Contractor as an independent contractor and not as an employee of County. Nothing contained in this Agreement shall be deemed to create a relationship of employer-employee, master-servant, partnership, joint venture or any other relationship between County and Contractor except that of independent contractor. Contractor shall have no authority to bind County. h' Contractor represents and warrants that at all times in the pertbrmance of the Services, Contractor shall comply with any and all applicable laws, codes, rules and regulations. i. This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all other agreements or understanding between the parties with respect thereto. j. Contractor shall not assign any portion of this Agreement without the prior written consent of the county. Any attempt to assign this Agreement without such consent shall be void. 6 Eagle County DHS Ceneral Services Final 5/14 k. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective permitted assigns and successors in interest. Enforcement of this Agreement ancl all rights and obligations hereunder are reserved solely for the parties, and not to any third party. l. No failure or delay by either party in the exercise of any right hereunder shall constitute a waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding breach. m. The invalidity, illegality or unenfbrceability of any provision of this Agreement shall not aftect the validity or enfbrceability of any other provision hereof. n. The signatories to this Agreement aver to their knowledge no employee of the County has any personal or beneficial interest whatsoever in the Services or Property described in this Agreement. The Contractor has no benellcial inlerest, direct or indirect, that would conflict in any manner or degree with the pertbrmance of the Services and Contractor shall not employ any person having such known interests. o. The Contractor, if a natural person eighteen (18) years of age or older, hereby swears and affirms under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United States pursuant to federal law, (ii) to the extent applicable shall comply with C.R.S. 24-76.5-I03 prior to the et'fective date of this Agreement. p. Contractor shall comply with the Civil Rights Act of .l 96 and Section 504, Rehabilitation Act of 1973, concerning discrimination on the basis ofrace, color, sex, age, religion, political beliefs, national origin or handicap. q. Contractor acknowledges by signing below that it has read the Grant which is attached hereto and incorporated herein as Exhibit C and shall at all times during the term of this Agreement comply with the Grant and amendments thereto. r. Contractor certifies that, at the time of entering into this Agreement, it and its agents have currently in effect all necessary licenses, certifications, approvals and insurance, required to properly provide l.he services and/or supplies covered by this Agreement in the state of Colorado. Proof of such licenses, certillcations, approvals and insurance, shall be provided upon request by County or the State ofColoradcl. s. Contractor represents and warrants that Contractor, or its employees or authorized subcontractors are not presently excluded from participation, debarred, suspended, proposed lbr debarment, declared ineligible, voluntarily excluded, or otherwise ineligible to participate in a "federal health care program" as defined in 42 U.S.C. $ 1320a-7b(f or in any other government payment program by any federal or State of Colorado department or agency. In the event Contractor, or one of its employees or authorized subcontractors, is excluded from participation, or becomes otherwise ineligible to participate in any such program during the term of this Agreement, Contractor will notily the County and the State in writing within three (3) days after such event. Upon the occurrence of such event, whether or not such notice is given, the County and State reserve the right to immediately cease contracting with the Contractor. t. The Contractor shall maintain a complete lile of all records, documents, communications, and other materials that pertain to the Services. Such files shall be sufticient to properly reflect all direct and indirect costs of labor, materials, equipment, supplies and services, and other costs of whatever nature for which a contract payment was made. These records shall be maintained according to generally accepted accounting principles and shall be easily separable fiom other Contractor records. Contractor shall turther comply with the terms of the Grant and confidentiality and other record requirements thereunder. 7 Eagle County DI-lS Ceneral Services Final 5/.14 15. Prohibitions on Government Contracts. As used in this Section 15, the term undocumented individual will refer to those individuals from foreign countries not legally within the United States as set forth in C.R.S. 8-17.5-101, et. seq. If Contractor has any employees or subcontractors, Contractor shall comply with C.R.S. 8-17.5-101, et. seq., and this Agreement. By execution of this Agreement, Contractor certifies that it does not knowingly employ or contract with an undocumented individual who will perform under this Agreement and that Contractor will participate in the E-verify Program or other Department of Labor and Employrnent program ("Department Program") in order to confirm the eligibility of all employees who are newly hired for employment to perform Services under this Agreement. Contractor shall not: under this orr".rrl.nrt o, Knowingly employ or contract with an undocumented individual to perlbrm Services ii. Enter into a subcontract that lails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an undocumented individual to perfbrm work under the public contract fbr services. b. Contractor has confirmed the employment eligibility of all employees who are newly hired tbr employment to perfbrm Services under this Agreement through participation in the E-Verify Program or Department Program, as adminisl.ered by the United States Department of Homeland Security. Contractor shall not use either the E-verify program or other Department Program procedures to undertake pre-employment screening of job applicants while the public contract for services is being perlbrmed. d. If Contractor obtains actual knowledge that a subcontractor performing work under the public contract for services knowingly employs or contracts with an undocumented individual, Contractor shall be required to: i. Notily the subcontractor and County within three (3) days that Contractor has actual knowledge that the subcontractor is employing or contracting with an un<Jocumented individual; and ii. Terminate the subcontract with the subcontractor if within three clays ol receiving the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop employing or contracting with the undocumented individual; except that Contraclor shall not terminate the contract with the subcontractor il during such three (3) days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an undocumented individual. e. Contractor shall comply with any reasonable made in the course of an investigation that the department is c.R.s. 8-17.-s-1 02(5). request by the Department of Labor and Employment undertaking pursuant to its authority established in f. If Contractor violates these prohibitions, County may terminate the Agreement for breach of contract. If the Agreement is so terminated specilically for breach of this provision of this Agreement, Contractor shall be liable for actual and consequential damages to county as required by law. 8 Eagte County DHS General Services Final 5/14 g. County will notity the Colorado Secretary of State if Contractor violates this provision of this Agreement and County terminates the Agreement fbr such breach. The Services hereunder include the purchase by Contractor of the following materials:(i) Dura SAFE "Premium" surfacing for the replacement of the playground surface at the Property; and (ii) purchase of all related materials required for installation of the new playground surfacing at the Property, including but not limited to, adhesive, sealant, rubber sheeting, base materials, and wooden timbers for containing edge; and (iii) all related fees and shipping costs fiom the supplier of the materials. Contractor represents and warrants that the materials purchased under this Agreement shall be installed at the Property and are for the purpose of improving the Contractor's licensed day care facility so that it rnay continue to provide high quality services to infants and toddlers. Contractor further represents and warrants that it shall be solely responsible lbr installation oI the materials and the same shall not be the responsibility of the County or the State. The cost of such installation is not included or part of this Agreement. Notwithstanding the foregoing, Contractor shall install the materials by October 31,2016 and is solely responsible for obtaining appropriate warranties for the materials to be supplied hereunder. Scheduie: - All materials must be purchased any delivered prior to June 30, 2016. Fees: - Invoice fiom Contractor must be received no later than June 27,2016 to be eligible fbr payment and must not exceed sixteen thousand dollars ($16,000). Automobile Liabilitv: Automobile Liability lnsurance covering any auto (including owned, hired and non-owned autos) with a minimum limit of $1,000,000 each accident combined single limit. d. Professional Liability: Professional liability insurance with minimum limits of liability of not less than $1,000,000, unless waived by the State. e. Privacy Insurance If this Contract includes a HIPAA Business Associates Addendum exhibit, Contractor shall obtain and maintain during the term of J. this Contract liability insurance covering all loss of Protected Health Information data and claims based upon alleged violations of privacy rights through improper use or disclosure of Protected Health Information with a minimum annual limit of $1,000,000.f. Cancellation: The above insurance policies shall include provisions preventing cancellation or non-renewal without at least 30 days prior notice to Contractor and Contractor shall forward such notice to the State in accordance with provision E. Notice and Representatives within seven days ofContractols receipt ofsuch notice. i. Subrosation Waiver: All insurance policies in any way related to this Contract and secured and maintained by Contractor or its Subcontractors as required herein shall include clauses stating that each carrier shall waive all rights of recovery, under subrogation or otherwise, against Contractor or the State, its agencies, institutions, organizations, officers, agents, employees, and volunteers. 3.Certificates: Conh'actor and all Subcontractors shall provide certificates showing insurance coverage requifed hereunder to the State within seven business days of the Effective Date of this Contract. No later than 15 days prior to the expiration date ofany such coverage, Contractor and each Subcontractor shall.deliver to the State or Confactor . certificates of insurance evidencing renewals thereof. Disaster Planning and Pandemic Outbreaks: The State may require the Contractor to submit a Disaster Response Plan (Plan) to ensure the delivery hereunder of essential govemment services during a disaster, declared emergency, and./or pandemic outbreak. The Plan would take precedence over 'and nullify any contractual provision relating to force majewe or "Acts of God." Accordingly, should the work performed by the Contractor under this contract include the provision ofany essential government services, the State may request a Plan from the Contractor, and, upon such request, the Contractor shall forthwith submit a Plan, and the Contractor shall be bound to perform hereunder in accordance therewith. Riehts in Data. Documents and Computer Software or Other Intellectual Property: All intellectual property including without limitation, databases, software, documents, research, prcgrams and codes, as well as all, reports, studies, data, photographs, negatives or other documents, drawings or materials prepared by the contractor in the performance of its obligations under this contract shall be the exclusive properfy of tle State. Unless otherwise stated, all such materials shall be delivered to the State by the contractor upon completion, termination, or cancellation of this conffact. Contractor shall not use, willingly allow or cause to have such materials used for any purpose other than the performance of the contractor's obligations under this contract without a prior written consent of the State. Neither parry shall use or disclose directly or indirectly without prior written authorization any proprietary information conceming the other party obtained as a result of this contact. Aay proprietary information removed from the State's site by the Contractor in the course ofproviding services under this contract will be accorded at least the same precautions as are employed by the Contractor for similar information in the course of its own business. M. Records Maintenance. Performance Monitoring & Audits: The Contractor shall maintain a complete file of all records, documents, communications, and other materials that pertain to the operation of the progranr,/project or the delivery of services under this contract. Such files shall be sufficienfto properly reflect all direct and indirect coSts of labor, materials, equipment, supplies and services, and other costs of whatever nature for which a contract payment was made. Jhese records shall be maintained according to generally accepted accounting principles and shall be easily separable from other Contractor records, The Contractor shall protect the confidentiality of all records and other materials containing personally identifuing information that are N. maintained in accordance with this contract. Except as provided by law, no information in possession of the Contractor about any individual constituent shall be disclosed in a form including identifuing information without the prior written consent of the person in interest, a minor's parent, guardian, or the State. The Contractor shall have written policies governing access to, duplication and dissemination o{ all such information and advise its,agents, if any, that they are subject to these confi dentiality requirements. The Contractor shall provide its agents, if any, with a copy or written explanation of these confidentiality O. requirements before access to confidential data is permitted. Fot ContractWtzard Version 3.15 Colorado Departrnent of Human Services Division of Contract ifanagement The Contractor authorizes the State, the federal government or their designee, to perform audits and/or inspections ofits records, at any reasonable .time, to assure compliance with the state or federal governmenfs terms and/or to evaluate the .Contracto/s performance. Any amounts the State paid improperly shall be immediately returned to the Stete or may be recovered in accordance with other remedies. All such records, documents, communications, and other materials shall be the property of the State unless otherwise specified herein and shall be maintained by the Contractor, for a period of three (3) years from the date of final payment or submission of the final federal expenditure report under this contract, unless the State requests that the records be retained for a longer period, or until an audit has been completed with the following qualification. If an audit by or on behalf of tne federal and/or state government has begun but is not completed at the end of the three (3) year period, or if audit frndings have not been resolved after a three (3) year period, the materials shall be retained until the resolution ofthe audit findings. The Contractor shall permit the State, any other governmental agency authorized by law, or an authorized designee thereof, in its sole discretion,to monitor all activities conducted by the Contractor pursuant to the terms of this contract. Monitoring may consist of intemal evaluation procedures, reexamination of program data, special analyses, on-site verification, formal audit examinations, or any other procedures as deemed reasonable and relevant. All such monitoring shall be performed in a manner that will not unduiy interfere with contract work. Taxes: The State, as purchaser, is exempt from all federal excise taxes under Chapter 32 of the Intemal Revenue Code [No. 84-730123K) and from all state and local government use tax€s [C.R.S. $39- 26-l l4(a) and 203, as amended]. The contractor is hereby notified that when materials are purchased for the benefit of the State, such exemptions apply except that in certain political subdivisions the vendor may be required to pay sales or use taxes even though the ultimate product or service is provided to the State. These sales or use taxes will not be reimbursed by the State. Conflict of Interest: During the term of thrs contract, the Contractor shall not engage in any business or personal activities or practices or Page6 of26 Revised M/10/12 maintain any relationships which conflict in any way with the Contractor fully performing hislher obligations under this contract. Additionally, the Contractor acknowledges that, in governmental contracting, even the appearance of a conflict of interest is harmful to the interests of the State. Thus, the Contractor agrees to refrain from any practices, activities or relationships which could reasonably be considered to be in conflict with the Contractor's fully performing his/her obligations to the State under the terms of this contract, without the prior written approval of the State. In the event that the Contractor is uncertain whether the appearance of a conflict of interest may reasonably exist, the Contractor shall submit to the State a full disclosure statement setting forth the relevant details for the State's consideration and direction. Failure to promptly submit a disclosure statement or to follow the State's direction in regard to the apparent conflict shall be grounds for termination of the contract. Further, the Contractor shall maintain a witten code of standards goveming the performance of its agent(s) engaged in the award and administration of contracts. Neither the Contractor nor its agen(s) shall participate in the selection, or in the award or administration of a contract or subcontract supported by Federal funds if a conflict of interest, real or apparent, would be involved. Restrictions on Public Benefits: Pursuant to House Bill065-1023, as codified at C.R.S. $ 24-76.5-101 et seq., except as otherwise provided therein or where exempt by federal law, the State is required to verifr the lawful presence in the United States of each natrual person 18 years of age or older who applies for state or local public benefrts or for federal public benefits for the applicant. Accordingly, should the work performed by the Contractor under this contract include the provision of any of said benefits to any natural person 18 years ofage or older who applies therefore for the applicant, the Contractor shall follow the requirements of said law in the provision of said benefits as if it were the State. The State will provide the Contractor with specific instruction on the identification documentation required and the process to be followed by the Contractor to properly comply with the law if the work done under this contract is subject to these requirements. R. Statewide Contract Management Svstem: l. When Applicable. If the maximum amount payable to Contractor under this Contract is $100,000 or greater, either on the Effective Date or at anytime thereafter, this provision applies. 2. Goveming State Statutes. Contractor agrees to be govemed, and to abide, by the provisions of cRS 924-102-205, i24-102-206, $24-103-601, $24-103.5-101 and $24-105-102 conceming the monitoring of vendor performance on state contracts and inclusion of contract performance information in a statewide contract management system. 3. Performance Evaluation and Review. Contractor's performance shall be subject to Evaluation and Review in accordance with the terms and conditions of this Contract, State law (including without limitation CRS $24- 103.5-l0l), and State Fiscal Rules, Policies and Guidance. Evaluation and Review of Contractor's performance shall be part of the normal contract administration process and Contractor's performance will be systematically recorded in the statewide Contract Management System. Gross Failure to Meet Performance Measures. Should the final performance Evaluation andReview determine that Contractor demonstrated a gross failure to meet the performance measures established hereunder, the Executive Director of the Colorado Department of Persoiurel and Administration (Executive Director), upon request by the Department of Human Services, for good cause shown, h&y debaf Contractor and prohibit Contractor from bidding on future contracts. Contractor may contest the final Evaluation and Review and Rating by: (a) filing rebuttal statement(s), which may resultin either removal or correction of the evaluation (CRS $24-105-102(6), or (b) under CRS $24-105-102(6), exercising rhe debarment protest and appeal rights provided in CRS $$24-109-106, l0'7, 201 or 202, which may result in the reversal of the debarment and reinstatement of Contractor by the Executive Director upon showing of good cause. 5. CORA Displosure: To the extent not prohibited by federal law, this Contract and the performance measures and standards under CRS $24-103.5-l0l are subject to public release through the Colorado Open Records Act, CRS $24-72-101, et seq. Performance Ratings and Guidelines: The Contractor will be given a Final Contractor Performance Evaluation at the end of the iontract term in accordance with C.R.S. 524-102-205(6) and General Provision R. above. Above Standard: This rating may be given where Contractor consistently performs in a manner that exceeds the requirements of this Contract, and where such performance is measurable against objective factors specifically identified for use in achieving the purposes of this provision. If applicable to work performed under this Contract, the objective factors and performance required to rnerit an 'lAbove Standard" rating are specified in a so dedicated Exhibit to this Contract, which may be included herein from the start of the contract or subsequently be aflded by formal contract amendment at any V. time before the end of the contract term. If there is no such dedicated Exhibit included or subsequently added herein, this rating is unavailable. 2. Standard: This rating will be given where: l.) Contractor's performance hereunder meets the requirements of this Contract in areas of quality, cost, and timeliness; 2.) Contractor's work is accepted by the State; and 3.) full payment hereunder is made to Contractor for such performance. 3. A.ny Contractor 'or its agent(s), who does not comply with C,R.S. $27-90-lll and DHS Policy VI-2.4, may, at the sole discretion of the State, be suspended or terminatec. Litigation: The Contractor shall within five (5) calendar days after being served with a summons, complaint, or other pleading which has been filed in any federal or state court or administrative agency notify the State that it is a party defendant in a case which involves services provided under this contract. The Contractor shall deliver copies of such document(s) to the State's Executive Director. The term "litigation" includes an assignment for the benefit of creditors, and filings in bankruptcy, reorganization and/or foreclosure. Disputes: Except as herein specifically provided otherwise, disputes concerning the performance of this contract which cannot be resolved by the designated contract fepresentatives shall be referred in writing to a senior departmental management staff designated by the department and a senior manager designated by the Contractor. Failing resolution at that level, disputes shall be presented in writing to the Executive Director and the Contractor's chief executive officer for resolution. This process is not intended to supersede any other process for the resolution of controversies provided by law. Remedies: Acceptance is dependent upon completion of all applicable inspection procedures. The State reseryes the right to inspect the goods and/or services provided under this contract at all reasonable times and places. The Executive Director of the State or her/his designee may exercise the following remedial actions should sftre find the Contractor substantially failed to satisfy the scope of work found in this contract. Substantial failure to satisfu the scope of work shall be defined to mean substantially insufficient, incorrect or improper activities or inaction by the Contractor. Without limitation, the State has the right to: L withhold payment until performance is cured, Page9 of26 l.etrsed04/10/72 2. requfe the vendor to take necessary action to enswe that the future performance conforms to contract requirements, 3. request removal of a Contractor's agent from contract work, 4. equitably reduce the payment due the vendor to reflect the reduced value of the services performed, 5. recover payment for work that due to the Contractor cannot be performed or would be of no value to the State, 6. modify or recover payments (from payments under this contract or other contracts between the State and the vendor as a debt due to the State) to correct an error due to omission, error, fraud and./or defalcation, 7. terminate the contract. These remedies in no way limit the remedies available to the State in the termination provisions of this contract, or remedies otherwise available at law. Y. Termination: l. Termination for Default: The State may terminate the contract for cause. If the State terminates the contract for cause, it will first give ten (10) days prior written notice to the Contractor, stating the reasons for cancellation, procedures to correct problems, if any, and the date the contract will be terminated in the event problems have not been corrected. In the event this contract is terminated for cause, the State will only reimburse the Contractor for accepted work or deliverables received up to the date of termination. In the event this contract is terminated for cause, final payment to the Contractor may be withheld at the discretion of the State until completion of final audit. Notwithstanding the above, the Contractor may be liable to the State for the State's damages, If it is determined that the Contractor was not in default then such termination shall be treated as a termination for convenience as described herein. 2, Temlination for Convenience: The State shall have the right to terminate this contract by giving the Contractor at least twenty (20) days prior written notice. If notice is so given, this contract shall terminate on the expiration of the specified time period, and the liability of the parties hereunder for further performance of the terms of this contract shall thereupon cease, but the parties shall not be released from the duty to perform their obligations up to the date of termination. Immediate Termination: This contract is subject to immediate termination by the State in the event that the State determines that the health, safety, or welfare ofpersons receiving services may be injeopardy. Additionally, the State may immediately terminate this contract upon verifuing that the Contractor has engaged in or is about to participate in fraudulent or other illegal acts. Termination for Financial Exigency: The State shall have the right to terminate this contract for financial exigency by giving the Contractor at least thirty (30) days prior written notice. For the purposes of this provision, a financial exigency shall be a detennination made by the Colorado legislahrre or its Joint Budget Committee that the financial circumstances of the State are such that it is in the best interest of the State to terminate this contract. If notice of such termination is so given, this contract shall termiirate on the expiration of the time period specified in the notice, and the liability of the parties hereunder for further performance of the terms of this contract shall thereupon cease, but the parties shall not be released from the duty to perform their obligations up to the date of termination In the event that the State terminates this contract under the Termination for Convenience or Termination for Financial Exigency provisions, the Contractor is entitled to submit a termination claim within ten (10) days of the effective date of termination. The termination claim shall address and the State shall consider paying the following costs: a. the contract price for performance of work, which is accepted by tlte State, up to the effective date of the temrination. b. reasonable and necessary costs incurred in preparing to. perform the terminated portion of the contract c. reasonable profit on the completed but undelivered work up to the date of termination d. the costs of settling claims arising out of the termination of subcontracts or orders, not to exceed 30 days pay for each subcontractor e. reasonable accounting, legal, clerical, and other costs arising out of the termination settlement. In no event shall reimbursement under this clause exceed the contract amount reduced bv J. 4. Veirue: The parties agree that venue for any action related to performance of this contact shall be in the City and County of Denver, Colorado. AA.Understandine of the Parties: l. Complete Understandins: This contract is intended as the complete integration of all understandings between the parties. No prior or contemporaneous addition, deletion, or other amendment hereto shall have any force or effect whatsoever, unless embodied herein in writing. No subsequent novation, renewal, addition, deletion, or other amendment hereto shall have any force or effect unless embodied in a written contract executed and approved pursuant to the State Fiscal Rules. Descriptive headings as used herein are for convenience and shall not control or affect the meaning or construction of any provision of this contract. 2. Severabilitjr To the extent that this contract may be executed and performance of the obligations of the parties may be accomplished within the intent of the contract, the terms of this contract are severable, and should any term or provision hereof be declared invalid or become inoperative for any reason, such invalidity or failure shall not affect the validity of any other term or provision hereof. 3. Benefit and \ight of Action: Except'as herein specifically provided otherwise, it is expressly understood and agreed that this contract shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns. All rights of action relating to enforcement of the terms and conditions shall be strictly reserved to the State and the named Contractor. Nothing contained in this agreement shall give or allow any claim or right of action whatsoever by any other third person. It is the express intention ofthe State and the Contractor that any such person or entity, other than the State or the Contractor, receiving services or benefits under this agreement shall be deemed an incidental beneficiary only. 4. Waiver: The waiver of any breach of a term hereof shall not be construed as a waiver of any other term, or the same subsequent breach. 5. Survival: The State and the term upon Contractols obtgations under this contact shall survive following termination or expiration to the extent necessary to give effect to the intent and understanding of the parties. 6. SubcontractinS. Except as herein specifically provided otherwise, the duties and obligations of the Contractor arising hereunder cannot be assigned, delegated, subgranted or subcontracted except with the express prior written consent of the State. The subgrants and subcontracts permitted by the State shall be subject to the requirements of this contract. The Contractor is responsible for all subcontracting arrangements, delivery of services, and performance of any subgrantor or subcontractor. The Contractor warrants and agrees that any subgrant or subcontract, resulting from its performance under the terms and conditions ofthis contract, shall include a . provision that the said subgrantor or subcontractor shall abide by the terms and conditions hereof. Also, the Contractor warrants and agrees that all subgrants or subcontracts shatl include a provision that the subgrantor or subcontractor shall indemnify and hold harmless the State. The subgrantors or subcontractors must be certified to work on any equipment for which their services are obtained. BB. Holdover: In the event that the State desrres to continue the services provided for in this Contact and a replacement contract has not been fully executed by the expiration date of the Contract, this Contract may be extended unilaterally by the State for a period of up to two (2) months upon written notice to the Contractor under the same terms 'and conditions of the original Contract including, but not limited to, prices, rates, and service delivery requirements. However, this extension terminates when the replacement contract becomes effective when signed by the State Controller or an authorized delegate. CC. Health Insurance Portabilitv & Accountability Act of 1996 f'HIPAA"). Federal law and regulations goveming the privacy of certain health information requires a "Business Associate Contract" between the State and the Contractor. 45 C.F.R. Secfion 164.504(e). Terms of the Addendum shall be considered binding upon execution of this contract and shall remain in effect during the term ofthe contract including any extensions. The CDHS Fraud Policy addresses the need for effective and consistent measures for preventing, detecting, and deterring fraud. The relevant parties discussed in the policy include CDHS employees, CDHS management, CDHS appointees, and community partners, including contractors, grantees, vendors, and other sub: recipients. Teachers used positive language when speaking to children. Grant lmplementation HB13-1291 Infant and Toddler Quality and Availability Grant has created four main components for this grant: A. Increasing Slots B. Increasing Quality C. Tiered Reimbursement D. Family Pailnerships It is the expectation that grantees will implement all four components of this grant to providers eligible to participate" ITQA is a holistic approach to supporting children and families as well as increasing quality programming. Recruiting New Child Care Providers As grantees continue to expand their provider participants in ITQA below is a guide for recruiting new child care providers. Grantees will complete the following steps A. Create a plan for contacting programs that serve infants and toddlers in CCCAP (call, site visit, community event, flyers, etc.) B. Must complete a pre-assessment of quality for providers who are not currenly rated to create a baseline for data collection (what pilot programs are currenly using) and complete business screening tool. a. Must consider historical CCCAp services provided C. Family, Friend and Neighbor (FFN) providers a. Grantees can offer resources for pre-licensing trainings to FFN providers. After pre-licensing is over, providers decide if they want to become a licensed provider. lf yes, grantees can continue to fund FFN provider and will complete a MOU, outlining the agreement to pursue licensing and becorne CCCAP provider with timelines. lf no, providers are no longer eligible to receive grant fundsFunds Memorandum of Understanding (MOU) with providers Grantees will create an MOU with each provider participating in ITQIP to provide clear expectations for both parties involved. An MOU will deflne the work that needs to be done, timelines for completion, and accountability. All MOU's or subcontracts need to he pre-approved by the Office of Early Childhood (OEC) before they are signed by both parties. All MoU's or subcontracts with programs are structured as a cost reimbursement. Think about the prograrns that have a high need as well as the ability to have strong impacts for grant requirements.
