HomeMy WebLinkAboutC16-231 The Conservation FundSECOND AMENDMENT TO CONTRACT TO BTJV AND SELL REAL ESTATE WHEREAS, EAGLE COUNTY, COLORADO (the "Seller") and THE CONSERVATION FUND, a Maryland rron-profit corporation (the "Purchaser"), entered into a Contract to Buy and Sell Real Estate dated April 9,2013, for certain parcels of land containing 36 */-acres located in the County of Eagle, State of Colorado, which contract was amended by the Amendment to Contract to Buy and Sell Real Estate dated December I 6, 20 | 4 (together the ..Contract"); and WHEREAS, the parties are desirous of further amending the Contracl as provided in this "second Antendment" tcl reduce the Purchase Price described in tlre Contract, and to allocate the Purchase Price between the three parcels. NOW THEREFORE, fol and in consideration of ONE DOLLAR ($ 1.00) and other good and valuable consideration, receipt and adequacy of which are hereby acknowledged, Seller and Purclraser hercby agree as follows. l. The Purchase Price listed in Section 4,1 of the Contract is hereby reduced ro $1.800.000.00. 2' The Purchase Price shall be allocated between the thrBe properties described in Section 2.4 of the Contract as follows: a. Stare Llridge: $900,000.00 b. Two Bridges: $450,000.00 c. Dotsero Landing: $450,000.00 The Contract Dates and Deadlines remain the same, however, closing on the three parcels rnay occur separately or simultaneously. All other terms and conditions in the contract are hereby ratified and affirmed. This Second Arnendment may be executed in counterparts, all of which shall constitute one agreement which shall be binding on all of the parties, notwithstanding that all of the parties are not signatory to the original or the sarne counterpafi.
